(“SL Company”) is committed to high standards of business ethics and integrity as reflected in SL Company China Supplier Code of Conduct (“Code of Conduct”). The Code of Conduct expects all of its suppliers (“Suppliers”) to adhere to similar good working standards and business ethics. The Supplier is expected to comply with the requirements set out in this Code of Conduct. Violations of this code of conduct may result in immediate termination as a SL Company China Supplier and in legal action if necessary.SL Company realizes that Suppliers may need time to address areas in which they may not be in compliance. We believe that compliance is best achieved through a process of continuous improvement over a period of time. With this in mind, SL Company invites its suppliers to keep us regularly informed about their actions and their improvement plans concerning the Code of Conduct. Labor and Human Rights 劳工和人权 Suppliers must uphold the human rights of workers, and treat them with dignity and respect as understood by the international community. 供应商必须按照国际社会的相关规定,维护员工的人权和尊严,充分尊重员工。 2. Antidiscrimination 反歧视Suppliers shall not discriminate against any worker based on race, color, age, gender, sexual orientation, ethnicity, disability, religion, political affiliation, union membership, national origin, or marital status in hiring and employment practices such as applications for employment, pro motions, rewards, access to training, job assignments, wages, benefits, discipline, and termination. Suppliers shall not require a pregnancy test for any workers except where required by applicable laws or regulations or prudent for workplace safety. Fair Treatment 公平对待Suppliers shall commit to a workplace free of harassment. Suppliers shall not threaten workers with or subject them to harsh or inhumane treatment, including sexual harassment, sexual abuse, corporal punishment, mental coercion, physical coercion, verbal abuse, or unreasonable restrictions on entering or exiting company-provided facilities. Prevention of Involuntary Labor and Human Trafficking 防止雇佣非自愿劳工和贩卖人口 Suppliers shall not traffic in persons or use any form of slave, forced, bonded, indentured, or prison labor. This includes the transportation, harboring, recruitment, transfer, or receipt of persons by means of threat, force, coercion, abduction, fraud, or payments to any person having control over another person for the purpose of exploitation. All work must be voluntary and workers shall be free to leave work or terminate their employment with reasonable notice. Workers must not be required to surrender any government-issued identification, passports, or work permits as a condition of employment. Suppliers shall ensure that third-party agencies providing workers are compliant with the provisions of the Code of Conduct and the laws of the sending and receiving countries, whichever is more stringent in its protection of workers. Child Labor童工Child labor is strictly prohibited. Suppliers shall not use child labor. The minimum age for employment or work shall be 15 years of age; under age 15 can be defined as Child labor. Suppliers must verify the age of their workers and maintain copies of their workers proof of age. 严禁雇佣童工。供应商不得雇用童工。劳工可被雇佣或可工作的最低年龄应当为15周岁, 低于15周岁的雇佣劳动者被定义为童工。供应商必须验证其员工的年龄并保留有关证明复印件。6. Working Hours 工作时间 Except in emergency or unusual situations, a work week shall be restricted to 60 h ours, including overtime, and workers shall take at least one day off every seven days. All overtime shall be voluntary. Wages and Benefits 工资和福利 Suppliers shall pay all workers at least the minimum wage required by applicable laws and regulations and provide all legally mandated benefits. In addition to their compensation for regular hours of work, workers shall be compensated for overtime hours at the premium rate required by applicable laws and regulations. Suppliers shall not use deductions from wages as a disciplinary measure. Suppliers shall offer vacation time, leave periods, and holidays consistent with applicable laws and regulations. Suppliers shall pay workers in a timely manner and clearly convey the basis on which workers are being paid. 供应商必须要为所有员工发放适用的法律法规所规定的最低工资,并提供所有的法定福利。供应商除了必须支付员工正常工作时间应得的报酬以外,还必须根据适用的法律法规所规定的超时工作费率支付员工加班的报酬。供应商不得以扣除工资作为一种惩戒方法。供应商必须提供假期、休假以及适用的法律法规所规定的节假日。供应商必须及时支付员工工资,同时必须及时明确向员工阐明所支付工资的依据。8. Freedom of Association 集会自由 Suppliers must respect the right of workers to associate freely with, form, and join workers organizations of their own choosing, seek representation, and bargain collectively, as permitted by and in accordance with applicable laws and regulations. Suppliers shall not discriminate with respect to employment based on union membership and, in particular, shall not make employment subject to the condition that the worker relinquishes union membership or agree not to join a union; or cause the dismissal of or otherwise prejudice a worker by reason of union membership or participation in union activities outside working hours. Health and Safety 健康和安全 Suppliers shall maintain a clean, safe and healthy workplace in compliance with all applicable laws and regulations. Suppliers shall ensure that workers have access to clean drinking water, sanitary washing facilities and an adequate number of toilets, fire-extinguishers, and fire exits and those workplaces provide adequate lighting and ventilation. Suppliers shall ensure that aforementioned standards are also met in any canteen and/or dormitory which are provided for workers. 供应商依照适用的法律法规的要求为员工提供清洁,安全和健康的工作场所。供应商应确保员工能获得干净的饮用水,配备卫生盥洗设施和足够数量的厕所、灭火器、安全出口以及在工作场所提供充足的照明和通风设施。供应商应确保上述标准同时适用于任何提供给员工使用的宿舍和饭堂。10. Familiarization and Display of This Code of Conduct让工人认识供应商守则Suppliers shall familiarize workers with this Code of Conduct and display this Code of Conduct, translated in the local language, at each of their facilities in a place readily visible and accessible to workers. 供应商应让工人知悉供应商守则的内容并将守则内容翻译成本地语言,展示于每一处工人容易及经常接触的地方。12. Legal Requirements 法律规定Vendors shall comply with all legal requirements applicable to the conduct of their businesses, including those set out above. 供应商应遵守所有有关其企业品行的法律规则,包括上述提及的规定。13. Contractors and Suppliers承包商和供应商Vendors shall ensure that their contractors and suppliers adhere to this Code of Conduct. 供应商要保证其承包商和供应商遵守此守则。14. Business Integrity 诚信经营SL Company is committed to the highest standards of business integrity. We do not tolerate any practice that is not born of honesty, integrity and fairness. Corruption, extortion and embezzlement, in any form, are strictly prohibited. Suppliers shall not engage in corruption, extortion or embezzlement in any form. Suppliers shall not offer or accept bribes or other means to obtain an undue or improper advantage. We obey all relevant laws; treat each other fairly, with dignity and respect; prepare all records of financial transactions carefully and accurately; report financial conditions and results of operations, honestly and promptly; deal honestly and fairly with customers, supplier and business partners; report observed violations of legal and ethical standards. Corrective Action 纠错行为When violations are found, SL Company China and the Suppliers concerned will agree on a corrective action plan that eliminates the problem in a timely manner.
