All change on the technical agreement shall be confirm and reply within three working days after receiving the other party request.6.3、合同签订后，卖方在5日内提供全球联保清单，15天内提供确认图，买方在收到确认图后尽快回复确认意见。Within 5 days the seller shall submit the Maker Worldwide Warranty List to the Buyer and within the 15 days to provide relevant drawings for approval, and the Buyer shall check and review if such drawings and/or documents are in full conformity with the Technical Specifications and shall either return one copy to the Supplier endorsed with its approval or notify the Supplier of its disapproval.7. 生产进度与报告7.1、在合同生效之日起10个自然天内卖方必须按月作出制造的具体工序内容和时表，同时按此时间表作出生产进度计划曲线交买方审批。 Within 10 days after the contract comes into effect, the Seller shall provide production schedule and manufacturing progress curves to the Buyer for review.7.2、在合同生效之日后，每月末卖方必须向买方报告上月末至本月末的生产进度情况。或根据买方要求随时提供生产进度。On each monthend, the Seller shall submit monthly progress report on the production process to the Buyer. Or according buyers request to provide rpoduction schedule at any time. 8包装：标准出口包装 Packing：Standard Export Packing. 货物由已消毒的且适合长途海运坚固的新木箱包装、集装箱运输，防湿、防潮、防震、防锈，耐粗暴搬运。卖方负责因货物包装不良以及由于卖方在包装方面采取不当的或不良的保护措施而造成的货物锈损等任何损坏，并负担由此而产生的一切费用。包装箱内需附每台设备一整套操作/维护手册以及其它所有技术资料。包装箱尺寸和重量应充分考虑运送和装卸的可能。如包装为木质包装，包装外应有明显的已做薰蒸的标志。The goods shall be packed in strong new wooden cases with fumigation certificate suitable for long distance transportation and well protected against dampness, shock, moisture, rust and rough handling and shall be transported in container. The SELLER shall be liable for any damages to the goods on account of improper packing and for any rust damage attributable to inadequate or improper protective measures taken by the SELLER and in such case, any and all losses and/or expenses incurred in consequence thereof shall be borne by the SELLER. Under the condition of wooden packaged, IPPC mark should be stamped clearly on the surface of the package. (4) Shipping Marks: Contract No. Project No. 10保险： 卖方应确保制造厂投保一切险，投保金额为合同总价的110%。 Insurance:The SELLER shall ensure that the Maker take care of the insurance policy to cover 110% of the total price against all risks.11付款条件：TERMS OF PAYMENT11.1合同价格按CIF天津新港以美元支付。Payment of the Contract Price shall be made in USD on the basis of CIF Tianjin Xingang Port terms. 11.2按如下方式分期支付： Payment shall be made in the following instalments,信用证付款Payment Through L/C Payment by L/C: 60 days before shipment,the Buyer shall establish an irrevocable letter of credit in favor of the Seller,for the amount of 100%of the contract value;90% is payable upon presentation of the documents under Clause(12) while 10% contract value is payable upon presentation of 1) a letter of guarantee with amount equal to 10% of total contract price issued by the Sellers bank an to be confirmed acceptable by Buyer beforehand,2)and the acceptance certificate issued by the Buyer after commissioning. 12货物付款单据： Documents for Payment: 装运单据Shipping Documentsa) 2/3正2副全套完整的、可议付的、清洁的、已装运的海运提单，注明“运费已付”并通知买方.b) 110%发货价的仓库到仓库保险单，一份正本两份副本。c) 3正2副金额为100%发货价的商业发票，并指明合同号和唛头。d) 3正装箱单。e) 3正2副由制造厂签发的质量证书。f) 1正2副由商会签发的原产地证明。g) 1副装船通知,在装船后72小时内卖方以电报或传真和邮件形式通知买方。h) 1正1副相当于合同金额的10%的由得到买方认可的卖方银行开出的质保期保函，保函有效期为自交船之日起12个月或货物装运后24个月,以先到为准。i) 1正1副受益人出具的证明, 证明正本单据包括商业发票、形式发票、 装箱单、可议付的提单、包装木材的熏蒸证明或制造厂出具的无木质包装证明、产品无石棉声明正本各一份，在装船后3天内已用快递寄交申请人, 快递公司的快寄单据的复印件也需提交议付。a) 2/3 originals and two (2) copies of full set of Negotiable Clean on Board Ocean Bills of Lading marked “FREIGHT PREPAID” and made out to order, blank endorsed, and notifying the Buyer. b) 110% of Shipment Value Insurance Policy or Certificate from warehouse to warehouse in One original and two copies.c) Commercial invoice of 100% of the Shipment Value in 3 originals and 2 copies, indicating contract number and shipping mark. d) Packing List in 3 originals. e) Certificate of Quality issued by the manufacturers in 3 original and 2 copies。f) Certificate of Origin issued by Chamber of Commerce in 1 original and 2 copies.g) A true copy of cable/fax and e-mail to advise the Buyers of particulars of shipment within 48 hours after the goods are loaded on ship.h) One original and one copy of a Letter of Guarantee for the Warranty period covering 10% (ten percent) of the contract price issued by the Sellers Bank which is acceptable to the Buyer。 The BANK L/G shall remain valid with 12 months starting from the date of the delivery of the tugboat or 24 months counting from the date on which the goods leave at the port of delivery whichever comes earlier.i) Beneficiary 's certificate in 1 original and 1 copy certifying that original documents including commercial, Proforma invoice, packing list, negotiable Bill of Lading and Certificate of fumigation for packing wood or Non Wooden packing certificate by the manufacturer( also refer to Clause 10.3 hereto), Products no asbestos statement, each in one original, have been sent to applicant by courier service within 3 days from B/L date and Shippers copy of airway bill issued by courier service is required for negotiation.注：Note:1.货物装船后，卖方将上述单据7个工作日内用快件寄送至买方，同时提供所有单据的电子文件In addition, after the shipment, seller shall be send the all documents to the buyer by express to the Buyer ， together with all other documentation in electronic & hard copy.2卖方提供的货物的木质包装不应含有树皮成分,且应在装船之前进行加热,熏蒸或其他中华人民共和国政府认可的有效的处理方式。The wood packing material for Sellers goods should be free from bark, and should, prior to shipment, undergo heat treatment, fumigation or other effective quarantine treatment approved by China government. 3.其它在技术协议中提及的证书及资料在交货后一个月内提供。 In other certificate and documents in technical agreement must be provide within one month after the shipment. 13装运条款： Terms of Shipment:海运和CIF条款下的装运：SHIPMENT In Case By Sea On CIF Terms:1） 卖方须按时在装运期限内将货物由装运口岸装船并将货物于交货日期前在到货地点交货。The Sellers shall ship the goods within the Time of Shipment from the port of shipment and shall delivery the goods before the date of delivery at the place of destination.2） 除特别说明外，不允许中途转船，不允许分运。装载船只不得悬挂买方不能接受的国家的旗帜。买方需在发货一个月前提前通知卖方不授受的旗帜名称.Transshipment is not allowed，Partial shipment is not allowed. unless specially specified. The goods shall not be shipped on any vessel flying the flag of a nation unacceptable (Buyer to specify at least one (1) month before shipment date) to the Buyers. 3） 装载船只必须适航、适装。船龄不得超过15年。如果船龄超过15年，其额外保险费则由卖方负担。如果船只在航行途中发生事故或故障时，发货人有责任立即通知买方。The carrying vessel must be suitable for the voyage and for loading the contracted goods. The age of the vessel shall not exceed 15 years. In case the age of the vessel exceeding 15 years, the extra premium shall be borne by the Sellers. If marine accident or trouble of the vessel is happened en route, the shipper has responsibility to advise the Buyers immediately.14装运通知：Shipping advice：卖方须于货物装船后，立即将合同号码、货物名称、数量、发票金额、毛重、船名、装运口岸、目的口岸及开航日期等在48小时内以电传或传真方式通知买方。如卖方未能按时通知买方，致使买方不能及时投保，因而发生的损失则由卖方负担。如单件货物的重量超过9公吨或宽度超过3400毫米或高度超过2350毫米，则卖方应将该件货物的重量和尺码告知买方。如货物系危险品，卖方应将其性质及其处理办法电告买方和到货口岸的买方运输代理。卖方所指定的船只或承运人应符合下列条件：The Sellers shall, immediately upon the completion of the loading of the goods by sea, advise the Buyers by telex or fax of the contract number, commodity, quantity, invoiced value, gross weight, name of vessel, port of shipment, port of destination and date of sailing etc. In case the Buyer fails to arrange insurance in time due to the Seller not having advised in time, all losses shall be borne by the Sellers. If any package is above 9 metric tons in weight or over 3400mm in width or over 2350mm in height, the Seller shall advise the Buyer of the weight and measurements of such package. In case of dangerous goods, the Seller shall notify the Buyer and his shipping agent at the port of destination of their nature and the method of handling them by telex or fax.The vessel or carrier designated by the SELLER shall be in conformity with the following terms: (1) 卖方所指定的船只或承运人应能够在正常和合理的时间内到达中国的指定港口。 The vessel or carrier designated by the SELLER should arrive at the port of designation in China within a normal and reasonable period of the time. (2) 如在途中发生任何事故，卖方应在得知消息后毫不迟延地通知买方。若卖方未能在得知消息后通知买方，由此产生的一切损失或费用应由卖方承担。In case that an accident occurs during the voyage, the SELLER shall, if notified of such accident, inform the BUYER at the earliest time reasonable possible. Any loss or expenses incurred by the Sellers failure to inform the BUYER after having been notified of the accident shall be borne by the SELLER.15质量保证：a）卖方保证货物是以最好的材料及一流的工艺制成并且是全新的、未曾使用过的、完全符合本合同规定的质量、规格和性能的。如果实际到货产品与提供的工作图不符，由此引起便跟造成的费用，由卖方负责。 The Seller guarantee that the goods hereof are made of the best materials with first class workmanship, brand new, unused and complies in all respects with the quality, specifications and performance as stipulated in this Contract. If the actual delivery of the products and provide working drawing with discrepancies, the cause and the cost of with caused by the seller is.b）质量保证期为买方向船东交船日期后12个月或者合同货物装运后24个月，以先到者为准。交船后该12个月的质量保证期的受益权将转移给船东。如在此之间货物发生损坏，卖方应保证损坏部分在维修后一年内不会再次损坏。 The guarantee period shall be 12 months counting from the date on which the Buyer delivers the vessel to the Ship owner, or 24 months after delivery of the contracted goods, whichever is earlier. The extended warranty period of 12 months for the goods from the date of delivery of the vessel shall pass to the benefit of the Ship owner. If Seller has performed guarantee work during the guarantee period, Seller shall guarantee the repaired parts of the goods for a period of one year from the date of completion of the guarantee work, or the remaining part of the guarantee periodc） 在上述质量保证期内，卖方收到买方的索赔要求后，应及时采取措施免费维修或更换损坏的货物或部件，否则，买方可自行委托修理或更换，费用由卖方负担。如果因为买方违章操作、不按规定进行正常的维护保养等因素造成的损坏和故障，需要卖方来维修及更换零部件所发生的费用由买方负责。同时，卖方应对不符合规格部分进行重新设计，制作，及修改，因此产生的费用由卖方负责。Upon receipt of such notice, the Seller shall, with all reasonable speed, repair or replace the defective Goods or parts thereof at final destination or worksite, without costs to the Buyer. If the seller, having been notified, fails to remedy the defect(s) within a reasonable period, the Buyer may proceed to take such remedial action as may be necessary, at the Seller's risk and without prejudice to any other rights which the buyer may have against the Seller under the Contract. The Seller shall be liable for all costs associated with the repair or replacement of defective work.16商品检验：INSPECTION:货物装运之前，买方及买方授权的代表有权对货物的质量、规格及数量进行检验，卖方应对检验提供设备及必要的帮助，应买方的要求，卖方应向买方出具相关的检验报告，材质证书，及详细的计算书。货物在目的港卸下后，应买方的请求，中国商检机构可对货物的规格和数量再次进行检验。再次的商检费用由买方承担。Before the Sellers shipment of the goods, Buyer or his authorized representative shall have the right to make whatever inspections and verifications they consider necessary in order to verify that the goods are manufactured in accordance with the conditions of the Purchase Contract. Such inspections and verifications may be made at Sellers facilities, and/or at any of his subcontractors facilities. Seller shall give necessary assistance in carrying out these inspections and verifications. Seller, if required by Buyer, supply to Buyer test reports, material certificates, calculations etc. After discharge of the goods at the destination and at the Buyers request, the China Commodity Inspection Bureau will repeat the inspection of the specifications and quantity of the goods. Any costs incurred shall be by the Buyer. 17、关联服务 incidental services:（一）卖方应保证制造厂根据买方需要，到达买方指定的地点提供下述服务： The Seller shall ensure the Maker to supply the following services on demands. (a) 设备到货清点验收，卖方在收到通知后3天内到达船厂验收地点，验收所提出的问题将有卖方全部负责澄清并予以解决，若卖方不参与现场开箱清点验收工作，那么视为默认船厂自行安排验收得出的结论。 (b) 卖方在进厂调试前必须提供调试前准备工作清单由船厂确认，否则引起的责任由卖方负责。Before commissioning,the seller must provide the preparation working list for the shipyard to confirmation, otherwise, the caused duty is responsible for seller.(c) 到厂调试人员必须满足设备的调试需要，否则，船厂有权要求更换调试人员，调试时间顺延。Debugging personnel must satisfy the equipment debugging need, otherwise, the shipyard shall have the right to request to change  debugging personnel, postpone commissioning time.(d) 调试服务工程师到场后必须先行做出调试计划表，含检查、自行调
