英文版劳动合同.docxEmploymentAgreement,between_(the“Company)and_(the“employee).TheCompanyemploystheEmployeeonthefollowingtermsandconditions.1.TermofEmployment.Subjecttotheprovisionsforterminationsetforthbelowthisagreementwillbeginon_(date)andterminateon_(date).2.Salary.TheCompanywillpaytheEmployeeasalaryof$_peryear,fortheservicesoftheEmployee,payableatregularpayrollperiods.3.DutiesandPosition.TheCompanyhirestheEmployeeas_(position),andthedutieswillbe_.TheEmployeesdutiesmaybereasonablymodifiedattheCompanysdirectionanddiscretion.4.EmployeetoDevoteFullTimetoCompany.TheEmployeewilldevotehisfulltime,attention,andenergytothebusinessoftheCompany,andduringhisemployment,willnotengageinanyotherbusinessactivity,regardlessofwhethersuchactivityispursuedforprofit,gain,oranyotherpecuniaryadvantage.However,theEmployeeisnotprohibitedfrommakingpersonalinvestmentsinanyotherbusinesses,solongasthoseinvestmentsdonotrequirehimtoparticipateintheoperationofthecompaniesinwhichheinvests.5.ConfidentialityofProprietaryInformation.TheEmployeeagreesthathewillnot,duringorafterthetermofhisemployment,revealsuchinformation,oranypartofit,toanyperson,firm,corporation,orassociation.IftheEmployeedoesreveal,orthreatentoreveal,thisinformation,theCompanywillbeentitledtoaninjunctionrestrainingtheEmployeefromdisclosingsame,orfromrenderinganyservicestoanyentitytowhomsaidinformationhasbeenoristhreatenedtobedisclosed.Therighttosecureaninjunctionisnotexclusive,andtheCompanymaypursueanyotherremediesithasagainsttheEmployeeforabreachorthreatenedbreachofthiscondition,includingtherecoveryofdamagesfromtheEmployee.6.ReimbursementofExpenses.TheEmployeemayincurreasonableexpensesforpromotingtheCompanysbusiness,includingexpensesforentertainment,travel,andsimilaritems.TheCompanywillreimbursetheEmployeeforallbusinessexpensesaftertheEmployeesubmitsanitemizedaccountofhisexpenditures.7.Vacation.TheEmployeewillbeentitledtoayearlyvacationof_weeksatfullpay.TheEmployeewilltakehisyearlyvacationoveraconsecutiveperiodbeginningonorafter_andendingonorbefore_.8.Disability.IftheEmployeecannotperformhisdutiesbecauseofillnessorincapacityforaperiodofmorethan_weeks,thecompensationotherwiseduetohimduringhisillnesswillbereinstatedwhenhereturnstoworkandisabletodischargehisduties.However,iftheEmployeeisabsentfromworkforanyreasonforacontinuousperiodofover_months,theCompanymayterminatetheEmployeesemployment,andtheCompanysobligationsunderthisagreementwillceaseonthatdate.9.TerminationofAgreement.Withoutcause,theCompanymayterminatethisagreementatanytimeupon_dayswrittennoticetotheEmployee;iftheCompanyrequests,theEmployeewillcontinuetoperformhisdutiesandbepaidhisregularsalaryuptothedateoftermination.Inaddition,theCompanywillpaytheEmployeeonthedateofterminationaseveranceallowanceof$_lesstaxesandsocialsecurityrequiredtobewithheld.Withoutcause,theEmployeemayterminatehisemploymentupon_dayswrittennoticetotheCompany.TheEmployeewillberequiredtoperformhisdutiesandwillbepaidhisregularsalaryuptothedateofterminationbutwillnotreceiveaseveranceallowance.Further,despiteanythingtothecontrarycontainedinthisagreement,theCompanymayterminatetheEmployeesemploymentupon_daysnoticetotheEmployeeifanyofthefollowingeventsoccur:(a)ThesaleofsubstantiallyalloftheCompanysassetstoasinglepurchaserorgroupofassociatedpurchasers;or(b)Thesale,exchange,orotherdisposition,inonetransactionofthemajorityoftheCompanysoutstandingcorporateshares;or(c)TheCompanysbonafidedecisiontoterminateitsbusinessandliquidateitsassets;or(d)ThemergerorconsolidationoftheCompanywithanothercompany.10.DeathBenefit.IftheEmployeediesduringhistermofemployment,theCompanywillpaytotheEmployeesestateanycompensationduehimuptotheendofthemonthofwhichtheEmployeedies.11.RestrictiononPostemploymentCompetition.Foraperiodof_yearsendofthisagreement,theEmployeewillnot,withinamileradiusafterofthetheCompanyspresentplaceofbusiness,own,manage,operate,control,consulttoorbeemployedbyanybusinesssimilartothatconductedbytheCompany.12.AssistanceinLitigation.TheEmployeewill,uponreasonablenotice,furnishsuchinformationandproperassistancetotheCompanyasitmayreasonablyrequireinconnectionwithanylitigationinwhichitis,ormaybecome,aparty.13.EffectofPriorAgreements.ThisagreementsupercedesanyprioragreementbetweentheCompanyoranypredecessoroftheCompanyandtheEmployee,exceptthatthisagreementshallnotaffectoroperatetoreduceanybenefitorcompensationinuringtotheEmployeeofakingelsewhereprovidedannotexpresslyprovidedinthisagreement.14.SettlementbyArbitration.Anyclaimorcontroversythatarisesoutoforrelatestothisagreement,orbreachofit,willbesettledbyarbitrationinaccordancewiththerulesoftheAmericanArbitrationAssociation.Judgmentupontheawardrenderedmaybeenteredinanycourtprocessingjurisdictionofarbitrationawards.15.LimitedEffectofWaiverbyCompany.IftheCompanywaivesabreachofanyprovisionofthisagreementbytheEmployee,thatwaiverwillnotoperateorbeconstruedasawaiveroflaterbreachesbytheEmployee.16.Severability.If,foranyreason,anyprovisionofthisagreementisheldinvalid,theotherprovisionsofthisagreementwillremainineffect,insofarasisconsistentwithlaw.Ifthisagreementisheldinvalidorcannotbeenforced,thentothefullextentpermittedbylaw,anyprioragreementbetweentheCompany(oranypredecessorthereof)andtheEmployeewillbedeemedreinstatedasifthisagreementhadnotbeenexecuted.17.AssumptionofAgreementbyCompanysSuccessorsandAssignees.TheCompanysrightsandobligationsunderthisagreementwillinuretothebenefitandbebindingupontheCompanyssuccessorsandassignees.18.OralModificationsNotBinding.ThisinstrumentistheentireagreementoftheCompanyandtheEmployee.Oralchangeswillhavenoeffect.Itmaybealteredonlybyawrittenagreementsignedbythepartyagainstwhomenforcementofanywaiver,change,modification,extension,ordischargeissought.Signedundersealthis_dayof_,2005._Company_Employee
