rminedshallbeFINALandbeconsideredtoconstitutetheanalysisofFinalSettlementofthesaidshipment,PROVIDEDanydifferenceinZrO2;Tio2;Sio2;Fe2O3andAl2O3betweenCCIQ/CIQChinasanalysisandtheanalysisofPT.SUCOFINDO(SGS)appointedbytheSELLERattheloadingport,doesnotappeartobemorethan0.2percent.7.IncaseofanydifferenceinpercentageofZrO2contentbetweenCCIQ/CIQchinaandthesaidloadingportanalysisismorethan0.2%to0.5%orifthereexistsasignificantdifferencebetweenthetwosaidanalysisoftherespectofanyoneormorechemicalcontentsotherthanZrO2,thentheexcessivepartover0.2andupto0.5%shouldbeequallybornebythetwoparties.8.AndifthedifferenceinanyofthecontentsZrO2;Tio2;Sio2;Fe2O3andAl2O3betweenthetwoanalysesismorethan1%,theSELLERshallconsultwiththeBUYERtoreconcilesuchdifference.IfafterconsultationbetweentheSELLERandtheBUYER,thedifferencecannotbereconciled,eitherSELLERorBUYERmaybeallowedtoappealtotheoppositeforanumpireanalysisonthereservedumpiresamplebyanumpirechemistmutuallyagreedbetweentheSELLERandtheBUYERandresultofumpireanalysisthusobtainedshallbethanconsideredastoconstitutetheanalysisarebornebythepartywhoseinitialanalysisshowsgreaterdifferencefromtheumpireanalysis.9.IftheumpireanalysisistheexactmeanoftheanalysisofPT.SUCOFINDO(SGS)andtheanalysisofCCIQChina,thensuchexpensesshallbeequallybornebybothparties.8.DETERMINATIONOFQUANTITYWeighingatloadingport:Attheloadingport,theSELLERattheSELLERSexpensesshallengagePT.SUCOFINDO(SGS)todeterminetheweightoftheshipmentofZirconsandbyscalestheweight/quantityofZirconSandasascertainedandcertifiedshallbethebasicoftheSELLERSinvoice.WeighingattheDischargingport:Atthedischargingport,theBUYERshallatBUYERSexpenseappliestheChinaEntry-ExitInspectionAndQuarantineBureau/CCIQ/CIQChinaforweighing,theweightofeachshipmentatthedischargingportistobeascertainedbyscales.1.TheweightdeterminedbyCCIQ/CIQchinashouldbeFINALastowetquantityintherelevantshipment,PROVIDEDthatthedifferenceinweightbetweentheweightissuedbyPT.SUCOFINDO(SGS)andbyCCIQChinashallnotbemorethan5%.2.Thefinaldryweightshallbecalculatedbydeductingthefinalfreemoisturecontent,intheeventthatisimpossibleorextremelydifficulttoconducttheweightattheloadingand/ordischargingport;SELLERandBUYERshalldecideanalternativemethodofweighingthroughmutualagreement.3.Ifnoscaleispreformedatthedischargingport,thePT.SUCOFINDO(SGS)weightcertificateatloadingportwillberegisteredasFINAL.10.PAYMENT1.PaymenttobemadebyIrrevocable,Transferrable,payableatsight95%LetterofCreditcoveringabove100%oftheCIFeachshipmentsValue.2.ThebuyerrshallopenanIrrevocable,transferrable;PayableatSight95%,documentaryLetterofCredittothesellersBank,(StandardCharteredBank,BeijingBrnach)coveringabove100%ofcargovalue.ThetotalamountforthefirstL/CsumisUS$345,000+/-5forthefirstshipment.3.TheMasterL/CopeningbankswillbemajorChineseBanks,intheL/C,mustmark“thisL/CisatransferableL/C,thetransferringBankisstandardCharteredBank,BeijingBranch4.TheBUYERmustsendacopyoftheL/CDrafttotheSELLERforapproval,oncetheSELLERapproveoftheLetterofCredit.5.Documentsshallbepresentedwithin14daysafterthedateofshipmentbutwithinthevalidityoftheL/C.Theprovisionalpaymentfortheamountof95%ofthecargovalueshallbepaidatsightdrawnfromtheL/Cagainstpresentationofthefollowingdocuments:a.Fullset(3/3)ofcleanonboardoceanbilloflading.b.Beneficiaryssignedprovisionalcommercialinvoiceinthree(3)originalsandthree(3)copiesindicatingcontractnumber,L/Cnumberanddate.c.Certifiedcertificatesofweightandqualityaretobeissued&conductedbyanindependentandinternationallyrecognizedsurveyorintheloadingport,PT.SuperintendingCompanyofIndonesia,WorldwideServicesCorrespondentsofSGSGeneva,(hereunderreferasPTSucofindo),inthree(3)originalsandthree(3)copiesconsistingof：d.Thescalereportcertifyingtheweightofgoodsonboard.e.Certificateofqualityandsupervision/loadingreportindicatingtestmethodsandactualtestresultswithfullspecificationsascalledforbytheL/C.f.OriginalPackingList(3/3)evidencingB/Lnumber,numbersofbags,grossweightandnetweight.g.Certificateoforigin,inone(1)originalandthree(3)copiesissuedbyChamberofCommerceofcountryoforigin.OnesetofshipmentdocumentsincludinginformationofETA,descriptionofgoods,nameofvessel,B/Lno.,wetorgrossweight,shipmentdateandonesetcopyofinvoice,B/L,certificatesissuedbyPTSucofindotobesentbytheSellertotheBuyerbyfax&emailwithin3daysaftercompletionofloading.6.BalancePaymentshallbemadeunderT/Tbanktransferattheamountof5%offinalinvoiceuponconclusionofthefollowingdocuments:?FinalInvoicebasedontheinspectionresultbyCIQ?InspectionreportbyCIQatdischargingport.7.Thebalancepaymentshallbesettledbytelegraphictransfer(T/T)toanyBankaccountnominatedbytheSELLER.Theamountdifferencewillbesettledafter2030daysfromthedateofvesselsarrival,ortobeeffectedbyT/Twithin5workingdaysafterreceivingtheCIQSinspectionreport.10.FORCEMAJEUREIntheeventofanystrikes,actofGod,war,warlikeoperations,forcemajeure,lock-out,combinationofworkmen,interferenceoftradeunion,suspensionoflabor,fireaccident,orofanyothercasewhatsoeverbeyondthecontrolofSELLERorBUYERwhetheroftheforegoingnatureornot,preventingthemorhinderingthemoreitherofthemfromgivingorreceivingthedeliveryunderthiscontractshallbesuspendedduringsuchtimeprovidedanysuchinabilitybyeitherpartycontractingheretoBUYERgivingnoticeunderthisclause,thecontractshallbeeachtimeextendedforaperiodequaltotheperiodofsuspension.Butifsuchperiodofsuspensionextendsformorethan90days,thepartyhavingreceivedthenoticeofsuspensionshallhavearighttoterminatecontractforthwithbygivingnoticeofthistotheotherparty.11.PARTIALLOSSIntheeventofpartialloss/ordamagedofthecargoduetoinsuredperilsbeforecompletionofweighing,samplingandmoisturedeterminationatthedestination,finalsettlementshallbemadeassoonasallthenecessarydataisavailableonthebasisofshippedweight,theassaysagreedtoasprovidedinClause“Weighing,SamplingandMoistureDeterminationand“Assaysonthatpartofcargo,whichhasbeensafely,deliveredandotherwisewiththetermofthiscontract.12.TOTALLOSSIntheeventoftotallossofthecargo,thefinalsettlementistobemadeassoonasallthenecessarydetailsareavailablebasedonshippedweightandmoisture,assayissuedbytheindependentatloadingandotherwisewiththetermofthiscontract.13.INSURANCEMarineInsurance:TobecoveredbytheSELLERSbeneficiaryInsurancewillbecoveredbytheSELLERof110%oftheinvoicevalueagainstALLRISKS,thesellershouldinformbuyerbyfaxwithin3(Three)workingdayfromtheBillofLadingdate:-thedetailsofgoodsdescription,quantity/weight,invoicevalue,B/Ldate,B/LNo.,vesselsname,etc.14.CLAIMSIntheeventthatSELLERisliableforthediscrepanciesandtheBUYERlodgesaclaimwithinSixty(60)daysafterdischargeofthegoodsatthedestination,suchclaimmustbeaccompaniedbyaninspectioncertificateissuedbyCIQorequivalent.15.ARBITRATIONANDLAWOFTHECONTRACTAlldisputesinaccordancewiththiscontractshall,unlessamicablysettledbetweenthepartiesbefinallysettledundertherulesofconciliationandarbitrationoftheInternationalChamberofCommerceinSingapore.Itisunderstoodthatintheeventofdisputeorarbitration,boththeEnglishlanguageisworkinglanguages,andtheawardofICCshallbefinalandbindingonbothparties.16.DELAY/NON-DELIVERY1.ShouldtheSELLERfailstoeffectontimeasstipulatedinthiscontractowingtocausesotherthanForceMajeureasprovidedinClause10ofthiscontract,theBUYERshallhavetherighttolodgeaclaim.2.PenaltySELLERsFaultshallbechargedatthedailyrateof0.3%ofproratatemporizeofthevalueoftheundeliveredcommoditybutthetotalamountshallnotexceed5%ofthevalueofthecargoinvolved.3.Thedelayofshipmentmustnotexceed30daysafterthelatestshipmentdateofthiscontract.Afterthesaid30(Thirty)daysafterthelatestshipmentdateofthiscontract,theBUYERhastherighttocancelthiscontract.4.ShouldtheBUYERfailstoeffectthiscontractowingtocausesotherthanForceMajeureasprovidedinClause10ofthiscontract,theBUYERshouldpaytotheSELLER3%valueofthetotalvalueofthecargoinvolvedagainstinvoiceissuedbytheSELLERandbybanktransferwithinmaximum10(ten)bankingdaysasforthesubmittedinvoicedate.5.Alternatively,iftheSELLERcannoteffecttheshipmentduetodelayontheSELLERsfault;theSELLERmay,withtheBUYERsconsent,postponedeliveryonpaymentofPenaltytotheBUYER.6.PenaltyBUYERsFaultshallbechargedatthedailyrateof0.3%ofproratatemporizeofthevalueoftheundeliveredcommoditybutthetotalamountshallnotexceed5%ofthevalueofthecargoinvolved.17.LICENSE,TARIFFS,TAXESANDDUTIESAlllicense,tariffs,taxesanddutieswhetherexistingornewonthemerchandiseanditscontentsorcommercialdocumentsrelatingtheretoshallbebornebyBUYERintheeventoftheirexistenceinthecountryorregionwherethemerchandisebeingdischarged.Anyexportrelatelicense,taxesordutieswhetherexistingornewleviedinthecountryoforiginshallbebornebySELLER.18.EQUITYInenteringintothiscontract,SELLERandBUYERrecognizethatitisimpracticaltomakeprovisionforeverycontingencythatmayariseduringthelifeofthiscontract.SELLERandBUYERconcurintheprinciplethatthiscontractshallbecarriedoutbetweenthetwopartieswithfairnessandwithoutdetrimenttotheinterestsofeitherparty,andifinthecourseoftheperformanceofthecontractanyinfringementofthisprincipleisanticipatedordisclosed,thenSELLERandBUYERshallpromptlyconferingoodfaithwitheachothertoagreeuponsuchandactionasmaybenecessarytoremovetheclauseorclauseofsuchinfringement19.MISCELLANEOUSThiscontactismadeoutinlanguagesofEnglishthelanguagesarecoequal.ChangestothetermsandconditionsofthisContractmustbeinwritingandagreedtoinwritingbyallpartiesinvolved.Thiscontractshallbelegalandbindinguponsignatureofthefaxed/e-mailcopies.Uponreceiptofthecountersignedfax/e-mailcopy,theSELLERshallsendfour(4)signedoriginalsbymailorcouriertotheBUYERwhoshallsignandreturntwo(2)originalsthereofdulyexecutedtotheSELLERalsobycourier.Thisshallnotdelaytheopeningofthepaymentinstrumentandismerelyanadministrativeprocedure.Carboncopiescannotbeusedandwillnotbeaccepted.DocumentsinotherthanEnglishlanguageareacceptableifalsoaccompaniedbypropertranslationintoEnglishlanguage.20.VALIDITYOFCONTRACTThecontractw
