    项目建设工程管理服务协议书甲 方:乙 方:经过双方友好协商,甲方委托乙方负责项目建设工程管理服务工作,乙方按照甲方对本项目的有关要求,完成该项目本协议约定的服务。具体协议如下:一、项目概况:1、项目名称:2、项目位置:3、项目国土证号:4、项目用地:二、本合同文件及解释顺序:1、本合同履行过程中双方以书面形式签署的补充和修正文件;2、本合同协议书;3、现行的法律法规及规章相关文件。三、项目管理服务工作范围和内容:(一)项目管理工作范围:项目工程管理服务,即从项目获取建设施工许可证后进行全面工作直至项目竣工验收完成。1、乙方负责。第 1 页 共 9 页负责项目工程施工管理(含监督施工单位和监理单位所有工作)、协调设计单位、办理工程竣工验收及备案、项目交付、档案整理及移交等内容,并在工程质量保修期内承担保修义务和责任及其他应负责的工作。2、乙方协助。协助召开确定施工单位的招标会、协助办理工程竣工决算、协助召开确定招商公司的招标会等、协助其他事项。(二)项目管理内容和要求:乙方应依法依约管理,维护甲方合法权益,保证项目的顺利进行及完工。具体内容和要求如下:1、项目设计管理工作。(1)熟悉设计文件,审查设计文件的规范性、工艺的先进性和科学性、结构的安全性、施工的可行性和设计强制性标准的适宜性等;(2)负责审查施工图及各项设计变更,向甲方提出合理意见与优化建议,在工程的各个阶段,甲方有权根据实际情况提出设计变更的要求,乙方应及时组织协调设计部门和施工单位进行落实;(3)掌握关键设计环节和进度情况,督促设计单位按合同和协议要求及时提交合格的设计文件;(4)对设计中出现的重大问题和情况,乙方要及时向甲方反馈,并积极主动联合甲方与设计单位进行磋商,寻求解决方法;(5)验收设计图纸和设计文件;(6)组织设计单位进行现场设计技术交底;(7)审核施工单位对设计文件的意见和建议,会同设计单位进行研究,并督促设计单位尽快给予答复;(8)对设计的工作质量进行评定;(9)保管所有设计文件及过程资料,项目管理期限届满或本合同终止时移文档编码:CX4Z3L2O8C7 页交给甲方和档案管理部门。2、项目建造全过程管理工作。乙方代表甲方执行授予的工程合同下的甲方权利和义务(付款义务除外),包括:(1)全面管理工程建设合同,就承建单位拟定的分包单位资格及分包项目进行审查;(2)代表甲方按合同的规定,落实必须提供的施工条件,检查工程承建单位的开工准备工作;(3)代表甲方审查施工总体规划,审查承建单位提交的施工组织设计、施工技术方案等,并提出审查意见,报甲方批准后实施;(4)审查承包商的建筑材料、建筑物配件和设备采购及使用;(5)做好工程进度控制:编制工程控制进度计划,提出工程控制进度目标,并以此为基础审查承建单位提出的施工实施进度计划,检查其实施情况,督促承建单位采取切实措施实现合同目标要求。当实施进度发生较大偏差时,及时向甲方提出调整控制性进度计划的建议意见,并在通过批准后完成其调整。(6)做好施工质量控制:审查承包单位的质量控制体系和措施,核实质量文件。依据工程建设合同文件、设计文件、技术规范与质量检验标准,对施工前准备工作进行检查,对施工工序和资源投入进行监督。以单位工程为基础,对基础工程、隐蔽工程、分项分部工程的质量进行检查、签证和施工质量的评价。组织质量事故调查,分类评定质量事故等级,审核质量事故处理措施。(7)做好工程造价控制:以甲乙双方书面确认的施工图预算金额为依据,编制投资控制目标和季度、年度投资计划,报甲方审批。协助造价公司审核承建单位提交的工程量及费用等,报甲方审批后由甲方支付款项。受理索赔申请,进行索赔调查和谈判,并提出处理意见。授权处理合同与工程文档编码:CX4Z3L2O8C7 页变更,经甲方审定后下达变更指令。(8)做好施工安全文明监督:审查施工安全措施、劳动防护和环境保护设施等,并负责检查、督促落实执行。组织重大安全事故调查,分析原因并提出书面报告,并承担相应的责任。(9)做好协调管理:主持项目管理合同授权范围内工程建设各方协调会议,编发施工协调会议纪要,监督、协调监理、设计、施工、材料供应商等单位。3、招投标管理工作。(1)实施招投标管理工作。发布相应招标信息,对投标申请人进行资格审查等;(2)制定招标工作程序、完成招标文件的编制,由甲方审定通过;(3)与甲方一起进行合同谈判;(4)乙方不得承担本项目的勘察、设计、监理、施工及招标代理任务;招标代理由甲方另行委托具有相应资质的其他中介完成。4、采购管理。(1)协助甲方共同完成施工、设备与材料采购的招投标管理工作;(2)制定采购程序和招标、评标管理办法,负责评标、询标以及与中标人和分包商的洽谈工作。本项目所有由甲方参与管理的采购或分包合同,均由甲方与中标方签订。5、项目验收、移交、结算工作。组织通过各阶段、各项验收(包括系统及设备、分部分项、环保、消防、土建、规划、防雷等项目所需各项验收),完成质量要求,并做好项目移交、结算、备案等工作:(1)组织项目施工过程中的单位、子单位工程、分部分项等各项验收;(2)组织进行项目初步验收,并提出整改意见;(3)收集、汇总、审核竣工验收资料,协助有关部门做好竣工验收工作,文档编码:CX4Z3L2O8C7 页并办妥竣工验收备案手续;(4)进行竣工结算审核工作,编制项目竣工决算报告,协助进行竣工决算审查,配合做好审计工作;(5)向甲方办理项目移交手续;(6)其他乙方需完成的工作。6、档案和信息管理。(1)工程档案管理:按国家规定组织工程各阶段验收、单位工程验收及竣工验收,提交相应的工程建设管理工作报告,审查设计单位、施工单位编制的竣工图纸和资料,督促施工单位整理施工归档文件,并将符合要求的工程档案资料向有关部门归档报验及移交甲方。(2)信息管理:做好施工现场建设管理工作记录与信息反馈。按要求编制建设管理工作月、年报,对工程资料及档案(包括影像资料)按期进行整编和管理,并在工程竣工验收或项目管理工作结束后移交甲方(一式三份,电子版本一份)及有关部门。7、工程质保工作。在规定的工程质量保修期内,负责检查工程质量状况,组织鉴定质量问题责任,督促责任单位维修(保修期内乙方需有专人负责联系保修事宜)。8、财务管理及税务顾问工作。在项目管理期间,如甲方需要,乙方协助甲方编制项目管理所需的各种财务报表,包括项目资金计划、筹资及成本支出表、现金流量表、项目投资估算表等的服务。9、合同管理及结算。在项目管理期间,乙方应做好制定各项合同的谈判原则与策略,确定合同基本条件并编写详尽的合同条款,做好各项合同的签订、实施管理,及时协助甲方监督各项合同的履行,并协助甲方完成各项合同的结算。10、处理与项目周边单位的关系。文档编码:CX4Z3L2O8C7 页乙方管理该项目期间,应在充分了解和接受该项目与周边相邻单位关系现状的基础上,从维护甲方的利益出发,维持或改善与周边单位的关系,包括与地方政府就该项目工程实施形成的管辖关系,施工扰民与民扰施工的关系等。四、项目管理目标标准:(一)投资控制目标:以本工程甲乙双方确认的设计施工图预算金额为准。乙方必须对经设计批准的内容和甲乙双方确认的工程设计施工图预算金额严加控制,不得随意扩大规模和提高标准。如遇下列情况之一,由乙方提出,并经甲方批准后可作相应调整:1、人力不可抗拒的重大自然灾害,造成重大经济损失和周期延误的。2、受地质等自然条件制约,施工图设计时有重大技术变更或修正的。3、国家重大政策调整的。4、甲方对原批准的建设内容、建设标准等方案需作重大调整或变更的。(二)工程质量标准:按照国家、省颁布的现行质量法规、法令和验收标准,督促设计、监理、施工各方,加强项目施工的质量管理,要求工程质量达到一次性合格标准。(三)项目整个开发周期控制目标:项目建设周期为个月:即自获取施工许可证至项目竣工验收办理完毕。(由于甲方原因及不可抗力造成延误,项目建设周期顺延)。自本协议书签订之日起30 建设工程安全生产管理条例和地方有关安全法规、按照安全规范作业,对整个项目安全负责。确保安全生产专项费用专项使用,落实安全施工措施和安全责任制度,确保安全文明施工。杜绝发生安全事故、机械设备损坏事故和火灾事故。不发生因管理过错而造成责任事故。(五)文明施工目标:整个施工周期内达到建设行政主管部门文明施工标准要求。(六)工程档案管理目标:规范、完善、符合城建档案要求。(七)项目功能规模目标:满足甲方提出的经批准的功能规模要求。(八)项目建设效能监察目标:要达到廉洁、高效。五、项目管理机构及基本运作方式:(一)项目管理机构及组成人员:乙方接受甲方委托后,经甲方审核,应立即成立项目管理部,并选派称职人员到位;甲方全权负责评价该机构以及全部组成人员的工作表现及工作业绩,乙方对其派出人员的素质和工作能力以及行为后果负全部合同责任。如甲方对上述任何人员的工作不满意,乙方有责任在甲方提出书面要求后5
