develop、manufacture and provide by OEM，Productswith the brand designated by Party A(the“Products).合作方式：双方同意 A 方以 OEM 方式销售合作产品,B 方采用 OEM 方式研发、生产并提供合作产品，合作产品的商标由A 方授权。1.2Definitions：定义1.2。1 Products：合作产品:是指 B 方根据 A 方或 A 方客户要求设计、研发、生产的产品：1.2。2 OEM:The Products with the brand designated by Party A shall be technicallybased on the products developed and designed by Party B and approved by Party A.OEM 方式：指 A 方授权 B 方在产品或产品的载体上印制 A 方名称和商标，同时 A 方也有权禁止 B 方将其名称和商标印制在产品上。1。2.3 Purchase Order：订单：指 A 方出具的用于向 B 方订购产品的正式文件。1.3 Duration:This Agreement shall be for a period ofyears from the date ofexecution unless terminated earlier in accordance with the provisions of this Contract.协议有效期:本协议自签订之日起生效，有效期为年，本协议自有效期满时终止或本协议中约定的终止情况发生时终止。Section 2 Brand and Trademark:Section 2 Brand and any admissibleintellectual property right of any third party,Otherwise，Party A shall indemnify Party B sloss and damage result from such infringement(including but not limited to attorney fee,any penalty,damage or compensation.）A 方保证其提供的名称和商标等不侵犯任何人的权利，若 B 方因产品侵权而导致的一切损失(包括但不限于直接经济损失、律师费），A 方应予以赔偿。2。4 Party A shall provide Party B with the corresponding brand symbol，brand LOGOimage and other fortheliability。B 方承诺，提供给 A 方的产品符合本协议约定的质量标准或 B 方的工厂标准或者双方书面同意的标准.如果产品的质量责任是由A 方的指示造成的,B方不承担相关责任.Section 4,Rights and Obligations第四条：双方的权利与义务4.1 Party A warrants that it shall not divulgerelevant technical materials toa thirdparty.In case of violation by Party A of itswarranty,Party B shallhave the righttoterminate this Agreement immediately by giving written notice to Party A.A 方承诺，不会将获悉的 B 方的相关技术资料泄露给第三方。如果 A 方违反其承诺，B方书面通知 A 方后有权立即终止本协议，并要求A 方赔偿由此引起的一切损失。4.2 Party A furtherwarrants thatitwillnot dismantle or dissectthe Products orcounterfeit the Products。In case of violation by Party A of its warranty,Party B shall havethe right to terminate this Agreement immediately by givingwrittennoticeto Party A。When the Intellectual Property Rights of Party B is violated,Party B shall have the right toclaim the legal and or/economic compensation from the Party A。A 方进一步承诺，不拆解产品或者仿冒产品。如果 A 方违反其承诺,B 方在书面通知 A方后有权立刻终止本协议，并且B 方有权要求 A 方给予经济赔偿。4。3 Party B warrants thatitshallnot directly or indirectly contactwith Party A scustomer or sell product，whether directly or indirectly to Party A s customer。Except theapproval of Party A.B 方保证，不直接或间接和 A 方客户联系,并且不直接或间接向 A 方客户销售产品，A方同意除外.4.4 Party B warrants thatthe Product do not infringe any admissible intellectualproperty right of any third party,including，but not limited to，copyright，patent and/ortrade secret.B 方保证，OEM 产品不侵犯任何第三方的知识产权，包括但不限于，著作权、专利权或商业秘密。4.5 Party B warrants and shall provide the technical materials covering the Productsand shall help Party A finish the corresponding advertising materials and manuals。B 方保证，提供有关产品的技术资料,协助 A 方完成相应的说明资料和手册。4。6 Party B warrants and shall provide Party A with relevant written instructionscovering technical problems under the User s Service。B 方保证，在用户服务中向A 方提供相关的书面的技术问题的说明。4。7 Party B warrants and shall inform Party A of any a new product.B 方保证,在有任何新产品时将通知A 方.Section 5Section 5。Intellectual Property.Intellectual Property.第五条：知识产权第五条：知识产权5.1 The Intellectual Property of the Brand and Trademark belongsto Party A.Theinfringement and all expense because of the band and trademark should be compensatedby A.合作产品中的商标的知识产权由 A 方享有，因商标产生的的侵权责任及全部损失由 A方承担.5。2 The Intellectual Property of the Products belongs to Party B，except the Brandand Trademark。合作产品除商标权外的知识产权由B 方享有。Section 6Section 6。OrderOrder第六条：订货第六条：订货6.1 The Purchase Order sent by Party A，should include the product name、price、quantity、shipment、insurance、payment and so on.And Party B should accept or refuseor request to change it in 5 work-days.对于每一单合作产品的订货，A 方向 B 方发出订单，订单内容应包括产品名称、价格、数量、装运方式、保险、付款方式等。对订单内容，B 方在 5 个工作日内表示接受或拒绝或要求变更。6.2 Once Party B accept the purchase order,Party A cannot change or cancel itwithout the approval of Party B。在 B 方接受订单后,A 方不得随意变更或取消订单,若需变更需征得 B 方同意。Section 7Section 7PaymentPayment第七条：第七条：付款方式付款方式7.1 The payment shall be paid by Party A to Party B under an irrevocable letter ofcredit within seven(7)days after Party B has received Purchase Order from Party A。在 B 方接受订单后的 7 日内，A 方应向 B 方开出不可撤销即期信用证.Section 8Section 8。TerminationTermination第八条第八条:协议终止协议终止8.1 Either Party may terminate this Contract,by giving a 60 days prior written noticeto the other Party.任何一方均可以提前终止本协议，只需提前60 天书面通知对方即可。8。2 Without prejudice to either parties other remedies,either party shall have theright to terminate the Contract forthwith if:若不影响一方采取其他补救措施时,另一方均有权根据以下条款终止合同:a)Any party commits a material breach or persistent breaches of the Contract andfails to remedy the breach within 7 days of receiving of written notice to do so；or一方构成重大违约或惯常违约，且在接到对方书面通知后7 天内没有采取修正措施;或者b)Any party becomes insolvent,ceases to trade,compound with its credits,commits an act of bankruptcy,or a bankruptcy petition or bankruptcy order ispresented or has a receiver appointed，or a resolution or petition to wind up thePartyispassedorpresented(otherwisethanforreconstructionoramalgamation)。一方无能力继续履行合同、信用损毁、面临破产或受破产的申请或命令，或被指定接管，或者结束该方的决议或申请被通过或提交(除重组和合并之外）。Section 9.Force MajeureSection 9.Force Majeure第九条：不可抗力第九条：不可抗力9。1“Force Majeure”shall mean all events which are beyond the control of the Parties tothis Contract,and which are unforeseen,unavoidable or insurmountable。Such eventsshall include earthquakes,typhoons,flood，fire,war，strikes，riots，acts ofgovernments，changes in law or the application thereof or any other instances whichcannot be foreseen，prevented or controlled,including instances which are accepted asForce Majeure in general international commercial practice。不可抗力事件是指不能预见、不能避免并不能克服的客观事件，包括自然灾害、火灾、水灾、台风、海上风险和意外及其他恶劣的天气状况、战争、动乱、暴乱、罢工、政府部门及其授权部门的任何法律、命令、文告、法规、法令和要求及其它不能控制的客观事件.9。2 The Party claiming Force Majeure shall promptly inform the other Parties in writingand shall furnish sufficient proof of the occurrence and duration of such Force Majeure。任何一方在发生不可抗力事件后应及时书面通知对方该事件的开始日期和预期持续时间.9。3 A party cannot claim any compensation and/or damages based on delay or nonfulfillment of obligations by the other party due to force majeure.由于不可抗力事件，一方迟延或未完全履行合同义务，另一方不能因此要求任何补偿或赔偿。Section 10Section specifically set outin this Contract;andc)Not disclose any such Confidential Information to any person or entity，except to itsemployees or employees of its Affiliates，its agents,attorneys，accountants andother advisors who need to know such information to perform their responsibilities.双方在对合作过程中所知悉的对方的商业机密应严格保守，不得透露给任何第三方或利用对方的商业秘密营利.Section 11Section 11。Settlement of Disputes.Settlement of Disputes.第十一条：法律与争议解决第十一条：法律与争议解决11。1 The validity,interpretation and implementation of this Contract shall be governed bythe laws of the People s Republic of China.本协议的订立、解释和履行均适用中华人民共和国法律。11.2 In the event of any dispute，controversy or claim arising out of or relating to thisContract，the Parties shall attempt in the first instance to resolve such dispute throughfriendly consultations.In the event that no settlement canbe reached，such disputesshall then be submitted to SHANGHAI for arbitration.因履行本协议产生的纠纷，双方应友好协商解决；若协商不成，双方一致同意提交上海仲裁委员会进行仲裁。Section 12Section 12。This contract is issued in
