A patent agency shall assume legal liability for the practice activities of its branches.第二十二条专利代理 机构设立、变更或者注销分 支机构的，应当自完成分支 机构相关企业或者司法登记 手续之日起三十日内，通过Where a patent agency forms, modifies or deregisters a branch, it shall, within 30 days from the date of completing the relevant enterprise or judicial registration formalities of the branch, undergo recordation formalities at the patent administrative department of the people's government of the专利代理管理系统向分支机 构所在地的省、自治区、直 辖市人民政府管理专利工作 的部门进行备案。province, autonomous region or municipality directly under the Central Government where the branch is located through the patent agency management system.The recordation form shall be entered for recordation 备案应当填写备案表并上传 and the following materials shall be uploaded:以下材料：（一）设立分支机构的， 上传分支机构营业执照或者 律师事务所分所执业许可证 扫描件；(1) If a branch is formed, the business license of the branch or a scanned copy of the law firm's practicing license shall be uploaded.（二）变更分支机构注册 事项的，上传变更以后的分 支机构营业执照或者律师事 务所分所执业许可证扫描 件；(2) If the branch's registration matters are modified, the business license of the branch after modification or a scanned copy of the practicing license of the law firm's branch shall be uploaded.（三）注销分支机构的， 上传妥善处理完各种事项的 说明。(3) If a branch is deregistered, an explanation that all matters have been properly handled shall be uploaded.第二十三条专利代理 机构应当建立健全质量管 理、利益冲突审查、投诉处 理、年度考核等执业管理制 度以及人员管理、财务管 理、档案管理等运营制度， 对专利代理师在执业活动中 遵守职业道德、执业纪律的 情况进行监督。Article 23 A patent agency shall establish and improve practice management rules such as quality management, examination of conflicts of interest, complaint handling and annual assessment, and operation rules such as personnel management, financial management, and archives management, and supervise the observation of professional ethics and practice discipline of patent agents in their practice activities.专利代理机构的股东应当遵 守国家有关规定，恪守专利 代理职业道德、执业纪律，Shareholders of patent agencies shall comply with the relevant provisions of the state, abide by patent agency professional ethics, practice discipline, and maintain12the normal order of the patent agency industry.维护专利代理行业正常秩 序。Article 24 Where a patent agency publicizes or undertakes the patent agency business through the Internet platform, it shall comply with the E- Commerce Law of the People's Republic of China and other relevant provisions.第二十四条专利代理 机构通过互联网平台宣传、 承接专利代理业务的，应当 遵守中华人民共和国电子 商务法等相关规定。前款所述专利代理机构应当 在首页显著位置持续公示并 及时更新专利代理机构执业 许可证等信息。Chapter III Patent Agents第三章专利代理师The patent agency as mentioned in the preceding paragraph shall continuously publicize in a conspicuous position of the front page and update in a timely manner the patent agency's practicing license and other information.第二十五条专利代理 机构应当依法按照自愿和协 商一致的原那么与其聘用的专 利代理师订立劳动合同。专 利代理师应当受专利代理机 构指派承办专利代理业务， 不得自行接受委托。第二十六条专利代理 师执业应当符合以下条件：Article 25 A patent agency shall, in accordance with the law, enter into a labor contract with the patent agent recruited by it under the principles of voluntariness and consensus. The patent agent shall undertake the patent agency business as appointed by the patent agency, and shall not accept the commission on its own.Article 26 A patent agent that practices shall meet the following conditions:(1) He or she has full capacity for civil conduct.（一）具有完全民事行为 能力；13(2) He or she has obtained the patent agent (二)取得专利代理师资qualification certificate.格证；(3) He or she has completed an internship at a patent agency for one year or more, unless that he or she has practice experience as a lawyer for three years or more of patent examination experience.（三）在专利代理机构实 习满一年，但具有律师执业 经历或者三年以上专利审查 经历的人员除外；(4) He or she serves as a partner or shareholder at a patent agency or has signed a labor contract with a patent agency.（四）在专利代理机构担 任合伙人、股东，或者与专 利代理机构签订劳动合同；(5) He or she is able to engage in the patent agency business on a full-time basis.（五）能专职从事专利代 理业务。The date of compliance with all the conditions listed in the preceding paragraph is the date of practice.符合前款所列全部条件之日 为执业之日。Article 27 Patent agency interns who serve as interns in the patent agency business shall accept the guidance of the patent agency.第二十七条专利代理 实习人员进行专利代理业务 实习，应当接受专利代理机 构的指导。Article 28 Where a patent agent practices for the first time, he or she shall, within 30 days from the date of practice, undergo practice recordation formalities at the patent administrative department of the people's government of the province, autonomous region or municipality directly under the Central Government at the place where the patent agency is located through the patent agency management system.第二十八条专利代理 师首次执业的，应当自执业 之日起三十日内通过专利代 理管理系统向专利代理机构 所在地的省、自治区、直辖 市人民政府管理专利工作的 部门进行执业备案。The recordation form shall be entered for recordation 备案应当填写备案表并上传and the following materials shall be uploaded:以下材料:14(1) A scanned copy of his or her identity certificate.（一）本人身份证件扫描 件；(2) A labor contract signed with a patent agency.（二）与专利代理机构签 订的劳动合同；(3) Internship evaluation materials.（三）实习评价材料。The patent agent shall be responsible for the authenticity of essential content of recordation materials. The annual report shall cover the following content:第三十五条专利代理 机构应当按照国家有关规定 提交年度报告。年度报告应 当包括以下内容：(1) Information code, telephone patent agency.such as the mailing address, postal number, and e-mail address of the（一）专利代理机构通信 地址、邮政编码、联系电 话、电子邮箱等信息；（二）执行事务合伙人或 者法定代表人、合伙人或者 股东、专利代理师的姓名， 从业人数信息；（二）执行事务合伙人或 者法定代表人、合伙人或者 股东、专利代理师的姓名， 从业人数信息；(2) The name of the executive partner or legal representative, partner or shareholder, patent agent, and the number of employees.（三）合伙人、股东的出 资额、出资时间、出资方式 等信息；(3) Information on the amount of capital contribution of the partners and shareholders, the time of capital contribution, and the method of capital contribution, among others.(4) Information on the formation of branches.（四）设立分支机构的信 息；18（六）专利代理机构办理 专利申请、宣告专利权无 效、转让、许可、纠纷的行政处理和诉讼、质押融资等 业务信息；（七）专利代理机构资产 总额、负债总额、营业总收 入、主营业务收入、利润总 额、净利润、纳税总额等信 息；（A）专利代理机构设立 境外分支机构、其从业人员 获得境外专利代理从业资质 的信息；Information on the name and website of the (五)专利代理机构通过 information network platform for the patent agency
