registered at the State Administration for Industry and Commerce of the Peoples Republic of China. 本分包合同的签订与履行是在本公司的经营能力和范围内,不违反任何法律、法规和签约的其他协议. 2） The conclusion and performance of this SUBCONTRACT are within the corporate powers and authority of the SUBCONTRACTOR and do not contravene any laws， regulations or any agreements to which the SUBCONTRACTOR is a party. 不存在任何对发包商的经营、财产、资格、财务和其他状况产生负面影响并进而将影响到分包商履行本协议义务的能力的任何未决案件、诉讼、被法院或行政机关立案. 3） There is no pending action or issue in or action by any court or administration authority which could exert a material adverse impact on the business， property， status， finance and other aspects of the SUBCONTRACTOR so as to affect the capability of the SUBCONTRACTOR to carry out its obligations under this entering into this AGREEMENT or which would impede the performance of its obligations under the AGREEMENT。 五、对产品质量或者保障的陈述与保证例：WARRANTIES 质量保证条款The Seller guarantee that the Equipment supplied under this Contract is made of the best quality materials with first class workmanship， brand new， up to standard in all respects and in good condition。卖方保证提供的设备是全新制造的，用最好的材料及新设计，符合各方面的标准并状况良好. 例：:让与人将保证按合同要求向引进方提供的技术资料和软件是让与人实际使用的和最新的并被证实了的技术资料和软件,并保证在合同执行过程中及时向引进方免费提供改进、修改和开发的新的技术资料和软件.The Licensor shall guarantee that the Technical Documentation and Software supplied by the Licensor to the Licensee in accordance with the Contract shall be of the latest and wellproved Technical Documentation and Software which are actually used by the Licensor and that the improved, modified and developed Technical Documentation and Software shall be supplied in time by the Licensor to the Licensee in the course of implementation of the Contract， without charge. 例:许可方保证是本专有技术的合法所有者或持有者，并且有权许可被许可方使用  Licensor guarantees that it is the legitimate owner or holder of Know-how and in the lawful position to grant the license to Licensee。 例：许可方保证本专有技术是最新的现代化用的，能依照合同附件二的规定予以开发。Licensor guarantees that Know-how is well developed and industrialized， and is exploitable in accordance with Technical Documentation specified in Appendix 2. 例:许可方保证合同附件一规定的合格的合同产品能在工作现场采用本专有技术制造出来。  Licensor guarantees that qualified Contract Products as specified in Appendix 1 can be manufactured by exploiting Know-how at Job Site.例：许可方保证所提供的技术资料是完整的、正确的、清晰的，并保证能按合同附件二的规定及时交付。 Licensor guarantees that Technical Documentation is complete， correct, and clear， and shall be delivered in accordance with the schedule specified in Appendix 2. 例：许可方保证按时派遣合格的技术人员提供正确和充分的技术服务和技术培训。 Licensor guarantees that qualified professional technical personnel shall be dispatched in duetime to provide correct and sufficient Technical Service and Technical Training. 例：本专有技术在工作现场的保证期为验收通过之日后的_个月，详见合同附件五.保证期满，被许可方的授权代表应签署一份保证期满证书给许可方。 The guarantee period for the Knowhow at Job Site is_ months from the date of the acceptance, details 、甲乙双方本着互惠互利的原则达成以下协议：甲方在乙方_(简称“该网站”)_网站的位置（详见附件一，附件一作为本合同不可分割的一部分)上放置乙方广告条。甲方在乙方的该网站投放以下两种广告位:1。1 Party A and B under the principal of mutual benefit reached the following agreement: Party A at Party Party A place the following two types of ads in Party Bs website: 1。1.1、在_下，Banner的规格_160_pixed×_600_pixed.每个月的展示量不低于4。5亿，甲方即支付35,000。00（叁万伍千)美金，以上所有的展示量需要有55来自于Desktop.若乙方的展示量达不到4.5亿，则甲方的支付金额进行相应的递减.1.1。1 At kissanime。ru, the Banners dimension is 160 pixel ×600 pixel。 Each month's impressions are not lower than 0。45 billion times， Party A will pay USD 35，000.00 (thirty-five thousand dollars)， and out of the total impressions, 55 must come from Desktop。 If Party Bs impressions do not reach 0。45 billion times, then Party A's payment amount will correspondingly decrease. 1。1。2、乙方上述Banner的展示量低于甲方要求的20（即3。6亿展示量）,或者展示量来自于Desktop低于55，则甲方有权要求解除本协议。1.1。2 If the above Banners impression in Party Bs website is lower than Party As request by 20 (0。36 billion impressions), or less than 55% of the impressions are from Desktop, then Party A has the right to terminate this contract。 1。1。3、Skin 每个月的展示量不低于2亿,甲方即支付15,000.00（壹万伍千）美金，以上所有的展示量需要有55来自于Desktop。若乙方的展示量达不到2亿,则甲方的支付金额进行相应的递减。1.1。3 Skins monthly impressions shall not be lower than 0.2 billion, Part A will pay USD$15,000.00 （fifteenthousand dollars)， and out of the total impressions， 55 must come from Desktop. If Party Bs impressions do not reach 0。2 billion times, then Party As payment amount will correspondingly decrease。 1。1.4、乙方上述Skin的展示量低于甲方要求的20（即1.2亿展示量），或者展示量来自于Desktop低于55%，则甲方有权要求解除协议.1。1.4 If the above Skins impression in Party B's website is lower than Party As request by 20% （0.12 billion impressions）， or less than 55% of the impressions are from Desktop， then Party A has the right to terminate this contract.1。2、甲方后续需要对广告的功能做调整,乙方应予配合1.2 Party A will need to make adjustment to the ads function， Party B shall cooperate。 1.2、投放期限为_12_个月，广告链接到甲方的指定链接或代码，广告投放时间从_2021_年_3_月_10_日至_2021_年_3_月_9_日.双方从2021年4月份开始，于每个自然月的10号之前进行核对展示量的数据,双方确认数据后，乙方在10个工作日内开具invoice，甲方收到invoice后,10个工作日内支付款项。1。3 The advertising period is 12 months, advertising link to Party As designated link or code， advertising period starts on March 10, 2021 until March 9， 2021。 Both sides will start in April of 2021, before the 10th of every natural month to verify impressions data. After confirming data, Party B will sent out invoice within 10 working days。 After Party A receives the invoice， will pay the payment within 10 working days.1。4、本合同所指的广告内容是指甲方拟在乙方公司网站所有广告载体上发布的有关甲方业务的信息，广告形式为静/动态GIF图、视频，视频最长时间不超过20秒.1。4 The ads content in this Contract means the ads relating to Party As business that Party A plans to advertise on Party Bs website within all ads. The ads mode is static/animated GIF or video， video cannot be longer than 20 seconds.二、合同的生效和履行II. Contracts Validity and Implementation2.1、本协议自签定之日开始生效，一方可在收到对方盖章签字的扫描件后进行盖章签字，再将有双方签字盖章的扫描件发至另一方。此种签订方式即为生效.2。1 This Contract becomes valid starting from the signature date。 One party after receiving the scan copy of other party's signature and stamp can sign and stamp， then send the scan copy of both party's signatures and stamps to the other party。 This signature method is valid。2.2、甲方指定负责人需尽快提供广告条的磁盘文件或者将该广告条作为附件的邮件以及广告所对应到的链接或代码，并在发出5个工作日内通知乙方指定负责人；乙方指定负责人必须在收到该文件后的3个工作日内返回收到的确认信息给甲方的指定负责人；2.2 Party As designated person in charge shall provide the disk file of the advertisement as soon as possible or the mail the link or the corresponding codeof the advertisement as the attachment and notify Party B's designated person in charge within 5 working days; Party Bs designated person in charge must within 3 working days after the receipt of the document feedback confirmation of information received to Party As designated person in charge。 2。3、如果甲方指定负责人在通知乙方指定负责人后5个工作日内没有获得反馈消息，应该立即与乙方指定负责人取得联系,如果乙方不能解释逾期反馈的理由,视为乙方违约；如果双方指定负责人在10个工作日内仍旧无法完成广告条交换，造成甲方损失，视为乙方违约,需赔偿甲方违约金；2.3 If after Party A's designated person in charge, after noticing Party Bs designated person in charge， within 5 working days did not receive feedback information， shall immediately contact Party Bs designated person in charge.
