28、nding 签约前协篇二：谈英美合同法英美法与大陆法在对合同的理解上走了完全不同的两条路，在大陆法下，合同作为债的原因而存在，基于这一理念,或者说是基于这一理论抽象，大陆法的民法体系将合同与侵权、无因管理、不当得利等沟通起来；而在英美法里，合同只是有法律强制力的当事人之间互有联系的承诺而已。在中世纪的英国，没在什么合同概念，诉讼的前提是要取得令状，令状包含了特定可诉事件的原因、固定的诉讼程序和救济方法，这也就使得“令状”之外的诉讼无法得以进行，这当然无法满足经济日益发展的需要，因此令状制度需要继续发展，所以产生了例外，再后来，蜡封的字据可诉，再后来，借贷之债可诉,再后来，因履行义务而对受诺人造

29、成的损害变得可诉，再后来，对当事人诺言产生的依赖变得可诉。在英美法中，合同是法律为之提供救济的诺言。诺言构成一系列义务的起点，当事人作出诺言（当然要满足包括确定性在内的一些条件）即获得承诺权（这种承诺权的效力在于，一旦要约被接受，则产生约束力），这种承诺权可因对方的拒绝或没有回应（比如悬赏广告）而终止，但一旦被接受，则双方即受约束。在大陆法系，合同关系是一种权利义务关系，违约实际上是违反了合同项下的义务。但是，在英美法系，违约是违反自己的诺言。在解决当事人的缔约能力时，法律关注的是在两种基本的利益之间实现一种平衡：即一方面对缺乏缔约能力的当事人给予特殊的保护；另一方面，对另一方当事人的期待权益

30、、依赖权益和恢复原状的权益也要给予适当的保护。关于未成年人订立的合同，英美法中的一个重要的原则是：一个未成年人在成年之前所作的放弃其撤销合同的权利的表示是无效的。但是根据义务互惠原则(the principle of mutuality of obligation )，合同一方要对方对自己承担义务，自己也要承担对应的义务；要使对方依合同承担风险，自己也要承担相应的风险。因此，未成年人在成年之后应该立即就确认还是否认合同作出选择。当已经订立的合同被宣告无效或经一方的请求而被撤消时，了结双方当事人债权债务关系的一般原则就是令双方返还利益，即让他们在经济上恢复到合同订立前的状态。在认定有精神缺陷者的

31、缔约能力时，传统的检验标准是所谓的认识（cognitive）标准，即当事人是否有能力理解该有争议的交易的性质和后果。英国1677年欺诈行为法第四条规定了五种合同在不满足一定的形式条件的情况下不能提起诉讼。美国绝大多数州都采纳了该五种合同条款。此外U.C.C.第2-201条规定，对价格超过500美元的货物买卖合同，必须采用书面形式。违反公共政策与违反法律是两个具有密切联系又有所区别的概念。首先，合同违法是指合同的订立或履行与禁止这种订立或履行的强制性法律规则相抵触。这种强制性法律规则必然在某种程度上体现着社会的公共政策。因此，在通常情况下，违法的合同同时又是违反公共政策的合同。构成欺诈可主张侵权

32、赔偿，如不能构成欺诈，只能要求获得合同法上的衡平救济，即撤销合同。如果不正确说明涉及所建议的合同的性质和实质性条件，因其导致双方不存在真正的合意而自始无效。但原则是撤销合同而不是使之无效。不正确说明是指当事人一方在订立合同的过程中对另一方所作的与事实不符的陈述。被说明方在满足以下的四种条件下，可以撤消合同。一是陈述与事实不符，在这里事实指的是过去或现在的事实而不是将来的事实，同时陈述的事实往往涉及交易的标的物的性质；另外隐瞒（concealment）也可以构成不正确说明。如在证券行业的披露义务，原因是双方获得信息的机会不均等。（另外的三种情况也构成了不正确的说明，一是双方之间有信托关系；二是已

33、经说明的事实发生了变化；三是说明方意识到了被说明方对相关的事实存在着误解。）二是陈述是欺诈性的或者是重大的，在这种情况下，说明方有使被说明方发生误解的企图。三是被说明人对陈述产生了依赖，四是被说明人的依赖是有正当理由的。胁迫是一方为了把某种合同条件强加给另一方而对另一方实施的人身强制或不适当的威胁，这种强制或威胁使合同成为无效的或可撤消的合同。通过威胁而实施的强迫必须满足以下四项条件才能构成；一是必须有威胁的事实，二是威胁必须是不适当的，三是被威胁者必须因受到威胁而订立合同，四威胁必须是严重的。当胁迫表现为人身强制时，因胁迫而订立的合同无效；当胁迫表现为威胁时，所订立的合同成为可由受威胁方撤销
