1、上市公司内部控制信息披露监管研究 摘 摘要 随着我国市场经济的迅猛发展，信息披露制度也得到了更为合理的完善和发展。而2022 年 4 月企业内部限制配套指引的颁布更是标记着我国对上市公司的监管自此进入了内部限制信息强制性披露的阶段。2022 年，长生生物问题疫苗案曝光，引起了监管部门、社会公众和理论界对上市公司内部限制信息披露及其监管的关注，这一恶劣事务给整个社会及资本市场都带来了极其严峻的负面影响。真实有效的内控信息披露是公司不行推卸的责任和必需完成的义务，内控信息的质量不仅对利益相关者有显著影响，还关乎证券市场的健康发展。因此，监管部门应从严监管，维持市场的正常运行，企业也应遵守行业法律法

2、规，尽到自己应尽的义务。本文将在托付代理理论、信息不对称理论等相关理论基础上，以长生生物问题疫苗案为引导来分析我国内部限制信息披露监管的现状，主要分析其暴露出来的问题并且针对其问题从政策、政府、会计师事务所和投资者四个方面来探寻问题出现的缘由以及合理有效的优化方法。关键词：信息披露监管；内部限制；上市公司 Abstract With the rapid development of China’s market economy, the information disclosure system has been improved and developed more reason

The quality ofinternal control information not only has a significant impact on stakeholders, but also relates to the healthy development of the securities market. Therefore, the regulatory authorities s

6、hould strictly supervise and maintain the normal operation of the market, and the enterprises should also abide by the industry laws and regulations to fulfill their due obligations. This article on the principal-agent theory, asymmetric information theory based on relevant theories, such as &qu

11、考文献 . 15 致谢 . 161 导论 1.1 探讨背景与意义 1.1.1 探讨背景 近年来，上市公司进行舞弊的恶劣案件屡见不鲜，国外有巴林银行因内部管理不善轰然倾覆、安稳公司财务造假所以破产解散。无独有偶，国内类似性质的案件也层出不穷，前有郑百文财务造假案，后有长生生物问题疫苗案。细观这些案件我们可以发觉，当上市公司缺乏严格的监管限制时，很简单会实行财务造假、虚假信息披露等手段以侵害其他利益相关者的方式来达到个别利益相关者的不当目的。这种行为不仅扰乱资本市场的正常运行，更是会给整个社会带来不良影响。由此可见，对上市公司内部限制信息披露进行合理有效的监管已经燃眉之急。1.1.2 研 研 究意

12、义 对企业来说，严格的监管有助于企业维护良好的管理环境。在互联网高速发展的今日，利益相关者和监管部门将拥有更加多元的渠道，更快地接受信息。这意味着企业在内控信息披露方面会受到社会公众更为全面细致地监督，舆论对企业的影响也会进一步增加，在如此形势下进行虚假的信息披露势必会增加企业生存的危急。如此一来，维持良好的企业内部环境是企业不得不去做的。当企业拥有健全的内部限制体系后，保持自身的良性运行、吸引更多的投资者，推动企业发展进步。对监管部门来说，探讨上市公司内控信息披露的监管可以帮助监管部门构建更为合理有效的监管体系。监管问题本质上是上市公司与各方的博弈问题，通过分析上市公司与各方的博弈关系可以发
