1、. .XX协议ConfidentialityAgreement鉴【】XX下称“甲方与【 】下称“乙方拟就【 】下称“工程业务开展合作为保障甲乙双方商业秘密不受侵害，双方达成如下XX协议，以资共同遵守：Whereas【】 Co., Ltd (hereinafter referred to as“Party A) is considering cooperating with【】 (hereinafter referred to as “Party B) for【】 (hereinafter referred to as “the Project).Therefore, the Parties h

2、ereby enter into this Confidential Agreement as follows for the purpose of safeguarding the business secret of the Parties:一、定义Article 1 :Definition1、信息披露方：在本协议中是指XX信息的提供方；Information Discloser: In this agreement, it means the Party who provide confidential information to the other Party.2、信息承受方：在本协

3、议中是指XX信息的接收方。Information Receiver: In this agreement, it means the Party who receive confidential information from the other Party.二、XX信息的组成Article 2: position of Confidential Information本协议所称XX信息是指由信息披露方提供应信息承受方的任何与信息披露方经营业务或行为有关的、信息披露方尚未公开的信息，无论该信息采用何种形式提供应信息承受方，XX信息承受方或其工作人员均应合理认为其为XX信息。 Confiden

4、tial Information referred in this Agreement means any information provided by information discloser to the information receiver which is related to the business or activity of the information discloser or any information that has not been publicized by the information discloser. The information rece

5、iver or the personnel of the information receiver shall reasonably deem such information as confidential information disregarding the form in which such information is provided to the information receiver. 三、例外Article 3ExceptionXX信息不包括以下内容：Confidential Information shall exclude the following informa

6、tion:1、在信息披露方将信息提供应信息承受方之前，信息承受方道的信息；Any information which has been known by the information receiver prior to the provision of said information by the information discloser to the information receiver;2、信息承受方没有违反本协议的情况下，已被公众知晓或广泛使用的信息；the information already known or used by the public without the

7、receiver breaching this Agreement;3、信息承受方从第三方处正当获得或接收到的不受XX限制的信息；the information not limited by the confidentiality requirement which the receiver obtains or receives legally from the third party4、没有违背协议的情况下信息承受方独立研发获得的信息；the information that the receiver independently develops without violating the

8、 Agreement;四、XX义务Article 4 Confidential Obligation:1. 双方及其工作人员应对上述所有XX信息进展严格XX；The Parties and the personnel of the Parties shall keep the above-mentioned information strictly confidential;2. 信息承受方应只允许那些有必要了解XX信息并且被告知且同意遵守XX义务的职员和专业参谋获得XX信息；The informationreceiver shall only allow the obtaining of t

9、he Confidential Information by the employer and professional adviser who has the necessity to know the Confidential Information and has been notified and agreed to abide by the confidential obligation;3. 非经披露方书面同意，信息承受方不能向任何第三方公开、复制、销售、出租、出借、转让、传播、泄露或透露XX信息。信息承受方一旦发生丧失、被盗、烧毁等会引起XX信息泄露或销毁的行为和事故，应承当全部

10、责任；Unless with the written consent of the information discloser, the information receiver cannot publish, copy, sell, rent, transfer, promulgate, let out, disclose or reveal the confidential information. If information receiver encounters loss, theft, damage or any action or accident that may cause

11、the confidential information revealed or damaged, the information receiver shall take all responsibilities;4. 在本协议终止后，双方仍需遵守本协议之XX条款，履行其所承诺的XX义务，直到信息披露方同意其解除此项义务，或事实上不会因信息承受方违反本协议的XX条款而给信息披露方造成任何形式的损害时为止。After this Agreement terminates, the Parties shall continue to abide by the confidentiality arti

12、cles of this Agreement and shall perform the confidentiality obligation which the Parties havepromised, until the information discloser agrees to release the informationreceiverfrom such obligation, or in fact the default of the informationreceiver will not bring any damage in any form to the inform

13、ation discloser.五、公开要求Article 5Requirement of publication在司法或政府部门指令、要求或命令信息承受方公开XX信息的情况下，信息承受方可以向上述部门披露XX信息。但是，在法律允许的情况下，信息承受方在披露XX信息前必须采取合理的措施通知信息披露方以便对该指令、要求或命令进展抗辩。Under the circumstances of judicial or governmental organsinstruction, requirement or order which requiresinformation receiver to rev

14、eal the confidential information, information receiver can disclose confidential information to the abovementioned organs, however, information receivershall adopt reasonable measures to notifythe information discloser to the extent as allowed by law prior to the disclosure of the Confidential Infor

15、mation so that the information discloser can defend such instructions, requirements or orders. 六、信息归还与销毁Article 6 Return and Destroy of the Information双方同意，发生以下情形之一：1. 当信息承受方不再需要XX信息用于该工作目的时；2. 双方未能就本工程达成正式的合作协议时；3. 双方就本工程签订的正式合作协议履行完毕；4. 任何时候收到信息披露方书面形式做出要求时；5. 信息披露方原有XX信息发生变更时； 信息承受方应立即将所有XX信息按信息披

16、露方要求归还给信息披露方，或予以销毁所有信息。The Parties agree, under any of the following situation, information receiver shall immediately return all confidential information to the information discloser in accordance with the requirements of the information discloser, or destroy all information:1. thatthe information

17、receiver doesnt need the confidential information for work;2. that both parties do not reach cooperation agreement in respect to the Project ;3. that the agreement signed by the parties in respect to the Project have been fully performed and pleted;4. that the information receiver receives the requi

18、rements from information discloserin writingat any time;5. Changes occurring to the original confidential information of the information discloser.七、违约责任和索赔 Article 7 Breaching Liability and pensation 信息承受方违反本协议规定时，信息披露方有权要求信息承受方限期进展纠正，并追究其违约责任，直至信息承受方完全改正错误，消除影响为止。如信息承受方的违约行为造成信息披露方损害的还应另行赔偿损失，赔偿数额

19、按信息披露方因信息承受方的违约所受到的损失或者信息承受方因违约所获得的利益确定。If the information receiver breaches this Agreement, the information discloser shall be entitled to require the information discloser to rectify within certain period and to be liable for said breach until the information receiver has pletely rectify such brea

20、ch and has eliminated any influence. If the breach by the information receiver has brought damages to the information discloser, the information receiver shall pensate the information discloser, pensation amount shall be defined in accordance with the loss sustained by the information discloser or t

21、he profit gained by the information receiver.八、适用法律 Article 8 Applicable Law本协议受中华人民XX国的法律管辖并且必须根据中华人民XX国的法律订立。This Agreement is governed by and made in accordance with the laws of the Peoples Republic of China.九、争议管辖Article 9 Dispute Resolution因履行本协议发生争议，双方应当友好协商解决，协商不成，任一方有权向甲方住所地有管辖权的人民法院提起诉讼。The

22、 Parties shall settle any dispute arising from the performance of this Agreement, and any Party shall be entitled to bring lawsuit against the other Party in the petent court located in the place where Party B resides provided that such dispute can be settled through friendly negotiation.十、期限Article

23、 11 Period 本协议自双方签字盖章之日起生效并长期有效。本协议一式二份，双方各执一份，具有同等法律效力。This Agreement shall take effect since the date when the Parties sign or seal. This Agreement is made in duplicate with each copy being of the same effect and each Party shall retain one copy.十一、其他Article 11Miscellaneous1. 本协议的签署并不能视为双方对达成正式合作协

24、议的承诺，如双方就本工程最终签署正式的合作协议，本协议成为正式合作协议的组成局部与正式合作协议具有同等法律效力，本协议与正式合作协议约定不一致的以正式合作协议为准；如双方最终未能就本工程签署正式的合作协议，双方应按照本协议第六条的约定履行义务，并对XX信息承当永久的XX责任。Neither this Agreement nor the supply of any information shall be deemed to be the guarantee for the formal cooperation agreement. If the parties would conclude t

25、he formal cooperation agreement in respect to the Project, this Agreement shall be a part of and have the equal validity to the formal cooperation agreement. If any part of this Agreement is inconsistent with the formal cooperation agreement, the formal cooperation agreement shall prevail.2. 本协议或本协议
