2、 its long- term law consultant, and Party B is willing to accept the consignment and provide long- term legal counseling service. After friendly negotiation, the parties agreed to the following terms and conditions on the consigning.第一条 ：Article 1意向及总则Intention and general principle甲方同意聘请乙方作为常年法律顾问，

3、乙方同意接受甲方聘请提供常年法律顾问服务。Party A agrees to assign Party B as its long- term law consultant, and Party B is willing to accept the consignment and provide long-term legal counseling service.第二条 ：Article 2 顾问律师Consulting lawyers乙方指派以 黄海栩 律师为主体的顾问组担任甲方之按照第一条所确定常年法律顾问。同时，因应甲方的法律事务，乙方得以安排相应的专业律师为甲方提供法律服务，维护甲方

4、合法权益，甲方接受乙方指派之律师。The Party B assign Lawyer Haixiang Huang as leading role in the consultant group to provide long-term counseling service for Party A as Article 1 mentioned. Meanwhile, should Party A request, Party B shall arrange corresponding professional lawyer to provide legal counseling service

5、 on legal affairs of Party A, protect legal rights of Party A, and Party A shall be willing to accept the lawyers designated by Party B.第三条 ：Article 3聘期Employment periods双方同意聘期为一年，自 2017 年 6 月 21 日始至 2019 年 6 月20 日止。Both parties agree that the consignment period is two years from June 21, 2017 to Ju

The agreement will terminate after expiration.第四条 ：Article 4乙方职责Responsibility of Party B1：为甲方的日常业务提供法律咨询及法律依据，具体包括：Party B shall provide Party A with legal counseling and legal rationale for its current undertaking, specifically including:A、 为甲方起草、审查、修改各类法律文书；Draft, review and amend an

7、y kind of legal documents.B、 根据甲方的经济、商务谈判，为甲方完善各类常用格式合同；Improve and perfect any kind of common standard form of contract on the basis of Party As economic and commercial negotiation.C、 为甲方事务出具法律意见书、律师函、律师声明等文件；Provide Party A with legal advisory paper, lawyers letter and counseling statements and ot

8、her documents for Party As affairs.D、 为甲方的经营管理决策提供法律论证；Provide Party A with legal argument for Party A s managerial decision-making.E、 为甲方进行必要的法律辅导；Provide Party A with necessary legal tutoring.F、 协助甲方处理劳资关系。Assist Party A with Labor Relations.2：根据甲方的另外授权委托代理甲方参加各类纠纷的协商、调解、诉讼、仲裁；According to Party A

9、s additional authorization delegation, Party B shall participate in negotiation, mediation, litigation and arbitration of all kinds of disputes.3：根据甲方的另外授权委托对甲方重大商务行为或者项目提供法律服务。According to Party As additional authorization delegation, Party B shall provide legal services to Party As major business

10、activities or projects.第五条 ：Article 5 甲方责任Responsibility of Party A1、 甲方应当如实向乙方提供有关文件、资料以及反映其他情况，甲方必须确保所提供文件、资料、信息的真实性，如因甲方故意或过失向乙方提供虚假文件、资料，或故意隐瞒有关事实，而导致乙方无法作出正确的口头或者书面法律意见，由此所造成的损失，均由甲方承担。Party A shall provide Party B with relevant authentic files, documents and reflect other situations accurately

11、. Party A shall ensure that all files, documents and information are in accordance with the fact. If Party A has intentionally or negligently provided false documents, information, or intentionally concealed the facts to Party B, which causes Party B unable to make correct oral or written legal advi

12、ce, Party A shall bear the corresponding economic loss by itself. 2、 为乙方开展工作提供必要的条件与协助。Provide Party B with necessary conditions and assistance for Party B doing its job.3、 如期如数支付法律顾问费用及应由甲方承担的法律事务开支。Shall make payment of legal adviser fee as scheduled and in exact amount, and bear the legal expense

13、s incurred by Party A.第六条 ：Article 6法律顾问费用 Legal consultant fees1、 甲乙双方同意，就本次甲方聘请乙方作为常年法律顾问，甲方应当向乙方支付的顾问费用为每年人民币壹万肆仟元(RMB14,000)。In this Agreement, Party A agrees to assign Party B as its long-term law consultant, both parties agree that Party A shall pay RMB 14,000 to Party B for the consultant fee

14、 every year. 2、 前述年度费用自本合同书签署之时给付。The aforementioned annual fee shall be paid from the time of signing of this Agreement.3、 如乙方应甲方的要求指派律师参与诉讼、仲裁或者重大商务行为、项目提供法律服务时，乙方按照律师协会有关规定另行优惠收费。If Party B is required to assign a lawyer to participate in litigation, arbitration or major business conduct and proj

15、ect and provide legal services, Party B shall charge extra fees according to the relevant preferential provisions of the bar association. 4、 发律师函、调查取证等涉及行政机关收费、快递费用，由甲方承担。Party A shall bear the fees on sending lawyers letter, investigating and collecting evidence and any other payments related to ad

16、ministration fees and postal fees, etc.5、 甲方每笔单项业务费用，由双方根据实际情况另行协商。The individual business expenses of Party A shall be negotiated separately by the two parties according to the actual situation.第七条 ：Article 7有关乙方失职责任 Negligence liability of Party B 乙方应对其所出具的书面法律意见的正确性负责，如因乙方出具的书面法律意见缺乏正确性而导致甲方决策失误，

17、乙方对由此所造成的甲方损失，应当承担赔偿责任。Party B shall be responsible for the accuracy of the written legal advice that it provides.Party B shall be liable for any loss caused by Party B due to the lack of correctness in Party As written legal opinion.乙方律师在担任法律顾问期间，如未能勤勉尽责、严密谨慎地忠实履行职责的，甲方有权提前终止本合同。Party B shall have

18、the right to terminate this contract in advance if he fails to perform his duties with due diligence, strict and prudent fulfillment of his duties during his term of office as legal adviser.第八条 ：Article 8 乙方工作地点及方式Party Bs work location and mode of work 乙方律师的办公地点在乙方法定地址办公。Party Bs office is located

19、at the legal address of Party B.第九条 ：Article 9保密责任 Confidentiality obligations双方同意，在本次项目进行过程中，除非权利方同意，任何一方不得将因为履行本合同所获得的关于对方的任何信息、资料、数据或者其他商业秘密，以及甲方从乙方获得的且乙方已经作出声明限制使用的任何专业意见（无论书面的或者口头的）对无关人员泄露。In the process of this project, both parties reach an agreement that, without the consent from either part

20、y, neither party shall disclose to any third Party or irrespective persons any information, documents, data or other business secrets of either party gained during the execution of the agreements. Meanwhile any kind of professional advice (oral or written) that Party B has made a statement requestin

21、g restricted usages of, which is obtained by Party A, shall not be disclosed to any irrespective persons.第十条 ：Article 10争议解决及补充协议Dispute settlement and supplementary agreement 甲乙双方在执行本合同书过程中产生争议时，双方应当友好协商，协商不成时任何一方均可以向中山市有管辖权的法院提起诉讼解决。Any disputes arising during the execution of the agreement shall

22、be settled through friendly negotiation by both parties. If the disputes are not settled by mutual agreement, either party may institute legal proceedings in the courts in Zhongshan, which owns jurisdiction over the parties. 甲乙双方在执行本合同书过程中如果发现需要对有关事项作出补充时，在征得双方同意之后可以订立补充协议。In the process of carrying

23、 out this Agreement, if it is found that the relevant matters need to be added, a supplementary agreement may be made with the consent of both parties.第十一条 ：Article 11生效及其他Validity and others本合同的订立、生效、解释、履行、争议的解决等事项完全适用中华人民共和国法律。The law of the Peoples Republic of China shall govern this Agreement fo

24、r its formation, validity, explanation, performing and dispute settlement, etc.本合同自甲、乙双方及其授权代表签字、盖章及顾问费付清之日起生效。This Agreement shall become effective when signed, stamped by the authorized representatives of both parties, as well as when the counseling fee has been paid in full.本合同正本一式贰份，甲、乙双方各执壹份，该各
