(“SL Company”) is committed to high standards of business ethics and integrity as reflected in SL Company China Supplier Code of Conduct (“Code of Conduct”). The Code of Conduct expects all of its suppliers

2、 (“Suppliers”) to adhere to similar good working standards and business ethics. The Supplier is expected to comply with the requirements set out in this Code of Conduct. Violations of this code of conduct may result in immediate termination as a SL Company China Supplier and in legal action if neces

3、sary.SL Company realizes that Suppliers may need time to address areas in which they may not be in compliance. We believe that compliance is best achieved through a process of continuous improvement over a period of time. With this in mind, SL Company invites its suppliers to keep us regularly infor

4、med about their actions and their improvement plans concerning the Code of Conduct. Antidiscriminatio

6、n 反歧视Suppliers shall not discriminate against any worker based on race, color, age, gender, sexual orientation, ethnicity, disability, religion, political affiliation, union membership, national origin, or marital status in hiring and employment practices such as applications for employment, pro mot

7、ions, rewards, access to training, job assignments, wages, benefits, discipline, and termination. Suppliers shall not require a pregnancy test for any workers except where required by applicable laws or regulations or prudent for workplace safety. In addition, Suppliers shall not require workers or

8、potential workers to undergo medical tests that could be used in a discriminatory way except where required by applicable laws or regulations or prudent for workplace safety. 供应商不得因员工的民族、肤色、年龄、性别、性取向、种族、残疾、宗教、政治面貌、会员身份、国籍或婚姻状况，在诸如求职、晋升、嘉奖、派遣培训、工作分配，工资、福利、惩戒和终止劳动关系等雇佣行为中歧视任何员工。供应商不得要求员工进行怀孕检查，或歧视怀孕员工

Suppliers shall not threaten workers with or subject them to harsh or inhumane treatment, including sexual harassment, sex

10、ual abuse, corporal punishment, mental coercion, physical coercion, verbal abuse, or unreasonable restrictions on entering or exiting company-provided facilities. Suppliers shall prohibit harassment and unlawful discrimination in the workplace. 供应商必须承诺提供一个不存在任何骚扰的工作环境。员工进入或离开公司提供的设施后，供应商不得威胁员工或使员工遭受

Prevention of Involuntary Labor and Human Trafficking 防止雇佣非自愿劳工和贩卖人口 Suppliers shall not traffic in persons or use any form of slave, forced, bonded, indentured, or prison labor. This includes the transportation, harboring,

12、recruitment, transfer, or receipt of persons by means of threat, force, coercion, abduction, fraud, or payments to any person having control over another person for the purpose of exploitation. All work must be voluntary and workers shall be free to leave work or terminate their employment with reas

13、onable notice. Workers must not be required to surrender any government-issued identification, passports, or work permits as a condition of employment. Suppliers shall ensure that third-party agencies providing workers are compliant with the provisions of the Code of Conduct and the laws of the send

14、ing and receiving countries, whichever is more stringent in its protection of workers. Suppliers shall ensure that contracts for both direct and contract workers clearly convey the conditions of employment in a language understood by the worker. 供应商不得贩卖人口或雇佣任何形式的奴隶、强迫性劳工、抵债性质的劳工、契约劳工或监狱劳工。这包括以剥削为目的，

Child Labor童工Child labor is str

16、ictly prohibited. Suppliers shall not use child labor. The minimum age for employment or work shall be 15 years of age; under age 15 can be defined as Child labor. Working Hours 工作时间 Except in emergency or unusual situations, a work week shall be restricted to 60 h ours, including overtime, and workers shall take at least one day off every seven days. All overtime shall be voluntary. Under no circumstances shall

19、able laws and regulations and provide all legally mandated benefits. In addition to their compensation for regular hours of work, workers shall be compensated for overtime hours at the premium rate required by applicable laws and regulations. Suppliers shall not use deductions from wages as a discip

20、linary measure. Suppliers shall offer vacation time, leave periods, and holidays consistent with applicable laws and regulations. Suppliers shall pay workers in a timely manner and clearly convey the basis on which workers are being paid. 供应商必须要为所有员工发放适用的法律法规所规定的最低工资，并提供所有的法定福利。供应商除了必须支付员工正常工作时间应得的报

Freedom of Association 集会自由 Suppliers must respect the right of workers to associate freely with, form, and join workers organizations of their own choosing, seek representation

22、, and bargain collectively, as permitted by and in accordance with applicable laws and regulations. Suppliers shall not discriminate with respect to employment based on union membership and, in particular, shall not make employment subject to the condition that the worker relinquishes union membersh

23、ip or agree not to join a union; or cause the dismissal of or otherwise prejudice a worker by reason of union membership or participation in union activities outside working hours. Suppliers shall protect against acts of interference with the establishment, functioning, or administration of workers

25、y 健康和安全 Suppliers shall maintain a clean, safe and healthy workplace in compliance with all applicable laws and regulations. Suppliers shall ensure that workers have access to clean drinking water, sanitary washing facilities and an adequate number of toilets, fire-extinguishers, and fire exits and

26、those workplaces provide adequate lighting and ventilation. Suppliers shall ensure that aforementioned standards are also met in any canteen and/or dormitory which are provided for workers. 供应商依照适用的法律法规的要求为员工提供清洁，安全和健康的工作场所。供应商应确保员工能获得干净的饮用水，配备卫生盥洗设施和足够数量的厕所、灭火器、安全出口以及在工作场所提供充足的照明和通风设施。供应商应确保上述标准同时适

Environmental Protection 环境保护Suppliers shall comply with all applicable laws and regulations in respect of protecting the environment and maintain procedures for notifying local authorities in the event of an environmental accident resulting from Suppliers operations. 供应商应遵守所有适

We do not tolerate any practice that is not born of honesty, integrity and fairness. Corruption, extorti

31、on and embezzlement, in any form, are strictly prohibited. Suppliers shall not engage in corruption, extortion or embezzlement in any form. Suppliers shall not offer or accept bribes or other means to obtain an undue or improper advantage. We obey all relevant laws; treat each other fairly, with dig

32、nity and respect; prepare all records of financial transactions carefully and accurately; report financial conditions and results of operations, honestly and promptly; deal honestly and fairly with customers, supplier and business partners; report observed violations of legal and ethical standards.

Corrective Act

34、ion 纠错行为When violations are found, SL Company China and the Suppliers concerned will agree on a corrective action plan that eliminates the problem in a timely manner. If it is determined that a supplier is knowingly and/or repeatedly in violation of this Code of Conduct, SL Company China shall take
