18、thereof.公司：_ 公司：_(签字)(signature) (签字)(signature) 附：国际租赁合同解释与分析(一)概述国际租赁是指不同国家的出租人与承租人之间在约定的期间内，出租人将其特别交给承租人有偿使用的一种合同关系。现代国际租赁业务主要有三种类型：即融资性租赁、综合性租赁和服务性租赁。融资性租赁是出租人根据承租人的要求，自己出资或者向银行贷款，从供货厂商那里购负承租人社顶的设备，然后将购入的设备出租给承租人使用，承租人按合同规定交付租金。融资租赁具有融资融物的双重功能，主要在租专用设备或大型成套设备时采用，这种方式在国际租赁业务经常被使用，这种租赁方式根据不同业务特点又可

19、分为直接租赁、转租赁、回租租赁等。综合性租赁是一种把租赁与补偿贸易、加工装配等其他对经济合作方式结合起来的租赁业务。而服务性租赁亦称经营性租赁，租赁公司既向承租企业提供资金、设备;又向承租企业提供设备维修、保养服务以至提供或培训有关技术人员。这种租赁形式由于租赁公司要提供多种服务，所以其租金也较高。国际租赁的法律文件形式是国际租赁协议，而由于租赁方式不同，租赁协议的内容也不统一。即使是同一种租赁形式，只要双方同意，也可以规定各不相同的条款，因此使用本书的人不必拘泥于本书所提供的格式范本。(二)租赁设备该条款应对租赁设备作出详细的说明，列出租赁物的名称、规格、数量、质量、性能和交付日期，说明是否

20、由出租人或制造商负责交付。在融资租赁的情况下还需说明此项租赁物是出租人根据承租人的要求出资购买后租给承租人使用的，同时出租人据此可规定其只承担融资责任。(三)租赁期协议中应明确规定租赁期限、租赁期的起算日、截止日、延续合同的条件等。租赁期的长短主要是由双方根据租赁物的情况和承租人的需要在签订协议时间商定。一般来说，易损性和效力多变的机器设备租期短，而耐用，性能变化不大的设备租期长。(四)租金及支付方式租金是租赁合同的主要呢容，也是双方当事人的主要权利，义务所在。租金条款应明确租金的数额、计算方法、支付地点、使用货币、租金支付次数以及第一次租金支付的时间、方式等。在计算租金是4要考虑到租金的构成

21、要素、租期长短、结算币种、支付方式等因素，由双方当时人本着公平合理的原则协商确定。对于租金支付的方式，一般包括支付租金的次数、前期支付或期后支付、固定或不固定费率等，这都需要双方在协议中协商订明。(五)租赁设备的所有权、使用、维修、保管在国际租赁协议中，一般都要订明在租期内设备的所有权属于出租人，不经出租人同意，承租人不得将设备转让、抵押、出售或出租等，而承租人对租赁设备具有完全的使用权，如需对此种使用权加以限制，则由双方协商订明。至于租赁设备的维修、保养，应由双方根据租赁方式，租赁物的性质经协商后订入协议。(六)风险承担一般来说，在租赁协议期间租赁物发生意外灭失损毁是不可避免的，因此协议中应

22、明确由谁承担此损失。一般情况下，租赁物正常损耗的损失风险由承租人承担。发生意外损毁灭失时，承租人有湖族人的义务，出租人可选择一定方式由承租人负责处理并负担一切费用。有风险就必然要求有保险，协议中应约定由哪一放对和租赁设备进行投保及此费用由谁承担。(七)租赁期满租赁物的处理这一条款随租赁方式不同而不同，如是服务性租赁，协议中多是规定租赁期满后承租人应将处于良好状态下的租赁物归还给出租人。如是融资性租赁，双方则可选择处理方式，其中有：将租赁物归还出租人(即退租)，续租、由承租人购买租赁物(即留购)，火由承租人代为出售等，在我国现行的融籽租赁中，大多数出租人是在期满时交清应交租金及其他应付款项后，只付名义货价即取得设备所有权。专心-专注-专业
