CHINA Shipping marks

3、：On the surface of each package, the package number, contract number, measurements, gross weight, net weight, the lifting positions, such cautions as “DO NOT STACK UP SIDE DOWN”, “KEEP AWAY FROM MOISTURE” and the following shipping mark shall be stenciled legibly in fadeless paint: 11JSZ003 NINGBO.P

5、f shipped value against All Risks, War Risk from the port of shipment to the port of destination.（11) 包装: 须用集装箱/或坚固的新木箱包装，适合长途海运，防湿、防潮、防震、防锈，耐粗暴搬运，由于包装不良所发生的损失，由于采用不充分或不妥善的防护措施而造成的任何锈损，卖方应负担由此而产生的一切费用和/或损失。 PACKING: To be packed in container(s)/or new strong wooden case(s) suitable for long distance

6、 ocean transportation and well protected against dampness, moisture, shock, rust and rough handling. The Seller shall be liable for any damage to the goods on account of improper packing and for any rust damage attributable to inadequate or improper protective measures taken by the Seller, and in su

7、ch case or cases any and all losses and /or expenses incurred in consequence thereof shall be borne by the Seller.(12) 付款条件: 付款:买方在后7天内按合同总金额的100%（US$27608.00）开立以卖方为的不可撤消的即期信用证，卖方凭本合同第13条规定的装运单据及开出提交给开证银行议付其中90%货款，余下的10 %卖方凭买方及最终用户签发的货物最终接受证书议付。信用证的有效期至货物装运后一百天为止。 TERMS OF PAYMENT:Payment by L/C: Wi

8、thin 7 days after the contract is signed, the Buyer should establish an irrevocable L/C at sight, in favor of the Seller, for an amount equivalent to 100% ( One Hundred Percent) of the total contract value say: us Dollars Twenty seven Hundred six hundred and eight ( US$27608.00 ). 90% (Ninety percen

9、t) of the total value shall be payable against presentation of draft(s) drawn at sight on the opening bank and the shipping documents stipulated in Clause 13 hereof. The balance 10 % (Ten percent) shall be payable against “Final acceptance certificate” signed by the End-User. The term of validity of

10、 the L/C shall be 100 days after the shipment.（13）单据:卖方应将下列单据寄给买方:1. 全套可议付的清洁已装运海运提单，空白抬头、，标明运费已付，并通知买方。2. 如采用的是木制品包装，则须在包装上注明有”IPPC”字样并提供相应证明正本一份；如采用的是非木制品包装，则须提供由卖方或设备制造商出具的非木质包装证明一份。3. 保险单或保险证明书注明投保险别（一切险 ），按所装运货物金额110%投保。4. 发票五份，注明合同号、唛头。5. 装箱单五份，注明毛重、净重、尺码和所装货物每项的品名、数量。6. 由卖方或设备制造厂签发的质量和数量/重量证明

11、书各三份。7. 按照本合同第16条规定的货物装船后2个工作日内发给买方装运通知传真真实副本一份。 DOCUMENTS:The Seller shall post the following documents to the Buyer:1. Full set of Negotiable Clean on Board Ocean Bills of Lading and made out to order, blank endorsed, marked “Freight Prepaid”, and notifying the Buyer.2. “”IPPC” should be stamped o

12、utside the wooden cases and an original of related certificate if it is packed by wooden material; Or the original declaration of no wood packing material issued by Seller or the manufacturer if it is not packed by wooden material.3. Insurance Policy or Certificate, covering 110% of the value of the

13、 shipping goods against all risks.4. Invoice in quintuplicate, indicating contract number and shipping mark.5. Packing list in quintuplicate with indication of both gross and net weights, measurements, description and quantity of each item packed.6. Certificate of Quality and Quantity / Weight in tr

14、iplicate issued by the Seller or the manufacturers。 7. A true copy of fax to advise the Buyer of shipment within 2 working days after the goods are loaded on ship as specified in Clause 16 hereof. (14) 装运条款: 1.卖方在装运期内一次完成合同设备的CIF交货。2.技术文件随合同设备一同发运。3.卖方应选择信誉良好的运输公司作为合同设备的承运人，承运船不应悬挂买方不能接受国家或地区的国旗。TER

15、MS OF SHIPMENT:1、The Seller shall complete the CIF delivery of the Contract Equipment in one lot within the time of shipment.2、The Technical Documentation shall be delivered together with the Contract Equipment.3、The Seller shall choose a reputable transport company as the carrier for the transporta

16、tion of the Contract Equipment. The flag of the carrying vessel shall not be the flag of any country or district which the Buyer cannot accept. (15) 装运通知: 在装运后2个工作日内，卖方传真通知买方：合同号 海运提单日期及号码 承运船的船名 船到目的港的预计时间 设备名称，总价值，包装总件数，装运的总重量及体积。在装运后5个工作日内，卖方传真买方：海运提单 发票 装箱单。卖方应当明确通知买方关于合同设备的特别注意事项，包括但不限于特别保护或事故处

17、理措施。 SHIPPING ADVICE:Within 2 working days after shipment is effected, the Seller shall inform the Buyer by fax ofcontract number date and number of the Bill of Lading name of carrying vessel estimated time of arrival of the vessel at the port of destination name of equipment, total price, total num

18、ber of packages, total weight and total volume of the shipment. and within 5 working days after shipment is effected, the Seller should fax the Buyer Bill of Lading Invoice Packing List. The Seller shall expressly point out the especial attention in respect of Contract Equipment in the notice provid

19、ed to the Buyer, including but not limited to special protection measures or accident treatment.（16）质量保证和验收: 卖方保证货物系用最上等的材料和头等工艺制成，全新，未曾用过，并完全符合本合同规定的质量、规格和性能。卖方并保证本合同订货在正确安装、正常使用和维修的情况下，自货物最终接受证书签字之日起十二个月内运转良好。买方在收到货物后，需及时安排（30天内）卖方调试，因买方原因致使卖方不能按时调试，则质保期从买方收到货后14个月。 GUARANTEE OF QUALITY AND ACCEPT

20、ANCE: The Seller shall guarantee that goods are made of best materials, with first class workmanship, brand new, unused and correspond in all respects with the quality, specifications and performance as stipulated in this Contract .The Seller shall also guarantee that the goods when correctly commis

21、sioned and properly operated and maintained, will give satisfactory performance for a period of 12 months starting from the date on which the “Final Acceptance Certificate” is signed. The final acceptance is to be done within 30 days since the date of arrival of the commodities at the End users site

22、, otherwise the period of the quality guarantee will be 14 months after receiving the commodities by the Buyer due to the Buyers reasons. (17) 检验和索赔: 甲、在交货之前，制造厂应就订货的质量、规格、性能、数量重量作出准确和全面的检验，并出具货物和本合同相符的证明书。制造厂应将记载试验细节和结果的书面报告附在质量证明书内。所有与检验和测试货物设备相关的费用由卖方负担。乙、货物到达到货口岸后，买方有权申请中华人民共和国出入境检验检疫局（以下称商检局）就货

23、物的质量、规格和数量重量进行初步检验。如发现到货的规格或数量重量与合同不符，买方可凭商检局出具之检验证书有权拒收货物或向卖方索赔。丙、在本合同第条规定的保证期限内，如发现货物的质量及或规格与本合同规定不符或发现货物无论任何原因引起的缺陷包括内在缺陷或使用不良的原料，买方有权申请商检局检验，并有权向卖方索赔。 丁、卖方收到买方索赔通知后，如果在三十天内不答复，应视为卖方同意买方提出的一切索赔。INSPECTION AND CLAIMS:a. The Manufacturers shall before making delivery, make a precise and comprehensi

24、ve inspection of the goods as regards their quality, specifications, performance and quantity/weight, and issue certificates certifying that the goods are in conformity with the stipulations of this Contract. Particulars and results of the test carried out by the manufacturers must be shown in a sta

25、tement to be attached to the above mentioned Quality Certificate. All expenses involved in the inspection and testing of the goods shall be at the Sellers cost.b. After arrival of the goods at port of destination, the Buyer shall be entitled to apply to Shanghai Entry-Exit Inspection and Quarantine

26、Bureau P.R.China Import and Export Commodity Inspection Bureau (hereinafter called the Bureau) for a preliminary inspection of the goods in respect of their quality, specifications and quantity /weight.If any discrepancies are found by the Bureau regarding the specifications or the quantity/weight o

27、r both, the Buyer have the right either to reject the goods or to claim against the Seller on the strength of the inspection certificate issued by the Bureau.c. Within the grantee period stipulated in Clause 17 hereof should the quality and/or the specifications of the goods be found not in conformi

28、ty with the contracted stipulations, or should the goods prove defective for any reasons, including latent defect or the use of unsuitable materials ,the Buyer shall be entitled to arrange for an inspection to be carried out by the Bureau and have the right to claim against the Seller.d. Any and all

29、 claims shall be regarded as accepted if the Seller fail to reply within 30 days after receipt of the Buyers claim.(18) 索赔解决办法: 如货物不符合本合同规定应由卖方负责者，同时买方按照本合同第条和第条的规定在索赔期限或质量保证期限内提出索赔，卖方在取得买方同意后，应按下列方式理赔:甲.同意买方退货，并将退货金额以成交原币偿还买方。乙.按照货物的疵劣程度，损坏范围和买方所遭受的损失，将货物贬值。丙.调换有瘕疵的货物，换货必须全新并符合本合同规定的规格、质量和性能。 SETTL

30、EMENT OF CLAIMS: In case the Seller are liable for the discrepancies and a claim is made by the Buyer within the period of claim or quality guarantee period as stipulated in Clauses 17 and 18 of this Contract, the Seller shall settle the claim upon the agreement of the Buyer in the following ways:a.

31、 Agree to the rejection of the goods and refund to the Buyer the value of the goods so rejected in the same currency as contracted herein.b. Devaluate the goods according to the degree of inferiority, extent of damage and amount of losses suffered by the Buyer.c. Replace the defective goods with new

32、 ones which conform to the specification, quality and performance as stipulated in this Contract.(19) 不可抗力: 由于不可抗力，而卖方交货迟延或不能交货时，责任不在卖方，但卖方应立即将事故通知买方，并于事故发生后十四天内将事故发生地政府主管机关出给的确实事故证明书用空邮寄交买方为证，并取得买方认可。在上述情况下，卖方仍负有采取一切必要措施从速交货的责任。如果事故持续超过十个星期，买方有权撤销本合同。 FORCE MAJEURE: The Seller shall not be held res

33、ponsible for any delay in delivery or non-delivery of the goods due to Force Majueure. However, the Seller shall advise the Buyer immediately of such occurrence and within fourteen days thereafter, shall send by airmail to the Buyer for their acceptance a certificate issued by the component governme

34、nt authorities of the place where the accident occurs as evidence thereof. Under such circumstances the Seller, however, are still under the obligation to take all necessary measures to hasten the delivery of the goods. In case the accident lasts for more than ten weeks, the Buyer shall have the rig

35、ht to cancel this Contract. (20) 仲裁: 凡有关本合同或执行本合同而发生的一切争执，应通过友好协商解决。如不能解决，则应提交中国国际经济贸易仲裁委员会上海分会按照和程序在上海进行仲裁。该仲裁委员会作出的裁决是最终的，买卖双方均应受其约束，任何一方不得向法院或其它机关申请变更。由败诉一方负担。 ARBITRATION: All disputes in connection with this Contract or the execution thereof shall be settled through friendly negotiations. In ca

36、se no settlement can be reached through negotiations, the case should then be submitted for arbitration to the China International Economical and Trade Arbitration Commission, Shanghai Commission, in accordance with its rules of procedure. The arbitration shall take place in Shanghai and the decisio

37、n rendered by the said Commission shall be final and binding upon both parties; neither party shall seek recourse to a law court or other authorities for revising the decision. The arbitration fee shall be borne by the losing party.(21) 法律适用: 本、效力、解释、执行及合同争议的解决，均受中华人民共和国“中国”法律管辖。中国正式颁布的法律对本合同相关事项未作规

38、定的，参照国际。 GOVERNING LAW: The formation of the contract, its validity, interpretation, execution and settlement of disputes in connection herewith shall be governed by the laws of PRC，but in the event that there is no published and publicly available law in the PRC governing a particular matter relati

39、ng to this contract ,reference shall be made to general international commercial practices.(22) 检验，安装及其他: 卖方提供1至2名技术人员在货到港后1至2周内为用户安装调试。在设备到达目的港后十天内，卖方的技术人员应到位，所有的费用应由卖方承担。 INSPECTION, INSTALLATION AND OTHERS: Installation shall be done by 1 or 2 of the Sellers technicians within 1 or 2 weeks after

40、arrival of the goods at port of destination.Technicians available within 10 days after arrival of the machine at destination port. And all the expenses for the technicians in China shall be borne by the Seller. (23) 附注: 本合同的所有附件组成合同不可分割的部分。 REMARKS: All attachments to this Contract form integrated p

41、arts of the Contract. 谨鉴，本合同中、英文正本一式二份于2011年10月12日在中国宁波由各方授权代表签署， 双方各持一份为凭，如英文版本和中文版本不一致，以中文版本为准。IN WITNESS THEREOF, this Contract is duly signed in Chinese and English on June 9 ,2008, in Tianjin, P.R. China by authorized representatives of both parties in 2 originals. Each party holds one original.
