3、e Duration(1).乙方租赁甲方土地的年限为_年_个月（不得超过甲方农户的土地承包年限），自_年_月_日至_年_月_日（“租赁期限”）。_年_月_日租赁起始日。(1).Party A will lease the Lease Land to Party B for _ years and _ months starting from _ to _ (the lease duration should be within the land contract period of the contract holding farm household contract) (hereinaft

4、er referred to as “Lease Duration”). _ is the leasing commencement date. (2). 租赁期限期满后如乙方需继续租赁，则须在租赁期限期满前_个月通知甲方协商。在同等条件下，乙方对该租赁土地有优先承租权。(2). In case Party B wants to continue leasing the land upon the expiration of the Lease Duration, Party B should inform Party A for negotiation _ months prior to t

5、he expiration of the Lease Duration. Under the same conditions, Party B has the right of first refusal for renting the Lease Land. 三、租赁费用：Lease Price(1).双方一致同意，该租赁土地的第一租约年年租金为每亩人民币_元。以租赁起始日起至次年的同期前一日为第一个租约年，以后每12个月的期间为一个租约年。(1). The parties agree that the annual rent for the Lease Land for the first

The first lease year refers to the period starting from the leasing commencement date to the date immediately preceding the same date of the following year and, thereafter, the time of each 12-month period constitutes one lease year. (2). 每个租约年的租金由乙方于每年_前向甲方一次性支付，如因乙

7、方的原因逾期未付，则乙方每逾期一日按逾期欠付租金金额的_承担逾期付款滞纳金，但是逾期付款滞纳金的总额不得超过当年租金的_%。(2). Party B shall pay the annual rent for each lease year to Party A in lump sum by the end of each May without delay. Should the rent payment be delayed due to Party Bs sake, Party B shall pay a late payment fee calculated at a daily _

8、of the unpaid rent price for each day delayed in payment, provided, however, that the total sum of the late payment fee shall not be higher than _% of the annual rent. (3). 甲方需在乙方支付租金之前_日，就应付租金向乙方出具合法有效的相关发票，若因甲方未能及时出具合法有效的相关发票导致乙方未按期支付租金的，乙方不承担逾期付款的责任。(3). Party A shall provide Party B with the rel

9、evant legal and valid invoices 20 days before Party B makes the rent payment. Should Party B fail to make timely payment of the rent due to Party As failure to timely provide the relevant legal and valid invoices, Party B shall not incur any liability for the delayed payment. (4). 对于因甲方原因导致乙方不能如期支付租

10、金的，乙方不承担逾期付款违约责任。(4). Party B shall not incur liabilities for delayed payment of rent if such Party Bs delay in payment of rent is caused by Party A. (5). 甲方在收到乙方的每笔租金后，必须按照各承包农户的土地面积及上述约定的租金标准，及时按比例向相关农户进行发放，如果因甲方原因而引发承包农户与乙方之间的矛盾，甲方必须承担全部责任。如果因承包农户与乙方之间的矛盾而造成乙方遭受损失的，甲方应赔偿乙方因此而遭受的全部损失(如适用)。(5). Aft

11、er receiving the payment of rent from Party B, Party A shall promptly pay such rent payment to the contract holding farm households in proportion to the land area of each of the contract holding farm households according to the rent standard agreed above. Should any disputes occur between Party B an

12、d the contract holding farm households due to Party As cause, Party A shall take full responsibility for such disputes. Should Party B incur any losses caused by disputes between Party B and the contract holding farm households, Party A shall compensate Party B for all the losses so suffered by Part

13、y B (if applicable).四、其他约定：Miscellaneous terms (1). 乙方在租赁期限内必须遵守国家的法律法规，保护当地环境，做好环评，并搞好卫生防疫工作。因乙方的养鸡污染而造成的直接损失由乙方负责承担。(1). Party B shall comply with all the related laws and regulations of the state and protect the local environment, fulfill environment assessment work as well as perform hygiene and

14、 quarantine duties. In case any direct damage caused by the pollution from Party Bs broiler breeding farm, Party B should be responsible for the related compensation.(2).乙方租用甲方所辖土地，在签订本土地租赁协议书后，应向甲方一次性支付农作物补偿费_元/亩，其他费用：_元。甲方需在乙方支付补偿费之前_日，就前述补偿费向乙方出具合法有效的相关发票。若因甲方未能及时出具合法有效的相关发票导致乙方未按期支付前述补偿费的，乙方不承担逾

15、期付款的责任。对于因甲方原因导致乙方不能如期支付补偿费的，乙方不承担逾期付款违约责任。(2).Upon the execution of this Land Lease Agreement, Party B shall pay to Party A the lump sum price of crop compensation allowance based on the rate of _RMB/mu and other compensation allowance totally:_ for the land leased by Party B from Party A. Party A

16、shall provide Party B with the relevant legal and valid invoices _ days before Party B pays the compensation allowance. Should Party B fail to make timely payment of the compensation allowance due to Party As failure to timely provide the relevant legal and valid invoices, Party B shall not incur an

17、y liability for the delayed payment.(3).甲方收到补偿费后须根据各承包农户的土地面积及所种作物品种及上述约定的补偿费标准按比例向承包农户支付。如果因甲方原因而引发承包农户与乙方之间的矛盾，甲方必须承担全部责任。如果因承包农户与乙方之间的矛盾而造成乙方遭受损失的，甲方应赔偿乙方因此而遭受的全部损失。(3).Party B shall not incur liabilities for delayed payment of compensation allowance if such Party Bs delay in payment of compensat

18、ion allowance is caused by Party A. Party A shall, upon receiving such compensation allowance from Party B, pay the compensation allowance to the contract holding farm households according to the land area and the type of the crop or plant of each of the contract holding farm households and accordin

19、g to the compensation allowance standards agreed above. Should any disputes occurs between Party B and the contract holding farm households due to Party As cause, Party A shall take full responsibility for such disputes. Should Party B incur any losses caused by disputes between Party B and the cont

20、ract holding farm households, Party A shall compensate Party B for all the losses so suffered by Party B.(4). 本租赁协议终止或期满后，乙方须做好租赁土地的清理复垦工作，然后将租赁土地退还给甲方；如果清理复垦工作由甲方完成的话，则乙方须合理承担相关的复垦费用。该相关复垦费用复垦期间的土地租金由双方在复垦工作开始时协商并书面确认。(4). After the termination or expiration of this Lease Agreement, Party B is requ

21、ired to recover the Lease Land for re-cultivation purpose and then return the Lease Land to Party A; if the land re-cultivation recovery work is performed by Party A, then Party B should be responsible for the related expenses of the re-cultivation recovery work. Such related expenses of the re-cult

22、ivation recovery work and the rent during the land re-cultivation recovery period shall be negotiated by the Parties and confirmed in writing at the time when the re-cultivation recovery work begins. (5).甲方有责任协调乙方与本协议涉及的部承包农户以及当地其他居民间的关系。乙方在项目建设和生产过程中因承包户、当地居民(包括周边群众)等人为因素迫使乙方停工、停产或减产的,甲方必须全力配合乙方, 及

23、时协调解决。若在_天内未能协调解决，由此给乙方造成损失的，甲方必须赔偿乙方的全部损失。在问题协调解决并且乙方恢复正常建设工作或正常经营活动前，乙方有权缓付租金并且不承担逾期付款违约责任；如果问题未能在_天之内解决，则乙方有权从任何应付租金中扣除问题未解决期间天数的相应租金金额；如果因甲方未能及时协调解决前述问题，导致本协议无法履行或本协议目的不能实现，乙方有权以书面通知方式解除本协议并且要求甲方赔偿乙方遭受的全部损失，包括本协议无法履行或本协议目的不能实现所遭受的预期利润损失。(5).Party A has the obligation to coordinate the relationsh

24、ip between Party B and all contract holding farm households and other local residents. If, during the construction period or production period of the Project, Party Bs construction and production process is suspended or Party Bs production is reduced due to reasons of the contract holding farm house

25、holds or local residents (including surrounding residents), Party A shall fully cooperate with Party B to promptly solve the problems. If the problems are not solved within _ days causing losses to Party B, Party A shall compensate Party B for all the losses so suffered by Party B. Before the proble

26、ms are solved and Party Bs normal construction work or normal operation is resumed, Party B has the right to withhold rent payment without any liabilities for late payment; If the problems have not been resolved within _ days, then Party B shall have the right to deduct from any payable rent the amo

27、unt of the corresponding rent for the days of the period for which the problems have not been resolved; If this Lease Agreement cannot be performed or the purpose of this Lease Agreement cannot be achieved due to Party As failure to coordinate and solve the aforesaid problems, Party B shall have the

28、 right to terminate this Lease Agreement by giving Party A a written notice and to request Party A to compensate Party B for all losses suffered by Party B, including the expected profits lost due to the non-performance of this Lease Agreement or the failure of the purpose of this Lease Agreement. (

29、6).在乙方租赁期内，甲方承诺并负责监督、协调下述事宜：在本村区域内距乙方租赁土地的_饲养场_公里范围内，甲方不得自建或把所辖土地租赁给他人建办养禽场，以防疫病的相互感染，进而影响乙方的生产，但是截至本协议签订之日已存在的养禽场除外；在租赁期限内，甲方确保，在乙方租赁土地的_场周围_公里且属于本村区域的范围内不得再建造影响乙方生产和防疫的其他任何建筑设施。如果因甲方违反前述承诺，给乙方造成损失的，甲方必须赔偿乙方的全部损失。如果因甲方违反前述承诺导致本协议无法履行或本协议目的不能实现，乙方有权以书面通知方式解除本协议并且要求甲方赔偿乙方遭受的全部损失，包括本协议无法履行或本协议目的不能实现所遭

30、受的预期利润损失。(6).During the Lease Duration, Party A commits and undertakes to supervise and coordinate the following matters: except for the chicken farms existing on the execution date of this Agreement, for the sake of disease control to avoid threads to undermine Party Bs production, Party A should n

31、ot build or lease the land under its control to any third party to build _ farms within the area of _ kilometer radius from Party Bs _farm on the Lease Land within the village; During the Lease Duration, Party A shall ensure that no structure or building that affects Party Bs production and quaranti

32、ne be built within the area, which belongs to the village of Party A and which is within _ kilometer radius from Party Bs _ farm on the Lease Land. If Party A breaches the aforesaid commitments causing losses to Party B, Party A shall compensate Party B for all the losses so suffered by Party B. If

33、this Lease Agreement cannot be performed or the purpose of this Lease Agreement cannot be achieved due to Party As breach of the aforesaid commitments, Party B shall have the right to terminate this Lease Agreement by giving Party A a written notice and to request Party A to compensate Party B for a

34、ll losses suffered by Party B, including the expected profits lost due to the failure of the performance of this Lease Agreement or the failure of the purpose of this Lease Agreement.(7).在租赁期限内，如遇国家土地征用或市政府对土地的规划性调整情形，双方应予以服从和配合。此种情况下任何一方均不得追究对方的违约责任。有关部门因此而支付的土地补偿费归甲方支配和发放，但乙方在租赁土地上投资的建筑物、设施和设备所获的补

35、偿费应归乙方所有。甲方有义务再为乙方协调落实新的租赁土地，以供乙方的搬迁使用。(7). During the Lease Duration, if there is government land expropriation or rezoning, both parties should comply with such expropriation and rezoning and cooperate. No Party shall claim any breach liability against the other under such circumstance. The land c

36、ompensation paid by the relevant government agencies for such event shall belong to Party A while the compensation for all the structures, facilities and equipment of Party B on the Lease Land shall belong to Party B. Party A shall have the obligation to coordinate to seek land for lease for Party B

37、 to relocate Party Bs properties.五、甲、乙双方应共同遵守本协议各条款。如有任何一方违约，违约方必须赔偿对方因此所遭受的全部损失。5. Both Party A and Party B shall follow the terms of this Lease Agreement. Should any party commit any breach of this Lease Agreement, the breaching party shall compensate the other Party for all losses so suffered. 六、

38、本委任协议由中、英文两种文编订，如果任何内容发生歧义时，应以中文为准。6. This Agreement is in both Chinese and English. In the event of any discrepancies between the two languages, the Chinese version shall prevail.七、本协议未尽事宜，可由双方通过协商达成补充协议（补充协议与本协议具有同等法律效力）。发生争议应先由双方协商解决。如果协商不成，任何一方均可依法向_人民法院提起诉讼。7. For matters not covered by this ag

39、reement, the Parties may reach supplemental agreement through negotiation (supplemental agreement shall have equal legal effect as this agreement). Disputes should first be resolved by the Parties through negotiation. In case the negotiation fails, either Party may bring law suits before the _court.

40、八、本协议经甲乙双方盖章签字，经有关部门鉴证，且_建设项目经_省发改委批准立项、_省商务主管部门批准、乡（镇）人民政府同意并通过县级畜牧主管部门审核备案及县级国土部门备案后生效。本协议一式六份，甲、乙双方各执二份，甲方主管部门一份，_备案一份。8. This Agreement will become effective after the Agreement is signed and affixed with the corporate seals by both Parties and authenticated by the related government departments
