At same time the following requirements must be met: 4. 验收及异议/inspection and objection 卖方应于交付前通知买方验收，买方应于接到通知后合理时间内完成验收.买方有权于卖方生产过程中到工厂查看生产情况，卖方应予配合。无论买方是否进行验收，卖方均应对产品质量负责。任何归因于卖方原因导致的产品质量不合格，卖方均

6、应承担赔偿责任。因质量问题在国外被发现，买方或其授权方有权单方委托国外鉴定机构进行鉴定，该鉴定结论卖方不持异议。The supplier shall notify the buyer to inspect the finished product before delivery, the buyer shall complish inspection within reasonable period. The buyer is entitled to check the process of production in the factory of supplier, the supplier

The supplier shall assume any liability attributable to quality nonconformity.In the case of nonconformity found outside china ,the buyer or any party authorized by the

14、bile： name： mobile： address： email： fax： 9.不可抗力/force majeure买卖双方的任何一方由于不可抗力的原因影响合同履行的，应将不可抗力情形通知对方以减少损失。在取得有关机构证明以后，允许延期履行或者不履行合同，并根据情况可免予承担违约责任。Where performance of this contract is under impact of force majeure, the party impacted is required to declare to the other party, so as to minimize loss.

15、 The party impacted shall be exempted or partly exempted from liability due to force majeure which is verified by appropriate authority .10、争议解决/dispute settlement凡因本合同引起的或与本合同有关的任何争议，均应提交上海国际仲裁中心，按照申请仲裁时该中心现行有效的仲裁规则进行仲裁。仲裁裁决是终局的，对双方均有约束力。 Any dispute arising from or in connection with this Contract

16、 shall be submitted to Shanghai International Arbitration Center （SHIAC） for arbitration which shall be conducted in accordance with the SHIAC s arbitration rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both parties.11、语言/language本合同以中英文写就。两者存在
