5、l similar series * of other Chinese manufacturers in *. 在协定 无效期内，假定发觉 任何一方违犯协定 规则，其余 两方均有权停止 条约 。受损方均有索赔的权益。During the validity of this Agreement, if each of the two parties is found to have infringed the stipulations of the Agreement, the other party has the right to terminate this Agreement. 6、arty influenced will reserve right to claim for compensation. 3、代办 产物 范畴 跟 商品数目 ：Commodity range and Quantity:(1).*型：甲方如今花费 跟 贩卖 的所有 *型以及今后以此为根底开辟 并贩卖 的*。Model: All models and all new models which will be developed in the future.(2).贩卖 数目 : 甲方请求 乙方代办 出口的贩卖 数目 .年1月1日至年12月31日：不低于*个Sale target: the qua

8、ce upon duly signatures of the concerted parties. 协定 无效期：年1月1日到年12月31日。This agreement when duly signed by the parties concerned shall remain in force for one year to be effective from 1 Jan. to 31th Dec. .(3) 假如乙方未能实现 协定 规则的阶段目的销量的70%，甲方有权双方面停止 协定 。假如乙方跟 乙方完陈规 则的阶段目的销量的70%本协定 接着失效。 If Party B couldn

9、t fulfill the 70% of sales target required，Party A has the right to terminate the Agreement unilaterally. Party B shall be treated as qualified exclusive agent and exclusive exporter if Party B reaches the sales target no less than 70%, the agreement will be effective.4假如乙方完本钱协定 规则总量的80%，本协定 到期日期主动

10、连续 到年12月31日If Party B fulfills the 80% of the total sales target, the Agreement will be automatically extended to 31th Dec. .6、市场状况讲演 ：Reports on Market Conditions:乙方有任务 每三个月就以后市场状况及花费 者看法 供给 具体 讲演 给甲方，一旦有特别市场变化，乙方也应即时向甲方供给 书面概况讲演 。所有 对该种类的产物 晋级改进的请求 ，只需经济公道 ，甲方应予以思索，依照乙方请求 对产物 进展改进跟 开辟 。Party B sha

11、ll have the obligation to forward once every three months to Party A detailed reports on current market conditions and of consumers comments, and if there is any special change in the market, Party B shall also report timely to Party A its full particulars in writing. All economically reasonable req

12、uests for upgrades and changes to the products in the line will be considered by Party A and Party A will make improvements according to the feedback or requirements from Party B.7、价钱跟 货款领取方法 ：Price and payment terms:(1)价钱：甲方赞同赐与 乙方相干 联 列产物 最优惠的国平易近 币价钱。 Prices: Party A agrees to provide Party B the

13、 most favorable price for the produced products. (2) 货款领取方法 ：双方都赞同的付款方法 。Terms of payment: by the terms agreed and accepted by each both parties.8、花费 跟 交货周期：依照实践花费 状况, 最长不得超越30天。Production and delivery date: according to actual producing situation but it shall within 30 days maximum。9、商标的运用权跟 收集 贩卖

14、权的授予：Usufruct of the trade mark and internet marketing right(1) 商标的运用权:甲方赞同乙方在本协定 无效期内涵 *地区 运用甲方的BBB品牌跟 BBAB以及“ 商标标记 ；且品牌跟 商标的选定终极 由乙方决议。Usufruct of the trade mark: Party A agrees that party B use the “BBB, “BBAB BRAND and the trading marks“ of the party A in territory of *. And the option of the br

15、and and trading mark decided by party B.(2) 收集 贩卖 权的授予：甲方赞同供给 应乙方上述产物 收集 分销权展开分售营业 Party A agrees to provide Party B distributing marketing rights for the forementioned products for retail markets.10、商品的倾销 在代办 地区 内􀇯代办 商应踊跃 地充沛地进展告白 宣扬 以增进 商品的贩卖 。卖方应向代办 商供给 必定 数目 的告白 印刷品、商品样本、小册子以及代办 商公道 请求

16、的其余 资料。Article 10. Sales PromotionAgent shall diligently and adequately advertise and promote the sale of Products throughout Territory. Seller shall furnish with or without charge to Agent reasonable quantity of advertising literatures catalogues, leaflets, and the like as Agent may reasonably requ

17、ire.11、其余 条目 跟 前提 ：Article 11. Other Terms & Conditions:关于因实行本条约 发作的所有 争议，双方应敌对协商处理，如协商无奈 处理争议，那么应提交中国国际经济商业 仲裁委员会，依照其仲裁规那么，仲裁费应由败诉一方承当，仲裁委员会尚有 规则的除外。All disputes arising from the performance of the Agreement should be settled through friendly negotiations. Should no settlement be reached through ne

18、gotiation, the case shall then be submitted for arbitration to the China International Economic and Trade Arbitration Commission(Beijing) and the rules of this Commission shall be applied. The award of the arbitration shall be final and binding upon both parties. The Arbitration fee shall be born by

19、 the losing party unless otherwise awarded by the arbitration organization. 该协定 一式两份，在双方具名 盖印 后，甲乙双方各持有一份。其余 未尽事件 ，双方能够 进展协商签订 附件。附件存在 同本协定 等同 的执法 效能。该协定 及其附件有中英文两个版本形成 ，两种版本存在 等同 执法 效能。本协定 及其以后签订 的附件的 件以及件跟 协定 副来源根基 件存在 等同 执法 效能。The Agreement is in duplicate and each party held one copy. Other issu

20、es shall be negotiated and signed as the attachments of the agreement. And all the attachments of this Agreement have the same legal force with this Agreement. The Agreement has both Chinese and English versions and the both versions have the same legal force. Any kinds of copy (faxed or scanned cop
