2、theBuyersagreetobuytheunder-mentionedgoodsonthetermsandconditionsstatedbelow:1.货物名称、规格、产地、数量、单价和金额：2.包装:货物应装在适宜长途运输并且能适应气候变化、防湿、防震、防锈的纸箱木箱中。由于包装不良所引起的任何损失,或由于采用不充分或不妥善的防护措施而造成的任何锈损,卖方都应承当一切损失和相关费用。包装箱内应放置一整套操作指南。Packing:Tobepackedincarton(s)orwoodencase,Suitableforlongdistancetransportationandtochan

3、geofclimate,wellprotectedagainstmoistureandshocks.TheSellersshallbeliableforanydamageofthecommodityandexpensesincurredonaccountofimproperpackingandforanyrustattributabletoinadequateorimproperprotectivemeasurestakenbytheSellersinregardtothepacking.Onefullsetofoperationinstructionsconcernedshallbeencl

4、osedinthecase(s).3.装箱标志:卖方应在每件商品包装上用不褪色油墨标明件号、毛重、净重、尺码和如下字样:“切勿受潮、“小心轻放、“此端向上等:ShippingMark：TheSellersshallmarkoneachpackagewithfadelesspaintthepackagenumber,grossweight,netweight,measurementandthewordings:“KEEPAWAYFROMMOISTURE,“HANDLEWITHCARE,“THISSIDEUP,etc.,ZHENGZHOU,CHINA4.装运期限：收到货款60天内发货。TimeOf

5、Shipment：within60daysafterreceiptofT/T.5.装运口岸：郑州保税库。PortOfLoading:ZhengzhouBondedWarehouse6.目的口岸：郑州PortOfDestination：zhengzhou7保险：由卖方承当。Insurance:ToBeCoveredBytheSeller.8.付款条件：100%T/TTermsOfPayment:100%T/T9.单据Document:1)、发票两份,注明合同号及合同中其它细节.。CommercialInvoicein2copiesindicatingcontractnumberandmaking

6、outindetailsasperrelativecontract.2)、两份由卖方出具的装箱单,注明毛、净重、尺码和所装货物的品名数量。Packinglistin2copiesissuedbytheSellers.Duplicatewithindicationofbothgrossandnetweights,Measurementsandquantityofeachitempacked3)、由制造厂(卖方)签发的质量、数量证实书各两份。CertificateofQualityandQuantity,eachinduplicate,issuedbythemanufacturers(seller

7、s).10.包装证实:熏蒸证实并在外包装上加施IPPC标识如为木箱包装或非木质包装证实。PackingCertificate:BeneficiaryscertificatecertifyingthatthewoodpackagingmaterialsinthisshipmenthavebeentreatedandofficiallymarkedIPPCorbeneficiaryscertificateofNO-WOODpackingmaterials.11.装运通知:卖方在货物装运后,应在两天内将合同编号、商品名称、数量、毛重、发票金额、和起运日期用传真通知买方。ShippingAdvice:

8、TheSellersshallwithin2daysuponthecompletionoftheloadingofthegoods,advisebyfaxtotheBuyersofthecontractNo.,commodity,quantity,grossweight,invoicedvalue,anddateofdispatch.12.品质保证GuaranteeofQuality:保证货物系全新，未曾用过，并完全符合本合同规定的质量、规格和性能。TheSellersshallguaranteethatthegoodsarebrandnew,unusedandcorrespondinallr

9、espectswiththequality,specificationsandperformanceasstipulatedinthisContract.13.检验和索赔InspectionAndClaims:在交货以前，制造厂应就订货的质量、规格、性能、数量/重量做出准确和全面的检验，并出具货物和本合同规定相符的证实书。Themanufacturesshallbeforemakingdelivery,makeapreciseandcomprehensiveinspectionofgoodsasregardstheirquality,specifications,performanceandq

10、uantity/weight,andissuecertificatescertifyingthatthegoodsareinconformitywiththestipulationsofthisContract.Thecertificatesshallformanintegralpartofthedocumentstobepresentedtothepayingbankfornegotiation/collectionofpaymentbutshallnotbeconsideredasfinalinrespectofquality,specifications,performanceandqu

11、antity/weight.ParticularsandresultsofthetestcarriedoutbythemanufacturersmustbeshowninastatementtobeattachedtothesaidQualityCertificate.14.不可抗力:无论在商品制造或装运或转运期间,如有不可抗力事件发生,卖方将不对由此而导致的逾期或不能交货负责。但此时,卖方应立即将不可抗力事件通知买方,并于通知后十四天内以传真方式向买方提供一份由不可抗力事件发生地权威机构出具的不可抗力事件证实。卖方不能获得出口许可证不得作为不可抗力。在这种情况下,卖方仍有义务竭尽全力尽快交货

12、。如不可抗力事件持续超过十周,买方有权撤销合同,买方在银行所支付的费用由卖方承当.ForceMajeure:TheSellersshallnotbeholdresponsibleforthedelayinshipmentornon-deliveryofthegoodsduetoForceMajeure,whichmightoccurduringtheprocessofmanufacturingorthecourseofloadingortransit.TheSellersshalladviceBuyersimmediatelyoftheoccurrencementionedaboveandwi

13、thinfourteendaysthereafter,theSellersshouldsendbyairmailtotheBuyersfortheiracceptanceacertificateoftheaccidentissuedbytheCompetentGovernmentAuthoritieswheretheaccidentoccursasevidencethereof.SellersinabilityinobtainingexportlicenseshallnotbeconsideredasForceMajeure.UndersuchcircumstancestheSellers,h

14、owever,arestillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods.Incasetheaccidentlastsformorethan10weeks,theBuyersshallhaverighttocanceltheContract,thesellersbeartheexpenseswhichpaidtothebankbythebuyers.15.迟交和罚款:如延迟交货除人力不可抗事故者外，卖方应付给买方每一星期按迟交货总值的%的迟交罚款，缺乏一星期的迟交日作为一星期计算，此项罚款总

15、额不超过全部迟交货物总值的5%，在议付货款时由银行代为扣除，或由买方在付款时进行扣除。假如卖方交货延期超过合同规定的10个星期时,买方有权取消合同.尽管取消了合同,但卖方仍须立即向买方交付上述规定罚款.LateDeliveryAndPenalty:Incaseofdelayeddelivery,exceptforforcemajeurecases,TheSellersshallpaytotheBuyersforeveryweekofdelayapenaltyamountingto%ofthetotalvalueofthegoodswhosedeliveryhasbeendelayed.Anyf

16、ractionalpartofaweekistobeconsideredafullweek.Thetotalamountofpenaltyshallnot,however,exceed5%ofthetotalvalueofthegoodsinvolvedinlatedeliveryandistobedeductedfromtheamountduetotheSellersbythepayingbankatthetimeofnegotiation,orbytheBuyersdirectatthetimeofpayment.Thebuyerscancancelthecontractifthesell

17、ersdeliverydateisdelayedupto10weeksaccordingtothecontract,butthesellersstillmustoffertheabovepenaltytothebuyerswithoutconditions.16.仲裁：一切因执行本合同或与本合同有关的争论,应由双方友好协商解决。如经协商仍未能达成协议,则应提交中国国际经济贸易仲裁委员会裁决。根据申请仲裁时该会现行有效的仲裁规则,由申述一方选择该会由该会上海分会在上海进行仲裁。仲裁委员会的裁决为终局裁决,对双方均有约束力。仲裁费用除仲裁委另有决定外,应由败诉一方负担。Arbitration:Al

18、ldisputesinconnectionwiththisContractortheexecutionthereofshallbesettledfriendlythroughnegotiations.Incasenosettlementcanbereached,thecasemaythenbesubmittedtoChinaInternationalEconomicandTradeArbitrationCommissionforarbitration,whichshallbeconductedbyitsShanghaiSub-CommissioninShanghaiinaccordancewi

19、ththeCommissionsarbitrationrulesineffectatthetimeofapplyingforarbitration.Thearbitralawardisfinalandbindinguponbothparties;bothpartiesshallnotseekrecoursetoalawcourtorotherauthoritiestoappealforrevisionofthedecision.ThearbitrationfeesshallbebornebythelosingpartyunlessotherwiseawardedbytheCommission.

20、17.本合同正本一式二份，合同双方各持一份。合同的中英文本如有解释不一致处，以英文为准。本合同经双方签署后生效。ThiscontractismadeinChinese/Englishwithequalvalidity,butthediscordsonthecontractaretobeexplainedwiththeEnglishversion.TheBuyer,theSeller,willholdtwooriginalonesoftheseContractsrespectivelyandtheywillcomeintoeffectbeingsignedbybothparties.仪器配置：买方确认签署：青岛荣通信和国际贸易有限公司QINGDAOGLORYUNITTRADECO.,LTD卖方确认签署：圣欧国际有限公司THESELLERS:SENSOINTERNATIONALLIMITED(Signature)
