2、uyingallsuchZIRCONSANDfromtheSELLER.TheBUYERconfirmedthepurchaseofthecontractedamountfromtheSELLERinthiscontract.AndWHEREAStheBUYER,isdesirousofpurchasingallsuch*offeredbytheSELLER.WHEREAStheSELLER,isatraderoftheproductsubjectedinthiscontract.TheSELLERiswillingtogiveallhisproductionsandsalesinthisco

13、obepresentatsuchSamplingattheBUYERSexpense.PT.SUCOFINDO(SGS)shallanalyzeforZirconDioxide(ZrO2)contentandotherchemicalcompositionondrybasis,freemoisturelossat105DEGREECANDphysicalcompositiononwetbasis.2.ThecostofsuchsamplingandanalysisshallbebornbytheSELLER.Theanalysisthusdeterminedshallbethebasisfor

14、PROVISIONALINVOICEasperClause9.5.TheSELLERshalladvicetheBUYERbyFax/EmailwithinFive(5)workingdaysaftersailingofthevesselfromtheloadingport,ofthecontentsofsuchanalysisCertificateandtheamountoftheProvisionalInvoice.3.Analysisatdischargingport:Atthetimeofdischargingport,CCIQ/CIQChinashalltakerepresentat

15、ivesamplesinaccordancewiththeprevailingstandards.TheSELLERorSELLERSrepresentativeapprovedbytheBUYERshallhavetherighttobepresentatsuchSamplingattheSELLERSexpense.CCIQ/CIQChinashallanalyzethesamplessotakenforphysicalcompositionofIronOreandfreemoisturecontent.4.AftercompletionbyCCIQ/CIQChinaofanalysisf

16、orphysicalcompositionandfreemoisturecontent,thesampletakenforchemicalanalysisshallbedividedintothreeequalpartsandsealed,onefortheBUYER,oneforSELLERandtheThirdtoberetainedforUmpirePurpose.5.CCIQ/CIQChinashallanalyzeoneofportionsforZirconDioxide(ZrO2)contentandotherchemicalcompositiononDrybasisassetfo

17、rthinClause2shallissueaCertificateofsuchanalysis.SuchcertificateshallbecourieredtoSELLERwithin2030daysaftercompletionofdischargeofashipmentofChineseport.6.TheCertificateofCCIQ/CIQChinathusdeterminedshallbeFINALandbeconsideredtoconstitutetheanalysisofFinalSettlementofthesaidshipment,PROVIDEDanydiffer

18、enceinZrO2;Tio2;Sio2;Fe2O3andAl2O3betweenCCIQ/CIQChinasanalysisandtheanalysisofPT.SUCOFINDO(SGS)appointedbytheSELLERattheloadingport,doesnotappeartobemorethan0.2percent.7.IncaseofanydifferenceinpercentageofZrO2contentbetweenCCIQ/CIQchinaandthesaidloadingportanalysisismorethan0.2%to0.5%orifthereexist

19、sasignificantdifferencebetweenthetwosaidanalysisoftherespectofanyoneormorechemicalcontentsotherthanZrO2,thentheexcessivepartover0.2andupto0.5%shouldbeequallybornebythetwoparties.8.AndifthedifferenceinanyofthecontentsZrO2;Tio2;Sio2;Fe2O3andAl2O3betweenthetwoanalysesismorethan1%,theSELLERshallconsultw

20、iththeBUYERtoreconcilesuchdifference.IfafterconsultationbetweentheSELLERandtheBUYER,thedifferencecannotbereconciled,eitherSELLERorBUYERmaybeallowedtoappealtotheoppositeforanumpireanalysisonthereservedumpiresamplebyanumpirechemistmutuallyagreedbetweentheSELLERandtheBUYERandresultofumpireanalysisthuso

21、btainedshallbethanconsideredastoconstitutetheanalysisarebornebythepartywhoseinitialanalysisshowsgreaterdifferencefromtheumpireanalysis.9.IftheumpireanalysisistheexactmeanoftheanalysisofPT.SUCOFINDO(SGS)andtheanalysisofCCIQChina,thensuchexpensesshallbeequallybornebybothparties.8.DETERMINATIONOFQUANTI

22、TYWeighingatloadingport:Attheloadingport,theSELLERattheSELLERSexpensesshallengagePT.SUCOFINDO(SGS)todeterminetheweightoftheshipmentofZirconsandbyscalestheweight/quantityofZirconSandasascertainedandcertifiedshallbethebasicoftheSELLERSinvoice.WeighingattheDischargingport:Atthedischargingport,theBUYERs

23、hallatBUYERSexpenseappliestheChinaEntry-ExitInspectionAndQuarantineBureau/CCIQ/CIQChinaforweighing,theweightofeachshipmentatthedischargingportistobeascertainedbyscales.1.TheweightdeterminedbyCCIQ/CIQchinashouldbeFINALastowetquantityintherelevantshipment,PROVIDEDthatthedifferenceinweightbetweenthewei

24、ghtissuedbyPT.SUCOFINDO(SGS)andbyCCIQChinashallnotbemorethan5%.2.Thefinaldryweightshallbecalculatedbydeductingthefinalfreemoisturecontent,intheeventthatisimpossibleorextremelydifficulttoconducttheweightattheloadingand/ordischargingport;SELLERandBUYERshalldecideanalternativemethodofweighingthroughmut

25、ualagreement.3.Ifnoscaleispreformedatthedischargingport,thePT.SUCOFINDO(SGS)weightcertificateatloadingportwillberegisteredasFINAL.10.PAYMENT1.PaymenttobemadebyIrrevocable,Transferrable,payableatsight95%LetterofCreditcoveringabove100%oftheCIFeachshipmentsValue.2.ThebuyerrshallopenanIrrevocable,transf

26、errable;PayableatSight95%,documentaryLetterofCredittothesellersBank,(StandardCharteredBank,BeijingBrnach)coveringabove100%ofcargovalue.ThetotalamountforthefirstL/CsumisUS$345,000+/-5forthefirstshipment.3.TheMasterL/CopeningbankswillbemajorChineseBanks,intheL/C,mustmark“thisL/CisatransferableL/C,thet

27、ransferringBankisstandardCharteredBank,BeijingBranch4.TheBUYERmustsendacopyoftheL/CDrafttotheSELLERforapproval,oncetheSELLERapproveoftheLetterofCredit.5.Documentsshallbepresentedwithin14daysafterthedateofshipmentbutwithinthevalidityoftheL/C.Theprovisionalpaymentfortheamountof95%ofthecargovalueshallb

33、ofvesselsarrival,ortobeeffectedbyT/Twithin5workingdaysafterreceivingtheCIQSinspectionreport.10.FORCEMAJEUREIntheeventofanystrikes,actofGod,war,warlikeoperations,forcemajeure,lock-out,combinationofworkmen,interferenceoftradeunion,suspensionoflabor,fireaccident,orofanyothercasewhatsoeverbeyondthecontr

34、olofSELLERorBUYERwhetheroftheforegoingnatureornot,preventingthemorhinderingthemoreitherofthemfromgivingorreceivingthedeliveryunderthiscontractshallbesuspendedduringsuchtimeprovidedanysuchinabilitybyeitherpartycontractingheretoBUYERgivingnoticeunderthisclause,thecontractshallbeeachtimeextendedforaper

35、iodequaltotheperiodofsuspension.Butifsuchperiodofsuspensionextendsformorethan90days,thepartyhavingreceivedthenoticeofsuspensionshallhavearighttoterminatecontractforthwithbygivingnoticeofthistotheotherparty.11.PARTIALLOSSIntheeventofpartialloss/ordamagedofthecargoduetoinsuredperilsbeforecompletionofw

36、eighing,samplingandmoisturedeterminationatthedestination,finalsettlementshallbemadeassoonasallthenecessarydataisavailableonthebasisofshippedweight,theassaysagreedtoasprovidedinClause“Weighing,SamplingandMoistureDeterminationand“Assaysonthatpartofcargo,whichhasbeensafely,deliveredandotherwisewiththet

37、ermofthiscontract.12.TOTALLOSSIntheeventoftotallossofthecargo,thefinalsettlementistobemadeassoonasallthenecessarydetailsareavailablebasedonshippedweightandmoisture,assayissuedbytheindependentatloadingandotherwisewiththetermofthiscontract.13.INSURANCEMarineInsurance:TobecoveredbytheSELLERSbeneficiary

38、InsurancewillbecoveredbytheSELLERof110%oftheinvoicevalueagainstALLRISKS,thesellershouldinformbuyerbyfaxwithin3(Three)workingdayfromtheBillofLadingdate:-thedetailsofgoodsdescription,quantity/weight,invoicevalue,B/Ldate,B/LNo.,vesselsname,etc.14.CLAIMSIntheeventthatSELLERisliableforthediscrepanciesand

39、theBUYERlodgesaclaimwithinSixty(60)daysafterdischargeofthegoodsatthedestination,suchclaimmustbeaccompaniedbyaninspectioncertificateissuedbyCIQorequivalent.15.ARBITRATIONANDLAWOFTHECONTRACTAlldisputesinaccordancewiththiscontractshall,unlessamicablysettledbetweenthepartiesbefinallysettledundertherules

40、ofconciliationandarbitrationoftheInternationalChamberofCommerceinSingapore.Itisunderstoodthatintheeventofdisputeorarbitration,boththeEnglishlanguageisworkinglanguages,andtheawardofICCshallbefinalandbindingonbothparties.16.DELAY/NON-DELIVERY1.ShouldtheSELLERfailstoeffectontimeasstipulatedinthiscontra

41、ctowingtocausesotherthanForceMajeureasprovidedinClause10ofthiscontract,theBUYERshallhavetherighttolodgeaclaim.2.PenaltySELLERsFaultshallbechargedatthedailyrateof0.3%ofproratatemporizeofthevalueoftheundeliveredcommoditybutthetotalamountshallnotexceed5%ofthevalueofthecargoinvolved.3.Thedelayofshipment

42、mustnotexceed30daysafterthelatestshipmentdateofthiscontract.Afterthesaid30(Thirty)daysafterthelatestshipmentdateofthiscontract,theBUYERhastherighttocancelthiscontract.4.ShouldtheBUYERfailstoeffectthiscontractowingtocausesotherthanForceMajeureasprovidedinClause10ofthiscontract,theBUYERshouldpaytotheS

43、ELLER3%valueofthetotalvalueofthecargoinvolvedagainstinvoiceissuedbytheSELLERandbybanktransferwithinmaximum10(ten)bankingdaysasforthesubmittedinvoicedate.5.Alternatively,iftheSELLERcannoteffecttheshipmentduetodelayontheSELLERsfault;theSELLERmay,withtheBUYERsconsent,postponedeliveryonpaymentofPenaltyt

44、otheBUYER.6.PenaltyBUYERsFaultshallbechargedatthedailyrateof0.3%ofproratatemporizeofthevalueoftheundeliveredcommoditybutthetotalamountshallnotexceed5%ofthevalueofthecargoinvolved.17.LICENSE,TARIFFS,TAXESANDDUTIESAlllicense,tariffs,taxesanddutieswhetherexistingornewonthemerchandiseanditscontentsorcom

45、mercialdocumentsrelatingtheretoshallbebornebyBUYERintheeventoftheirexistenceinthecountryorregionwherethemerchandisebeingdischarged.Anyexportrelatelicense,taxesordutieswhetherexistingornewleviedinthecountryoforiginshallbebornebySELLER.18.EQUITYInenteringintothiscontract,SELLERandBUYERrecognizethatiti

46、simpracticaltomakeprovisionforeverycontingencythatmayariseduringthelifeofthiscontract.SELLERandBUYERconcurintheprinciplethatthiscontractshallbecarriedoutbetweenthetwopartieswithfairnessandwithoutdetrimenttotheinterestsofeitherparty,andifinthecourseoftheperformanceofthecontractanyinfringementofthispr

47、incipleisanticipatedordisclosed,thenSELLERandBUYERshallpromptlyconferingoodfaithwitheachothertoagreeuponsuchandactionasmaybenecessarytoremovetheclauseorclauseofsuchinfringement19.MISCELLANEOUSThiscontactismadeoutinlanguagesofEnglishthelanguagesarecoequal.ChangestothetermsandconditionsofthisContractm

48、ustbeinwritingandagreedtoinwritingbyallpartiesinvolved.Thiscontractshallbelegalandbindinguponsignatureofthefaxed/e-mailcopies.Uponreceiptofthecountersignedfax/e-mailcopy,theSELLERshallsendfour(4)signedoriginalsbymailorcouriertotheBUYERwhoshallsignandreturntwo(2)originalsthereofdulyexecutedtotheSELLERalsobycourier.Thisshallnotdelaytheopeningofthepaymentinstrumentandismerelyanadministrativeprocedure.Carboncopiescannotbeusedandwillnotbeaccepted.DocumentsinotherthanEnglishlanguageareacceptableifalsoaccompaniedbypropertranslationintoEnglishlanguage.20.VALIDITYOFCONTRACTThecontractw
