3、riodofthisloanis12monthsfromthedateofeffectivenessofthiscontract.ARTICLE2THEPURPOSEOFTHELOAN1.Thepurposeofthisloanisusedforworkingcapitalturnover.2.WithoutwrittenapprovaloftheLender,theBorrowercouldnotusetheloanoutofthescopeofthepurpose.ARTICLE3INTERESTRATEANDCALCULATIONOFINTEREST1.InterestrateThein

4、terestrateshallbe*Duringtheloanterm,ifthecountrysrelatedauthorityadjustedtheinterestrateorthemannerofcalculationofinterest,theinterestofthiscontractshallbeadjustedaccordinglyafteroneyearfromthedateofexecutionofthiscontract.Theadjustmentshallbeconductedwhentheinterestrateareexecutedoneyear.Itisnotobl

5、igedtoinformtheBorrowerwhentheadjustmentofinterest.2.Theinterestshallbecalculatedfromthedateoffirstdrawdownandtheactualdaystheborroweruse.Oneyearshallbecalculatedas360days.3.ThepaymentofinterestsTheBorrowershallpaytheinterestsperquarter.Thepaymentdateshallbe,and.Ifthepaymentforthelastinstallmentisno

6、tonthepaymentdate,theinterestsshalldeducttheinterestfromthebankaccountoftheBorrower.IntheeventthattheBorrowerfailstopaytheinterestsontimeandthebalanceoftheaccountoftheBorrowerisnotenoughforthepaymentofinterest,theLendershallhaverightstocollectapenaltybeing*oftheoutstandingamountperdayfortheBorrowers

7、breachofcontract.ARTICLE4OVERDUEINTERESTSANDMISUSINGINTERESTS1.IftheBorrowerfailstorepaytheloanandcannotreachaagreementwiththeLenderregardingtheextension,theLendershallcollectanoverduepenaltyfor*oftheoverdueamountperday.2.IftheBorrowerfailstousestheloaninaccordancewiththeprovisionssetforthinthiscont

8、ract,theLendershallhaverighttochargeainterestsforthemisusingpartatarateof*perday.ARTICLE5ACCOUNTTheBorrowershallopenReiminbibasicaccountand/orforeigncurrencyaccountattheLenderorLendersbranchfortheuseofdraw-down,repayment,paymentofinterestsandfees.ARTICLE6DRAW-DOWN1.Theloanunderthiscontractisrevolvin

9、g,thebalanceofthiscontractshallnotmorethanthelineofcredit.2.TheBorrowershallsendadraw-downapplicationastheformhereinattachedinthiscontract7daysbeforethedateofdraw-down.3.TheBorrowershallnotdrawtheloanlessthan1million.ARTICLE7CONDITIONSFORDRAW-DOWNThefollowingconditionsshallbesatisfiedinadvanceofthed

10、raw-downdate1.TheBorrowerhasopenedforeignaccountandReiminbiaccountattheofficeoftheLenderorthebranchoftheLender;2.Thiscontractandtheappendiceshavebeeneffective;3.TheBorrowerhasprovidedtherecognitionoftheinvestmentorcertificateoftheinvestmenttotheLender;4.TheBorrowerhasprovidedtheboardresolutionandpow

11、erofattorneyregardingthisloancontract;5.TheBorrowerhasprovidedthelistandthesignaturesampleoftheauthorizedpersonwhoempowertosignthiscontractanddocuments;6.TheGuarantyunderthiscontracthasbeeneffective;7.TheBorrowerhasbeensatisfiedthewarrantsunderArticle11ofthiscontract;8.Theotherrequirementforthedraw-

12、downhavebeensatisfied.ARTICLE8REPAYMENTPLANANDPREPAYMENT1.TheBorrowershallrepaytheloaninaccordancewiththestatusofitscash.TheBorrowershallinformtheLenderthepaymentamountanddate*priortomakethepayment.TheBorrowershallbeobligedtorepaytheprincipalandrelatedinterestsonduedatewithoutanycondition.2.Thepayme

13、ntmadebytheBorrowerandthedeductionfromtheaccountoftheBorrowershallbeusedforrepayingtheinterestatfirstandthenforrepayingtheprincipal.3.IntheeventtheBorrowerfailstorepaytheloan,theLendershallhaverightstodeductthedebtfromthebankaccountoftheBorrowerattheLenderorempowerthebranchesoftheLendertodeductthede

14、btfromthebankaccountoftheBorrowerattheLendersbranches;4.Theinstallmentofrepaymentshallnotlessthan1million.ARTICLE9DEBTCERTIFICATETheLendershallkeeprecordintheLendersaccountfortheprincipal,interestsandfeesandotherfeesoftheBorrowerunderthiscontract;Theabovementionedrecordandthedocumentationforthedraw-

15、down,repaymentandpaymentofinterestisthecertificatesofthedebtsbetweentheBorrowerandtheLender.ARTICLE10GUARANTY1.(theGuarantor)shallbetheguarantorfortheloanunderthiscontractandtakejointlyliabilities.2.Duringthetermofthiscontract,iftheguarantorsfinancialstatusbecomedeterioratedortheliabilitiesforrepaym

16、entofdebtsbecomeweak,theLendershallhaverighttorequesttheBorrowerchangesguarantororprovidemortgageandpawnsecuredforthisloanunderthiscontract.ARTICLE11REPRESENTATIONSANDWARRANTIESI.TheBorrowersrepresentsandwarrantsasfollows1.TheBorrowerisacompanydulyorganizedandvalidlyexistingunderthelawofthePeoplesRe

17、publicofChinaandhasthepowerandauthoritytoownitspropertytoconsummatethetransactionscontemplatedinthiscontractandjointhelitigation.TheBorrowerhasthepowertohandleitassetsusedinoperation.2.TheBorrowerisatitsoptiontosignandperformthiscontract.ItistheBorrowerstruemeaningandhasthepowertosignthiscontractand

18、itisnotbreachitarticleofassociationorregulationsorcontracts.Theprocedureforsignatureandperformanceofthiscontracthasbeengonethroughandfullyeffectiveness.3.Thealldocuments,materials,reportsandcertificatesprovidedtotheLenderbytheborrowerforconsummationofthiscontractistrue,real,competeandeffective4.TheB

19、orrowershallnotconcealthefollowingeventswhichisbeinghappenedorhavebeenhappenedwhichwillcausetheLenderrefusetoextendtheloan(1)TheBorrowerortheprincipalexecutivesoftheBorrowerinvolveinmaterialeventswhichbreachregulations,lawsorcompensationtoothers;(2)Pendingactionsandarbitration;(3)TheBorrowersdebtsor

20、proposeddebtsorliensandotherencumbrances;(4)Theothermatterswillimpactthefinancialstatusorabilitiesofrepaymentforthedebts;(5)TheBorrowerbreachedcontractwhichisbetweentheBorrowerandothercreditors.II.TheBorrowerherebywarrantsasfollows1.Usingthecapitaloftheloanasusagesetforthinthiscontract,theBorrowerwi

21、llnotusetheloanasEquityinvestment;TheBorrowerwillnotusethecapitaloftheloaninvestinsecurity,future,realestateetc.TheBorrowerwillnotlendtotheothersprivatelyorinvolvingothermaterswhichisprohibitedbythecountry.TheBorrowerwillnotmisusingorappropriationoftheloan.2.Makingpaymentandrelatedexpensesinaccordan

22、cewiththeprovisionssetforthinthiscontract;3.Providingupdatedfinancialstatementorfinancialbulletineveryquarter;Providingtheauditedfinancialreportatthefirstquartofeachyear;Providingoperationreport,financialreportorotherfilesandmaterialsandshallwarrantthereality,correctandeffectivenessforthefilesandmat

23、erials;4.Anyanti-guarantyorothersimilardocumentswillnotmakeanyimpactontherightsandbenefitsoftheLenders;5.AcceptingthesupervisionoftheLender,providesassistanceandcooperationfortheLenderssupervisions;6.Willnotreducetheregistrationcapital;PriorapprovalfromthelendershallberequiredwhentheBorrowerchangeso

24、fshareholdersandoperationmanner(includingbutnotlimitedtojointventure,cooperation,jointlycooperation;dissolution,closedown,liquidation,transformation;merger;changetosharecompany,usethehousing,machineryorotherrealassetsortrademark,intellectualproperty,Knowhow,landingusingrightsorotherintangibleassetst

25、oinvestinsharecompanyorinvestmentcompany,tradingofoperationrightorownrightbycontracting,jointoperation,trusteeship)7.TheBorrowershallinformtheLenderandwarrantstheliabilityunderitssecuritywillnotmorethannetassetsoftheBorrowerwhentheBorrowerguaranteeforotherpartyormortgageitsassets.TheBorrowerwarrants

26、thatwillnotdisposetheassetswhichwillmakeadverseimpactonitsabilityofpayingdebts.8.TheBorrowerwillnotpaytheothersimilarloanspriortotheLender;9.TheBorrowerwarrantstoinformtheLenderimmediatelywhenthefollowingeventsoccurred(1)Theeventofbreachofcontractunderthiscontractorotherloanorguarantycontractsbetwee

27、ntheBorrowerandanybranchesofBankofChinaorotherbanks,non-bankfinancialorganization;(2)TheBorrowerchangesshareholdersorrevisethearticleofassociation;(3)TheBorrowersufferdifficultiesandbadresultinfinancialandoperation;(4)TheBorrowerinvolvesinmaterialactionsorarbitration;10.TheBorrowershallkeepsufficien

28、tbalanceforrepaymentprior*totheduedate.11.TheBorrowershallkeepitsbanktransactionsregardingincomecollection,sellforeigncurrencyorbuyforeigncurrencyect.ShallbeconductedattheLenderorotherbranchesoftheLender.Theturn-overforthecapitalshallsatisfythedemandoftheLender;III.TheBorrowersrepresentationsandwarr

29、antshereunderthiscontractshallbeeffectiveeventhoughanymendment,supplementsorrevisedtobemadetothiscontract.ARTICLE12REPRESENTATIONSANDWARRANTSOFTHELENDERI.TheLenderrepresentsandwarrantsasfollows1.TheLenderisastate-ownedcommercialbankorbranchdulyorganizedandvalidlyexistingunderthelawofP.R.Candapproved

30、bytheIndustryandCommercialAdministrationandholdsthefinancialinstitutionslegalpersonlicensesandfinancialinstitutionsoperationlicensetobequalifiedtooperatefinancialbusiness.2.TheLenderhastakenallnecessaryactiontoauthorizetheexecutionofthiscontractandperformanceofitsobligationsunderthiscontract.TheLend

31、erisdulyauthorizedtoextendthisloan.II.TheLenderwarrantsasfollows1.TheLendershallextendtheloaninaccordancewiththeprovisionssetforthinthisContract.2.CollectinterestsinaccordancewiththeregulationsofthePeoplesBank.ARTICLE13EVENTSOFBREACHCONTRACTANDSETTLEMENTI.SettlementoftheBorrowerbreachofcontract1.Eve

32、ntofbreachofcontract(1)TheBorrowerfailstousetheloaninaccordancewiththeagreedusageoftheLoan;(2)TheBorrowerfailstorepaythedueprincipalandpaytheinterests,expensesorotherpayableinaccordancewiththeagreedtermofthiscontract;(3)TheBorrowerbreachestherepresentationandwarrantssetforthinArticle11.(4)TheBorrowe

33、rbreachesotherloanagreementsorguarantyagreementsortheGuarantorbreachtheguarantyagreementwhichmaymakeimpacttheBorrowertoperformtheobligationsunderthiscontract.(5)ConclusiveevidencetoshowthattheBorrowerlosethecapacityofcreditorduringperformanceoftheobligationunderthiscontract,thefinancialconditionsoft

34、heGuarantorareseriouslydeterioratingorotherreasonscausedtheGuarantorthecapacityofcreditdecline.(6)TheBorrowerbreachestheotherobligationsunderthiscontract.2.Undertheabovecircumstances,theLendershallhaverightto(1)RequesttheBorrowertorectifywithintheperioddesignedbytheLender;(2)Ceaseinextendingtheloano

35、rcancelthecredit;(3)DeclaretheloanunderthiscontractisdueandtheLendershallhaverighttodeducttheoutstandingamountfromtheaccountoftheBorrower.TheBorrowershallnotappealagainsttheLender.(4)DeclaretheloanisdueunderotherloanagreementsbetweentheLenderandtheBorrower,requesttheBorrowertorepaytheloanprincipals,

36、interests,andotherexpenses.II.ThesettlementfortheLenderbreachofthecontract1.TheLenderfailstoextendtheloanasagreedinthiscontractwithoutanyreasons;2.TheLenderbreachestheagreedinterestrateandcollectionaddinterestsorotherfees;3.TheLenderbreachestheprovisionssetforthinArticle12;4.Undertheabovecircumstanc

37、es,theBorrowershallhaverightto(1)RequesttheLendertorectify;(2)Repaytheloanaheadoftimeandrefusetopayanycompensationforprepayment.ARTICLE14DEDUCTIONTheBorrowershallpayinfullforthepaymentwithoutanycounteractionoranycondition.ARTICLE15ASSIGNMENTOFTHEDEBTANDCREDIT1.TheBorrowershallnotassignitsrightandlia

38、bilityunderthiscontracttootherthirdpartywithoutanywrittenapprovaloftheLender;2.IntheeventtheBorrowerassignitsrightandliabilityunderthiscontracttootherthirdpartyunderthewrittenconsentoftheLender,thethirdpartyshallabidethiscontractwithoutanycondition.ARTICLE16PERFORMANCEOFOBLIGATIONANDWAIVEROFRIGHTS1.

39、TheBorrowerisindependentcontractorunderthiscontract,itwillnotimpactbyanyotherrelationsbetweentheBorrowerwithotherpartyexcepttheotherprovisionssetforthinthiscontract.2.TheLendergiveanyextension,toleration,favortotheBorrowerorpermittheBorrowertodelayofperformanceanyobligationunderthiscontractshallnoti

40、mpairanyrightsoftheLenderinaccordancewiththiscontractandlaws,regulation,itshallbedeemedtohavewaiveditsrightsunderthiscontractandtheobligationshallbeperformedbytheBorrowerunderthiscontract.ARTICLE17AMENDMENT,SUPPLEMENTANDINTERPRETATIONOFTHECONTRACT1.Thiscontractcouldbeamendedandsupplementeduponthewri

41、ttenagreementsconcludebytheparties.Anyaamendmentandsupplementshallbeintegralpartyofthiscontract.2.Intheeventchangeoflaws,regulationsorlegalpracticewhichwillcauseanytermscontainedinthisContractbecomeillegal,invalidorlossofpractice,theotherpartofthiscontractshallnotbeimpairedbyit.Thebothpartiesshallma

42、keeffortstochangetheillegal,invalidorlossofpracticepart.3.ForthemattersnotreferredinthiscontractshallbeconstruedinaccordancewiththeprovisionsofthePeoplesBankofChina.ARTICLE18DISPUTERESOLUTION,GOVERNINGLAWANDWAIVEROFEXEMPTION1.Theconclusion,interpretationanddisputeresolutionshallbesubjecttotheLawsoft

43、hePeoplesRepublicofChin.Thedisputesarisingfromtheexecutionofthiscontractshallbesettledthroughfriendlyconsultationbybothparties.Incasenosettlementcanbereached,thedisputesshallbesubmittedtothePeoplesCourtofthelocationoftheLenderforjudgment.2.TheBorrowershallnotrejectanyobligationduringthesettlementofd

44、isputes.3.Theexecutionandperformanceofthiscontractandtherelatedtransactioniscivilbehavior.TheBorrowershallnotappealtotakeactiontoexemptfromtheobligationunderthiscontract.(ifbothpartiesagreetoapplyarbitration,theabovetermshallbe)1.Theconclusion,interpretationanddisputeresolutionshallbesubjecttotheLaw

45、softhePeoplesRepublicofChin.Thedisputearisingfromtheexecutionofthiscontractshallbesettledthroughfriendlyconsultationbybothparties.Incasenosettlementcanbereached,thedisputesshallbesubmittedtoChinaInternationalEconomicandtradearbitrationcommissionforarbitration.2.Thearbitrationshallbeconductedinaccord

46、ancewiththeArbitrationLawofPeoplesRepublicofChinaandProvisionalRulesofProcedureofChinainternationaleconomicandtradearbitrationcommission.3.DuringtheArbitration,thiscontractshallbeeffectiveandtheBorrowershallnotdisclaimtheanyobligationsunderthiscontract.4.Theexecutionandperformanceofthiscontractandth

47、erelatedtransactioniscivilbehavior.TheBorrowershallnotappealtotakeactiontoexemptfromtheobligationunderthiscontract.ARTICLE19OTHERMATTERAGREEDBYTHEPARTIES.ARTICLE20APPENDICESThefollowingappendicesshallbeintegralpartofthiscontract1.Draw-downapplication2._ARTICLE21NOTICE1.Anynotice,paymentnoticeortelecommunicationsshallbeforwardedtothefollowingaddressToTheBorrower_Address_PostCode_Fax_ToTheLender_Address_PostCode_Fax_2.Ifanychangeofaddressshallinformtheotherpartyimmediately.3.Anynotice,paymentrequestorcommunicationshallbeforwardedtotheaboveaddress.Thedatesonwhichnoticesshallbedeemedtohavebeen
