6、卖方在现场向用户供应对操作人员的基本培训,培训内容包括设备结构介绍,操作软件使用,设备操作使用,日常保养及保护等；During the equipment installation and acceptance test-run, the engineer from the Seller shall train the operators at the user s sites. This training includes introduction of equipment structure, software operation, equipment operation, routine

7、 maintenance etc. 2. 装运期限 TIME OF SHIPMENT 2.1 装运 Shipment: 收到预付款后 45 天内 ,但卖方发货须以收到买方全款为前提；within 45 days after receipt of payment, but subject to the receipt of full payment. 2.2 不答应分批装运,答应转运；Partial shipment is not allowed; and transshipment is allowed. 3. 装货口岸 PORT OF DELIVERY: 4. 到货口岸 PORT OF AR

22、t class workmanship, brand new, unused and correspond in all respects with the quality, specification and performance as stipulated in contract. 14. 检验索赔INSPECTION AND CLAIMSas per details stipulated in Technical Inspection：按卖方和用户在双方签订的技术协议里的规定办理；Agreement signed by the Seller and User 14.2 索赔 CLAIM

23、S ：在本合同第 1.5 条规定的保证期限内,如发觉货物的质量及 /或规格与本合同规定不符或发觉货物无论任何缘由引起的缺陷包括内在缺陷或使用不良的原料,买方应申请商检局检验,并有权依据商检证向卖方索赔；Within the guarantee period stipulated in Clause 1.5 hereof should the quality and/or specifications of the goods be found not in conformity with the contracted stipulations, or should the goods prov

24、e defective for any reason, including latent defect or the use of unsuitable materials, the Buyers shall arrange for an inspection to be carried out by the China Commodity Inspection Bureau, and have the right to claim against the sellers on the strength of the inspection certificate issued by the s

25、ame Bureau. 14.3 卖方收到买方索赔通知后 , 假如在三十天内未答复 , 应视为卖方同意买方提出的一切索赔；Any and all claims shall be regard as accepted if the Sellers fail to reply within 30 days receipt of the Buyers claim. 15. 索赔解决方法 CLAIMS 如货物不符合本合同规定应由卖方负责,同时买方依据本合同的规定在索赔期限或质量保证期内提出索赔,卖方在取得买方同意后,应按以下方式理赔；In case that the sellers are liabl

26、e for the discrepancies of the above mentioned equipment and a claim is lodged by the buyers within the time-limit of inspection or quality guarantee period as stipulated in this contract, the sellers shall settle the claim upon agreement of the buyers in one or combination of the following ways. 15

27、.1 设备经卖方安装、调试后不能正常运转或达不到技术协议规定的技术要求,卖方同意买方退货,并将退货金额以成交原币归仍买方,并负担因退货而发生的一切费用,包括运费,保险费,商检费,仓租,码头装卸费等其它必要费用；Agree to the rejection of the goods and refund to the buyers the value of the good so rejected in the same currency as contracted herein and to bear all direct expenses in connection therewith in

28、cluding freight, insurance premium, inspection charges, stevedore charges, and all other necessary expenses. 15.2 依据货物的疵劣程度,损坏的范畴将货物贬值；inferiority, extent of damage . Devaluate the goods according to the degree of 15.3 用符合本合同规定的规格,质量和性能的全新零件调换有缺陷的零件,卖方应承担一切费用和风险并负担买方承担的全部直接费用；同时,卖方应按合同规定,相应延长所更换货物的质

30、arded as being accepted if the Sellers fail to reply within 30 days after the Sellers receive the Buyer s claim.The buyer s claim shall be satisfied within 30 days counting from sellers acceptance of the claim. 16. 不行抗拒 FORCE MAJEURE 由于人力不行抗拒的事故,导致卖方交货迟延或不能交货时,责任不在卖方,但卖方应立刻将事故 通知买方,并于事故发生后十四天内将事故发生地

31、政府主管机关出具的事故证明书用空邮寄交买方为证,并取得买方认可,在上述情形下,卖方仍负有实行一切必要措施从速交货的责任；假如事故连续 超过十个星期,买方有权撤消本合同 同时,卖方无条件在合同撤消后 15 个工作日退回全部预付货 款 ； The Sellers shall not be responsible for the delay in shipment or non delivery of the goods due to Force Majeure cases, which might occur during the process of manufacturing or in th

32、e course of loading or transit. The Sellers shall advise the Buyers immediately of the occurrence mentioned above and within fourteen days thereafter, the Seller shall send by airmail to the Buyers for their acceptance a certificate of the accident issued by the competent Government Authorities wher

33、e the accident occurs as evidence thereof under such circumstances the Sellers, however, are still under the obligation to take all necessary measures to hasten the delivery of the goods. In case the accident lasts for more than ten weeks the Buyer shall have the right to cancel the Contract. at sam

34、e time ,the seller within 15 days after the cancellation of the contract unconditionally return all prepaid ；17. 迟交和罚款 LATE DELIVERY AND PENALTY除人力不行抗拒的事故外,假设卖方不能按合同规定准时交货 件下延期交货；此项罚款总额不超过全部迟交货物总额的, 经买方同意 , 卖方可在缴纳罚金的条 5%, 付罚金的比例为每一星期按迟交货总值的 0.5% 交罚款,不足一星期的迟交日数作为一星期运算,如迟延交货超过原定期限十星期时,买方有权终止本合同；但卖方仍应向

35、买方缴付以上规定之罚款,不得推诿或迟延；同时卖方无条件退回全部预付货款 Should the Sellers fail to make delivery on time as stipulated in the Contract, with exception of force majeure causes specified in Clause 18 of this Contract, the Buyers shall agree to postpone the delivery on condition that the Sellers agree to pay a penalty. Th

36、e penalty, however, shall not exceed 5% of the total value of the goods involved in the late delivery. The rate of penalty is charged at 0.5%for every seven days odd days less than seven days should be counted as seven days. In case the Sellers fail to make delivery ten weeks later than the time of

37、shipment stipulated in the Contract, the Buyers shall have the right to cancel the contract and the sellers, in spite of the cancellation, shall still pay the aforesaid penalty to the Buyers without delay. at same time,the seller unconditionally return all prepaid；18. 责任与赔偿 Ability and Indemnity: 18

38、.1 The Seller shall indemnify the Buyer against liabilities incurred or suffered by the Buyer in connection with any death or personal injury caused by the Sellers negligence or resulting from any defect in the goods caused by the Seller. 卖方应确保,买方不因卖方过失或其产品的任何缺陷而承担任何人身损害赔偿责任；就该等损害赔偿责任,应由卖方予以承担；18.2

39、The Seller shall be liable to the Buyer for physical loss of or physical damage to property of the Buyer caused by the Sellers negligence or which results directly from a breach of this contract by the Seller or directly from any defect in the goods caused by the Seller. 因卖方过失、卖方违约行为或卖方缘由造成的产品缺陷,直接导

40、致买方实体缺失或买方有形财产的缺失,卖方应当向买方承担责任；18.3 The Sellers total liability to the Buyer in respect of loss or damage arising under section 18.2 shall be limited to the total amount payable by the Buyer under this contract. 就第条中所商定的缺失或损害,卖方的全部责任应限定于买方依据本合同所应支付的全部价款；18.4 In no event shall the Seller be liable for

42、Buyer shall indemnify the Seller, its officers, employees, subsidiaries, parents and affiliates against liabilities for death or personal injury to any person or for loss of any property caused by the Buyers negligence.买方应确保,卖方及其经理人员、雇员、分支机构、母公司及联属机构不因买方过失而承担任何人身损害或财产缺失；就该等人身损害及财产缺失,应由买方予以承担；19.1 仲裁

43、：凡因本合同引起的或与本合同有关的任何争议,均应通过友好协商解决；如协商不成应提交；仲裁裁中国国际经济贸易仲裁委员会,依照申请仲裁时该会现行有效的仲裁规定,在北京进行仲裁决是终局的,对双方均有约束力；All disputes arising from or in connection with this Contract or the execution thereof shall be settled by friendly negotiation. In case no settlement can be reached, the disputes shall be submitted t

44、o China International Economic and Trade Arbitration Commission in Beijing, China for arbitration in accordance with the Commissions arbitration rules in effect at the time of applying for arbitration. The arbitration award shall be final and binding upon both parties, and neither party shall seek r

45、ecourse to a law court nor other authorities to appeal for revision of the decision.
