15、g notice 15. 装运 条款 （ Terms of Shipment） ：卖 方应 在合 同规 定的装 运日 期前 20 天 通知 买方 合同 号、 品 名、 数量 、金额、包装件、毛重 、尺码 及装 运港 可装 日期，以便买方 安排 租船 /订 舱。装运 船只 按期 到达 装 运港 后， 如卖 方不 能按时 装船 ，发 生的 空船费 或滞期费 由卖 方负 担。 在 货物 越过 船弦 并脱 离吊钩 以前 一切 费用 和风险 由卖方负 担。The Seller shall, 20 days before the shipment date specified in the Contrac

In the event of the Sellers failure to effect loading when the vessel arrives duly at the loading port, all expenses including dead freight and/or demurrage charges thus incurred shall be for the Sellers account. 16. 装运 通知 （ Shipping Advice）：一但 装载 完毕 ，卖 方 应立 即 通 知买 方合 同编号 、品 名、 已发 运 数量 、发票总 金额 、毛

19、nt is prohibited. 转运 被允 许， 和 分 批装运 被禁 止。19. 检验 （ Inspection ）：发货 前， 制造 厂应对 货物 的质 量、 规 格、 性能 和数 量/重 量作 精密 全面的检 验， 出具 检验 证 明书 ，并 说明 检验 的技术 数据 和结 论。 货到目 的港后， 买方 将申 请中 国 商品 检验 局(以下 简称商 检局 )对 货物 的 规格 和数 量 /重量 进行 检验 ， 如 发 现货 物残 损或 规格 、数量 与合 同规 定不 符，除 保险公司 或轮 船公 司的 责 任外 ，买 方得 在货 物到达 目的 港后 的 10 日内 凭商 检局出 具的

20、 检验 证书 向 卖方 索赔 或拒 收该 货。在 保证 期内 ，如 货物由 于设计或 制造 上的 缺陷 而 发生 损坏 或品 质和 性能与 合同 规定 不符 时，买 方将委托 中国 商检 局进 行 检验 。The manufacturers shall, before delivery, make a precise and comprehensive inspection of the goods with regard to its quality, specifications, performance and quantity/weight, and issue inspection

21、certificates certifying the technical data and conclusion of the inspection. After arrival of the goods at the port of destination, the Buyer shall apply to China Commodity Inspection Bureau (hereinafter referred to as CCIB) for a further inspection as to the specifications and quantity/weight of th

23、ance Company or Shipping Company, the Buyer shall, within 10 days after arrival of the goods at the port of destination, claim against the Seller, or reject the goods according to the inspection certificate issued by CCIB. In case of damage of the goods incurred due to the design or manufacture defe

24、cts and/or in case the quality and performance are not in conformity with the Contract, the Buyer shall, during the guarantee period, request CCIB to make a survey. 20. 索赔 （ Claim ） ：买方 凭其 委托 的检 验 机构 出具 的检 验证 明书向 卖方 提出 索赔 （包括 换货），由此引起 的全 部费 用应 由卖 方负 担。若卖 方收 到上 述索 赔后 30 天未予 答复 ，则 认为 卖 方已 接受 买方 索赔 。Th

25、e buyer shall make a claim against the Seller (including replacement of the goods) by the further inspection certificate and all the expenses incurred therefrom shall be borne by the Seller. The claims mentioned above shall be regarded as being accepted if the Seller fail to reply within 30 days aft

26、er the Seller received the Buyers claim. 21. 迟交 货与 罚款 （ Late delivery and Penalty） : 除合 同第 21 条不可 抗力 原因 外，如 卖方 不能 按合 同规 定的 时 间交 货，买方应 同意 在卖 方支 付 罚款 的条 件下 延期 交货。 罚款 可由 议付 银 行在 议付货款 时扣 除，罚 款率 按每 一天 收 0.02% ，不足 一天 时以 一 天 计 算。但 罚款不得 超过 迟交 货物 总 价的 3%。如卖 方 延期交 货超 过合 同规 定 15 天时 ，买方 有权 撤销 合同 ， 此时 ，卖 方仍 应不 迟

27、延地 按上 述规 定向 买方支 付罚款。 买方 有权 对因 此 遭受 的其 它损 失向 卖方提 出索 赔。Should the Seller fail to make delivery on time as stipulated in the Contract, with the exception of Force Majeure causes specified in Clause 21 of this Contract, the Buyer shall agree to postpone the delivery on the condition that the Seller agre

The rate of penalty is charged at 0.02% for every day, odd days less than one days should be c

29、ounted as one days. But the penalty, however, shall not exceed 3% of the total value of the goods involved in the delayed delivery. In case the Seller fail to make delivery 15 days later than the time of shipment stipulated in the Contract, the Buyer shall have the right to cancel the Contract and t

30、he Seller, in spite of the cancellation, shall nevertheless pay the aforesaid penalty to the Buyer without delay.The buyer shall have the right to lodge a claim against the Seller for the losses sustained if any.22. 不可 抗力 （ Force Majeure ） ：凡在 制造 或装 船运 输 过程 中， 因不 可抗 力致使 卖方 不能 或推 迟交 货时，卖方 不负 责任 。在 发

31、生上 述情 况时 ，卖方 应立 即通 知买 方，并 在 14 天内，给买 方特 快专 递一 份 由当 地民 间商 会签 发的事 故证 明书 。在 此情况 下，卖方 仍有 责任 采取 一 切必 要措 施加 快交 货。如 事故 延续 4 星 期以 上， 买方有 权撤 销合 同。The Seller shall not be responsible for the delay of shipment or non-delivery of the goods due to Force Majeure, which might occur during the process of manufactur

32、ing or in the course of loading or transit. The Seller shall advise the Buyer immediately of the occurrence mentioned above and within14 days thereafter the Seller shall send a notice by courier to the Buyer for their acceptance of a certificate of the accident issued by the local chamber of commerc

33、e under whose jurisdiction the accident occurs as evidence thereof. Under such circumstances the Seller, however, are still under the obligation to take all necessary measures to hasten the delivery of the goods. In case the accident lasts for more than 4 weeks the Buyer shall have the right to canc

In case no settlement is reached, the dispute shall be submitted to China International Economic and Trade Arbitration Commission (CIETAC),Shenzhen Commission for arbitration in accordance with its rules in

36、 effect at the time of applying for arbitration. The arbitral award is final and binding upon both parties. 24. 通知 （ Notices): 所有 通知 通过 传 真 /电子 邮件 /快件 送达 给各 方。如 果地 址有 变更，一方应在变 更后 3 日内书 面 通知 另一 方。All notice shall served to both parties by fax/e-mail/courier.If any changes of the addresses occur, one

37、party shall inform the other party of the change of address within 3 days after the change. 25. 本合 同使 用的 FOB 术语系 根据 国际 商会 2010 年国 际贸易 术语 解释通则 。The terms FOB in the Contract are based on INCOTERMS 2010 of the International Chamber of Commerce. 26. 附加 条款(Additional clause)：本合 同上 述条 款与 本 附加 条款 抵触 时， 以本

38、附 加条 款为 准。Conflicts between Contract clause hereabove and this additional clause, if any, it is subject to this additional clause. 27. 本合 同用 中英 文 两种 文字 写成，两种文字 具有 同等 效力。本合 同一 式两份 ，买 卖双 方各 执 一份 为证 。自 双方 代表签 字（ 盖章 ）之 日 起生 效。This Contract is executed in two counterparts each in Chinese and English, eac
