4、EM, Products with the brand designated by Party A ( the “Products”). 合作方式：双方同意A方以OEM方式销售合作产品，B方采用OEM方式研发、生产并提供合作产品，合作产品的商标由A方授权。1.2 Definitions: 定义1.2.1 Products:合作产品：是指B方根据A方或A方客户要求设计、研发、生产的 产品：1.2.2 OEM: The Products with the brand designated by Party A shall be technically based on the products d

5、eveloped and designed by Party B and approved by Party A.OEM方式：指A方授权B方在产品或产品的载体上印制A方名称和商标，同时A方也有权禁止B方将其名称和商标印制在产品上。1.2.3 Purchase Order：订单：指A方出具的用于向B方订购产品的正式文件。1.3 Duration：This Agreement shall be for a period of years from the date of execution unless terminated earlier in accordance with the provi

6、sions of this Contract.协议有效期：本协议自签订之日起生效，有效期为 年，本协议自有效期满时终止或本协议中约定的终止情况发生时终止。Section 2 Brand and Trademark:第二条： 品牌和商标2.1 Party A grants Party B to use the Brand and Trademark on the products.A方授权B方在合作产品上使用A方名称和商标。2.2 Party B undertakes not to use the Trade Mark in any way without the expressed appro

7、val of Party A. The Trade Mark can only be used in products as approved by parties.B方按双方约定范围和方式使用A方提供的名称和商标，不侵犯A方名称或商标。2.3 Party A warrants that the Brand and Trademark do not infringe any admissible intellectual property right of any third party, Otherwise, Party A shall indemnify Party Bs loss and

8、 damage result from such infringement (including but not limited to attorney fee, any penalty, damage or compensation.) A方保证其提供的名称和商标等不侵犯任何人的权利，若B方因产品侵权而导致的一切损失（包括但不限于直接经济损失、律师费），A方应予以赔偿。2.4 Party A shall provide Party B with the corresponding brand symbol, brand LOGO image and other relevant brand

The cost of putting the brand on the Products shall be for the account of Party B.A方应当将相应的商标、商标LOGO设计以及其他相关的商标或设计提供给B方。将商标印制在产品上的费用由B方承担。Section 3, Products, Quality Standards.第三条：产品质量标准3.1 Party B hereby guarantees that the Products provided to Party A will comply with the quality st

10、andards provided in this Agreement, country standards, Party As factory standard or as maybe agreed upon in writing by both parties. If the liability of the products quality is caused by As directions, B will not be with responsibility for the liability.B方承诺，提供给A方的产品符合本协议约定的质量标准或B方的工厂标准或者双方书面同意的标准。如

11、果产品的质量责任是由A方的指示造成的，B方不承担相关责任。Section 4, Rights and Obligations第四条：双方的权利与义务4.1 Party A warrants that it shall not divulge relevant technical materials to a third party. In case of violation by Party A of its warranty, Party B shall have the right to terminate this Agreement immediately by giving writ

12、ten notice to Party A.A方承诺，不会将获悉的B方的相关技术资料泄露给第三方。如果A方违反其承诺，B方书面通知A方后有权立即终止本协议，并要求A方赔偿由此引起的一切损失。4.2 Party A further warrants that it will not dismantle or dissect the Products or counterfeit the Products. In case of violation by Party A of its warranty, Party B shall have the right to terminate this

13、Agreement immediately by giving written notice to Party A. When the Intellectual Property Rights of Party B is violated, Party B shall have the right to claim the legal and or/ economic compensation from the Party A.A方进一步承诺，不拆解产品或者仿冒产品。如果A方违反其承诺，B方在书面通知A方后有权立刻终止本协议，并且B方有权要求A方给予经济赔偿。4.3 Party B warra

14、nts that it shall not directly or indirectly contact with Party As customer or sell product, whether directly or indirectly to Party As customer. Except the approval of Party A.B方保证，不直接或间接和A方客户联系，并且不直接或间接向A方客户销售产品，A方同意除外。4.4 Party B warrants that the Product do not infringe any admissible intellectu

15、al property right of any third party, including, but not limited to, copyright ,patent and/or trade secret. B方保证，OEM产品不侵犯任何第三方的知识产权，包括但不限于，著作权、专利权或商业秘密。4.5 Party B warrants and shall provide the technical materials covering the Products and shall help Party A finish the corresponding advertising mat

16、erials and manuals.B方保证，提供有关产品的技术资料，协助A方完成相应的说明资料和手册。4.6 Party B warrants and shall provide Party A with relevant written instructions covering technical problems under the Users Service.B方保证，在用户服务中向A方提供相关的书面的技术问题的说明。4.7 Party B warrants and shall inform Party A of any a new product.B方保证，在有任何新产品时将通知

17、A方。Section 5. Intellectual Property.第五条：知识产权5.1 The Intellectual Property of the Brand and Trademark belongs to Party A. The infringement and all expense because of the band and trademark should be compensated by A.合作产品中的商标的知识产权由A方享有，因商标产生的的侵权责任及全部损失由A方承担。5.2 The Intellectual Property of the Product

18、s belongs to Party B, except the Brand and Trademark.合作产品除商标权外的知识产权由B方享有。Section 6. Order第六条：订货6.1 The Purchase Order sent by Party A, should include the product name、price、quantity、shipment、insurance、payment and so on. And Party B should accept or refuse or request to change it in 5 work-days.对于每一单

19、合作产品的订货，A方向B方发出订单，订单内容应包括产品名称、价格、数量、装运方式、保险、付款方式等。对订单内容，B方在5个工作日内表示接受或拒绝或要求变更。6.2 Once Party B accept the purchase order, Party A cannot change or cancel it without the approval of Party B.在B方接受订单后，A方不得随意变更或取消订单，若需变更需征得B方同意。Section 7Payment第七条： 付款方式7.1 The payment shall be paid by Party A to Party B

20、 under an irrevocable letter of credit within seven(7) days after Party B has received Purchase Order from Party A.在B方接受订单后的7日内，A方应向B方开出不可撤销即期信用证。Section 8. Termination第八条： 协议终止8.1 Either Party may terminate this Contract, by giving a 60 days prior written notice to the other Party.任何一方均可以提前终止本协议，只需

21、提前60天书面通知对方即可。8.2 Without prejudice to either parties other remedies, either party shall have the right to terminate the Contract forthwith if:若不影响一方采取其他补救措施时，另一方均有权根据以下条款终止合同：a) Any party commits a material breach or persistent breaches of the Contract and fails to remedy the breach within 7 days o

22、f receiving of written notice to do so; or 一方构成重大违约或惯常违约，且在接到对方书面通知后7天内没有采取修正措施；或者b) Any party becomes insolvent, ceases to trade, compound with its credits, commits an act of bankruptcy, or a bankruptcy petition or bankruptcy order is presented or has a receiver appointed, or a resolution or petiti

23、on to wind up the Party is passed or presented (otherwise than for reconstruction or amalgamation).一方无能力继续履行合同、信用损毁、面临破产或受破产的申请或命令，或被指定接管，或者结束该方的决议或申请被通过或提交（除重组和合并之外）。Section 9. Force Majeure第九条：不可抗力9.1 “Force Majeure” shall mean all events which are beyond the control of the Parties to this Contrac

24、t, and which are unforeseen, unavoidable or insurmountable. Such events shall include earthquakes, typhoons, flood, fire, war, strikes, riots, acts of governments, changes in law or the application thereof or any other instances which cannot be foreseen, prevented or controlled, including instances

25、which are accepted as Force Majeure in general international commercial practice. 不可抗力事件是指不能预见、不能避免并不能克服的客观事件，包括自然灾害、火灾、水灾、台风、海上风险和意外及其他恶劣的天气状况、战争、动乱、暴乱、罢工、政府部门及其授权部门的任何法律、命令、文告、法规、法令和要求及其它不能控制的客观事件。9.2 The Party claiming Force Majeure shall promptly inform the other Parties in writing and shall fur

26、nish sufficient proof of the occurrence and duration of such Force Majeure.任何一方在发生不可抗力事件后应及时书面通知对方该事件的开始日期和预期持续时间。9.3 A party cannot claim any compensation and/or damages based on delay or non-fulfillment of obligations by the other party due to force majeure.由于不可抗力事件，一方迟延或未完全履行合同义务，另一方不能因此要求任何补偿或赔偿

Confidentiality第十条： 保密The Parties should:a) Maintain the confidentiality of Confidential Information;b) Not use Confidential Information for any purposes other than those specifically set out in this Contract; and c) Not disclose any such Confidential Information to any person or entity

28、, except to its employees or employees of its Affiliates, its agents, attorneys, accountants and other advisors who need to know such information to perform their responsibilities.双方在对合作过程中所知悉的对方的商业机密应严格保守，不得透露给任何第三方或利用对方的商业秘密营利。Section 11. Settlement of Disputes.第十一条：法律与争议解决11.1 The validity, inter

29、pretation and implementation of this Contract shall be governed by the laws of the Peoples Republic of China.本协议的订立、解释和履行均适用中华人民共和国法律。11.2 In the event of any dispute, controversy or claim arising out of or relating to this Contract, the Parties shall attempt in the first instance to resolve such di

30、spute through friendly consultations. In the event that no settlement can be reached, such disputes shall then be submitted to SHANGHAI for arbitration.因履行本协议产生的纠纷，双方应友好协商解决；若协商不成，双方一致同意提交上海仲裁委员会进行仲裁。Section 12. This contract is issued in both Chinese and English, the clauses in which have the same effects.第十二条 本合同以中文和英文两种文字书就，两种文字的条款具有同等效力。 A方： B方：盖章签字： 盖章签字：-
