1、融资服务合同范本（一）?甲方：_法定代表人：_乙方：_法定代表人：_甲乙双方本着诚实信用、互利互惠、公平自愿的原则，经友好协商，现签署本建立长期友好合作关系协议书，以资双方共同遵守。第一条合作领域1.1 共同合作出任拟到海外上市的公司的投融资、财务、上市和资本运作顾问。凡是乙方在境内外承揽到的拟进行股份制改造、到海外上市的企业或其它资本运作项目，在同等条件下，优先及甲方合作，共同担任该等企业或项目的投融资、财务、上市和资本运作顾问，为企业提供包括股份制改造、资金融通、资产重组、上市策划、创业投资、协助股票承销等业务在内的一条龙服务。1.2 共同开拓境内外资本市场的其它业务。乙方同意为甲方提供及

2、国内各级政府部门、大型券商、中介机构、优秀民营企业接触和合作的机会，甲方同意为乙方提供及境外大型券商、外商投资机构、中介机构接触和合作的机会，共同开拓境内外资本市场，接受外资的委托投资国内的证券市场或接受国内资金的委托投资海外的证券市场;组织境内外资本参及国内优秀企业或项目的资产重组、收购兼并或风险投资等等。1.3 在内地或海外共同举办项目融资交流会。第二条乙方责任2.1 向甲方推介中国境内的拟海外上市项目，对项目进行筛选并就选中的项目及时、完整、准确地向甲方提供项目推介数据。2.2 及境内拟海外上市的有关公司进行接洽及前期谈判。2.3 安排甲方及其相关其它合作机构及拟上市公司进行正式谈判。2

3、.4 向甲方提供国内相关的公关服务或咨询。第三条甲方责任3.1 甲方承诺，及乙方在中国境内建立战略合作关系，并提供乙方为开展相关业务所需的文件。3.2 甲方向乙方推荐的项目进行协助，制定计划，安排承销商及其它专业团体，跟进法律相关文件。3.3 甲方承诺及时为乙方提供海外资本市场的相关信息，以及甲方希望乙方提供的材料所遵循的文件格式。3.4 派出人员协助乙方开展相关财务顾问工作。第四条收益分配比例4.1 对于甲方接受的乙方推介之项目，乙方向项目方收取的财务顾问费用，甲方不参及分配;双方收益分配仅限对于甲方从乙方推介之项目方所收取的各项费用。4.2 双方收益分配比例根据项目具体情况及各自所承担的责

4、任和工作量的大小的不同，事先在工作协议中协商确定。第五条保密条款5.1 甲乙双方对对方提供的企业文件、项目数据、技术秘密、调查方案、投资方案、生产信息、财务数据、商业秘密、谈判内容、相关协议等均须承担保密义务，未经对方书面同意，不得以口头或书面形式将上述内容泄漏给协议以外的第三方。5.2 甲乙双方有义务要求其参加项目工作的职员及其委托的律师、会计师等中介机构承担同样的保密义务。第六条本协议的签署、生效和终止6.1 本协议书由甲乙双方的法定代表人或授权代表签署，并于签署后即行生效。合同有效期三年。6.2 本协议一式两份，双方各执壹份，具有同等法律效力。甲方(盖章)：_代表(签字)：_年_月_日乙

7、20分钟后，就忘记记忆内容的42%，1天后忘却量已经达到了66%，到了第31天，忘却量高达79%。他根据实验结果，画成了著名的遗忘曲线。并表明遗忘的规律是“先快后慢”。这条规律提示我们，定要尽早、及时地对所学知识进行复习，以便在知识还在大脑内时就加深印记，否则大脑中已经没有痕迹了，只能再费精力重学。合理安排复习时间特别重要并且必要，制定复习计划，严格按精英特计划执行，并力求形成习惯，是我们每一位学生都应该力求努力做到。我们为什么要复习呢？因为我们记忆效果没有那么好，不可能过目不忘，所以需要重复、增强记忆。同时，复习的进展也有利于学习效率的提高。四、做作业的科学方法这里有七种做作业的技巧：1、先
