1、融资合同书签约地点：签约时间：甲方（资金方）：乙方（借款方）：一、总则甲方以公司法人全部的经济和法律责任保证，安排好清洁、干净、无犯罪性质的资金为乙方的项目融资。乙方以公司法人全部的经济和法律责任保证，有能力从银行开出存款单，作为乙方 项目开发的融资条件，并同意以相应项目担保，采取项目托管的方式融资。二、融资及其相关条件1、币种：美元.欧元.人民币2、融资总金额：3、融资条件：有效期一年以上的银行存款单或信用证或保函。4、开证银行：中国四大商业银行、交通银行或民生银行、中信实业银行等；国际知名银行。5、借款年限： 3-20年期6、一次性贴息 6-8%（各种费用：美国银行操作费、美国投资公司佣金

2、、中方中介费等）。7、融资年利率：2.95%（暂定）。最终确定的利率以甲方打入第一笔款时美联储公布的长期贷款利率为准，而且该利率在借款期限内不变。8、首批过款：万美元9、后续过款：按双方商定的过款计划执行10、查询方式：swift11、操作方式：银行对银行12、为了监控资金更好地运作，甲方派出两名人员进入项目公 司领导层，参及项目的建设和运营（宏观）。13、如因乙方经营不善而造成亏损，到期不能偿还借款时，按中国有关法律进行核定乙方相关资产，以其相关资产划给甲方。三、操作程序1、 双方完成一切融资条件条款谈判前期工作后，首先通过电子邮件或传真对本合同进行签约确认。2、经传真签约确定后3个银行工作

3、日内，双方正式签订本合同，同时乙方提供接款银行坐标及公司有效的法律文本，公司营业执照复印件、法人代码证书复印件、法人代表身份证复印件、董事会关于融资的决议书、全权委托书等。3、正式签订合同后，乙方应在半个月内从银行开出正本银行存款单，并将银行存款单原件扫描件e-mail给甲方。4、甲方银行收到乙方银行开出的正本银行存款单扫描件e-mail后，通过swift进行查询，经查询无误后在15个银行工作日内按乙方要求向接款银行发出付款通知。5、 甲方付款通知发出后在21个银行工作日内将首批款打到乙方指定的接款银行。6、 在第一笔款到位后，余款在3-5个月内全部付清。7、乙方收到全款后，甲方在每年12月1

4、5号之前，凭乙方开户的相关银行向甲方开出的利息单取息，同时银行开出第二年的利息单交由甲方。8、乙方开出的银行存款单在一年零一个月后自行解冻。四、法律依据巴黎国际商会icc500（1993年）最后修订版条款。五、共同遵守条款本合同一经签约，任何一方不得以任何理由终止或撤消此合同。六、违约责任1、甲乙双方认真执行合同条款；根据icc500条款，违约方向守约方赔偿合同金额的1%违约金，并承担相应的法律责任。2、本合同执行icc500条款中，因不可抗力因素、天灾、动乱、战争而造成本协议无法履行时甲乙双方均不承担违约责任。3、不按合同条款操作而导致交易终止或违反合同条款者视为违约。4、乙方保证开出的存款
