1、常年法律顾问合同Agreement on Retaining Legal Counsel客户与律师事务所友好协商，达成如下协议。This Agreement is hereby entered into by and between the Client and the through friendly consultation.The Client and the attorney agency agree as follows, 第一条律师根据客户要求，律师所指定律师担任客户之常年法律顾问（以下称“ 法律顾问 ” ）。必要时，律师所在取得客户书面同意后可指定本所其他律师协助或者代为处理相关

2、事务。本条款不得解释为客户与律师所或者法律顾问之间已建立劳动关系，任何时候律师所均被视为独立的服务提供商。Article 1 Attorneys As requested by the Client, the attorney agency shall designate Attorney Mr. to act as the legal counsels of the Client (hereinafter referred to as the “ Legal Counsel” ). If necessary, the attorney agency may designate other a

3、ttorneys under its employment as supplemental or substitute attorneys with prior written consent of the Client.Nothing contained herein shall be construed as creating the relationship of employer and employee between Promise/Legal Counsel and the Client. Promise shall be deemed at all times to be an

4、 independent contractor. 第二条律师所应提供的法律服务Article 2 Services to Be Provided by the attorney agency 律师所提供以下服务（下称“ 法律服务 ” ）The services (hereinafter referred to “ Legal Services” to be provided by the attorney agency are as follows. 一、 非讼事务 . Non-litigation affairs 1、 为公司日常经营、管理提供法律意见、建议。Provide regular

6、l Opinion Letter”.3、应公司要求参加企业股东大会、董事会等会议并提供法律意见、建议。Provide legal advice on the issues relating to the production, operation and management of the Client. 4、一般情况，在24 小时内回应客户提出的问题，对于客户提出的涉及复杂和重大的问题，在 60 个在小时内回应。In general, the attorney agency shall response with answer to the Client s questions within

7、 24 hours; as for complex and significant legal issues, the attorney agency shall response with answer to the Client s questions within 60 hours.5、为公司处理工商、税务、商务、海关、环保等事务提供法律意见、建议。6、参加商务谈判并提供法律意见、建议。Attend the Client s business negotiation and provide related legal suggestions if requested. 这个条款还可以如下

8、处理：应邀参加客户的商务谈判。Take part in the negotiations between the Client and its customers if requested: 或者Participate in commercial negotiations upon the Client s request.7、为客户的商务规划和财务计划提供书面或口头的法律意见。Offer written and oral initial legal opinion or advice on commercial plans or financing plans of the Client.

11、pinion or advice on the protection of intellectual property rights of the Client, including but not limited to patent right, trademark right, copyright, trade secret and franchise. 12 就生产、经营以及管理事宜向第三方出具律师函，并回应第三方出具的律师函。Issue “ Lawyer s Letter” to third parties on the issues relating to the productio

12、n, operation and management of the Client, and respond to Lawyer s letters issued by third parties. 13 应公司要求代表公司草拟并在媒体发布法律公告。Draft and publicize the “ Legal Notice” in media on behalf of the Client upon the Client s request.14 为公司提供与生产、经营以及管理相关的最新法律法规信息。. Provide the Client with the latest laws and

13、regulations relating to the production, operation and management of the Client. 二、 诉讼/仲裁1、 研究案情并制定处理方案。Arbitration and/or litigation affairs Study the cases and elaborate the handling strategies. 2、 为诉讼 /仲裁草拟相关法律文件。Draft relevant legal documents for arbitration and/or litigation. 3、 代表客户出庭。 Appear i

15、 and can be completed upon agreement of both parties. Consequently, no additional Legal Services will be initiated and/or provided by the attorney agency and/or its Legal Counsel without the prior approval of the Client. 第三条 合同期限本协议自双方签字之日起生效，有效期年 （下称 “ 初始期限 ” ）。本协议在初始期限的最后一日无需另外通知自行终止。初始期限后，本协议每年经双

16、方同意可以续签。任何情况下，本协议的延长应由新的书面协议决定。Article 3 Term This Agreement shall be effective from the date when it is duly executed by both parties and shall remain effective for 1 year (hereinafter referred to as “ Initial Period”.This Agreement will automatically expire on the last day of this Initial Period w

17、ithout any further notice. After this Initial Period, this Agreement can be renewed annually upon agreement between the parties. In any case, any extension of present Agreement will be subject to a separate new written agreement. 第四条 服务费用就第三条第一款所列的法律服务，客户应向律师所支付服务费合计元人民币。本协议签订之日起5 日内，客户应向律师所支付服务费人民币

18、；前支付元人民币，前支付元人民币。客户应支付律师所仲裁或诉讼代理费用，律师所亦同意按照通常的收费标准给予客户8 折优惠。律师所应在提供该服务的当月底通知客户支付相应费用，客户应在收到付费通知之日起15 日内支付。Article 4 Fees for Services Performed. For the Legal Services as listed in Part of Article 2 hereof, the Client shall pay the attorney agency a total service fee of RMB (RMB ). The Client shall

19、pay the attorney agency RMB within 5 working days after this Agreement is executed, pay RMB before , and pay RMB before . The costs for arbitration and litigation affairs will be directly paid by the Client; while the attorney agency shall give the Client 20% discount on its customary charges for 名师

21、e. 第五条 费用报销律师所会不时的为了客户利益支付一些费用。律师所应该仅就已实际支付的费用要求客户报销。应报销的费用包括紧急加班费用、大量的复印工作，较大数额的长途电话费以及必要情况下的差旅费用。超过 300 元的费用支出律师所应事先得到客户的许可。Article 5 Reimbursable Expenses From time to time, the attorney agency may incur expenses on the Client s behalf and the attorney agency shall invoice the Client for only tho

22、se expenses actually incurred. The reimbursable expenses may include overnight delivery charges, large copying jobs, significant long distance telephone charges, and travel related expenses (if necessary). Expenses in excess of RMB300 will not be incurred without first obtaining prior approval of th

23、e Client. 第六条 律师所的义务律师所应该诚实信用地提供法律服务。律师所应该按照相关法律规定以及双方的书面或口头的约定，勤勉、专业地履行自己的义务。律师所承诺在提供法律服务时，充分考虑并保护为其所知的客户的利益和目标。律师所同意补偿因不当法律服务行为给客户造成的损失。律师所应该具有覆盖本协议约定的法律服务的律师执业保险。本协议履行期间或者终止后，律师所不得向第三方披露通过提供法律服务获得的有关客户经营任何信息，包括运营模式、客户信息、商业信息或者其他信息。Article 6 Responsibilities of the attorney agency. The attorney ag

24、ency shall provide the Legal Services in good faith and undertakes to perform these matter with due professional care, in compliance with all relevant legal regulations, on professional level and within terms required by laws or agreed on in this Agreement or which the Parties shall agree upon indiv

25、idually, either verbally or in writing. Promise undertakes to perform the Legal Services, so that all interests and goals of the Client known to it are always taken into consideration and are duly protected. Promise agrees to indemnify the Client for any claims arising out of Legal Counsel s perform

26、ance of services hereunder. 27、reement, the attorney agency shall not disclose to any third party(s) any information concerning the Client s business operation obtained by the attorney agency through providing Legal Services for the Client, such as operation model, customer information, commercial information or any other kind of

28、 information. 第七条 客户义务客户应该充分配合律师所工作，包括向律师所提供所需的信息，以及在律师所的要求下客户或者客户代表能够与律师所磋商、面谈相关事宜。客户提供的信息应该准确、完整，否则律师所不承担因不准确或者不完整信息引起的任何法律责任，律师所亦有权解除本协议。Article 7 Responsibilities of the Client. It is the Client s responsibility to cooperate fully with Promise by, among other things, providing the attorney agenc

29、y with all requested information and making the Client or the representatives of the Client reasonably available for consultation and interviews upon request. The information provided by the Client should be correct and complete; otherwise the attorney agency will be exempted from any legal liabilit

30、ies due to uncorrected or incomplete information provided by the Client and will be entitled to cancellation of the Agreement. 第八条 档案保管除非客户另有要求，律师所在本协议结束后应将法律服务相关记录保管20 年。在客户的要求下，律师所应该允许客户代表或者客户指定的人员在合理的时间查阅相关记录。档案保管期限结束，在客户的要求下，律师所应该向客户返还所有的文件、记录。律师所可以销毁在保管期限结束后未返还客户的以各种媒质保存的档案。Article 8 Records Re

31、tention Unless otherwise directed by the Client, Promise shall retain all records relating to the provision of the Legal services herein for a period of 20 years following the termination of this Agreement. Upon the request of the Client, Promise shall allow representatives or designees of the Clien

32、t to review and/or audit said records at all reasonable times. Upon the request of the Client, after the expiration of the records retention period, Promise shall return all the files and records to the Client. Promise may destroy all records in whatever media that are not returned at the expiration

34、ts or changes to this Agreement shall be made in writing upon previous agreement by both parties. If any term or provision of this Agreement, or any application of any term or provision of this Agreement, is held to be unenforceable, the unenforceability of that term, provision or application shall

35、not affect the enforceability of any other term, provision, or application. This Agreement contains all the terms and conditions agreed upon by the parties. No understandings or otherwise regarding the subject matter of this Agreement shall be deemed to exist or to bind any of the parties hereto. 第十

36、条 准据法及纠纷解决本协议适用中华人民共和国法律，与本协议相关的任何争议应通过友好协商的方式解决；协商不成的，提交中国国际经济贸易仲裁委员会上海分会，其裁定对双方均有约束力。Article 10 Governing Law and SettlementThis Agreement shall be governed by law of the People s Republic of China. Any unsettled matter or any dispute arising from or in connection with this Agreement shall be sett

37、led by amicable consultation or otherwise submitted to China International Economic & Trade Arbitration Commission Shanghai Sub-commission for arbitration, whose award shall be final and binding upon both parties. 第十一条 签字生效本协议以中英文写就，经双方签字后生效。两文本之间存在差异的，以英文本为准。本协议一式两份，每一方各持一份并具有相同法律效力。 Article 11 Est

38、ablishment This Agreement shall be written in English & Chinese and established with both parties signatures.
