1、土地厂房租赁合同以及通用厂房租赁合同合同编号：_土地厂房租赁合同甲方：_乙方：_签订日期：_年_月_日土地厂房租赁合同出租方（以下简称甲方）承租方（以下简称乙方）根据中华人民共和国合同法及相关法律规定，为了明确甲、乙双方的权利、义务，经双方平等协商，签订本合同。一、甲方将位于 市 路 号的 亩土地的使用权及地上建筑物、构筑物、附着物等（见附件）出租给乙方使用。二、乙方承租本宗土地必须进行合法经营，否则甲方有权收回土地使用权，终止合同。三、乙方不得擅自转租本宗土地的使用权，如需进行转租应征得甲方书面同意，否则甲方有权收回土地使用权，终止合同。四、甲方应保证本宗土地上的水、电、暖等基本设施完整，并

2、帮助乙方协调同水、电、暖的提供方的有关事宜，但具体收费事宜由乙与水电暖的提供方协商，所有费用由乙方承担。五、乙方在租用期间，不得随意改变本宗土地状况和地上的建筑物、构筑物、附着物及水、电、暖管网等设施，如确需改动或扩增设备应事先征得甲方书面同意后方可实施，对有关设施进行改动或扩增设备时如需办理相关手续，由乙方办理，甲方根据实际情况给予协助，所需费用有乙方承担，否则，乙方应恢复原状，并赔偿由此给甲方造成的损失。六、乙方租用期间，有关市容环境卫生、门前三包等费用由乙方承担。国家行政收费，按有关规定由甲、乙双方各自负担。七、乙方在租赁期间因生产经营所发生的所有事故及造成他人损害的，由乙方承担责任，与

3、甲方无关。八、合同约定的租赁期限界满或双方协商一致解除合同后10日内，乙方应向甲方办理交接手续，交接时乙方应保证工作人员撤离、将属于自己的设备腾清，并将租赁范围内的垃圾杂物等清理干净。九、租赁期限为 年，从 年 月 日 至 年 日。十、经甲乙双方商定，租金的交纳采取按年支付先付后用的方式，年租金为 元，由乙方于每年 日交纳给甲方 .如逾期交纳租金30日以内，乙方除应补交所欠租金外还应向甲方支付年租金日千分之二的违约金；如逾期超过30日，甲方有权解除合同，乙方应甲方支付年租金百分之二十五的违约金。十一、甲方向乙方收取约定租金以外的费用，乙方有权拒付。十二、在租赁期限内，因不可抗拒的原因或者因城市

10、ntal Purpose1、乙方向甲方承诺，租赁厂房作为办公及仓储展示设施使用，并遵守国家和本市有关租赁厂房使用和物业管理的规定。如该等使用用途需要经过有关部门审批或核准，甲方应当尽一切努力协助乙方获得该等审批或批准。1. Party B promises to Party A that the leased factory will be used for office work, storage and display of facilities, and will obey the domestic and municipal regulations concerning the use

11、 and property management of the leased factory. If such use needs to be approved by relative departments, Party A should make every effort to assist Party B to gain such approval.2、乙方保证，在租赁期内未征得甲方书面同意以及按规定须经有关部门审批而未核准前，不擅自改变上述约定的使用用途。2. Party B promises not to change the above agreed use without Par

12、ty A’s written agreement or not yet gained the approval after checking by relative department according to the regulations during the lease term.第三条交付日期和租赁期限：Article Delivery Date and Lease Term:1、双方约定，甲方应于合同签订且乙方支付首期租金及其他费用后按照本合同的约定向乙方交付租赁厂房。1. Under the agreement of both sides, Party A shoul

13、d deliver to Party B the leased factory after the contract is signed and Party B has paid the down payment and other expenses in accordance with this contract.2、租赁期为四年（含甲方同意乙方续租的二年），自2011年1月1日（“起租日”）起算。乙方续租申请时，应至少于届时当期租期届满前的叁个月前向甲方发出书面通知。续租期内，除租金按本合同第四条第1款作出调整外，本合同其他条款不做变更，双方应按本合同条款（租金除外

14、）在续租期内继续履行本租赁合同。租赁期及续租期（若适用）最终届满时，甲方有权于租赁期最后一日收回租赁厂房，乙方应按期返还租赁厂房。2. The lease term is four years (including Party B’s 2-year extended lease term agreed by Party A), starting from Jan. 1st2011 (Lease Inception Date). When Party B applys for extending the lease, Party A should be noticed in writ

15、ten form within three months before the termination date of the present contract. During the extended lease term, except the rent is adjusted according to Item 1 of Article in this contract, other articles of this contract remain as the same, both parties should obey the articles of this lease contr

16、act ( except the rent). When the lease term and the extended lease term (if applicable) finally end, Party A has the right to repossess the leased factory at the last date of the lease term, Party B should return the leased factory in time.3、如乙方未在上述期限内书面提前续租要求的，乙方应当允许并配合甲方或甲方代理人陪同有承租意向的第三方进入和参观租赁厂房，

17、但甲方应注意尽量减少对乙方正常生产经营的影响，经乙方确认该第三方非竞争对手后，按照乙方确定的时间安排第三方进入和参观。3. If Party B did not demand for extending the lease term in advance in the above term, Party B should allow and assist Party A or Party A’s agent to accompany the third party who is willing to take rent to enter and visit the leased f

18、actory, but Party A should reduce as much as possible the infuence to Party B’s normal production and operation. After confirmed by Party B that the third party is not a competitor, the third party can be arranged to enter and visit the leased factory according to the time determined by Party

19、B.第四条租金Article the Leasing Rent1、租赁期（含续租期）内前二年租赁厂房的租金为每日每平方米建筑面积人民币1.70 元，合计每月租金为人民币玖万肆仟叁佰伍拾元整（小写：￥94,350.00元）；第三年的日租金标准由甲方根据届时的市场价格适当上调，但上调的幅度最多不得超过前一年的日租金标准的10%，从第三年开始以后每二年按照前一年的租金标准上调，但上调的幅度最多不得超过前一年租金标准的10%。1. The leasing rent for the first two years of the lease term(including the extended leas

20、e term) of the leased factory is RMB 1.70yuan per square meter of the construction area per day, total monthly rent is RMB NINETY FOUR THOUSAND THREE HUNDRED FIFTY YUAN (lower case: 94,350.00yuan); the daily rent for the third year will be adjusted appropriately by Party A according to the present m

21、arket, but the increased extent does not exceed 10% of the daily rent standard for the last year, the daily rent will be adjusted according to the rent for the former year every two years since the third year, but the increased extent does not exceed 10% of the daily rent standard for the former yea

22、r.2、乙方应每叁个月向甲方支付一次租金，如租金起算日不是该月首日的，租金起算日所在月之租金应按该月内实际租赁天数计算，并应连同此后叁个月的租金一并同时支付。2. Party B should pay the leasing rent to Party A every three months, if the starting date for rent is not the first day of that month, the rent of the first month since the starting date for rent should be counted accord

23、ing to the practical lease days, and paid together with the rent of the following three months.3、租金支付为先付后用，乙方应于每叁个月届满前10个工作日向甲方支付下叁个月的租金（首期租金除外）。甲方应在届满前20日向乙方开具应付租金金额之正式发票。3. The rent payment method is use after payment, Party B should pay to Party A the rent for the following three months within 10

24、 working days before the present three-month term ends (except the down payment). Party A should offer to Party B the formal invoice for the payable rent amount within 20 days before the present three-month term ends.4、租赁期内的首期租金（即从2011年1月1日起到2011年3月31日止的租金，共计人民币贰拾捌万叁仟零伍拾元整（小写：283050.00元），乙方应于本合同签订之日

25、起并收到甲方开具的正式发票后10个工作日内向甲方支付。4. The down payment for the lease term ( the rent since Jan. 1st2011 to Mar. 31st2011, is in total RMB TWO HUNDRED EIGHTY THREE THOUSAND FIFTY YUAN( lower case: 283050.00yuan, which should be paid by Party B after receiving the formal invoice from Party B within 10 working

26、 days after the signing of this contract.第五条租赁保证金Article V. Lease Deposit1、乙方应当向甲方支付租赁保证金，作为乙方履行本合同中各项约定的保证金。租赁保证金的金额相当于租赁厂房叁个月租金金额的款项，即人民币贰拾捌万叁仟零伍拾元整（小写：283050.00元）。1.Party B shall provide Party A with a certain amount of money as the deposit for the performance of the Contract of Party B. The amou

27、nt of the lease deposit is equal to three months’leasing rent (lower case: RMB 283,050.00 yuan).2、乙方应于向甲方支付首期租金的同时一并支付租赁保证金，甲方于收到足额租赁保证金之日起10个工作日内就该笔租赁保证金向乙方开具正式的收据。2.Party B shall provide Party A with the deposit together with the down payment. Party A shall provide Party B with formal receip

28、t within 10 working days after receiving the due amount of deposit.3、如租赁期内租金标准增加的，租赁保证金金额相应增加，乙方应于收到甲方书面通知后10个工作日内向甲方补足租赁保证金的增加额。3.If the rent standard is increased during the lease term, the amount of the deposit shall be increased accordingly. Party B shall provide Party A with the difference betw

29、een the increased deposit and the previous deposit within 10 working days after being noticed in written by Party A.4、乙方不得将租赁保证金转让或抵押，也不得要求以租赁保证金抵偿租金、物业管理费、水电费等乙方应付而未付的费用或应付而未付给甲方或其他人的赔偿金（以下统称为“应付款项” ），但是，甲方有权使用全部或部分租赁保证金来抵偿任何乙方的应付款项。甲方使用租赁保证金抵偿前应当书面通知乙方，乙方如无正当理由应当在接到甲方通知后10个工作日内将租赁保证金补足

30、。4.Party B shall not assign or mortgage the deposit, orrequest to use the deposit to compensate the payable yet unpaid fees or damages (Payables hereafter) such as rents, property management fees and utility fees. However, Party A has the right to use all or a part of the deposit for any payables by

31、 Party B. Party A shall notice Party Bin written form before using the leasing deposit for any compensation. Party B shall provide Party A with the deducted amount of the deposit within 10 working days after receiving the notice unless there are reasonable excuses.5、租赁期满后或本合同提前终止后，在乙方全部履行本合同各项条款、支付完

32、毕本合同约定应由乙方承担支付的所有费用、办理完毕工商、能源、通讯等的转户或注销手续（如需要），且在乙方按本合同的规定返还租赁厂房后10个工作日内，或乙方因其违反本合同相应条款而向甲方清偿所有“应付款项”后10个工作日内（以较后者为准），甲方将剩余的租赁保证金无息归还给乙方。5.Upon the expiry of tenancy or the early termination of the contract, on the condition that Party B has preformed its obligations accordingto the term

33、s and condition of the contract, paid all of the due fees specified in the contract, and finished the cancel or transfer procedure for industry and commerce, energy and communication accounts (if needed), Party A shall repay Party B with the remainder of the deposit without interests within 10 worki

34、ng days after Party B has returned.第六条其他费用Article Six Other Expenses1、租赁期间，乙方使用租赁厂房所发生的水、电（含基本电价）、燃气、通讯等公用事业费用和物业管理费，将根据有关公用事业单位或物业管理公司规定的收费标准和支付方式计收，由乙方承担。乙方应当及时向甲方、物业管理公司或相关单位支付上述费用，否则由乙方承担因逾期支付上述费用而产生的滞纳金、违约金等。其中，水费现由甲方统一支付给自来水公司、电费现由甲方统一支付给电力公司。乙方每月所用的水费和电费由物业管理公司或甲方统计，按月结算给甲方或甲方指定的单位。乙方应在收到甲方或物

35、业管理公司的书面付款通知后10个工作日内付款。物业管理费可由乙方按时直接支付给物业管理公司，或者在收到甲方或物业管理公司书面付款通知后10个工作日内付款。1.During the lease term, Party B will bear utilities cost such as water, electricity (including basic price), gas and communication as well as property management fee of using the leased factory according tothecharging stan

36、dard and payment method regulated by utility units or property management company. Party B shall pay above expenses to Party A,property management company or concerned units in time, otherwise Party B shall bear overdue fine and breach penalty due to overdue payment of above expenses. Water charge w

37、ill be uniformly paid tothewater supplycompany by Party A and electricity charge will beuniformly paid to electric power company by Party A. The water charge and electricity charge used by Party B each month shall be collected by property management company or Party A and be settled to Party A or un

38、its indicted by Party A. Party B shall pay the expenses within 10working days after receiving written payment order from Party A or the property management company. Property management fee can be paid by Party B directly to the property management company in time or within 10 working days after rece

39、iving written payment order from Party A ortheproperty management company.2、根据物业管理公司目前的统计方法，水费按每家企业总水表计算用水量，用水为2元/立方米，排水按用水量的90%计算，按照1.8元/立方米收取，公共部位水费按各业户所占建筑面积分摊。如供水单位变更供水和排水价格的，则上述水费计算标准将作相应变更。2.According to statistical method oftheproperty management company, water fee will be charged by consumpt

40、ion on general water meter of each enterprise. The water fee is 2Yuan/m³, and drainage is calculated as 90% of consumption and charged as 1.8Yuan/m³. The water fee for public area shall be shared according to building area of each enterprise. Calculation basis of above water charge shall b

41、e changed correspondingly if water supply units change the prices of water supply and water draining.3、电费包括基本电价、自用电费和公共部位电费。根据物业管理公司目前的统计方法，基本电价按甲方向租赁厂房提供的基本电量和供电部门基本电价标准收取，目前为每千瓦39元。自用电费按电表抄见的用电量乘以分摊单价计算，分摊单价按园区总用电金额减去总基本电价金额后除以园区总用电量计算，不分峰、谷、平时段，即为峰、谷、平的平均数。公共部位的电费按各业户所占建筑面积分摊。装修期间的电费单位为1.50元/度，在装

42、修期间基本电费不收取。如供电部门变更供电价格的，则上述电费计算标准将作相应变更。3. Electricity fee includes basic price, self-use fee and electricity fee forthepublic area. According to current statistical method of the property management company, basic price of electricity shall be charged as a current price of 39Yuan/KW in accordance w

43、ith basic electric quantity provided by Party A to leased factory and basic price standard of power supply department. Self-use electricity fee is calculated by power consumption on power meter × shared unit price while shared unit price is calculated by (total consumption amount of Park basic

44、 price amount)/ total power consumption of Park, which is irrespective of peak, trough and common period and is average of peak, trough and common period. The electricity fee for public area shall be shared according to building area of each enterprise. The unit price of electricity during decoratin

45、g is 1.50 Yuan/kilowatt-hourand the basic price will not be charged. Calculation basis of above electricity charge shall be changed correspondingly if power supply units change the prices of power supply.4、物业管理费标准按照租赁厂房所在的物业管理区域现行标准3元/月/平方米执行。在租赁期内，如果物业管理收费标准调整的，则按调整后的物业管理收费标准执行。4.The standard of pr

46、operty management fee shall be implemented as 3 Yuan/Month/according to current standard of property management region the leased factory locates in. During the lease term, it shall be subject to adjusted charging standard if property management charging standard is adjusted.5、甲方承诺给予乙方一个免费的地下固定停车位。其

47、他固定停车位按RMB150/月收取。其他费用根据物业管理公司的规定办理，如有，由乙方自行承担。5. Party A promises to offer Party B a free fixed underground parking space. Other fixed parking spaces are charged as RMB 500Yuan/Month. Other expenses shall be charged according to the regulations of the property management company. Party B will bear

48、above expense if has.6、甲方交付租赁厂房时，应同时提供租赁厂房的主要的水表、电表。乙方在事先获得甲方书面同意（如有必要，还应获得政府部门的批准）后，应自费用安装所有水、电等能源所需的副表，因使用和维护以上副表所发生的所有费用应由乙方自行承担。6. When Party A deliversleased factory, it shall provide the main water meter and power meter to Party B at the same time. Party B shall pay for installment of all sub-meters required by resources of water and power after receiving written agreement (and approval of government departments if necessary) in advance. Party B shall bear all expenses of using and maintaining above sub-meters.7、甲方对于水、电等能源提供方为租赁厂房提供的能源的持续性或质量不承担任何责任。如有涉及前述情况，甲方仍有义务协助乙方向相关部门进行沟通和交涉，以
