1、-委托代理记账协议书-(中英文)-第 5 页委托代理记账协议书 Accounting Agent Engagement Letter of AccountingAgreementDate: 编号： 甲方： Party A: 乙方： 思力财税咨询服务（上海） 有限公司 Party B: Sili Financial Consulting (Shanghai ) Co., Ltd.委托事由 Recitals 1. 甲方希望委托乙方代理甲方的会计和税务工作；Party A wishes to entrust Party B as its accounting and tax agent. 2乙方接受

2、甲方的委托，根据企业会计准则、中华人民共和国外商投资企业会计制度、中华人民共和国会计法及财政、税务等有关法律、法规的规定，为甲方公司提供代理记账、财税咨询和税务申报代理服务。Party B agrees to act as Party As accounting and tax agent to provide bookkeeping, finance consulting and tax agency services to Party A in according with the terms and conditions set out in this Accounting Agent

3、Engagement Agreement (hereinafter referred to as “Agreement”) under Accounting Law of P.R. China and relevant rules and regulations.1. 权限申明 Authority and Jurisdiction 1.1 甲方委托授权乙方完成下述协议条款2中所规定内容（以下称“委托项目”），具体服务内容见合同附件一。Party A entrusts and authorizes Party B to act as its agent to accomplish the ite

Detailed service item describes in contract appendix I.1.2 以上条款规定的委托和授权任何时候都不被视为是本协议双方的合伙关系；The entrustment and authorization as stated in Article 1.1 above should not at any time be regarded as the partnership relationshi

5、p between the parties of this Agreement.1.3 本协议的条款、作用和解释，因本协议引发争议的解决和本协议的执行受中国人民共和国法律约束。Any articles, effect and interpretation of this Agreement and the settlement of disputes arising from this Agreement or its performance shall be governed by the law of the Peoples Republic of China.2责任范围和委托项目 Res

6、ponsibilities and Commitments2.1甲方责任范围 Party A1) 建立健全内部控制，保证资产的完整性；To constitute integrated internal control system and ensure the integrality of account of company assets.2) 做账材料交接：Accounting documents handover:a) 向乙方提供合法、真实、准确、完整的原始凭证和原始凭证相关单据，进行分类编号后交给乙方；To provide legal, true, exact and whole or

7、iginal vouchers and related supporting documents to Party B which have been sorted and numbered.b) 负责原始凭证审核；To responsible for audit of its original vouchers.c) 对于乙方退回不符合会计制度规定要求的凭证应当及时予以更正，补充；To correct, replenish the accounting documents required when Part B return the unqualified voucher and rela

8、ted supporting documents timely. d) 妥善保管所有原始凭证、财务报表及经税务机关审核后的纳税申报表等资料。To preserve all the original vouchers, finance statements and taxation sheets.e) 甲方定期与乙方提供的帐面数额核对; 每月必须在当月月底和乙方确定报税事宜。（包括确认：甲方向乙方告知的开票金额，抵扣金额等事宜）To cross check the account balance provided by Part B, and confirm the monthly tax fi

( Including invoiced amount and deductions etc. ) 3) 配备专人负责日常货币的收支和管理并编制货币收支流水账；To manage the daily income and expenses and make monetary income and expenditure account by appointed cashier.4) 每月 3 号前(逢节假日提前)向乙方提供公司记账所需资料；To provide all the required documents to Party B for bookkeeping

10、by the third date of the month. (The deadline will be advanced accordingly if the date is a national holiday.)5) 积极配合乙方指派的工作人员的工作，由乙方人员验收所提供的相关资料；To fully cooperate with Party Bs appointed accountant; all the relevant documents should be checked and accepted by Party B.6) 按本协议的规定及时足额交纳代理费；To pay age

11、nt fee to Party B according to the time frame stated in this Agreement.7) 按时足额缴存纳税款项；To pay tax according to the time frame stated by tax authority.8) 如果甲方不能及时、完整、真实提供符合税务要求的做账资料造成的一切后果有甲方自行承担。同时如果甲 方原因造成乙方超出日常的工作量，甲方将支付相应的额外劳务报酬。Management of Part A will responsible for truth and completion of acco

12、unting and tax information. Part A shall bear all the responsibilities in providing unqualified documents or delaying providing required documents. Additional working hours caused by Part A will be charged accordingly. 2.2乙方责任范围Party B 1) 指派财务专业人员负责交接收取记账所需财务资料；To collect and take back the required

13、original vouchers for bookkeeping by Party Bs appointed accountant .2) 复核甲方所提供原始凭证的合规性，并向甲方提供合法、合理性建议；To check Party Bs original vouchers and provide legitimate and suitable suggestion. 3) 根据甲方提供的原始凭证按照中华人民共和国财政部制定的企业会计准则和中华人民共和国外商投资企业会计制度及其相关法律法规开展代理记账业务，编制记账凭证、账簿及会计报表，并合理保 证会计处理与原始凭证的一致性；To provid

14、e bookkeeping agency services according to & have been promulgated by the Ministry of Finance of China and relevant laws and policies. To make accounting vouchers, accounting books and accounting statements to ensure the consistency of the accounting treatment and the original vouchers.4) 在税务机关规定期限内

15、及时完成各类纳税申报表并在税务机关指定的工作日前完成税务申报工作；To prepare all the required tax sheets within stated term and report to tax authority according to tax authoritys requirement in time.5) 在财政和税务部门规定的期限内编制和上交企业年度会计报表和企业所得税年度申报表及其附表；To prepare and hand in the , etc. which have been assigned by financial and tax authori

16、ties within the stated term.6) 年度终了，将甲方该年度的各类账簿、会计月报和税务月报装订成册退还甲方保管At the end of the year, Party B will give back all the bound accounting books, accounting statements and tax sheets to Party A for filing.7) 协助甲方完成税务机关检查事宜；To assist Party A in finishing the tax inspection with the tax authority. 8)

17、协助甲方完成税务机关检查事宜；To assist Party A in finishing the tax inspection with the tax authority. 3费用及付费方式 Professional Fees 1) 甲方应每月支付代理费如果零销售额的申报，会计凭证20张以内， 月服务费人民币 800 元（大写人民币 捌佰元 整），代理费按季度收取，每季度 5 日之前支付下季度 的代理费；If Party A report zero sales and the original accounting documents less than 20, Party A agree

18、s to pay Party B RMB 800 /month for accounting and taxation agency services, it shall be paid by the first 5th day for the quarter. 有销售的申报，会计凭证在200 张以内，月服务费人民币 1500 元（大写人民币 壹仟伍佰元 整），代理费按季度收取，每季度 5 日之前支付下季度 的代理费；If Party A report sales and the original accounting documents less than 200 , Party A agr

19、ees to pay Party B RMB 1500 /month for accounting and taxation agency services, it shall be paid by the first 5th day for the quarter. 2）如因甲方业务流量增加过多，连续两个月超过核定的最高业务量120%，乙方将按照多出的工作量相应收费。. If the workload increased rapidly to more than 120% of the agreed workload for continuous two month, Part B will

20、 charges for additional working hours accordingly. 3）甲方如需乙方提供上门服务， 乙方按照每人每天 600 元收取额外费用。 Part B charges 600 per person per day if on-site service needed. 4 委托期限及终止 Period of Engagement and Termination 1) 本协议有效期自 2018 年 月 日至 年 月 日止, 合计 12 个月；This Agreement shall come into effect from to , total is mo

The relationship between Party A and Party B shall continue within the term of the Agreement.2) 本协议签订后，任何一方如需终止本协议，必须提前30天以书面形式通知对方；After signed the Agreement, either party may terminate this Agreement by providing written notice ahead of 30 days.3) 如甲方已经向乙方支付费用用于完成或部分完成任何委托项目后，需要终止本协议的执行，乙方没有

22、义 务将这些费用归还给甲方；Should Party A terminate this Agreement after making payment to Party B for completion or part completion of any of the entrusted items, Party B is under no obligation to return any of these payments to Party A.4) 如甲方终止本协议的执行，乙方有权要求甲方支付所有完成或部分完成的委托项目的政府规费和代理费；Party B has the right to r

23、equest Party A to pay Party B for all governmental charges and its professional fees for those entrusted items fully or partly completed by Party B if Party A terminates this Agreement;5) 任何由于乙方的错误或疏忽致使不能完成任何委托项目，甲方不必按照条款3的规定进一步向乙方支付费 用，同时甲方原先支付的费用应该返还给甲方；In the event that Party B fails to complete

24、any of the entrusted items due to its own fault or negligence, Party A shall not be required to make any further payment to Party B as stipulated in Article 3 and previous payment made by Party A shall be returned to Party A accordingly.6) 在代理过程中，如果由于中国政府相关部门改变法律或公布新的法规，致使委托项目办理延迟或不能完 成，乙方不承担责任；Part

25、y B shall not be held liable if during the process of agency services, amendments to the law or new regulations are promulgated by the Chinese authorities, causing delay or non-completion of the items of entrustments laid out in Article 2.2.7) 协议期将近届满时，如需续约，双方应于协议到期前30天内，就甲方的实际经营状况及实际需要，适当调整委托服务项目和代

26、理费用，并签订新的协议。While the expire date of this Agreement is approaching, if Party A needs to renew the engagement, both parties can negotiate and adjust entrusted items and agent fee based on Party As business status, and then sign a new Agreement in 30 days advance.5违约责任 Breach liability 1) 任何由于违反条款2中所规

27、定的责任和义务而造成的后果，由违约方承担违约责任。Any liabilities arising as result of breach of responsibility described in Article 2, should be owned by the party responsible for the breach. 2) 乙方并不承担以上免费服务事项的任何责任。Party B shall not be responsible for any consequential liabilities for its free services stated in Article 2.

28、3 in case Party A acted contrary to the advice given by Party B.6保密条款 Confidentiality 乙方对在代理过程中知悉的甲方的业务情况、公司状况及商业秘密负有保密责任。除法律另有规定者外，未经甲方书面同意，乙方不得将甲方提供的资料泄露给第三方。如本协议因故终止，本条款一直有效。Party B should keep confidential all of Party As business status, company information and business secret which have been k

29、nown during the process of agent services. Party B can not leak Party As business secret to the third party without Party As written approval, unless otherwise stated by Chinese laws. This article is always effective if this Agreement is terminated because of some reasons.7争议 Dispute Resolution因本协议引

30、发的任何争议，可以提交上海市仲裁委员会，按该会的仲裁程序进行仲裁。Any unresolved disputes arising from or incidental to this Agreement shall be submitted to the Shanghai Municipal Arbitration Commission for arbitration in accordance with its rules of procedure.8协议真实性 Authenticity of Agreement本协议一式两份，甲、乙双方各执一份，具有同等法律效力。This Agreement contains two original copies; these copies are held by both parties.
