A new Articles of Association shall be concluded in

Thirty percent of the purchase price shall be paid off upon days after the agreement had been signed;b. 受让方应于本协议项下股权转让经有关审批机关批准后 日内向转让方支付上述转让价格30%; b. Another thirty percent of the purchase

12、Party in accordance with the applicable laws.第二条 先 决 条 件ARTICLE 2 CONDITIONS PRECEDENT2.1 先决条件. Conditions Precedent.a. 鉴于本协议涉及到外商投资企业并购境内企业法律监管问题，为保证本协议签订后能够顺利履行，本协议项下股权转让以下列条件完成或出现为先决条件：In view of this agreement involving foreign investment enterprise legal supervision and the acquisition of domes

15、a. 转让方合法拥有本协议项下欲转让股权,且保证其将在本协议签订后积极配合受让方办理股权转让审批及登记手续;a. Transferor under the agreement lawfully owns to cession equity, and ensure its will on after this agreement is signed actively cooperate with the assignee to deal with equity transfer approval and registration procedures ;b. 其本协议项下拟转让股权不存在任何抵押

16、、质押或任何其他形式权利限制;Transferor have full and unencumbered title to the Transferred Equity Interest, which shall be free and clean of any mortgage, pledge or any other types of encumbrances.c. 其没有与本协议内容相关或影响其签署或履行本协议任何未决或就其所知而言可能发生诉讼、仲裁、法律或行政或其它程序或政府调查;Upon execution of this Agreement and as of the comple

17、tion of the registration of the Equity Interest Transfer with the Registration Authority, there is not and there will not be any suit, action, prosecutions, or any other proceedings that may involve the Transferred Equity Interest or the lawfulness of the Equity Interest Transfer.d. 在本协议签订前,甲方已尽到向其他

18、股东通知该转让事宜义务,且任何其他股东同意或已放弃对本协议项下拟转让股权优先购买权;Transferor have taken all appropriate and necessary corporate actions to approve and authorize the execution and performance of this Agreement, and guarantee that all the other shareholders have give up the option to purchase.3.2 受让方承诺和保证 Representations and

19、 Warranties of Transferee.a. 乙方是依据 法律合法成立及存续公司;Party B is a legal person established in accordance with the laws and regulations of the Peoples Republic of China;b. 乙方拥有足够资产支付甲方股权转让款,且对于本协议项下股权转让行为已取得公司权利机关及相关表决机构表决同意;Transferee has taken all appropriate and necessary enterprise and legal actions to

21、t.第四条 协议完成日 CLOSING4.1 完成日. Closing Date.依据本协议条款，股权转让完成日应为审批机关批准该股权转让并在登记管理机关完成变更登记日期。Upon the terms and subject to the conditions of this Agreement, the closing of the Equity Interest Transfer (the Closing) shall take place on the date when the Examination and Approval Authority approves the Equity

22、 Interest Transfer and the registration procedure has been fulfilled in the Bureau of Industrial and Commerce.第五条 违约及补救措施DEFAULT AND REMEDY5.1 各方应严格履行其本协议项下各自应承担合同义务。若任何一方未按照规定履行或未充分、适当履行其本协议项下义务，或其在本协议项下所作出陈述和保证被证实为虚伪、不正确或具有误导性，该方应被视为违约(以下称违约方)。若发生违约，其他方(以下称守约方)有权依其独立判断采取以下一种或多种措施进行补救：5.1 The Parti

23、es shall strictly fulfill their respective obligations under this Agreement. Any Party (for the purpose of this clause the Breaching Party) will be deemed to have breached this Agreement if it fails to fulfill, or to fulfill fully and appropriately, its obligations under this Agreement, or if any of

24、 its representations and warranties in this Agreement proves to be false, inaccurate or misleading. In the event of such breach, the other Parties (for the purpose of this clause the Non-Breaching Party) has the right at their own discretion to take one or more of the following actions for remedy:a.

25、 中止履行其本协议项下合同义务直至违约方就其违约行为进行补救;To suspend performance of its obligations under this Agreement until the breach is remedied by the Breaching Party;b. 若因违约方违约致使本协议项下股权转让无法完成，或实质上破坏了守约方签署本协议商业目，且此等破坏是不可补救，或即使可以补救但违约方并未在合理期间内进行补救，则守约方有权书面通知违约方单方终止本协议，该书面通知自发出之日起生效;If the breach by the Breaching Party ha

26、s caused the Equity Interest Transfer to be unable to complete, or has materially frustrated the Non-Breaching Partys commercial purpose in entering into this Agreement and such frustration is irreparable, or if reparable but it has not been rectified by the Breaching Party within a reasonable perio

27、d of time, then the Non-Breaching Party has the right to unilaterally terminate this Agreement forthwith by issuing to the Breaching Party written notice that should become effective on the date of its issuance;c. 要求违约方所有损失进行赔偿(包括守约方所受到直接经济损失以及因本协议而发生各项成本和支出)。To demand compensation from the Breachin

28、g Party for all losses, including the costs and expenses arising from this Agreement.5.2 本协议规定权利及救济措施应视为累积，且作为并不影响依据法律所享有其他权利和补救措施。The rights and remedies provided in this Agreement shall be cumulative and shall be in addition to and without prejudice to other rights and remedies provided by law.5.3

29、 若本协议或本协议其他条款无效或由于任何原因而终止，本条款规定守约方权利及补救措施继续有效。The rights and remedies of the Non-Breaching Party provided in this Article should remain effective in the event that this Agreement, or any other provisions of this Agreement, is invalidated or terminated for any reason.第六条 适用法律APPLICABLE LAW6.1 适用法律App

30、licable Law.本协议受中国法律管辖并依据其进行解释。This Agreement shall be governed by and interpreted in accordance with the laws of China.第七条 争议解决SETTLEMENT OF DISPUTES7.1 协商Consultations.因本协议发生并与本协议履行或解释有关争议应首先由各方进行友好协商。In the event a dispute arises in connection with the interpretation or implementation of this Agr

31、eement, the parties to the dispute shall attempt to settle such dispute through friendly consultations.7.2 仲裁Arbitration.若各方在六十(60)日内未就该争议达成解决方案，则该争议应提交中国国际经济贸易仲裁委员会依据其届时有效仲裁规则进行仲裁，该仲裁裁决具有最终性及排他性。该争议仲裁地为北京。If no mutually acceptable settlement of such dispute is reached within sixty (60) days, then s

32、uch dispute shall be finally and exclusively settled by arbitration as provided herein. Arbitration shall be conducted in accordance with the Arbitration Rules of the China International Economic and Trade Arbitration Commission being in force at the time a particular dispute is submitted for arbitr

33、ation, which rules are deemed to be incorporated by reference into this article. The arbitration shall take place in Beijing.第八条 生效及修订EFFECTIVENESS AND AMENDMENT8.1 生效日Effective Date.本协议自双方签字盖章之日起生效。This agreement since the date of signature and seal of both parties come into effect8.2 修订Amendment.除

34、非双方达成并签署书面协议且经审批机关批准，否则任何就本协议内容所进行修改和变更均为无效。No amendment to this Agreement shall be effective unless made in writing and signed by each party and approved by the Examination and Approval Authority.第九条 其他条款MISCELLANEOUS9.1 本协议就其项下股权转让在各方间构成完整协议，其效力超越了各方之前任何就本协议所作出意向或谅解表达，且仅有在各方授权代表签署了书面协议条件下才可被修正或修改。

35、This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof, supersedes any prior expression of intent or understanding relating hereto and may only be modified or amended by a written instrument signed by the authorized representatives of the Partie

36、s.9.2 本协议是可分，若本协议任何条款违法或无效，不影响其他条款效力。This Agreement is severable in that if any provision hereof is determined to be illegal or unenforceable, the offending provision shall be stricken without affecting the remaining provisions of this Agreement.9.3 本协议任何一方不履行或延迟履行本协议项下或与本协议相关任何权利、权力或特权，不应视为弃权;其对于任何

37、权利、权力或特权单独或部分不履行或延迟履行不应视为排除了对本协议项下任何预期义务履行。Failure or delay on the part of any Party hereto to exercise any right, power or privilege under this Agreement, or under any other contract or agreement relating hereto, shall not operate as a waiver thereof; nor shall any single or partial exercise of any

38、 right, power or privilege preclude any other future exercise thereof.9.4 本协议用中英两种文字写就，如有歧义，以中文为准。This Agreement is written and executed in English and Chinese. In case any discrepancy arises from the agreement and the interpretation hereof between the two versions, the Chinese version shall prevail.本协议由各方于文首所述日期签署，以昭信守。IN WITNESS WHEREOF, the Parties hereto have caused this Agreement to be executed by their duly authorized representatives in Guangzhou, China, on the date first written above.
