21、utomatically extended to 31th Dec. 2013. 6、市场情况报告： Reports on Market Conditions: 乙方有义务每三个月就当前市场情况及消费者意见提供详细报告给甲方，一旦有特殊市场变动，乙方也应即时向甲方提供书面详情报告。所有对该品种产品升级改良要求，只要经济合理，甲方应予以考虑，依据乙方要求对产品进行改进和开发。 Party B shall have the obligation to forward once every three months to Party A detailed reports on current mar

22、ket conditions and of consumers comments, and if there is any special change in the market, Party B shall also report timely to Party A its full particulars in writing. All economically reasonable requests for upgrades and changes to the products in the line will be considered by Party A and Party A

23、 will make improvements according to the feedback or requirements from Party B. 7、价格和货款支付方式：Price and payment terms: 价格：甲方同意给予乙方相关系列产品最优惠人民币价格。 Prices: Party A agrees to provide Party B the most favorable price for the produced products. 货款支付方式：双方都同意付款方式。 Terms of payment: by the terms agreed and ac

Concerned advertisement material for Part B including supplying catalogues, leaflets, documents and big advertisement pi

28、ctures. 11、技术支持和售后服务条款： Technology support and after-sales service terms: 技术资料支持:甲方应向乙方提供较为详细和准确零部件图册和电子版. Technical Support: Party A provides Party B a more detailed and accurate books and electronic components. 技术培训和售后支持:甲方有对乙方售后技术人员来国内进行维修技术培训义务.如果需要 派人到目标市场进行售后服务维修工作或者建立服务站工作,甲乙双方另行协商并签订相关协议,作为本

29、协议附件. Technical training and services support: Party A has the Obligations to train Party Bs after-sale technical personnel. If there is a need to send people to the target market for after-sales maintenance or establishing service station, Party A and Part B wil sign the relevant agreements as the

30、attachments of the agreement after fully negotiation. 经双方协商达成共识，在服务协议没有签订之前或不能正式为乙方提供售后服务之前，甲方给予乙方每件*元买断*件，且*件及*不包含在此内。 By mutual agreement, before the service agreement signed or without providing formal after-sales service, Party A should supply Party B with buyout * that value of *RMB/pc, but *an

38、效期内，甲方应将其收到来自中国其他商家有关代理产品询价或订单转交给乙方。In consideration of the exclusive rights granted herein, Party A shall not, directly or indirectly, sell or export the commodity stipulated in Article 4 to customers in China through channels other than Party B; Party B shall not sell, distribute or promote the sa

39、les of any products competitive with or similar to the above commodity in China and shall not solicit or accept orders for the purpose of selling them outside China. Party A shall refer to Party B any enquiries or orders for the commodity in question received by Party A from other firms in China dur

40、ing the validity of this agreement. 8. 商情报告 Market Report 为使甲方充分了解现行市场情况，乙方承担至少每季度一次或在必要时随时向甲方提供市场报告， 内容包括与本协议代理商品进口与销售有关地方规章变动、当地市场发展趋势以及买方对甲方按协议供应货物品质、包装、价格等方面意见。乙方还承担向甲方提供其他供应商类似商品报价和广告资料。 In order to keep Party A well informed of the prevailing market conditions, Party B should undertake to supp

41、ly Party A, at least once a quarter or at any time when necessary, with market reports concerning changes of the local regulations in connection with the import and sales of the commodity covered by this agreement, local market tendency and the buyers comments on quality, packing, price, etc. of the goods supplied by Party A under this agreement. Party B shall also supply party A with quotations and advertising materials on similar products of other suppliers. 9. 广告及费用 Advertising and Expenses
