3、ate，completeandtimely，andtheinformationdisclosedshallnotcontainanyfalsehood，misleadingstatementormajoromission. informationdisclosuremadetoallinvestorsbyobligorsshallbepublicandsimultaneous. wherealistedcompanyissuessecuritiesandderivativesinthechinaoroverseasstockmarkets，theinformationdisclosuremad

7、ion（hereinafterreferredtoasthe”csrc”）. thetimingoftheinformationannouncedonthecorporatewebsiteandothermediabyaninformationdisclosureobligorshallnotprecedetheannouncementofsuchinformationinthedesignatedmedia;thereportingandpublicannouncementdutiesmaynotbeintheformofapressconferenceorreplytoquestionsp

8、osedbyreportersorinanyotherform;andthedutytomakeinterimreportsmaynotbesubstitutedwitharegularreport. article7informationdisclosureobligorsshallsubmitthedraftpublicannouncementandtherelevantdocumentsforinspectiontothesecuritiesregulatorybureauattheplaceofregistrationofthelistedcompany，andmakecopiesof

9、thesameavailableatthecompanyaddressforinspectionbymembersofthepublic. article8informationdisclosuredocumentsshallbewrittenintext.whereaninformationdisclosuredocumentisalsowritteninaforeigntext，theinformationdisclosureobligorshallensuretheconsistencyofthecontentsinbothversions.whereanyinconsistencyar

12、helistingrulesandotherinformationdisclosurerulesformulatedbythestockexchangemustbesubmittedtothecsrcforapproval. article10thecsrcmaymakespecialprovisionsforinformationdisclosurebylistedcompaniesinthefinancial，realestateandotherspecialindustries.chapter2-prospectus listing memorandum and listingannou

13、ncement article11prospectusespreparedbyissuersshallcomplywiththerelevantprovisionsofthecsrc.anyinformationwhichmaysignificantlyaffecttheinvestmentdecisionofaninvestormustbedisclosedintheprospectus. theissuershall，uponapprovalofthesecuritiespublicofferingapplicationbythecsrc，makeapublicannouncementof

14、theprospectuspriortothesecuritiesoffering. article12thedirectors，supervisorsandseniormanagementpersonnelofanissuershallsignandendorsetheprospectusandensuretheveracity，accuracyandcompletenessofinformationdisclosedtherein. theprospectusshallhavethecompanysealoftheissueraffixed. article13whereanissuera

16、bytheissuerandshallnotincludeanypricinginformation;andtheissuershallnotissuesharesbasedonthedraftdeclarationoftheprospectus. article14whereanimportantmatteroccursduringtheperiodafterthecsrcapprovestheissuanceofsecuritiesapplicationbutbeforeissuanceiscomplete，theissuershallsubmitawrittenexplanationto

17、thecsrc;andarevisedprospectusoracorrespondingsupplementarypublicannouncementmustbemadeupontheconsentofthecsrc. article15whereanapplicationisforalistingofsecurities，alistingannouncementshallbeformulatedpursuanttotheprovisionsofthestockexchangeandapublicannouncementmustbemadeuponexaminationandapproval

22、ivities. article20theannualreportmustbepreparedandpublishedwithinfourmonthsaftertheendofeachaccountingyear;thehalf-yearlyreportmustbepreparedandpublishedwithintwomonthsaftertheendofthefirsthalfofeachaccountingyear;andthequarterlyreportshallbepreparedandpublishedwithinonemonthaftertheendofeachaccount

23、ingyearsthirdandninthmonths. thetimeofpublicationofthefirstquarterlyreportshallnotbeearlierthanthetimeofpublicationoftheannualreportfortheprecedingyear. article21anannualreportshallcontainthefollowingcontents： （1）basicinformationofthecompany; （2）keyaccountingdataandfinancialindices; （3）informationon

24、sharesandbondsissuedbythecompanyandthechangesthereto;thetotalnumberofsharesandbondsandshareholdersattheendofthereportingperiod;andinformationontheshareholdingheldbythetenlargestshareholdersofthecompany; （4）informationonshareholdersholding5%ormoreoftheshares，controllingshareholdersandactualcontrollin

25、gparties; （5）informationontheappointmentofdirectors，supervisorsandseniormanagementpersonnel，theirchangesinshareholdingandtheirannualremuneration; （6）theboardofdirectorsreport; （7）thediscussionsandanalysesofthemanagement; （8）significanteventsthatoccurredduringthereportingperiodandtheireffectonthecomp

26、any; （9）thefinancialaccountingreportandauditreportinfulltext;and （10）anyothermatterstipulatedbythecsrc. article22ahalf-yearlyreportshallcontainthefollowingcontents： （1）basicinformationofthecompany; （2）keyaccountingdataandfinancialindices; （3）informationonsharesandbondsissuedbythecompanyandthechanges
