5、ingFeb./Mar.2005intwoequalmonthlylotsPortofloading/shipment:Portofdestination:London.TranshipmentatHongKongallowed.Thecarryingvesselshallbeprovidedbythesellers.Partialshipmentandtransshipmentareallowed.Afterloadingiscompleted,thesellershallnotifythebuyersbycableofthecontractnumber,nameofcommodity,na

9、lersreservetherighttocancelthecontractwithoutfurthernoticeandtoclaimagainsttheBuyersforanylossresultingtherefrom.TobeeffecedbydocumentarydraftunderD/Aterms.PaymentshallbemadebydocumentarydrafttobepayableunderD/Pterms.交货条件：DeliveryTermsCertificatesofQuality,Quantity,WeightandQriginarerequired.TheBuye

10、rshavetherighttohavethegoodsreinspectedbytheGuangzhouEntryExitInspectionandQuarantineBureauofthePeoplesRepublicofChinaattheprtfodischarge.TherelevantInspectionCertigficatesmayserveasthebasisofanyclaimtobelodgedbytheBuyersagainsttheSellers.检验条款：CommodityInspectionItismutuallyagreedthatheCertificateof

11、QualityandWeightissuedby-(eg:ChinaEntry-ExitInspectionandQuarantineBureau)/surveyorattheportofshipmentshallbe(takenasthebasisofdelivery.)/partofthedocumentstobepresentedfornegotiationundertherelevantweightofthecargo.ThereinspectionfeeshallbebornebytheBuyer.Theclaimwiththecargo,ifany,shallbelodgedtot

12、heSellerwithin-daysafterarrivalofthecargoattheportofdestination.索赔条款：DiscrepancyandClaimAnyclaimbytheBuyersregardingthecargoshallbesupportedbysurveyreportissuedbyasurveyorapprovedbytheSellerandlodgedwithin45daysafterthearrivalofthecargoattheportofdestinaton.TheSellerwillnotconsiderclaimsinrespectofm

13、atterswithinresponsibilityofinsurancecompanyorshippingcompany.ShouldtheSellerfailtomakedeliveryontime,thebuyershallagreetopostponethedeliveryontheconditonthattheSelleragreesofpayapenaltywhichshallbedeductedbythepayingbankatthetimeofpayment.Therateofpenaltyischargedat0.5%ofthetotalvalueofthecargowhos

14、edeliveryhasbeendelayedforeveryweek,odddayslessthanaweekshouldbecountedasaweek.Butthetotalamountofpenaltyshallnotexceed5%ofthetotalvalueofthecargoinvolvedinthelatedelivery.IncasetheSellerfailotmakedelivery10weekslaterthanthetimeofshipmentstipulatedonthecontract,theBuyershallhavbetherighttocancelthec

15、ontractandtheSellershallstillpaytheaforesaidpenaltytotheBuerwithoutdelay.Quality/QuantityDiscrepancyandClaim:Incasethequalityand/orquantity/weightarefoundtheBuyerstobenotinconformitywiththeContractafterarrivalofthegoodsattheportofdestination,theBuyersmaylodgeclaimwiththeSellerssupportedbysurveyrepor

16、tissuedbyaninspectionorganizaitonagreeduponbybothparties,withtheexception,however,ofthoseclaimsforwhichtheinsurancecompanyand/ortheshippingcompanyaretobeheldresponsible.ClaimforqualitydiscrepancyshouldbefiledbytheBuyerswithin30daysafterarrivalofthegoodsattheportofdestination,whileforquantity/weightd

17、iscrepancyclaimshouldbefiledbytheBuyerswithin15daysafterarrivalofthegoodsatportofdestination.TheSellersshall,within30daysafterreceiptofthenotificationoftheclaim,aendreplytotheBuyers.索赔期限：ValidityofClaimTheBuyershavetherihgttolodgeclaimsforalllossessustainedwithin60daysafterdischargeofthegoodsatthepo

18、rtofdestination.综合式不可抗力条款：ForceMajureTheSellershallnotbeheldresponsibleforlatedeliveryornondeliveryofthegoodsduetoflood,fire,earthquake,snowstorm,drought,hailstorm,hurricane,orothereventsthatarebeyondthecontroloftheSeller.ButtheSellershallnotifytheBuyerbycabelassoonaspossibleandgivetheBuyeracertific

19、ateby6registeredmailissueddbytheChinaCouncilforthePromotionofInternationalTradeorothercompetentauthorities.IfshipmentofthecontractedgoodsispreventedordelayedinwholeorinpartduetoForceMajeure,theSellersshallnotbeliablefornonshipmentorlateshipmentofthegoodsunderthisContract.However,thesellershallnotify

20、theBuyersbyfaxortelexandfurnishthelatterwithin15daysbyregisteredairmailwithacertificateissuedbythecompetentauthoritiesattheplaceofoccurrenceattestingsucheventorevents.仲裁条款：Arbitration规定在我国仲裁的条款：Alldisputesinconnectionwithorarisingfromthecontractshallbesettledamicablythroughnegotiation.Incasenosettle

21、mentcanbereachedbetweenthetwoparties,thecaseshallbesubmittedtotheChinaintermationalEconomicandTradeArbitrationCommission,BeijingforarbitraitoninaccordancewithitsRulesofArbitration.Thearbitralawardisfinalandbindinguponbothparties.Thearbitrationfeeshallbebornebythelosingpartyunlessotherwiseawardedbyth
