4、1.质量负责条件和期限按正常运行 12 个月止执行。1.Quality responsible conditions and time limits shall not be valid until the product has been functioning properly for 12 months 2.出卖人对标的物的质量负责，产品均附质检报告单，质量保证书。如果出卖人知道或者应当知道所处卖产品存在质量缺陷，所承担的质量保证期限不受前款质量负责期限的约束，应依法承担相应责任。2.Sellers shall be responsible for the quality of the

8、ndard and calculation method 以双方共同确定的法定计量为准，合理损耗为无。出卖人向买受人实际所交付的产品数量在本合同约定的误差范围内，出卖人不承担违约责任，甲乙双方也不互补差价。Taking the mutual agreement of legal metrology as the yardstick,there is no reasonable loss standard.If the quantity of the goods delivered by the sellers are in the scope of the error,the sellers

9、should not bear the responsibility for breaching the contract and both parties should not pay the price difference.第七条 标的物的风险及所有权的转移 Item 7 Transferring the risk and ownership of the marks and things 1.标的物的风险及所有权自交付之时转移至买受人，即在约定时间、约定地点交付之前标的物的风险由出卖人承担，交付之后标的物的风险由买受人承担。1.The risk and ownership of the

10、 marks will be transferred to the buyers at the delivering moment,that is to say,the sellers undertake the risks of the marks before the delivery at the prescribed place and time,however,after the delivery,the risks is transferred to the buyers.2.迟延交付的，由造成迟延交付的一方承担迟延期间标的物的风险责任。2.If the delivery is p

11、ostponed,then the side postponing the delivery should undertake the risks of the marks.第八条 交（提）货方式、地点：买受人在出卖方产地自行提货。Item 8 Delivery method and place:The buyers pick up the goods at the sellers place of origin by themselves.第九条 运输方式及费用负担 Item 9 Transportation method and expense burden 第十条 检验标准、方法、地点及

12、期限 Item 10 Testing standard,method,place and time limit 1.检验标准：按本合同第二条质量标准进行检验。1.Testing standard:To do the test according to contract Item 2 2.验收方式：买受人自行提货的，在出卖人交付产品时，双方按规定提取产品样品，共同封存样品，以备检验。买受人如有异议，应在交付后的 5 个工作日内书面提出。2.Acceptance method:The buyers pick up the goods by themselves,at the delivering

13、time,both sides pick up the product samples according to the rule and preserve the samples together for testing.If the buyers have different ideas,they should put forward the problems within 5 days in written form after the delivery,第十一条 成套设备的安装与调试 Item 11 The installation and commissioning of sets

14、of equipment 第十二条 结算方式、时间及地点 Item 12 way of Settlement,time and place 分期支付：预付款为合同总价的 30%，在本合同生效后的 3 个工作日内支付，产品经买忍一句，息一怒，饶一着，退一步。增广贤文百川东到海，何时复西归？少壮不尽力，老大徒伤悲。汉乐府长歌行受人验收合格后买受人将合同总价款的 70%（即元人民币），支付给出卖人。买受人在收到出卖人开具的增值税发票后，支付该款项。Installment payment:Prepayment is 30%of the contract total amount,it should b

15、e paid within 3 working days when the contract take effect.After the testing of the products,the buyers pay the other 70%of the contract total amount.Payment will be made from the receipt of the invoice from the sellers.第十三条 担保方式：无 Item 13 There is no guarantee way.第十四条 不可抗力 Item 14 Force majeure 1.

16、“不可抗力”是指不能预见、不能避免并不能克服的客观情况，包括但不限于：天灾、水灾、地震或其他灾难，战争或暴乱，以及其他在受影响的一方合理控制范围以外且经该方合理努力后也不能防止或避免的类似事件。1.“Force majeure”means the unforeseeable,inevitable and insurmountable objective conditions,including not just natural disasters,flood,earthquake or other calamity,war or riot,but also other similar even

17、ts that cant be prevented or avoided even if the sellers make reasonable efforts.2.由于不可抗力的原因，而不能履行合同或延迟履行合同的一方视不可抗力的实际影响免除部分或全部违约责任。但受不可抗力影响的一方应在通知可能的情况下立即通知对方，并在不可抗力发生后 15 日内特快专递邮寄相关的主管部门签发的证明文件，以便其他各方审查、确认。2.Because of the force majeure,the side cant carry out the contract or postpone carrying out

18、 the contract is exempted from part or all the responsibility for breaching the contract.But the side under the force majeure should inform the other side instantly and after the force majeure,they should express the mail of the relevant documents by the related administrative departments within 15

19、days,so that all sides can check or ensure it.3.发生不可抗力事件终止或消除后，受不可抗力影响的一方，应立即通知对方，发生不可抗力事件终止或消除后 15 日内特快专递邮寄相关的主管部门签发的证明文件确认不可抗力事件的终止或消除。3.After the ending or eliminating of the force majeure,the side under the force majeure should inform the other side instantly and express the mail of the relevant

20、 documents by the related administrative departments within 15 days to ensure the ending or eliminating of the enforce majeure.4.如果不可抗力的影响持续超过 2 个月，受不可抗力影响的一方应与对方取得联系，以便解决进一步履行合同的问题。4.If the influence of force majeure lasts more than 12 months,the side under the force majeure should contact with the

21、 other side so that they can solve the problems in carrying on the contract further.第十五条 合同的变更和解除 Item 15 The modification and relieving of the contract 1.双方协商一致可变更或解除本合同。合同变更或解除应采取书面形式。1.The contract can be modified or relieved on the mutual agreement,and it should be done in written form。天行健，君子以自强

22、不息。地势坤，君子以厚德载物。易经人之为学，不日进则日退，独学无友，则孤陋而难成；久处一方，则习染而不自觉。顾炎武 2.有下列情形之一者，可单方解除合同：2.If it were on one of the following circumstances,either side can relieve the contract:（1）因不可抗力，不能实现合同目的；(1)Because of the force majeure,they can not realize the purpose of the contract;（2）未经双方书面同意，将合同部分或全部权利义务转让给第三方；(2)Wi

23、thout the consent of the both sides in written forms,one side transfers part or all the rights and obligations of the contract to a third side;（3）在履行期限届满之前，一方明确表示或者以自己的行为表明不履行主要债务；(3)Before the expiry of carrying out the contract,one side clearly states or indicates by his conduct that he dont perfo

24、rm the major debt;（4）一方迟延履行主要债务，经催后在合理期限内仍未履行;(4)One side postpones performing the major debt,and he still doesnt perform it in reasonable time limit after the urging.(5)一方迟延履行债务或者有其他违约行为致使不能实现合同目的；(5)One side postpones performing the major debt or he has other behavior for breaching the contract so

25、 that it cant realize the purpose of contract;（6）法律规定的其他情形。(6)Other circumstances ruled by law.3.解除合同方在解除合同时，应履行通知对方义务。3.The side relieving the contract needs to inform the other side when he relieves the contract.第十六条 违约责任 Item 16 Responsibility for breaching the contract 1.出卖人未按期交付标的，每逾期一日，应向买受人支付

26、延迟交付标的付款金额的 5的违约金，如出卖人逾期交货超过 7 日的，除应向买受人支付违约金外，买受人有权解除合同，并要求出卖人赔偿因逾期交货而造成的损失。1.If the sellers cant deliver the goods on time,one day overdue,the sellers should pay 5 payment amount as liquidated damages,if,the sellers overdue delivery more than 7 days,besides asking the sellers to pay liquidated dam

27、ages,the buyers have the right to terminate the contract and ask the sellers to pay the compensation for the loss caused by the late delivery.2.出卖人交付的标的不符合合同数量约定的数量，出卖人应按买受人要求在合理期限内补足标的数量，同时买受人有权要求出卖人赔偿因其不完全履约而造成的损失。2.If the quantity of the mark delivered by the sellers is not in conformity with the

28、 agreed amount,the sellers should complement the mark within a reasonable time according to the requirements of buyers,at the same time,the buyers have the right to ask the sellers to pay the compensation for the loss caused by the incomplete performance of the selles.3.出卖人交付的标的不符合合同约定的质量，买受人有权拒收和/或

29、要求更换和/或终止合同，出卖人仍须对买受人的损失承担赔偿责任。在出卖人对质量负责的期限内，如标的出现质量问题，出卖人应在合理期限内负责修理、更换或者退货，因标的质量问题给买受人造成的经济损失仍由出卖人承担。其身正，不令而行；其身不正，虽令不从。论语我尽一杯，与君发三愿：一愿世清平，二愿身强健，三愿临老头，数与君相见。白居易 3.If the quality of the mark delivered by the sellers is not in conformity with the agreed quality,the buyers have the right to refuse an

30、d/or require replacement and/or terminate the contract,the sellers should bear the liability for compensation of the the time limit that the sellers responsible for the quality,if occur quality problem,the sellers should be responsible for repairing,replacement or returning,the sellers should also b

31、ear the economic losses caused by the quality problem to the buyer 4.买受人未按期付款，没逾期一日，应向出卖人支付逾期付款金额的 5的违约金，此项违约总额以预期付款金额的 10%为限。4.If the buyers fail to pay on time,one day overdue,the buyers should pay 5 of the payment amount as liquidated damages,and this total amount for breaching the contract is li

32、mited to 10%of the expected payment amount 5.发生其他违约情形，违约方应赔偿由此给对方造成的损失。如属双方过错，应各自承担相应责任。5.If others cases occur,the default side should pay the compensation for losses caused to the other side.If both sides fault,they should bear corresponding responsibility accordingly.第十七条 合同争议的解决方式 Item 17 The so

33、lution of contract dispute 1.提交仲裁委员会仲裁。1.Submitting to arbitration commission to arbitrate.2.向东营人民法院提起诉讼。2.Posing a lawsuit to the Peoples Court of Dongying City 第十八条 其他 Item 18 Others 1.本合同自双方法定代表人或授权代表签字后并加盖合同专用章之日起生效。1.This contract is effective after signing and stamping special seal for contrac

34、t from the legal representative and authorized representative of both sides.2.本合同未尽事宜，双方协商签订补充协议。2.About the unaccomplished matter,both sides can sign complementation agreements after the negotiation.3.本合同的附件及补充协议是本合同的组成部分，与本合同具有同等法律效力。附件及补充协议与本合同内容不一致，以本合同为准。3.The accessories and the supplementary

35、agreement is an integral part of this contract,and they are equally valid to the contract.When the accessories and supplementary agreement dont agree with each other,taking the contract as standard.4.保密：本合同的各项条款属于双方经营活动内容，任何一方未经对方当事人书面允许不得对外泄漏。4.Confidentiality:The terms of the contract belong to bu
