1、一、法律依据中国（上海）自由贸易试验区总体方案、中华人民共和国外资企业法、中外合资、中外合作企业经营法及实施细则、公司法、中国（上海）自由贸易试验区中外合作经营性培训机构管理暂行办法及相关法规二、申办条件（一）合作培训机构的中外合作方应当具有从事教育培训投资与管理的经验，并符合下列条件之一：1. 能够提供国际先进的教育培训管理经验、管理模式和服务模式；2. 能够提供具有国际领先水平的培训课程、师资和教学设施、设备。（二）设立合作培训机构还应当符合以下要求：1、有熟悉教学业务和办学管理的公司法定代表人；2、有与培训类别、层次和规模相适应的专兼职教师和管理人员；3、有与培训类别、层次和规模相适应的

2、办学资金和保证日常教学正常开展的经费来源；4、有与培训类别、层次和规模相适应的公司住所（即教学场所）和教学设备；5、有办学和教学管理制度。三、材料清单（一）机构筹建1、法定代表人签署的中国（上海）自由贸易试验区中外合作经营性培训机构筹建申请表；2、中外合作双方主体资格证明（包括注册登记证明和法定代表人的有效证明文件），其中外方提交的主体资格证明应当经当地公证机关公证并经中国驻当地的使领馆认证；3、企业名称预先核准通知书；4、合作合同及章程；5、合作双方的资金信用证明；6、法定代表人的任职文件、身份证明和工作经历证明；7、对住所享有合法使用权的文件和证明材料（包括：产权证明、与房屋产权人签署的租

3、赁协议）。（二）正式开业1、法定代表人签署的中国（上海）自由贸易试验区中外合作经营性培训机构正式开业/机构变更申请表；2、营业执照副本复印件；3、聘用的专兼职教师名单和任教内容、身份证明、学历证明、教师任职资格证书或职业培训教师上岗证，以及职业资格等级或者专业技术职务任职资格证明；4、聘用外籍教师任教的，应当提交拟聘用外籍人员的合法就业证明；5、聘用的专职管理人员名单、所任岗位、身份证明、工作经历证明；6、聘用的专兼职财会人员名单、所任岗位、身份证明和从业资格证明；7、住所相关证明材料：提交房屋安全证明和消防安全许可证明。提供食宿的，应当提交学员宿舍消防安全合格证明和餐饮服务卫生许可证明；8、

4、从事职业技能类培训的，提交法定代表人签署的中国（上海）自由贸易试验区中外合作经营性培训机构经营范围（培训项目）申请表，并提交培训设施设备清册和享有合法使用权的证明材料；9、拟申请开设培训项目的培训计划和教学大纲；10、各项管理制度；11、与学杂费专用存款账户开户银行签署的管理协议；12、办学资金验资报告；已设立的中外合作企业申请变更为合作培训机构的，除提供以上材料外，还需提供以下材料:13、中外合作双方主体资格证明（包括注册登记证明和法定代表人的有效证明文件），其中外方提交的主体资格证明应当经当地公证机关公证并经中国驻当地的使领馆认证；14、董事会决议或者联合管理委员会决议；15、合作合同及章

5、程修正；16、法定代表人的任职文件、身份证明和工作经历证明。详见“中国.上海”门户网站“试验区投资办事直通车”或中国（上海）自由贸易试验区门户网站四、办事流程（一）机构筹建1. 申请人在工商行政管理部门办理企业名称预先核准2. 登陆自贸试验区网站“投资办事直通车”，按照教育行政管理部门或人力资源社会保障部门要求准备相关申请材料，并向自贸试验区工商分局“一口受理”窗口递交材料，提出设立申请。自贸试验区工商分局即时将材料转送自贸试验区管委会。3. 自贸试验区管委会在收到上述材料之日起在10个工作日内征询教育行政管理部门或人力资源社会保障部门的意见并将征询结果告知投资者，同时在自贸试验区网站公示征询

6、结果。4. 申请人根据同意筹建的意见，按照自贸试验区外资企业设立“一口受理”流程办理相关手续，材料齐全正确的，在10个工作日内至“一口受理”窗口领取相关证照。（二）正式开业合作培训机构取得批准证书、企业营业执照等相关证照后，应当按照核定的经营范围，开展培训项目的筹建活动，筹建期间不得招生。合作培训机构经批准筹建的，应当自批准筹建之日起6个月内，向自贸试验区工商分局提出变更经营范围暨正式开业申请，并提供相应的办学资金验资报告等相关材料。五、办事地点和联系方式上海市浦东新区基隆路9号1楼综合服务大厅邮编：联系电话：021-传真：021-First, the legal basisChina (Sh
