Party A agree to Provide the following Bank Guarantee to Part

2、y B who is willing and able to fund against the Instrument, Party A shall get 85% of the face value fund from the party B. Party B guarantee with lawful, clean and non-criminal funds for its Investment Project under the following terms and conditions :開證方(甲方)與接證方(乙方):雙方經友好協定，甲方同意把以下開給乙方，作為甲方投資項目之用，甲

3、方按票面額85%取得貸款，乙方保証所得資金合法、清潔、無罪證來源之資金支付給甲方;以下之保函條款與條件如下：1. Closing Procedures /進行程式：1.) Upon signing of Cooperation Agreement, both Parties

5、will finish the detail particular of Company Business Registration (Colour Copy).Both Parties will provide Bank coordinates.this cooperation Agreement will be effective immediately. /雙方正簽此合作協議書時，雙方必須提供公司商業登記証(彩印件) ，雙方出具銀行接証座標與接款座標, 以附件行文確認進入操作。此協議書即時生效。.2.) After both Parties sign the Agreement comp

6、letely, within Three（3）banking days Party As Issuing Bank shall issue the Pre-advice (attachment A)of Bank Guarantee in favor of the Party B as Beneficiary to designated Party Bs Bank. / 雙方簽署此協議書,後,3個銀行工作天內,甲方開證銀行開出保函预开通知书(附件-A)，受益人為乙方指定。3.) Within Three（3）banking days upon successful authentication

7、 and verification of the said Pre-advice of Bank Guarantee, Party B shall instruct Receiving bank to issue the “ICBPO” of 60% of Face Value via MT799 and within 30 day of 25% wire transfer to Party As designated bank accounts as the payment mode./確認上述之保函预开通知书後, 3個銀行工作天內乙方將指令其接證銀行開出有條件付款保證函”ICBPO” 按票

8、面額百分之六十以MT799送達和日起三十天内, 电汇百分之二十五發至甲方指定的銀行帳戶作為付款模式.4.) Within Three（3）banking days upon successful authentication and verification of the “ICBPO”,/MT799 Party A shall instruct his issuing bank to issue the said Bank Guarantee to Party B as beneficiary via MT760(attachment -B) to Party B s receiving b

9、ank for verification and authentication of the said Bank Guarantee./ 當甲方成功地驗證與確認乙方經由SWIFT MT799發出之”ICBPO”後,在三個銀行工作日內將指示其開證銀行將該保函以乙方為受益人，經由MT760(附件-B)發至乙方接證銀行確認與驗證該保函, .5.) After the Party As Bank receive the fund, within 7 banking days, The Bank Guarantee Hard Copy original instrument will be sent t

10、o Party B s receiving bank ./ 甲方银行收到款项后在7个银行工作日内将保函之正本檔送至乙方接證銀行.6.) Simultaneously, Party B shall effect payment to all the intermediaries according to the Master Fee Protection Agreement without delay or withholding./ 在此同時, 乙方必須根據MFPA將傭金支付給相關仲介方,並不得藉故延遲或拒絕給付.7.) The Master Fee Protection Agreement

11、with this Transaction Code and Date shall be made an integral part of this LOI/Contract as an attachment./這份MFPA附帶與本約相同之交易碼與日期,並以本合約附件成為合約之一部份.8.) The subsequent tranches shall continue according to the agree tranches schedule and procedures./ 剩餘之交易將根據雙方同意之進度與程式持續進行.3. Bank Coordinate/銀行座標： Issuing

13、ontract are to be finalized and signed off by both parties. Upon receipt of issue, delivery of the Bank Guarantee, and payment must be done on bank-to-bank basis with responsibility for operating completion. If the settlement date or payment date falls on a non-banking day, it shall extend to the ne

14、xt succeeding banking day. 本協議書的前期事宜由雙方共同商討簽訂，從開證、接證、付款由雙方銀行對銀行模式以負責任的完成操作，如果交收日或付款日是非銀行工作日就順延至下一個銀行工作日。2. During the execution of this Agreement by the banks of both Party A and Party B, a) if Party As Bank fails to issue the said Bank Guarantee via SWIFT MT-760 to Party Bs Bank, Party Bs bank shal

15、l hold Party As bank fully liable for such failure and for any consequences therefrom; b) if Party Bs Bank fails to make the payment as undertaken after satisfactory met of receipt of the said Bank Guarantee via SWIFT MT 760. Party As Bank shall hold Party Bs Bank fully liable for such failure and f

16、or any consequences therefrom./ 雙方銀行在操作執行本協議書過程中，a)如甲方銀行不能由MT760開出保函，則由乙方銀行向甲方銀行追究責任；b)如乙方銀行在接到MT760的保函滿意後又不能按此協議書付款，則由甲方銀行向乙方銀行追討。3. Both Party A and Party B submit the rights and obligations under this Agreement to their own banks to execute and perform. Party A and Party B shall not be liable to

17、the obligations as stated in clauses 2(a) and 2(b) above mentioned./ 雙方把操作執行本協議書的權力責任交於各自的銀行，並由銀行來負全責履行完成，雙方則不承擔上述2a)和2b)的主要責任。ADDITIONAL PROVISIONS/附加條款：1. The Parties agree to follow the above mentioned procedures to complete all transactions. The initial term of this Agreement shall commence on t

18、he date of execution of this contract and shall continue for a period of five (5) years unless otherwise extended by both parties. During the term of this contract, Party A shall grant the exclusive rights to Party B and provide Party B the total contracted amount to continuously tranche until fully

19、 completed or agreement terminated in writing by either Party. Both parties hereby agree that Party Bs receiving bank and the beneficiary of the Bank Guarantee may be replaced if Party Bs bank has any change / or after completion of each tranche. /雙方同意按以上程式執行, 直至全部金額完成。本協議書簽署後即日生效, 除非雙方同意展延, 否則將持續5年

20、. 於合約生效期間, 甲方將給予乙方專有權利, 讓乙方可繼續完成貸款直至所有操作完成或經任何一方向對方以書面通知終止合約為止。同時雙方同意如果乙方有需要更改其接證銀行或當任何一次操作完成後, 乙方可更換其接證銀行及保函受益人。 2. As established by the International Chamber of Commerce (ICC), Paris, France to WITNESSETH: Neither Provider nor Funder will attempt to circumvent this contract, deal with in any way

21、or solicit the source or client of the other at any time, or in any manner without the PRIOR WRITTEN CONSENT of the introducing party. The Parties hereto undertake to submit and be party to an international NON-CIRCUMVENTION AND NON-DISCLOSURE, which shall remain in full force for a period of five (

22、5) years from the date of execution hereon and shall survive termination of this Agreement for any reason. This Agreement shall be kept confidential and is not to be reproduced in any manner whatsoever. Further this Agreement shall not be disclosed to any third party except those persons directly in

23、volved with the closing of this transactions herein contemplated. All information relevant to the Agreement shall remain confidential, and each Party hereto expressly prohibits the other from releasing personal information to third parties. In the event of circumvention by either party, directly or

24、indirectly, the circumvented party shall be entitled to a legal monetary penalty equal to the maximum advantage it would have realize from such transactions, plus any and all expenses, including but not limited to legal and further damages as attributed./ 本協議書以法國巴黎ICC 為規定,未有書面同意, 協議雙方不得在任何時間以任何形式和對方

25、“源頭”接觸交易.同時簽約雙方自簽約起5 年內,不得公開,不得洩密,終使本協議終止。本條例還是有法律效力，除因法律行徑,本協議書為密件,不得覆制。若無書面同意，雙方之任何一方,不得洩露對方個人詳細資料，除因採取法律行徑外,若因一方違約,受害一方有權尋求法律上之賠償,包括無限制之費用,和懲罰性損害賠償。3. Time is of the essence of this Agreement and of every part thereof. Failure by either party to timely deliver on their respective obligations shal

26、l be considered the defaulting party. The injured party shall be entitled to a legal monetary penalty equal to the maximum advantage. / 雙方同意遵守協議書條款，凡不覆行及故意拖延均屬違約。違約方承擔由此造成的一切損失，守約方可用國際法律為依據, 在指定法庭解決紏紛, 追討回一切損失。4. The parties to this Agreement shall not be held liable for the failure to perform under

27、 the Force Majeure clause as stated by the International Chamber of Commerce, Paris, France, which clauses are deemed to be incorporated herein./法國巴黎ICC的“不可抗拒”規定,是本協議書的一部分,如遇到有ICC檔規定的不可抗拒因素發生,雙方不需再負責任,本協議書自動作廢。5. Each party shall be responsible for their own institutional costs unless otherwise agre

28、ed to in writing, Neither party makes any representations regarding the taxable consequence, if any, of transactions envisaged by this Agreement, it being clearly understood by each party that they individually and separately, accept liability of taxes, imposts, levies, duties or charges that may be

29、 applicable in execution of their respective roles./ 除以書面同意, 各方應自行負擔各自成本, 本合約交易如果產生應付稅款, 雙方都清楚瞭解, 其為個別及分離的，各自負擔因執行交易而衍生的稅務,關稅或費用。 6. Should any portion of this Agreement be held by a court, tribunal or arbitrator of competent jurisdiction to be invalid, void or unenforceable, the remaining provision

30、s of this Agreement will nevertheless continue in full force and effect. Without being impaired or invalidated in any way. The invalid and/or unenforceable provisions shall be replaced by the new provisions to be mutually agreed upon between parties within the intent of this Agreement./ 本合約之任何條款, 如部

31、分條款與法律抵觸而失效, 在甲方與乙方雙方意願下, 同意以合宜的條款取代之前, 本協議書在整體上,仍保有強制法律效力。7. All statements and representations under this Agreement are made with full legal and corporate responsibility. This document shall be considered legally binding in both English and Chinese. Any facsimile document shall be treated as an or

32、iginal document, and hard copies containing “Live Signature” shall be delivered via courier or registered mail between the parties./ 所有協議書檔完全合於公司法，中英文版本同樣有法律效力和在協議書中的傳真都有效, 其有簽名正本必須在傳真或E-MAIL後以快遞或以掛號信傳送給對方。8. Unauthorized communication is not permitted to either partys bank by telephone, telex or an

33、y other form of communication by principal, bank officer, mandates, assigns or brokers. Validity is to be via bank to bank SWIFT only. Any party that exceeds the prescribed terms of this Agreement by engaging in other operations and/or verification and authentication, the other partys bank may refus

34、e to reply. Any such communication will therein nullify this Agreement and the injured party will be entitled to liquidated damages and inform the offending Party to cancel transaction of this Agreement./在無授權情況下AB雙方包括其委託者、指定代理人和仲介者等都不被允許以電話,傳真或其他形式去跟對方銀行任何負責人聯絡, 只能銀行對銀行用SWIFT才有效, 任何一方若超越本協議書規定的條款進行其

35、他額外操作和查詢，銀行可拒絕回復，如違約時,不但所作承諾無效,同時受害方有權要求賠償，並通知取消交易終止本協議書。9. This Agreement is a private transaction between all parties involved. It is not intended to be interpreted as a security transaction as defined by the Security Act of USA authorities./ 此協議書是參與交易各方的私人行為, 並非受美國證券交易法來規範所指的意圖或並非判斷為證券的買賣。10. Thi

36、s Agreement represents the full understanding between the parties concerning their rights, obligations and duties under the Agreement as will be considered confirmed and accepted by both parties when executed. All prior written or oral representation made by either party shall have no effect on the

37、representations contained herein and are automatically considered canceled and waived as a material consideration of the execution of this Agreement./ 雙方完全理解本協議書規範雙方全部權利, 義務和責任, 簽約前雙方所有的書面或口頭承諾, 除在協議書明文陳述外, 都自動失效, 並僅以本協議書為執行依據。11. The issuance of BG, and payment against delivery of BG is all handled

38、 by Party As bank and Party Bs bank. Any party who violates the stipulation herein contained and leads to poor consequence (such as loss in capital or an uneasy life) and damage, Shall compensate the other Partys loss and be liable to all consequence in relation thereto. Party B shall endeavor to th

39、eir best effort in completing this transaction./ 保函的开证、接证付款依照双方签订的贷款融资協議書规定的条款由双方银行负责操作执行。任何单方不按本協議書规定的条款操作或超越本合约规定的条款而引起其它方面的不良行为（如造成资金的损害和人生不安定的因素）所造成的一切损害，由违约方负责赔偿并承担所发生的后果。乙方将尽力而为去完成此次运作。12This Agreement does not involve matters in which both parties agree with the mode of complementary agreemen

40、t and will take effect upon execution of this Agreement. This Agreement is in quadruplicate whereby both parties shall each receive two copies. /本協議書未盡事宜由雙方協商，並由補充協定的方式進行補充，且與協議書同時生效。此合約一式四份，雙方各執二份。13. In the event of any discrepancy between the English and Chinese versions of these terms and condit
