8、方达成的协议，包括所有的附件、附录和上述文件所提到的构成合同的所有文件，但各方在协议中明确指明不作为各方实质性权利义务约定，而仅作为履行相关程序而订立的格式文件除外。2）“合同价”系指根据本合同规定卖方在正确地完全履行合同义务后买方应支付给卖方的价格。3）“货物”系指卖方根据本合同规定须向买方提供的一切设备、机械和/或其它材料。4）“伴随文件”指依照中华人民共和国法律要求的本合同设备出厂时应当一并提供的文件和资料，包括安全技术规范要求的设计文件、产品质量合格证明、安装及使用维修说明、办理监督检验证明文件所需的其他文件。5）“伴随服务”系指根据本合同规定卖方承担与供货有关的辅助服务，如运输、保险

9、以及其它的伴随服务，例如设计、安装技术指导、调试、提供技术支持、培训和合同中规定卖方应承担的其它义务。6）“合同条款”系指本合同条款。7）“买方”系指在合同条款中指明的购买货物和服务的单位，指四川省攀西灵山旅游投资开发有限公司 。8）“卖方”系指在合同条款中指明的提供本合同项下货物和服务的公司或实体，POMAGALSKI公司（以下简称“波马法国”）、波马嘉仕其（北京）索道有限责任公司（以下简称“波马北京”）。9）“买方进口代理”系指为买卖双方此次设备进口提供买方进口代理服务的公司，指10）“项目现场”系指本合同项下货物安装、运行的现场，指中国四川冕宁县灵山景区索道的施工现场 。11）“交货现场

10、”指中国四川冕宁县灵山景区索道下站 。12）“天”指日历天数。13）“验收证书”指由中国国家客运架空索道安全监督检验中心签署的证明，以表示按照合同条款及附件所规定的合同设备安装完成且性能测试顺利完成，合同设备批准投入使用的相关证明文件。1 DEFINITIONS1.1 In this contract, the following terms shall be interpreted as indicated:1) “The Contract” means the agreement entered into between The Buyer and Seller, as recorded

11、in the Contract signed by the parties, including all attachments and appendices thereto and all documents incorporated by reference therein, with the exception of those format documents as specified in the agreement not for substantial rights and obligation binding of the parties whereas for impleme

12、nting relevant procedures only.2) “The Contract Price” means the price payable to The Seller by The Buyer under the Contract for the full and proper performance of its contractual obligations.3) “The Goods” means all of the equipment, machinery, and/or other materials, which The Seller is required t

13、o supply to The Buyer under the Contract.4) “The Incidental Documents” means those documents and materials that shall be provided when the contractual equipment leaves the factory in accordance with the laws of Peoples Republic of China, including the design document as required by the safety techni

14、cal code, product quality qualification certificate, installation usage and maintenance instruction, and other document needed for supervision inspection documentary evidence.5) “The Incidental Services” means those services ancillary to the supply of the Goods, such as transportation and insurance,

15、 and any other incidental services, such as design, installation supervision, commissioning, provision of technical assistance, training, and other such obligation of The Seller covered under the Contract. 6) TCC means the Terms and Conditions of this Contract.7) The Buyer means the organisation pur

16、chasing the Goods and Services under this Contract, Sichuan Panxi Lingshan Tourism Investment And Development Co., Ltd.8) The Seller means the firm or entity supplying the Goods and Services under this Contract, POMAGALSKI, (hereinafter referred to as POMA France) and Poma (Beijing) Ropeway Co., Ltd

(hereinafter referred to as POMA Beijing).9) ”The Import Agency of the Buyer” means the company providing import agency service for the buyer for the imported equipment, that is10) The Project Site means the location where the Goods are to be installed and operated, that is the ropeway project sit

18、e in Lingshan Scenic Area, Mianning County, Sichuan Province, P.R.C. 11) “The Delivery Site” means the bottom station of the ropeway in Lingshan Scenic Area, Mianning County, Sichuan Province, P.R.C. 12) Day means calendar day.13) “ACCEPTANCE CERTIFICATE” means a certificate signed by the The State

19、Safety Supervision and Inspection Center For Passenger Aerial Ropeways Of China stating that the performance test of CONTRACT EQUIPMENT has been completed successfully as specified in the corresponding Appendix and in the Corresponding Articles of the CONTRACT. and the Contract Equipment is permitte

20、d into application.2 合同范围2.1 买方同意从卖方购买，卖方同意向买方提供合同设备:单线循环脱挂抱索器八人吊厢式索道一套（含配件和伴随文件），以及使合同设备在现场能按照本合同及其附件的规定顺利运行（设备安装中安装方责任导致的问题除外）的包括不限于该合同设备的设计、技术服务及技术培训、售后服务、质量保证等附属服务，本合同中统一称为合同设备。2.2在初步设计的线路图（见附件 ）请填写附件编号所约定的上下站点不变的情况下，最终线路图在不增加吊箱数量和改变索道中心线的情况下，卖方将对合同设备及备件清单的完整性及准确性负责，不因附件2、附件3、附件4、附件5（以下称为“建议清单”）

21、缺项漏项而免除责任，或要求增加合同包干价款。在买方根据卖方提供的说明和手册（包括日志）恰当地安装、操作和维护了合同设备、配件的情况下，如发现某些部件缺失（买方原因导致的丢失除外），卖方将无偿地、及时地向买方提供缺失部件。若最终交货范围低于或少于建议清单的应当相应降低合同价款。 若最终线路图需要增加吊箱数量和索道中心线改变的，按照“建议清单”中分项报价确定。2.3 合同设备保质期内，因质量问题不能正常使用的设备和配件卖方有义务免费并及时的向买方提供，并按照要求提供售后服务。 2.4根据买方要求，卖方有义务向买方提供合同设备保质期届满后的设备、备件和售后服务，双方届时将另签协议，但卖方保证给予中华

22、人民共和国国内客户最优惠条件。2.5备件和设计内吊箱增补的卖方承诺：2.5.1增补的备件和吊箱，卖方应当按照合同质保要求为其承担质保义务；2.5.2在备件和吊箱停止生产的情况下，卖方应事先将要停止生产的计划通知买方，使买方有足够的时间采购所需的备件和吊箱；2.5.3在备件和吊箱停止生产后，如果买方要求，卖方应免费向买方提供备件的蓝图、图纸、规格和材质；2.6卖方应当对买方指定的安装公司进行详细的技术交底，并指派技术人员在项目现场对设备安装进行技术指导。2. SCOPE OF CONTRACT2.1 The Buyer agrees to buy from The Seller and The

23、Seller agrees to supply to The Buyer the contractual equipment: One Monocable Circulating Detachable Grips for 8 Seats Suspension Cable Ropeway (including accessories and Incidental Documents), and the Incidental Service to make the contractual equipment run successfully (with exception of the probl

24、ems caused by the installation party during the equipment installation) at site in accordance with this Contract and its Appendix, including but not limited to design, technical service and technical training, after-sales services, quality warranty etc. All are referred to as contractual equipment i

25、n the Contract.2.2. Under conditions that the top and bottom stations specified in the Profile (see Appendix) in the preliminary design remain unchanged and that the number of gondolas remain un-added and the centreline of the ropeway unchanged in the final Profile, The Seller shall be responsible f

26、or the completeness and correctness of the contractual equipment and spare parts list. The Seller shall not be exempted from any liabilities due to the lack of items/missing of the Appendix 2, Appendix 3, Appendix 4 and Appendix 5 (hereinafter referred to as “suggestion list”, or shall The Seller re

27、quire to increase the turn-key contract price. The Seller shall provide If it is found that certain parts listed in the corresponding Appendix are missing (with the exception of the loss caused by the Buyers reason), the Seller shall supply the aforesaid parts to the Buyer free of charge in time, pr

28、ovided that the Buyer has installed, operated and maintained the contract equipment and the relevant parts properly and in accordance with the Sellers instructions and manuals (including logs) for operation and maintenance. The contract price shall be decreased correspondingly if the final delivery

29、scope is lower or less than the suggestion list.If the final profile needs to add gondolas or change the ropeway centreline, it will be determined in accordance with the itemized price in the suggestion list. 2.3. The Seller shall, within the warranty period of the contract equipment, provide for fr

30、ee and in time to The Buyer the components and accessories which cannot be used normally due to quality defects, and provide after-sales service in accordance with requirements.2.4 In accordance with the requirements of The Buyer, The Seller shall be under obligations to provide equipment, spare par

31、ts and after-sales service after the expiry of the warranty period of the contractual equipment. Both parties will sign another agreement then. The Seller shall promise to offer most favourable conditions for the clients in the Peoples Republic of China. 2.5 The Sellers commitment on the increase of

32、 spare parts and gondolas in the design:2.5.1 The Seller shall undertake warranty obligations for the increased spare parts and gondolas in accordance with the warranty requirements in the Contract.2.5.2 The seller shall give advance notification to the Buyer of the pending termination, sufficient t

33、ime shall be given to permit the Buyer to procure needed spare parts and gondolas,in the event of termination of production of the spare parts and gondolas;2.5.3 The Seller shall furnish at no cost to the Buyer, the blueprints, drawings, specifications, type of materials of the spare parts, if reque

34、sted, following the termination of the spare parts and gondolas.2.6 The Seller shall conduct detailed technical disclosure with the installation company designated by the Buyer and dispatch technical personnel at site to do the technical supervision of the equipment installation.3 原产地3.1 本合同项下所提供的货物

35、及服务均应来自于中华人民共和国或与中华人民共和国有正常贸易往来的国家和地区（以下简称“合格来源国”）。3.2本条款所述的“原产地”是指货物生产或提供有关服务的来源地。所述的“货物”是指制造、加工或实质上装配了主要部件而形成的货物。商业上公认的产品是指在基本特征、性能或功能上与部件有着实质性区别的产品。3.3货物和服务的原产地有别于卖方的国籍。3 COUNTRY OF ORIGIN3.1 All Goods and Services supplied under the Contract shall have their origin in the Peoples Republic of Chi

36、na (hereinafter referred to as “the PRC”) or in the countries/areas, which have regular trade relations with the PRC (hereinafter called “eligible source countries/areas”).3.2 For purposes of this Clause, “origin means the place where the Goods were produced, or from which the Services are supplied.

37、 Goods are produced when, through manufacturing, processing, or substantial and major assembly of components. A commercially recognised product results that is substantially different in basic characteristics or in purpose or utility from its components.3.3The origin of Goods and Services is distinc

38、t from the nationality of The Seller.4 标准4.1本合同下交付的货物应符合中华人民共和国有关客运索道相关要求和标准。如果中华人民共和国内没有适用标准的，则应符合货物来源国适用的官方标准。这些标准必须是有关机构发布的最新版本的标准。4.2除非合同中另有规定，计量单位均采用中华人民共和国法定计量单位。4STANDARDS 4.1The Goods supplied under this Contract shall conform to the requirements and standards relating to passenger ropeway o

39、f the P.R.C. , and, when no applicable standard is mentioned in P.R.C., to the authoritative standards appropriate to the Goods country of origin. Such standards shall be the latest issued by the concerned institution.4.2All measurements shall be the measuring unit officially published by PRC, unles

40、s otherwise specified in the Technical Specifications.5使用合同文件和资料5.1 没有其他方事先书面同意，合同任何一方不得将由另一方提供的有关合同或任何合同条文、规格、计划、图纸、模型、样品或资料提供给与履行本合同无关的任何其他人。即使向与履行本合同有关的人员提供，也应注意保密并限于履行合同必须的范围。5.2 没有其他方事先书面同意，除了履行本合同之外，合同任何一方不应使用合同条款第5.1条所列举的任何文件和资料。5.3 合同各方应保护对方对所有违反本合同第五条规定使用技术文件和资料的索赔并在向其提交此类索赔后三十天内赔偿相当于不当使用文件

41、和/或资料当时市值五倍的金额。5USE OF CONTRACT DOCUMENTS AND INFORMATION5.1Any party shall not, without prior written consent of the other parties, disclose the Contract, or any provision thereof, or any specification, plan, drawing, pattern, sample, or information furnished by or on behalf of the party in connect

42、ion therewith, to any person other than a person employed by them in the performance of the Contract. Disclosure to any such employed person shall be made in confidence and shall extend only so far as may be necessary for purposes of such performance.5.2 Any party shall not, without prior written co

43、nsent of the other parties, make use of any document or information enumerated in Contract Clause 5.1 except for purposes of performing the Contract.5.3 All parties shall indemnify the other parties against all claims of infringement arising from the use of documents or information in violation to C

44、lause 5 of the Contract and shall pay a compensation within thirty (30) days after such claims handed over to the other parties in the amount of equal to five (5) times the market value of the goods related to the documents and/or information misused. 6 知识产权卖方应保证，买方在中华人民共和国境内使用该货物或货物的任何一部分时，免受第三方提出的

45、侵犯其专利权、商标权、知识产权及非专利技术等的起诉。6INTELLECTUAL PROPERTYThe Seller shall indemnify the Buyer against all third claims of infringement of patent, trademark, intelligence property or non-patent rights etc. arising from use of the Goods or any part thereof in the PRC.7 设计及设计联络7.1 买方应当按照中华人民共和国有关客运索道设计要求提供附件2第三

46、条第1款约定的设计实现。7.2进度要求：7.2.1买方向卖方交付索道线路测量资料之日起30日内，卖方应当向买方交付进一步设计的线路图，经双方会审并签字确认后，作为双方认定的最终线路图。7.2.2最终线路图确认且买方向其提供地勘资料后60日内，卖方应当向买方提交合格的支架基础设计图纸、站内基础设计图纸、站房设备配置图纸，以及该等图纸相应的施工图纸。7.2.3在最终线路图确认且买方向其提供地勘资料之日起30日内，卖方应当向国家客运架空索道安全监督检验中心提供本项目设计审查所需要的所有资料，完成并通过设计审查并承担相应费用。7.3卖方明确并承诺因其对本项目支架、站内基础设计图纸（含施工图纸）的设计不

47、具备中华人民共和国法律要求的相应资质，为此卖方负责将相应设计内容分包给具有相应资质的设计单位完成并承担相应费用，但卖方应当对分包单位的设计提供指导并对其设计责任承担连带责任。7.4 设计成果的确认和移交：7.4.1卖方完成本项目的设计后，应交由买方进行书面确认且接到买方的生产通知后方可用于本项目的设备生产。7.4.2设计成果包括：7.4.3卖方应将设计成果一式 套，以书面和电子文档的方式向买方移交。7.5最终图纸确认以后的设计变更7.5.1买方有权提出进行设计修改和增补的意见，而卖方应认真对待，并尽量同意意见。7.5.2因地质情况不符合地勘资料而导致设计图纸必须变更以及非因卖方原因导致的吊箱数量增加和索道中心线变更除外，本项目任何设计变更导致的费用增加责任均应当由卖方承担。7 DESIGN AND DESIGN LIAISON7.1 The Buyer
