3、“本协议本协议”）：1Inconnectionwithaninternalinvestigationforthepurposeof【】tobecarriedoutbyPartyB(the“InvestigationInvestigation),PartyAagreestodisclosecertainConfidentialInformationofPartyAoritsaffiliatestoPartyB.本协议双方认可，为协助乙方完成其一项【为目的的】内部调查（下称“调查调查”），甲方同意向乙方披露甲方或其关联方的特定保密信息。2“ConfidentialInformationConfid

4、entialInformation”shallmeantheinformationwithconfidentialnatureheld,created,discovered,prepared,acquired,developed,orotherwiseprovidedbyPartyAoritsaffiliates,whichisnotgenerallyknowntothepublic,towhichPartyBmayhaveanaccess.SuchConfidentialInformationincludesbutisnotlimitedto:-“保密信息保密信息”系指乙方接触到的甲方及其关

5、联方持有、创造、发现、准备、开发、或提供的具有秘密性质的信息，该等信息不为公众所知，且包括但不限于：2.1allinformation(whetheroralorotherwise)andmaterial(whetherelectronicallyrecorded,inwritingorotherwise)disclosedtoPartyBbefore,onorafterthedateofthisAgreementbyPartyAoritsaffiliatesforthepurposetheInvestigation,andinparticularincludingexistingbusine

6、ssand/orcontractualrelationships(aswellastheirterms)thatPartyAandaffiliatesmayhavewiththirdpartiesandfinancialinformationofPartyAanditsaffiliates;所有由甲方及其关联方在本协议签署日前、签署日或签署日后披露给乙方的与本次调查相关的，并尤其包括现有的甲方及其关联方可能与第三方存在的商业和/或合同关系（包括相应的合同条款）及财务的信息（无论口头或以任何形式）及资料（无论电子记录，书面或其他方式）；2.2allinformation(whetheroralo

7、rotherwise)andmaterial(whetherelectronicallyrecorded,inwritingorotherwise)relatingdirectlyorindirectlytothebusinessaffairsofPartyAoritsaffiliates,allsoftware,samples,devices,demonstrations,know-how,tradesecretsandothermaterialsofwhateverdescription,whethersubjecttoorprotectedbycopyright,patent,trade

8、mark,registeredorunregisteredorotherwisedisclosedbefore,onorafterthedateofthisAgreementbyPartyAoritsaffiliatestoPartyB;and所有直接或间接地与甲方（或其关联方）商务相关的信息（无论口头或以任何形式）及资料（无论电子记录，书面或其他方式），所有软件，样品，设备，展示品，技术秘密，商业秘密及其他无论以何种描述形式存在的资料，无论是否受着作权、专利及商标保护，无论是否注册或在本协议签署日之前、签署日或之后被甲方或其关联方进行过相关的披露；及2.3anydocumentormater

9、ialmarkedConfidential(orwithasimilarexpression),oranyinformationwhichPartyBoranyofitsemployeeshasbeentoldisconfidentialorwhichhemightreasonablyexpectPartyAoritsaffiliateswouldregardasconfidential.任何被标示为保密(或相似的说法)的文件、或任何已告知乙方及其任意雇员为机密的信息或乙方可合理预计的将被甲方及其关联方视为机密的信息。3PartyBacknowledgesthattheConfidential

10、InformationsuppliedortobesuppliedbyPartyAoritsaffiliatestoitisproprietarytoPartyAoritsaffiliatesandacknowledgesthatitisofaconfidentialnature.Accordingly,PartyBwillatalltimeskeepConfidentialInformationinstrictconfidenceandwillnotusetheConfidentialInformationinanymannerotherthanforthepurposeoftheInves

11、tigationwithoutthepriorwrittenconsentofPartyA.Inparticular,PartyBshallnotdirectlyorindirectly:-乙方认可甲方及其关联方提供的或将要提供的保密信息系甲方及其关联方的专有财产，乙方同意此类信息在本质上具有保密性质。因此，乙方将在任何时间对于此类由甲方或其关联方传递的保密信息保持其严格保密性，并将不会为本次调查以外的任何方式使用该等信息，除非事先得到披露方的书面同意。且乙方不得直接或间接：3.1disclose,inanyform,anyConfidentialInformationtoanythirdpa

12、rty,exceptotherwisepermittedpursuanttothisAgreement以任何形式将任何保密信息披露予第三方，但本合同其他条款允许披露的情况除外；3.2acquireorallowanythirdpartytoacquireConfidentialInformationbyanyimpropermethods(the“ImproperMethods”includesstealing,fraud,threat,bribery,unauthorizedreproduction,breachofconfidentialityobligations,persuasiono

13、fotherstobreachanyconfidentialityobligationorsimilarmethodsofthesamenature);or以不当方式获取或允许第三方不当获取保密信息（“不当方式”包括窃取、欺诈、威胁、贿赂、未经授权复制、违反保密义务、教唆他人违反保密义务或同样性质的类似方式）；或3.34useorallowanythirdpartytouseanyConfidentialInformationacquiredthroughImproperMethods.使用或允许第三方使用以不当方式取得的保密信息。PartyBshallnotusetheConfidentia

14、lInformationofPartyAoritsaffiliatesinanywaylistedasfollowing:-乙方不应以以下任何形式使用甲方及其关联方的机密信息：4.1whereinformationregardingidentities,pricingandothercommercialarrangementinvolvingcustomersorsuppliersofPartyAoritsaffiliatesaredisclosedtoPartyB,presumecommercialdealings,whetherdirectlyorindirectly,orthrought

15、hirdparties,orenterintonegotiationswithanyorallsuppliersorcustomersofPartyAoritsaffiliatesintheabsenceofpriorconsentfromPartyA;在向乙方披露了涉及甲方及其关联方的供应商及客户的身份、价格及其他商业安排的信息的情况下，未取得甲方同意而与相关供应商及客户擅自交易，无论直接还是间接或通过第三方完成，或与相关供应商及客户进行直接磋商；4.2knowinglycausePartyAoritsaffiliatestolosebusinessopportunities,duefees

16、,commissions,orotherpaymentsandfees,commissions,orotherpaymentswhichmaybedueunderthecommercialcontractsorarrangementstowhichPartyAoritsaffiliatesisaparty;or故意导致甲方及其关联方丧失商业机会，或无法获得其应得的费用、佣金或价款，或无法收取甲方或其关联方作为合同一方的合同项下本应收取的费用、佣金或价款；或4.3solicitoracceptbusinessfromcustomersthataremadeavailablebyPartyA,at

17、anytime,withoutthepriorwrittenpermissionofPartyA.在未获得甲方允许的条件下，以任何形式向甲方提供的任何客户及其关联方招揽或接受生意。5PartyBmaydisclosetheConfidentialInformationtoitsemployeesonastrictneed-to-knowbasis.PartyBundertakestoensurethatallemployeestowhomConfidentialInformationisdisclosedshallcomplywiththetermsofthisAgreement.乙方仅可将保

18、密信息披露给严格意义上必需接触到保密信息的雇员。乙方将保证所有接触到保密信息的雇员遵守本协议条款。6PartyBshallnotwithoutthepriorwrittenconsentofPartyA,reproduce,adapt,divulge,disclose,publish,confirm,denyorcirculate(orauthorizeorpermitanyoneelsetodoanyofthesameinrespectof)anyoftheConfidentialInformationdisclosedorcommunicatedtoitbyPartyAoritsaffil

19、iatesunlesspermittedbyClause5aboveorunlessrequiredtodosobylaworbytheorderorrulingofacourtortribunal,judicialbody,inwhichcase,ifPartyBisrequiredtodisclosesuchinformationitwill,unlesslegallyprohibitedfromdoingso,notifyPartyApromptlyinwritingofthatfactandinanyevent,priortomakingsuchdisclosure.乙方不得在未得到甲

20、方事先书面许可的前提下复制、改编、泄露、披露、公开、确认、否认或散播（或授权或允许任何第三方从事上述行为）甲方及其关联方披露或传递的保密信息，依本协议上述第 5 条的披露除外，或依照法律规定，或依照法院、仲裁院或其他司法机关裁决要求披露的除外；上述任何情况下对保密信息的披露，除非是被法律禁止的，乙方将在任何情形下在披露前立即以书面形式通知甲方此类情况的发生。7TheConfidentialInformationandallcopiesthereofshallbereturnedbyPartyBtoPartyAoritsaffiliateswithinsevendaysofawrittenreq

21、uestforsuchreturn,ordestroyedaccordinglyinaccordancewiththeinstructionsofPartyA,providedthatthePartyBshallbepermittedtoretaincopiesifandtotheextentrequiredbyanyapplicablelawtoretaincopies.若甲方或其关联方发出通知要求返还或销毁机密信息，乙方应在收到书面要求返还的通知后 7 日内将保密信息及其一切复制品返还给甲方或其关联方，或按照指示进行销毁；但若依照适用的法律规定，乙方可保留相应复制品的条件下，其可保留相应的

22、复制品。8PartyBshallindemnifyandholdPartyAanditsaffiliatesharmlessagainstanylossanddamagesincurredifanyprovisionsofthisAgreementisbreached.SpecificallythecompensationpayabletoPartyAoritsaffiliatesintheeventofsuchbreachshallbethehigherofthelossincurredbyPartyAoritsaffiliatesincludinganyanticipatedprofits

23、,oranycommercialgainsderivedbyPartyBasaresultofsuchbreach.乙方应就违反本协议的条款给甲方及其关联方造成的全部损失予以补偿。违约补偿金以甲方遭受的含可预期利益在内的损失或乙方因违约所获取的商业收益中较高者为准。9AnydisputearisingoutoftheinterpretationandperformanceofthisAgreementshallbefirstsettledthroughfriendlyconsultationbetweentheParties.IfthePartiesfailtoreachasolutionth

24、roughfriendlyconsultation,eitherPartycanbringthedisputetotheShanghaiInternationalEconomicandTradeArbitrationCommissionforarbitrationinShanghai.因本协议的解释和履行而发生的任何争议，双方应首先通过友好协商解决。如果双方未能通过友好协商解决，任何一方可将此争议提交上海国际经济贸易仲裁委员会在上海进行仲裁。10ThisAgreementshallbegovernedbythelawsofthePeople sRepublicofChina.本协议受中国法律管

25、辖，本协议未尽事宜应以中华人民共和国法律规定为准。11TheinvalidityorunenforceabilityofanyprovisionofthisAgreementshallnotaffectthevalidityofanyotherprovisionsofthisAgreement.本协议项下任何条款的无效或不可执行均不应影响本协议其他条款的效力。12ThisAgreementisexecutedbothEnglishandChineselanguages.Intheeventofanydiscrepancy,theEnglishversionshallprevail.本协议以中文
