1、XX大学讲座教授聘任合同Employment Contract for Chair ProfessorOf XX University聘任方：xx大学 （简称甲方）受聘方：（简称乙方）Party A:XX UniversityParty B: 为进一步实施人才强校战略，保证我校讲座教授工作的顺利实 施，保障甲乙双方的合法权益，根据中华人民共和国教师法、 XX工程大学讲座教授聘任办法的相关规定，经甲乙双方协商 订立本合同。In order to further implement the policy of Strengthening the University by Recruiting T

2、alented People”, to ensure that the chair professor undertake his/her duties successfully, and to guarantee the legitimate rights and interests of both parties, the two parties have reached the following agreements in accordance with The Teacher s Law of the People s Republic of China and Rules and

3、Regulations for Employing Chair Professors at X.第一条聘期I. Employment Term甲方聘任乙方为我校讲座教授，岗位聘期为三年。聘期自20 年 月日至20年 月 日。the ownership of all intellectual property rights of Party Bs scientific research results obtained, and without infringement on any third party and violation of any agreement with other un

4、iversities or institutions. If any third party lodges an objection to Party Bs scientific research results or Party Bs scientific research results infringe the rights of any third party, Party B shall be responsible for handling and bearing corresponding consequences. In such a case, should any loss

5、 be caused to Party A, Party B shall make corresponding compensation.三、聘期内，乙方保证其未与其他高校或机构签订竞业禁止协 议，乙方签订本合同不违反其与其他高校或机构签订的任何协议； 如因乙方与甲方签订本合同而导致乙方对第三方违约的，应由乙方 负责处理并承担相应后果，如给甲方造成损失的，乙方应当予以赔 偿。6.3 During Party Bs employment term, Party B shall guarantee that there is no prohibition of business strife ag

6、reement or non-disclosure agreement signed with any other employer, nor shall this contract violate any agreement signed with other universities or institutions; Should Party B breach the contract signed with a third party due to this contract signed between Party B and Party A, Party B shall be lia

7、ble for handling and bearing the corresponding consequences. In such a case, should any loss be caused to Party A, Party B shall make corresponding compensation.第七条附则VII. Appendix一、本合同一式三份，甲方、乙方以及乙方所聘学院各持一份。 本合同于签字盖章之日起生效。每份合同均用中文和英文写成，两 种文字版本的合同于双方当事人签字后生效，具有同等效力。如中 英文版本之间有任何冲突，以中文版本为准。7.1 The cont

8、ract is made in triplicate. Each party and the relevant school hold one set respectively. The contract will become valid since the day of signing. This contract is made in both Chinese and English, and the contract in both languages shall have the same legal effect upon signing of the parties. Any c

9、onflict between the two language versions shall be governed by the Chinese version.二、除发生不可抗力因素致使合同无法履行外，双方应严格履 行合同中的各项条款，如发生争议，双方应协商处理，对合同有关 条款的变更，应征得对方同意。7.2 Except for force majeure, both parties are strictly bound by all the terms speculated in the contract. Friendly discussion is encouraged to s

10、ettle disagreements or disputes should there be any. Any alteration to the terms of the contract must be agreed upon by both parties.三、本合同如有未尽事项，应由双方协商，做出补充规定。补 充规定与本合同具有同等效力。7.3 Other affairs not included hereof shall be made into additional regulations through friendly consultation. The additional

Upon the agreement expiration, the contract is automatically terminated.第二条 乙方在聘期内的工作任务IL Duties and Tasks of Party B一、教

13、学任务(包括承担核心课程的讲授任务，开设本学科前 沿领域课程或讲座等)：2.1 Teaching (which includes teaching core and frontier courses in the related fields, and lectures and presentations.)二、科研任务(包括以甲方为第一作者单位发表SCI收录论文 或出版论著，以甲方为依托单位主持或参与科研项目等)：2.2 Scientific research (which includes SCI journal papers or monographs with Party A as t

14、he first authors affiliation, or research projects headed by Party B or Party Bs participation with Party A as his/her affiliation.)三、学科建设任务(包括协助甲方相关学科建设，对学科发展 方向和研究重点提供重要建议，扩大甲方相关学科的国际影响力)：2.3 Discipline Construction (which includes assisting Party A in related discipline construction, putting forw

15、ard suggestions ondiscipline development and on research priorities, and helping Party A to enhance its international influence and status in the related disciplines.)四、人才培养任务(组建或参与组建科研团队，联合培养博士、 硕士研究生，指导博士后研究人员、青年教师，互派高级访问学者 等)：2.4 Personnel cultivation (which includes setting up or helping setting

16、 up scientific research teams, joint-supervising PhD candidates and MA/MSC candidates, supervising postdoctoral researchers and young teachers, and helping with organizing exchanging visiting scholars.)五、国际交流合作(包括促进甲方与国外科研机构或企业在科 研项目合作、学术互访、学生联合培养等方面的合作，邀请知名外 国专家来校访问等)：2.5 International communicatio

17、ns and cooperation (which includes promoting cooperation between Party A and international research institutes and enterprises on scientific and research projects, academic visits and joint-cultivation of students, and inviting renowned foreign experts to SCUT).六、其他任务：2.6 Other tasks第三条权利和义务III. Rig

18、hts and Obligations一、甲方权利Rights of Party A甲方根据学校的有关规定，对乙方进行管理；甲方依照合同约 定的工作目标及任务，对乙方进行考核。Party A is entitled to supervise Party B in accordance with relevant University rules and regulations, to assess Party Bs performance on the basis of the contract.二、甲方义务Obligations of Party A.依法维护乙方应享有的各项权利。1.1.1

19、 To guarantee the relevant rights of Party B in line with the contract.2 .为乙方提供的工作和生活条件：3 .2.2 To provide Party B with the following working and living conditions:(1)乙方来校工作期间，甲方为乙方提供讲座教授周转公寓, 入住期间发生的水电煤气费等由乙方自行缴纳，学校按专家公寓房 租标准收取租金；3.2.2.1 To provide Party B with appropriate apartment with standard sc

20、hool rent. Party B needs to pay for the rent according to the standard of SCUT, as well as the utility fees (including water, electricity, and gas, etc.).(2)甲方为乙方在聘期内购买一份保额拾万左右的国内意外 伤害商业保险；3.2.2.2 To purchase accident insurance of 100,000 RMB for Party B.(3)在聘期内，甲方根据讲座教授工作需要提供科研活动经 费贰拾万元(主要用于国际差旅费)。

21、3.2.2.3 To provide Party B with scientific research fund of 200,000 RMB (which includes travel expenses) during the employment.三、乙方权利3.3 Rights of Party B1 .甲方根据乙方实际来校工作时间(附护照出入境记录及来 校机票复印件),按人民币肆万元/月(税前)的标准计算薪酬。2 .3.1 Party A shall pay Party B pre-tax salary of 40,000 RMB per month in accordance wi

22、th his/her actual stay at SCUT.2.享受甲方为其提供的工作和生活条件。3.3.2 Party B has the right to enjoy work and living facilities provided by Party A.四、乙方义务3.4 Obligations of Party B1.认真遵守国家法律、法规和甲方的各项规章制度。3.4.1 Party B shall observe laws and decrees enacted by Peoples Republic of China as well as Party As relevant

23、 regulations.2.聘期内保证每年来校工作2个月(含)以上。3.4.2 During the employment term, the actual in-service time of Party B shall be more than 2 months (include 2 months).3.全面履行岗位职责，完成岗位的工作目标及任务；聘期结束 时乙方须按要求向甲方提交聘期考核表；接受甲方的管理、监督及 考核。3.4.3 Party B shall fulfill the corresponding post responsibilities assigned to him/

24、her with high standards. At the end of the employment term, Party B shall submit the employment period assessment form to Party A as required. Party B shall accept Party As management, supervision, inspection and review of his/her working performance.4.乙方在校期间，应遵守我国有关宗教法律法规，不得在校内 传教，不得在校外组织或参加非法宗教活动，

25、不得组织学生在校外 参加任何宗教活动。3.4.4 Party B shall abide by the laws and regulations concerning religions of China, and shall not preach any religion or any inappropriate belief in SCUT. Party B shall not organize or participate in any illegal religious activities or organize students to participate in any reli

26、gious activities outside SCUT.5.乙方应根据中华人民共和国法律法规的规定缴纳个人所得 税，并由甲方代扣代缴；如根据乙方国籍所在地法律法规的规定，乙方需就上述劳务费在该地缴纳税费的，乙方应依法缴纳并承担因 未缴纳而产生的全部法律责任。3.4.5 Party B shall pay personal income tax in accordance with the laws and regulations of the Peoples Republic of China, and Party A shall withhold and remit tax. If Pa

27、rty B is required to pay taxes or fees on the above salary in accordance with the laws and regulations of the place of birth of Party B, Party B shall pay corresponding taxes or fees according to law and bear all legal liabilities arising from the non-payment.第四条考核Assessment一、甲方根据聘任合同岗位目标和工作任务对乙方进行聘

28、期考 核，乙方须按要求向甲方提交考核材料，考核结果作为其绩效评估 的主要依据。4.1 Party A is entitled to organize a final assessment on Party B in accordance with the duties and tasks stipulated in the contract. It is Party Bs obligation to submit assessment materials and documents to Party A. The results of the assessment shall be regar

29、ded as the main basis of Party Bs performance.二、聘期考核合格，经个人申请，学校同意，可续聘讲座教授; 考核不合格者，不予续聘。4.2 The contract may be renewed upon Party Bs request ? approval of the relevant school and at Party As consent if Party B succeeds in the final assessment at the end of his/her employment.Those who have failed in

30、 the final assessment are not eligible to renew their contracts.第五条合同的变更与解除Alternation and Termination of the Contract一、乙方在聘期内如不能履行本合同所规定的职责，考核不合 格或有违法违纪违反师德行为，甲方有权予以解聘，终止本合同。5.1 Party A is entitled to dismiss Party B and terminate the contract, if Party B fails to perform his/her responsibilities u

31、nder this contract or fails to pass the performance assessment, or is involved in any criminal activities, or violates teachers morality and obligations.二、乙方在聘期内因特殊原因提出辞聘的，需提前三个月向甲 方提出申请，经甲方同意后方可辞聘，并视具体情况承担相应的违 约责任。5.2 Party B must submit written notice to Party A three months in advance if he/she w

32、ishes to terminate the contract due to events beyond his/her control. Party B cannot terminate the contract without Party As consent. Party B is liable to breach penalties.三、乙方在聘期内因考核不合格或因特殊原因提出辞聘的，甲 方视具体情况要求乙方将拨发的科研活动经费退还甲方。5.3 Party A is entitled to demand that Party B return the scientific resear

33、ch fund should Party B submit a request to resign due to his/her failure in the assessment or events beyond his/her control.四、聘任期间如发生双方无法预见、无法防范而致使合同无法 正常履行的事由，需要变更或解除合同的，聘任双方应按照国家的有关法律妥善处理。5.4 Should there be any unpredictable or unavoidable events that prevent the contract from full implementation

34、, the concerned parties should handle the problem in accordance with relevant state laws and regulations.第六条双方约定的其他事项Other matters agreed upon by both parties一、聘期内，乙方在讲座教授岗位上所取得的教学、科研等成 果均属职务成果，须归属甲方。其发表有关论文、著作等须属甲方 为第一作者单位；申报有关奖励、专利和科研项目及经费等，均须 署甲方为乙方第一工作单位。6.1 All teaching and research achievement

35、s of Party B in the position appointed by Party A within the term shall be service achievements and belong to Party A. Any published papers or monographs must be published with Party A as the first authors affiliation; awards, patents, projects, and funds shall be marked with Party A as the authors affiliation.二、聘期内，乙方保证对其科研成果拥有全部知识产权，不会 对任何第三方构成侵权，不违反其与其他高校或机构的任何协议。 如第三方就乙方的科研成果提出异议或者乙方所取得的科研成果 造成对任何第三方的权利侵犯的，则由乙方负责处理并承担相应后 果，如给甲方造成损失的，乙方应当予以赔偿。6.2 During Party Bs employment term, Party B shall guarantee
