8、各方在协议中明确指明不作为各方实质性权利义务约定，而仅作为履行相关程序而订立的格式文件除外。2）“合同价”系指根据本合同规定卖方在正确地完全履行合同义务后买方应支付给卖方的价格。3）“货物”系指卖方根据本合同规定须向买方提供的一切设备、机械和/或其它材料。4）“伴随文件”指依照中华人民共和国法律要求的本合同设备出厂时应当一并提供的文件和资料，包括安全技术规范要求的设计文件、产品质量合格证明、安装及使用维修说明、办理监督检验证明文件所需的其他文件。5）“伴随服务”系指根据本合同规定卖方承担与供货有关的辅助服务，如运输、保险以及其它的伴随服务，例如设计、安装技术指导、调试、提供技术支持、培训和合同

9、中规定卖方应承担的其它义务。6）“合同条款”系指本合同条款。7）“买方”系指在合同条款中指明的购买货物和服务的单位，指。8）“卖方”系指在合同条款中指明的提供本合同项下货物和服务的公司或实体，POMAGALSKI公司（以下简称“波马法国”）、波马嘉仕其（北京）索道有限责任公司（以下简称“波马北京”）。9）“买方进口代理”系指为买卖双方此次设备进口提供买方进口代理服务的公司，指10）“项目现场”系指本合同项下货物安装、运行的现场，指。11）“交货现场”指中。12）“天”指日历天数。13）“验收证书”指由中国国家客运架空索道安全监督检验中心签署的证明，以表示按照合同条款及附件所规定的合同设备安装完

10、成且性能测试顺利完成，合同设备批准投入使用的相关证明文件。1DEFINITIONS1.1In this contract,the following terms shall be interpreted as indicated:1)“The Contract”means the ag reement entered into between The Buyer and Seller,asrecorded in the Contract signed by the parties,including all attachments andappendices thereto and all d

11、ocuments incorporated by reference therein,with theexception of those format documents as specified in the agreement not forsubstantial rights and obligation binding of the parties whereas for implementingrelevant procedures only.2)“The Contract Price”means the price payable to The Sellerby The Buye

12、r under theContract for the full and proper performance of its contractual obligations.3)“The Goods”means all of the equipment,machinery,and/or other materials,whichThe Seller is required to supply to The Buyer under the Contract.4)“The Incidental Documents”means those documents and materials that s

13、hall beprovided when the contractual equipment leaves the factory in accordance with thelaws of Peoples Republic of China,including the design document as required bythe safety technical code,product quality qualification certificate,installation usageand maintenance instruction,and other document n

14、eeded for supervision inspectiondocumentary evidence.5)“The Incidental Services”means those services ancillary to the supply of the Goods,such as transportation and insurance,and any other incidental services,such asdesign,installation supervision,commissioning,provision of technical assistance,trai

15、ning,and other such obligation of The Seller covered under the Contract.6)TCC means the Terms and Conditions of this Contract.7)The Buyer means the organisation purchasing the Goods and Services under thisContract,Sichuan Panxi Lingshan Tourism Investment And Development Co.,Ltd.8)The Seller means t

16、he firm or entity supplying the Goods and Services under thisContract,POMAGALSKI,(hereinafter referred to as POMA France)and Poma(Beijing)Ropeway Co.,Ltd.(hereinafter referred to as POMA Beijing).9)”The Import Agency of the Buyer”means the company providing import agency servicefor the buyer for the

17、 imported equipment,that is10)The Project Site means the location where the Goods are to be installed and operated,that is the ropeway project site in Lingshan Scenic Area,Mianning County,SichuanProvince,P.R.C.11)“The Delivery Site”means the bottom station of the ropeway in Lingshan Scenic Area,Mian

18、ning County,Sichuan Province,P.R.C.12)Day means calendar day.13)“ACCEPTANCE CERTIFICATE”means a certificate signed by the The State SafetySupervision and Inspection Center For Passenger Aerial Ropeways Of China statingthat the performance test of CONTRACT EQUIPMENT has been completedsuccessfully as

19、specified in the corresponding Appendix and in the CorrespondingArticles of the CONTRACT.and the Contract Equipment is permitted into application.2合同范围2.1 买方同意从卖方购买，卖方同意向买方提供合同设备:单线循环脱挂抱索器八人吊厢式索道一套（含配件和伴随文件），以及使合同设备在现场能按照本合同及其附件的规定顺利运行（设备安装中安装方责任导致的问题除外）的包括不限于该合同设备的设计、技术服务及技术培训、售后服务、质量保证等附属服务，本合同中统一

20、称为合同设备。2.2 在初步设计的线路图（见附件）所约定的上下站点不变的情况下，最终线路图在不增加吊箱数量和改变索道中心线的情况下，卖方将对合同设备及备件清单的完整性及准确性负责，不因附件 2、附件 3、附件 4、附件 5（以下称为“建议清单”）缺项漏项而免除责任，或要求增加合同包干价款。在买方根据卖方提供的说明和手册（包括日志）恰当地安装、操作和维护了合同设备、配件的情况下，如发现某些部件缺失（买方原因导致的丢失除外），卖方将无偿地、及时地向买方提供缺失部件。若最终交货范围低于或少于建议清单的应当相应降低合同价款。若最终线路图需要增加吊箱数量和索道中心线改变的，按照“建议清单”中分项报价确定

21、。2.3 合同设备保质期内，因质量问题不能正常使用的设备和配件卖方有义务免费并及时的向买方提供，并按照要求提供售后服务。2.4 根据买方要求，卖方有义务向买方提供合同设备保质期届满后的设备、备件和售后服务，双方届时将另签协议，但卖方保证给予中华人民共和国国内客户最优惠条件。2.5 备件和设计内吊箱增补的卖方承诺：2.5.1 增补的备件和吊箱，卖方应当按照合同质保要求为其承担质保义务；2.5.2 在备件和吊箱停止生产的情况下，卖方应事先将要停止生产的计划通知买方，使买方有足够的时间采购所需的备件和吊箱；2.5.3 在备件和吊箱停止生产后，如果买方要求，卖方应免费向买方提供备件的蓝图、图纸、规格和

22、材质；2.6 卖方应当对买方指定的安装公司进行详细的技术交底，并指派技术人员在项目现场对设备安装进行技术指导。2.SCOPE OF CONTRACT2.1 The Buyer agrees to buy from The Seller and The Seller agrees to supply to The Buyer thecontractual equipment:One Monocable Circulating Detachable Grips for 8 SeatsSuspension Cable Ropeway(including accessories and Inciden

23、tal Documents),and theIncidental Service to make the contractual equipment run successfully(with exception ofthe problems caused by the installation party during the equipment installation)at site inaccordance with this Contract and its Appendix,including but not limited to design,technical service

24、and technical training,after-sales services,quality warranty etc.All arereferred to as contractual equipment in the Contract.2.2.Under conditions that the top and bottom stations specified in the Profile(see Appendix)inthe preliminary design remain unchanged and that the number of gondolas remainun-

25、added and the centreline of the ropeway unchanged in the final Profile,The Seller shallbe responsible for the completeness and correctness of the contractual equipment andspare parts list.The Seller shall not be exempted from any liabilities due to the lack ofitems/missing of the Appendix 2,Appendix

26、 3,Appendix 4 and Appendix 5(hereinafterreferred to as“suggestion list”,or shall The Seller require to increase the turn-key contractprice.The Seller shall provide If it is found that certain parts listed in the correspondingAppendix are missing(with the exception of the loss caused by the Buyer s r

27、eason),theSeller shall supply the aforesaid parts to the Buyer free of charge in time,provided that theBuyer has installed,operated and maintained the contract equipment and the relevantparts properly and in accordance with the Seller s instructions and manuals(including logs)for operation and maint

28、enance.The contract price shall be decreased correspondingly ifthe final delivery scope is lower or less than the suggestion list.If the final profile needs to add gondolas or change the ropeway centreline,it will bedetermined in accordance with the itemized price in the suggestion list.2.3.The Sell

29、er shall,within the warranty period of the contract equipment,provide for free and intime to The Buyer the components and accessories which cannot be used normally due toquality defects,and provide after-sales service in accordance with requirements.2.4 In accordance with the requirements of The Buy

30、er,The Seller shall be under obligations toprovide equipment,spare parts and after-sales service after the expiry of the warrantyperiod of the contractual equipment.Both parties will sign another agreement then.TheSeller shall promise to offer most favourable conditions for the clients in the People

31、sRepublic of China.2.5The Sellers commitment on the increase of spare parts and gondolas in the design:2.5.1 The Seller shall undertake warranty obligations for the increased spare parts and gondolasin accordance with the warranty requirements in the Contract.2.5.2 The seller shall give advance noti

32、fication to the Buyer of the pending termination,sufficienttime shall be given to permit the Buyer to procure needed spare parts and gondolas,in theevent of termination of production of the spare parts and gondolas;2.5.3 The Seller shall furnish at no cost to the Buyer,the blueprints,drawings,specif

33、ications,type of materials of the spare parts,if requested,following the termination of the spareparts and gondolas.2.6 The Seller shall conduct detailed technical disclosure with the installation companydesignated by the Buyer and dispatch technical personnel at site to do the technicalsupervision

34、of the equipment installation.3 原产地3.1 本合同项下所提供的货物及服务均应来自于中华人民共和国或与中华人民共和国有正常贸易往来的国家和地区（以下简称“合格来源国”）。3.2 本条款所述的“原产地”是指货物生产或提供有关服务的来源地。所述的“货物”是指制造、加工或实质上装配了主要部件而形成的货物。商业上公认的产品是指在基本特征、性能或功能上与部件有着实质性区别的产品。3.3 货物和服务的原产地有别于卖方的国籍。3COUNTRY OF ORIGIN3.1 All Goods and Services supplied under the Contract sha

35、ll have their origin in the PeoplesRepublic of China(hereinafter referred to as“the PRC”)or in the countries/areas,whichhave regular trade relations with the PRC(hereinafter called“eligible sourcecountries/areas”).3.2 For purposes of this Clause,“origin means the place where the Goods were produced,

36、or from which the Services are supplied.Goods are produced when,throughmanufacturing,processing,or substantial and major assembly of components.Acommercially recognised product results that is substantially different in basiccharacteristics or in purpose or utility from its components.3.3The origin

37、of Goods and Services is distinct from the nationality of The Seller.4标准4.1 本合同下交付的货物应符合中华人民共和国有关客运索道相关要求和标准。如果中华人民共和国内没有适用标准的，则应符合货物来源国适用的官方标准。这些标准必须是有关机构发布的最新版本的标准。4.2 除非合同中另有规定，计量单位均采用中华人民共和国法定计量单位。4STANDARDS4.1 The Goods supplied under this Contract shall conform to the requirements and standard

38、srelating to passenger ropeway of the P.R.C.,and,when no applicable standard ismentioned in P.R.C.,to the authoritative standards appropriate to the Goods country oforigin.Such standards shall be the latest issued by the concerned institution.4.2 All measurements shall be the measuring unit official

39、ly published by PRC,unlessotherwise specified in the Technical Specifications.5使用合同文件和资料5.1 没有其他方事先书面同意，合同任何一方不得将由另一方提供的有关合同或任何合同条文、规格、计划、图纸、模型、样品或资料提供给与履行本合同无关的任何其他人。即使向与履行本合同有关的人员提供，也应注意保密并限于履行合同必须的范围。5.2 没有其他方事先书面同意，除了履行本合同之外，合同任何一方不应使用合同条款第5.1 条所列举的任何文件和资料。5.3 合同各方应保护对方对所有违反本合同第五条规定使用技术文件和资料的索赔并

40、在向其提交此类索赔后三十天内赔偿相当于不当使用文件和/或资料当时市值五倍的金额。5USE OF CONTRACT DOCUMENTS AND INFORMATION5.1 Any party shall not,without prior written consent of the other parties,disclose the Contract,or any provision thereof,or any specification,plan,drawing,pattern,sample,or informationfurnished by or on behalf of the

41、party in connection therewith,to any person other than aperson employed by them in the performance of the Contract.Disclosure to any suchemployed person shall be made in confidence and shall extend only so far as may benecessary for purposes of such performance.5.2 Any party shall not,without prior

42、written consent of the other parties,make use of anydocument or information enumerated in Contract Clause 5.1 except for purposes ofperforming the Contract.5.3 All parties shall indemnify the other parties against all claims of infringement arising fromthe use of documents or information in violatio

43、n to Clause 5 of the Contract and shall pay acompensation within thirty(30)days after such claims handed over to the other parties inthe amount of equal to five(5)times the market value of the goods related to thedocuments and/or information misused.6知识产权卖方应保证，买方在中华人民共和国境内使用该货物或货物的任何一部分时，免受第三方提出的侵犯其

44、专利权、商标权、知识产权及非专利技术等的起诉。6INTELLECTUAL PROPERTYThe Seller shall indemnify the Buyer against all third claims of infringement of patent,trademark,intelligence property or non-patent rights etc.arising from use of the Goods orany part thereof in the PRC.7设计及设计联络7.1 买方应当按照中华人民共和国有关客运索道设计要求提供附件2 第三条第 1 款约

45、定的设计实现。7.2 进度要求：7.2.1 买方向卖方交付索道线路测量资料之日起30 日内，卖方应当向买方交付进一步设计的线路图，经双方会审并签字确认后，作为双方认定的最终线路图。7.2.2 最终线路图确认且买方向其提供地勘资料后60 日内，卖方应当向买方提交合格的支架基础设计图纸、站内基础设计图纸、站房设备配置图纸，以及该等图纸相应的施工图纸。7.2.3 在最终线路图确认且买方向其提供地勘资料之日起30 日内，卖方应当向国家客运架空索道安全监督检验中心提供本项目设计审查所需要的所有资料，完成并通过设计审查并承担相应费用。7.3 卖方明确并承诺因其对本项目支架、站内基础设计图纸（含施工图纸）的

46、设计不具备中华人民共和国法律要求的相应资质，为此卖方负责将相应设计内容分包给具有相应资质的设计单位完成并承担相应费用，但卖方应当对分包单位的设计提供指导并对其设计责任承担连带责任。7.4 设计成果的确认和移交：7.4.1 卖方完成本项目的设计后，应交由买方进行书面确认且接到买方的生产通知后方可用于本项目的设备生产。7.4.2 设计成果包括：7.4.3 卖方应将设计成果一式套，以书面和电子文档的方式向买方移交。7.5 最终图纸确认以后的设计变更7.5.1 买方有权提出进行设计修改和增补的意见，而卖方应认真对待，并尽量同意意见。7.5.2 因地质情况不符合地勘资料而导致设计图纸必须变更以及非因卖方

47、原因导致的吊箱数量增加和索道中心线变更除外，本项目任何设计变更导致的费用增加责任均应当由卖方承担。7 DESIGN AND DESIGN LIAISON7.1 The Buyer shall provide,in accordance with the relevant design requirements of passengerropeway of P.R.C.,design realization stipulated in Article 3.1 of Appendix 2.7.2 Progress Requirements7.2.1 The Seller shall provide

48、 the Buyer with the profile further designed,within 30 days afterthe Buyer provide the Seller with the ropeway profile measuring document.Thisfurther-designed profile shall be accepted by both parties as the final profile after jointreview and signature by both parties.7.2.2.The Seller shall provide

49、 the Buyer with the qualified tower foundation design drawing,in-stationfoundationdesigndrawing,stationequipmentlayoutdrawingandtheconstruction drawing of the aforesaid drawings,within 60 days after the final profile isconfirmed and the Buyer provides the geological survey document.7.2.3 The Seller

50、shall provide to The State Safety Supervision and Inspection Center ForPassenger Aerial Ropeways Of China all the documents necessary for design review of thisproject,within 30 days after the final profile is confirmed and the Buyer provides thegeological survey document,finish and pass the design r
