3、eer,to purchase equipment andmaterials for and to construct and completion the WORKS。鉴于 承包商已与业主签订了承担上述项目所需的包括设计、设备材料采购、施工和竣工的服务合同;WHEREAS，OWNER is，for the purpose of due implementation of the PROJECT,desirous of employing an experienced and capable CONTRACTOR and ofletting the abovementioned WORKS t

4、o such a CONTRACTOR,which WOKRS areas described in Clause 1“WORK TO BE PERFORM”hereof。鉴于为完成此“项目”，业主欲有经验、能胜任的承包商承担本协议第 1 款中规定工程；WHEREAS,OWNER desires that the WORKS should be executed by theCONTRACTOR,and has accepted a CONTRACTORs OFFER for the execution andcompletion of such WORKS and the remedying

6、ttached“SCOPE OF WORK”and“TECHNICAL DOCUMENT”.承包商应按照所附“工作范围”和“技术文件的定义执行并完成工程。1.2 The OWNER shall according to the terms and conditions of the CONTRACTpay the CONTRACTOR the compensation being the FIXED LUMP SUM PRICEhereunder，for the WORKS duly and faithfully performed and properlycompleted by the C

7、ONTRACTOR in accordance with the CONTRACT。在承包商按照合同规定真实、正确、及时地执行并完成工程，业主应根据合同条件以固定合同总价支付承包商.1。3 The CONTRACTOR shall furnish all necessary labor and supervisionthereof，construction equipments，temporary facilities，equipment andmaterials，consumables and transportation thereof，technical andprofessional

8、services，all required for the WORKS，and shall carry outall the operations necessary and required to perform and complete theWORKS in accordance with theCONTRACT and to the reasonable satisfaction of the OWNER.承包商应按照合同规定提供工程所需的全部劳务、监督、施工设备、临时设施、材料、耗材、运输及专业的技术服务，执行并完成工程直至业主满意.2.0 CONTRACT DOCUMENT 合同文

11、ation for the satisfactory performance and entiredischarge by the CONTRACTOR of all of the CONTRACTORs duties，obligations,responsibilities and liabilities under the CONTRACT，theOWNER shall in accordance with the payment terms set forth in theCONTRACT，pay the CONTRACTOR the FIXED LUMP SUM PRICE。Agree

12、ment在承包商根据合同规定履行其全部职责及义务，业主将按照合同支付条件以固定总价形式向承包商付款。3。2 The CONTRACTOR shall be deemed to have pursued and satisfied himselfso far as is practicable having regard to considerations of Scope of Work,construction period,drawings,site conditions，regulation andspecification before submitting his Tender，an

13、d cost increase in allrespects has been estimated and included in the Tender。应当认为承包商在报价时已对工作范围、工期、图纸、现场条件、规定及规范做出了详尽的了解并对其可行性表示满意,对一切费用的上升因素做了估计并已包含在合同的价格中。3.3 The FIXED LUMP SUM PRICE shall,regardless of and change of workingvolume and site conditions,be firm and unchanged and subject to noescalati

14、on for the entire period until the CERTIFICATE OF ACCEPTANCE ofWORKS shall have been issued by the OWNER to the CONTRACTOR。本固定合同总价在业主颁发工程验收证书之日的整个合同工期内不因工作量和现场条件的变化而调整。3.4 The FIXED LUMP SUM PRICE for the CONTRACTOR is RMB(RMB Only).固定合同总价为人民币(人民元整）.3。5 Payment Terms 付款方式3。5。1 Down payment预付款 153.5。

17、defending the same，based upon or arising out of any construction，installation，services or facilities furnished by the CONTRACTOR underor in connection with this CONTRACT。承包商应保障业主免于因承包商按照合同进行施工、安装、服务或提供设施过程中对业主产生的任何性质的索赔和费用支出(包括律师费）。4。2 If the CONTRACTOR fails to reach each Milestone Target infourtee

18、n(14)days in succession，the OWNER has the right to terminate theCONTRACT and choose other competent CONTRACTORS as per Clause 46SUSPENSION AND TERMINATION of“CONTRACT GENERAL CONDITIONS”theascending expenses caused hereby should be undertaken by the CONTRACTORand the PERFORMANCE BOND shall be fully

20、ision thereof,if any.承包商应按照合同进度计划或更新进度计划进行工程任何部分和全部的动员、施工和完工。5.2 The CONTRACTOR shall clear every Milestone and Progress imposed onthe CONTRACTOR under“CONTRUCTION SCHEUDLE”.承包商应按”施工进度计划”要求实现的每个里程碑目标。5。3 Materialize COMPLETION OF WORKS,and thereby achieve ACCEPTANCE OFWORKS.实现实质性完工及工程竣工.6。0 TAXES 税收

21、6。1 The CONTRACTOR shall pay all national,provincial and municipalcontributions and taxes，which may arise from the performance of theWORKS.This obligation shall extend to import duties,sales，license，consumption，gross receipts，documentary,stamp and other taxesapplicableto materials furnished or to th

22、e WORKS performed by the CONTRACTOR，aswell as to those payroll or payment received by the CONTRACTOR。TheCONTRACTOR shall indemnify the OWNER against any liability for any suchtaxes，contributions and premiums.承包商应交纳国家及省、市要求的与工程有关的一切行政收费和税款.此义务也适用于承包商为完成工程而提供的材料或执行工程而产生的有关进口、营业、执照、消费、收入、单据、印花等税收，也包括承包

23、商应收款税收.承包商应保证使业主免于任何税款及行政费用的征收。7.0 CONDUCT OF BUSINESS 业务处理7.1 The OWNER reserves the right to terminate business and/or withholdall outstanding payments or both if there is substantial evidenceindicating corrupt practices on the CONTRACTORs part in the course ofthis CONTRACT.如果有确凿证据表明承包商在协议执行过程中有行贿

24、行为，业主具有终止业务和/或不予支付未付款或同时采取这两项措施的权利。7.2 Corrupt practices shall be defined as offering of bribes in moneyor kinds,Agreement commissions to employee(s)of OWNER or any otheractivities,which may be construed as corruption in the court of law。commissions to employee（s）of OWNER or any other activities,whi

25、ch maybe construed as corruption in the court of law.行贿指向业主雇员提供依法被认定为贿赂性质的金钱和佣金之类行为。7.3 Drastic actionof such nature shall only be exercised with concreteevidence derived from a thorough investigation carried out by OWNER。经彻底调查并有确凿证据时，业主将对此采取严历措施。8.0 COVENANTS 承诺8.1 This AGREEMENT shall become effec
