1、 合同法第四章（中英文）合同法第四章(中英文) 第四章合同的履行 Chapter IVFulfillment of the Contract 第六十条当事人应当根据商定全面履行自己的义务。 当事人应当遵循诚恳信用原则，依据合同的性质、目的和交易习惯履行通知、帮助、保密等义务。 Article 60 Theparties shall fulfill fully their respective obligations as contracted. The partiesshall observe the principle of good faith and fulfill the obliga

2、tions ofnotification, assistance and confidentiality in accordance with the nature andaims of the contract and trade practices. 第六十一条合同生效后，当事人就质量、价款或者酬劳、履行地点等内容没有商定或者商定不明确的，可以协议补充;不能达成补充协议的，根据合同有关条款或者交易习惯确定。 Article 61 Fora contract that has become valid, where the parties have not stipulated thecon

3、tents regarding quality, price or remuneration or the place of performance,or have stipulated them unclearly, the parties may supplement them byagreement; if they are unable to reach a supplementary agreement, the problemshall be determined in accordance with the related clauses of the contract orwi

4、th trade practices. 第六十二条当事人就有关合同内容商定不明确，依照本法第六十一条的规定仍不能确定的，适用以下规定： (一)质量要求不明确的，根据国家标准、行业标准履行;没有国家标准、行业标准的，根据通常标准或者符合合同目的的特定标准履行。 (二)价款或者酬劳不明确的，根据订立合同时履行地的市场价格履行;依法应当执行政府定价或者政府指导价的，根据规定履行。 (三)履行地点不明确，给付货币的，在承受货币一方所在地履行;交付不动产的，在不动产所在地履行;其他标的，在履行义务一方所在地履行。 (四)履行期限不明确的，债务人可以随时履行，债权人也可以随时要求履行，但应当给对方必要的预

5、备时间。 (五)履行方式不明确的，根据有利于实现合同目的的方式履行。 (六)履行费用的负担不明确的，由履行义务一方负担。 Article 62 Wherethe parties have unclearly stipulated related contents in a contract and failsto determine them in accordance with the provisions of Article 61 of this Law,the following provisions shall apply: (1) in case ofunclear quality

6、 requirements, the contract shall be performed in accordancewith State standards or trade standards, or in the absence of such standards,in accordance with common standards or special standards conforming to the aimof the contract; (2) in case ofunclear price or remuneration stipulation, the contrac

7、t shall be performed inaccordance with the market price in the place of contract performance at thetime of the making of the contract, or according to the government-set price orgovernment-guided price if it is so required by law; (3) in case ofunclear stipulation of place of performance, where the

8、payment is in cash, thecontract shall be performed in the place of the cash recipient; where thepayment is in real estate, the contract shall be performed in the place wherethe real estate is located; where other targeted matters are involved, thecontract shall be performed in the place of the party

9、 fulfilling theobligations; (4) in case ofunclear time limit for the performance, the debtor may fulfill its obligationsat any time, and the creditor may demand the fulfillment at any time, whilegiving the debtor necessary time to make preparations; (5) in case ofunclear mode of performance, the con

10、tract shall be performed in a mannerconducive to the realization of the aim of the contract; and (6) in case ofunclear charge for the performance, the charge shall be borne by the partyfulfilling the obligations. 第六十三条执行政府定价或者政府指导价的，在合同商定的交付期限内政府价风格整时，根据交付时的价格计价。逾期交付标的物的，遇价格上涨时，根据原价格执行;价格下降时，根据新价格执行

11、。逾期提取标的物或者逾期付款的，遇价格上涨时，根据新价格执行;价格下降时，根据原价格执行。 Article 63 Fora contract with the government-set price or government-guided price as thefulfilling price, where the government price is adjusted within the deliveryperiod of the contract, the price at the time of delivery shall be thefulfilling price. Wh

12、ere an overdue delivery occurs and the price goes up at thedelivery, the original price shall be the fulfilling price; if the price dropsat the delivery, the new price shall be the fulfilling price. Where an overduedelivery-taking or overdue payment occurs, the new price shall be thefulfilling price

13、 if the price goes up; and the original price shall be thefulfilling price if the price goes down. 第六十四条当事人商定由债务人向第三人履行债务的，债务人未向第三人履行债务或者履行债务不符合商定，应当向债权人担当违约责任。 Article 64Where the parties agree that the debtor shall discharge the debts to a thirdparty and where the debtor fails to do so or fails to

14、 meet its liability ascontracted, the debtor shall bear the liability for breach of contract to thecreditor. 第六十五条当事人商定由第三人向债权人履行债务的，第三人不履行债务或者履行债务不符合商定，债务人应当向债权人担当违约责任。 Article 65Where the parties agree that a third party shall discharge the debts to thecreditor and where the third party fails to d

15、o so or fails to meet itsliability as contracted, the debtor shall bear the liability for breach of contractto the creditor. 第六十六条当事人互负债务，没有先后履行挨次的，应当同时履行。一方在对方履行之前有权拒绝其履行要求。一方在对方履行债务不符合商定时，有权拒绝其相应的履行要求。 Article 66Where the parties are in debt to each other and there is no time order fordischarging

16、the debts, they shall meet their respective liabilitiessimultaneously. Either party has the right to reject the other partys demandfor the discharge before the latter meets its own liabilities. Either party hasthe right to reject the other partys demand for the discharge if the latterfails to meet i

17、ts liabilities as contracted. 第六十七条当事人互负债务，有先后履行挨次，先履行一方未履行的，后履行一方有权拒绝其履行要求。先履行一方履行债务不符合商定的，后履行一方有权拒绝其相应的履行要求。 Article 67Where the parties are in debt to each other and there is a time order for themto discharge the debts, the party which is the next to discharge the debts hasthe right to reject the

18、 discharge demanded by the party which is the first tomeet its liabilities but fails to meet them. The party which is the next todischarge the debts has also the right to reject a corresponding discharge demandedby the party which is the first to meet its liabilities but fails to meet themas contrac

19、ted. 第六十八条应领先履行债务的当事人，有准确证据证明对方有以下情形之一的，可以中止履行： (一)经营状况严峻恶化; (二)转移财产、抽逃资金，以躲避债务; (三)丢失商业信誉; (四)有丢失或者可能丢失履行债务力量的其他情形。 当事人没有准确证据中止履行的，应当担当违约责任。 Article 68 Theparty which ought to discharge its debts first may suspend the discharge if ithas truthful evidence to prove that the other party falls under an

20、y of thefollowing situations: (1) businessoperations seriously deteriorating; (2) divertingproperties and withdrawing capital to evade debts; (3) fallinginto business discredit; or (4) othersituations showing inability or possible inability to meet liabilities. A party thatsuspends the discharge wit

21、hout truthful evidence shall bear the liability for breachof contract. 第六十九条当事人依照本法第六十八条的规定中止履行的，应当准时通知对方。对方供应适当担保时，应当恢复履行。中止履行后，对方在合理期限内未恢复履行力量并且未供应适当担保的，中止履行的一方可以解除合同。 Article 69Where a party suspends the discharge of its debts in accordance with theprovisions of Article 68 of this Law, it shall p

22、romptly notify the other partyof the suspension. The party shall resume the discharge when the other partyprovides a guarantee. The party that has suspended the discharge may dissolvethe contract if the other party has failed to regain its capability of meetingits liabilities and to provide a guaran

23、tee within a reasonable period of time. 第七十条债权人分立、合并或者变更住宅没有通知债务人，致使履行债务发生困难的，债务人可以中止履行或者将标的物提存。 Article 70 Ifa creditor splits, merges or changes domicile without notifying the debtor andthus makes it difficult to discharge the debts, the debtor may suspend thedischarge or deposit the targeted matt

24、er. 第七十一条债权人可以拒绝债务人提前履行债务，但提前履行不损害债权人利益的除外。 债务人提前履行债务给债权人增加的费用，由债务人负担。 Article 71 Thecreditor may refuse an anticipated discharge of debts by the debtor, exceptthat the anticipated discharge does not impair the creditors interest. Any additionalexpenses caused to the creditor by the debtors anticipa

25、ted discharge of debtsshall be borne by the debtor. 第七十二条债权人可以拒绝债务人局部履行债务，但局部履行不损害债权人利益的除外。 债务人局部履行债务给债权人增加的费用，由债务人负担。 Article 72 Thecreditor may refuse a discharge of debts in part by the debtor, except that thepartial discharge does not impair the creditors interest. Any additionalexpenses caused

26、to the creditor by the debtors discharge of debts in part shallbe borne by the debtor. 第七十三条因债务人怠于行使其到期债权，对债权人造成损害的，债权人可以向人民法院恳求以自己的名义代位行使债务人的债权，但该债权专属于债务人自身的除外。 代位权的行使范围以债权人的债权为限。债权人行使代位权的必要费用，由债务人负担。 Article 73 Ifa debtor is indolent in exercising its matured creditors rights and thuscauses losses

27、 to the creditor, the creditor may apply to a peoples court tosubrogate the debtors creditors rights and exercise them under the creditorsname, except for the creditors rights exclusively belonging to the debtor. The scope forexercising the subrogation is limited to the creditors rights enjoyed by t

28、hecreditor. The expenses required by the creditors subrogation shall be borne bythe debtor. 第七十四条因债务人放弃其到期债权或者无偿转让财产，对债权人造成损害的，债权人可以恳求人民法院撤销债务人的行为。债务人以明显不合理的低价转让财产，对债权人造成损害，并且受让人知道该情形的，债权人也可以恳求人民法院撤销债务人的行为。 撤销权的行使范围以债权人的债权为限。债权人行使撤销权的必要费用，由债务人负担。 Article 74 Ifa debtor disclaims its due creditors rig

29、hts or transfers gratis its propertyand thus causes losses to the creditor, the creditor may apply to a peoplescourt to rescind the debtors action. The creditor may also apply to a peoplescourt to rescind the debtors action if the debtor causes losses to thecreditor by transferring its property at a

30、 low price evidently unreasonable andwith awareness of the transferee. The scope forexercising the right of rescission is limited to the creditors rights enjoyedby the creditor. The expenses required by the creditor in exercising its rightof rescission shall be borne by the debtor. 第七十五条撤销权自债权人知道或者应

31、当知道撤销事由之日起一年内行使。自债务人的行为发生之日起五年内没有行使撤销权的，该撤销权毁灭。 Article 75 Theright of rescission shall be exercised within one year from the day on whichthe creditor is aware or ought to be aware of the matters for the rescission.If a creditor does not exercise its right of rescission within five years fromthe day

32、 on which the action of the debtor occurred, the right of rescissionshall vanish. 第七十六条合同生效后，当事人不得因姓名、名称的变更或者法定代表人、负责人、承办人的变动而不履行合同义务。 Article 76After a contract has become valid, neither party may refuse to perform itsobligations under the contract due to any change in name or designation or anychange in legal representative, person in charge or sponsor. 【合同法第四章（中英文）】
