4、PRC Sino-foreign EquityJoint Venture Law,the PRC Sino-foreign Cooperative Joint Venture Law and the Administration of Radio andTelevision Regulations，etc.，in order to promote the development of Chinas radio and televisionprogramme production industry and regulate the administration of Sino-foreign e

5、quity and cooperative jointventures that produce and distribute radio and television programmes.第一条为促进中国广播电视节目制作产业发展,规范对中外合资、合作广播电视节目制作经营企业的管理，根据中华人民共和国中外合资经营企业法、中华人民共和国中外合作经营企业法和广播电视管理条例等规定，制定本规定。Article 2Article 2：These Provisions shall govern the establishment and operation of Sinoforeign equity

6、andcooperative joint ventures that produce and distribute radio and television programmes in the PeoplesRepublic of China。第二条凡在中华人民共和国境内设立、经营中外合资、合作广播电视节目制作经营企业，适用本规定。Article 3Article 3：For the purposes of these Provisions，the term Sinoforeign equity and cooperative jointventures that produce and di

7、stribute radio and television programmes means equity and cooperative jointventures that are established in China by foreign professional radio and television enterprises(the ForeignParty）together with Chinese radio and television programme production organizations and other domesticinvestors（the Ch

8、inese Party)and that engage in radio and television programme production and distributionas their main or sideline business(Joint Ventures）.第三条本规定所称中外合资、合作广播电视节目制作经营企业，是指境外专业广播电视企业(以下简称“外方”）与中国广播电视节目制作机构和境内其它投资者（以下简称“中方”）在中国境内合资、合作设立专门从事或兼营广播电视节目制作发行业务的企业（以下简称“合营企业”）。Article 4:Article 4:The establis

9、hment of wholly foreignowned radio and television production enterprises isprohibited.第四条不得设立外商独资广播电视节目制作经营企业。Article 5:Article 5:The State Administration of Radio，Film and Television and the Ministry of Commerce shall bejointly responsible for the examination and approval of the establishment of Jo

10、int Ventures and theregulation thereof nationwide based on the division of their responsibilities。第五条国家广播电影电视总局、商务部根据职责分工，共同负责全国合营企业的设立审批和监督管理工作。Provincial-level radio and television administrative departments shall be responsible for the dayto-dayregulation of Joint Ventures within their jurisdicti

11、on。省级广播电视行政部门负责本行政区域内合营企业的日常监督管理工作.PART TWOPART TWO：ESTABLISHMENTESTABLISHMENT第二章机构设立Article 6Article 6：To apply to establish a Joint Venture，the following conditions shall be satisfied：第六条申请设立合营企业应当符合下列条件：(1）compliance with the state formulated development and distribution plan for the radio and te

12、levisionprogramme production industry；(一）符合国家制定的广播电视节目制作业的发展布局规划；（2）each of the Chinese and Foreign Parties have independent legal person status;one of the ChineseParties shall be an organization possessing a Permit to Produce and Distribute Radio and TelevisionProgrammes or Television Drama Product

13、ion Permit（Type A）and the Foreign Party shall be a professionalradio or television enterprise;(二)中外合营各方均具有独立法人资格。其中，中方应有一家为持有广播电视节目制作经营许可证或电视剧制作许可证(甲种）的机构.外方应为专业广播电视企业;（3)the Joint Venture shall be a limited liability company；（三）合营企业为有限责任公司;(4）registered funds of not less than US$2 million or the eq

14、uivalent in renminbi;for the establishment of aJoint Venture specializing in the production of animated pictures,registered funds of not less than US$1million or the equivalent in renminbi;（四)注册资金不少于 200 万美元或等值人民币；设立专门制作动画片的合营企业，注册资金不少于100 万美元或等值人民币；（5)the legal representative must be appointed by t

15、he Chinese Party；（五)法定代表人须由中方委派；（6）one of the organizations comprising the Chinese Party to the Joint Venture shall hold not less than 51of the Joint Ventures shares；（六）合营企业中的中方一家机构应在合营企业中拥有不低于 51的股份；(7）none of the applicants has committed a violation of laws or regulations or has another record of

16、improperactivity during the three years prior to the application；and（七)申请各方在申请之日前的三年内,无违法违规和其它不良记录；（8）the Joint Venture must have an independent corporate logo.(八）合营企业须具有独立的企业标志.Article 7Article 7：The Chinese Party may make its capital contribution in cash or in the form of buildings，factorybuilding

17、s，machinery,equipment or other material,industrial property，proprietary technology，premisesuse rights,etc。for consideration.The Foreign Party must make its capital contribution in cash foreignexchange。第七条中方可以以现金方式出资，也可以用建筑物、厂房、机器设备或其它物料、工业产权、专有技朮、场地使用权等作价出资。外方须以现汇方式出资。Article 8:Article 8:To establis

18、h a Joint Venture，the Chinese Party controlling shareholder shall submit an applicationto the State Administration of Radio，Film and Television and the Ministry of Commerce，and matters shallbe handled in accordance with the following procedure：第八条设立合营企业，由控股的中方向国家广播电影电视总局和商务部提出申请,并按照下列程序办理：(1）the Chi

19、nese Party shall submit an application to the provinciallevel radio and television administrativedepartment of the place where it is located；after preliminary examination and approval，theprovincial-level radio and television administrative department will forward the application to the StateAdminist

20、ration of Radio，Film and Television;the State Administration of Radio，Film and Television willrender its decision on whether or not to grant approval within 20 working days of the date of receipt of all thedocumentation；if it grants its approval，the State Administration of Radio，Film and Television

21、will issuean approval document and if it does not grant approval,it will explain the reason therefor in writing;(一）中方向所在地省级广播电视行政部门提出申请，经初审同意后，由省级广播电视行政部门报国家广播电影电视总局,国家广播电影电视总局自收到全部文件之日起，在20 个工作日内做出批准或不批准的决定。经批准的，由国家广播电影电视总局核发批准文件;不予批准的；书面说明理由。（2）on the strength of the approval document issued by th

22、e State Administration of Radio,Film andTelevision,the Chinese Party shall apply for examination and approval to the Ministry of Commerce via theprovinciallevel commerce administrative department of the place where it is located；the Ministry ofCommerce will render its decision on whether or not to g

23、rant approval within 20 working days of the date ofreceipt of all the documentation；if it grants its approval,it will issue a Foreign-invested Enterprise ApprovalCertificate and if it does not grant approval，it will explain the reason therefor in writing；(二)中方持国家广播电影电视总局批准文件经所在地省级商务行政部门报商务部审批。商务部自收到

24、全部文件之日起，在 20 个工作日内做出批准或不予批准的决定。经批准的，颁发外商投资企业批准证书；不予批准的，书面说明理由.（3）the State Administration of Radio，Film and Television will issue a Permit to Produce and DistributeRadio and Television Programmes（Joint Venture）to those Joint Ventures that obtain a ForeigninvestedEnterprise Approval Certificate；and(三

25、)国家广播电影电视总局对取得外商投资企业批准证书的合营企业，核发广播电视节目制作经营许可证（合营).(4）the Joint Venture shall carry out business registration procedures in accordance with the law on thestrength of the Permit to Produce and Distribute Radio and Television Programmes(Joint Venture)andForeigninvested Enterprise Approval Certificate a

26、nd obtain an Enterprise Legal Person Business Licence。(四)合营企业凭广播电视节目制作经营许可证（合营)和外商投资企业批准证书，依法办理工商注册登记手续，领取企业法人营业执照。Work units at the central government level and organizations directly subordinate to them shall apply directlyto the State Administration of Radio,Film and Television and the Ministry o

27、f Commerce.中央单位及其直属机构直接向国家广播电影电视总局、商务部提出申请.Article 9:Article 9:When applying to establish a Joint Venture，the investors shall submit the following materials:第九条申请设立合营企业时，投资者应当提交下列材料：（1)an application stating the proposed Joint Ventures name,address,method of contact and name of itslegal representati

28、ve；a basic overview of each party;the registered funds of the Joint Venture；the capitalcontribution ratios and organizational structure of each party;the specific reasons for applying to establishthe Joint Venture,its strengths and development plans，etc.；(一）申请报告。报告应当载明拟设立的合营企业名称、地址、联系方式、法定代表人姓名；合作各方

29、的背景概况；合营企业的注册资金；合作各方的出资比例、组织结构;申请设立合营企业的具体理由、优势和发展计划等；（2)the contract for and articles of association of the Joint Venture（the contract must specify thatprogramme topics and contents are subject to the consent of the Chinese Party）;（二）合营企业合同、章程（其中合同中须约定：节目选题、内容应经中方同意）;（3）the Chinese Partys registrat

30、ion documents and Permit to Produce and Distribute Radio and TelevisionProgrammes or Television Drama Production Permit(Type A）;(三)中方企业的注册登记证明文件和广播电视节目制作经营许可证或电视剧制作许可证(甲种）；(4)the Chinese Partys certificate of creditworthiness；(四)中方资信证明；（5）the Foreign Partys bank certificate of creditworthiness,certi

31、ficate of lawful existence and proof thatthe Foreign Party specializes in radio or television business;（五）外方的银行资信证明、合法存续证明和外方从事专业广播电视业务的证明;（6)the proofs of identity of the legal representative and the main managerial officers（members of theboard of directors,general manager，deputy general managers a

32、nd chief financial officer);(六）法定代表人和主要管理成员(董事会成员、总经理、副总经理、财务负责人）的身份证明；（7）the notice of preliminary approval of the name of the proposed Joint Venture issued by theadministration for industry and commerce；and（七)工商行政部门对拟设立的合营企业名称预先核准通知书；(8）a specimen of the Joint Ventures corporate logo。（八）合营企业的企业标志样

33、本。Article 10Article 10：The provisions of Article 6 hereof shall be complied with when a change in the equity of anestablished Joint Venture occurs and the same shall be submitted to the Ministry of Commerce forexamination and approval.The Ministry of Commerce will render its decision on whether or n

34、ot to approvethe change after consultations with the State Administration of Radio,Film and Television.第十条已设立的合营企业变更股权时，应符合本规定第六条规定，并报商务部审批，商务部经商国家广播电影电视总局后,做出是否同意变更的决定.If a change in the legal representative，address,etc。of a Joint Venture occurs，or if it intends to establisha branch or subbranch or

35、 terminate its radio or television programme production and distribution business,the relevant examination and approval，deregistration and other such procedures shall be carried out withthe original examination and approval authority。合营企业法定代表人、地址等发生变更，设立分支机构或终止广播电视节目制作经营业务,报原批准机关办理相应审批、注销等手续.PART TH

36、REEPART THREE：ADMINISTRATIONADMINISTRATION第三章管理Article 11Article 11：Joint Ventures must observe the relevant laws,regulations and policies of the Peoples Republicof China,and their legitimate business activities and lawful rights and interests shall be protected by the lawsof the Peoples Republic of

37、 China.第十一条合营企业必须遵守中华人民共和国有关法律、法规和相关政策,其正当经营活动及其合法权益受中华人民共和国法律保护。Article 12:Article 12:Joint Ventures may produce such radio and television programmes as topical programmes，opinion programmes,variety programmes，animated pictures,etc.but may not produce current politicsnews programmes and similar top

38、ical and opinion programmes.第十二条合营企业可以制作专题、专栏、综艺、动画片等广播电视节目，但不得制作时政新闻和同类的专题、专栏节目。If a joint venture intends to produce television dramas,it must separately apply and obtain a TelevisionDrama Production Permit in accordance with the relevant provisions of the State Administration of Radio，Film and Te

39、levision.合营企业制作电视剧须按国家广播电影电视总局有关规定另行申领电视剧制作许可证。Article 13:Article 13:A Joint Venture shall produce radio and television programmes on Chinese subjects that accountfor not less than two-thirds of its total programmes each year。The state encourages the engagement ofChinese professionals to participate

40、 in the programme production of Joint Ventures。第十三条合营企业每年应当制作不少于节目总量三分之二的中国题材的广播电视节目。国家鼓励聘用中国专业人员参与合营企业的节目制作。Article 14:Article 14:Joint Ventures are strictly prohibited from producing and dealing in programmes with thefollowing content：第十四条合营企业严禁制作、经营含有下列内容的节目：（1）content that opposes the fundamenta

41、l principles determined in the Constitution;(一）反对宪法确定的基本原则的;（2)content that compromises the unity，sovereignty or territorial integrity of the state；(二)危害国家统一、主权和领土完整的；(3)content that discloses state secrets,compromises state security or harms the dignity or interests of thestate;（三）泄露国家秘密、危害国家安全或者损害

42、国家荣誉和利益的；（4）content that incites ethnic hatred or racial discrimination,damages inter-ethnic unity or harms nationalcustoms and practices;（四）煽动民族仇恨、民族歧视，破坏民族团结，或者侵害民族风俗、习惯的；（5）content that propagates heretical teachings or superstition；（五)宣扬邪教、迷信的;（6）content that disrupts social order or social stab

43、ility;(六)扰乱社会秩序，破坏社会稳定的;(7）content that propagates obscenity,gambling or violence or incites the commission of crimes;(七)宣扬淫秽、赌博、暴力或者教唆犯罪的；(8)content that insults，slanders or infringes upon the legitimate rights and interests of a third party;（八）侮辱或者诽谤他人,侵害他人合法权益的；(9）content that harms social morali

44、ty or fine national culture and traditions；or（九）危害社会公德或者民族优秀文化传统的；（10）other content prohibited in laws，administrative regulations or state provisions.（十）有法律、行政法规和国家规定禁止的其它内容的。Article 15:Article 15:Joint Ventures shall engage in production and distribution activities in strict accordance with thescop

45、e of business approved in their Permit to Produce and Distribute Radio and Television Programmes（JointVenture）。A Permit to Produce and Distribute Radio and Television Programmes(Joint Venture）shall bevalid for 10 years。An extension application may be made at the expiration of such term。第十五条合营企业应严格按照

46、广播电视节目制作经营许可证(合营）核准的业务范围开展制作经营活动。广播电视节目制作经营许可证(合营)有效期限为十年，届满可申请延长.Article 16Article 16：Joint Ventures enjoy the same rights and bear the same obligations as wholly Chinese-ownedradio or television programme production and distribution organizations.The radio and televisionprogrammes they produce sha

47、ll be deemed to be programmes produced in China and shall be administered inaccordance with relevant state provisions。第十六条合营企业享有与内资广播电视节目制作经营机构同等的权利和义务.其制作的广播电视节目，视同国产节目，按国家有关规定管理。Radio or television programmes coproduced by a Joint Venture with another foreign organization orproduced using other fu

48、nds attracted from abroad shall be administered in accordance with state provisionson Sinoforeign coproduced programmes.The distribution in China of radio and television programmesfrom abroad shall be administered in accordance with regulations on the import of foreign programmes.合营企业与境外其它机构合作制作或吸纳境

49、外其它资金制作的广播电视节目，按国家有关中外合作制作节目规定管理；在国内发行境外广播电视节目，按有关引进境外节目规定管理。Article 17Article 17：The state encourages Joint Ventures to distribute or sell abroad or act as an agent in the exportof various types of radio and television programmes produced in China.第十七条国家鼓励合营企业向境外发行、销售或代理出口各类国产广播电视节目。Article 18Artic

50、le 18：A Joint Ventures operations may not be entrusted or leased to the Foreign Party，a foreignorganization or another foreign-invested enterprise in China nor may its operations be contracted to theForeign Party，a foreign organization or another foreign-invested enterprise in China.第十八条合营企业不得委托或租赁给
