5、dicating shippingmark，blank endorsed,and notifying the Buyer with full name and address at the port ofdestination.全套清洁提单2)Signed Commercial Invoice in THREE originals showing this Contract number，and theShipping Mark.If the Seller is not the direct producer for any of the oils,the actual oilproducer

6、s name and the invoice number between the Seller and the producer should beindicated in the required invoice.商业发票3)Packing List in THREE originals,showing this Contract number，gross and net weights，and quantity of cartons bottles for each container.装箱单4)Certificate of Origin issued by Chamber of Com

7、merce,in ONE original and ONE copy,showing each oils appellation.原产地证5)Certificate of Sanitary and Purity,issued by government department，to state the inspectionresults,in conformity with French rules，in ONE original and TWO copies.卫生证书6)Analysis report for each oil in ONE original and TWO copies。分析

11、ore the loading of the cargo,the seller shouldtake pictures of each type of oil which can clearly see the content of front and back labels forprecheck。Any cost or loss should be burden by the seller if the seller doesnt send the picturesfor precheck。货物预检查：生产后,装运前的货物，卖方应为每个产品品项拍照，照片可以清楚地看到正面和背面标签作为预检

12、查的内容。如果卖方不发送图片预检查，造成任何损失应该由卖方承担10.Documents precheck：The seller should send the buyer all the above mentioned documentsand clear color scan front and back labels for pre check within 7 working days after B/L date.The buyer should finish checking in 2 working days then inform the seller for correctio

13、n if any.Any cost or loss should be burden by the seller if the seller doesnt send the documents forprecheck。文件预检查:卖家应买家要求发送上述所有文件，B/L 日期后 7 个工作日内发送清晰的标签的彩色正面和背面扫描件。买方应在 2 个工作日内完成检查，如有更正，通知卖家.如果卖方不发送文件预检查,造成任何损失应该由卖方承担。11。Documents delivery：The seller should send the original documents to the buyer

14、at least 10days before the arrival of the cargo.The seller should burden all the cost or loss due to latedelivery of documents。The buyer has the right to return the cargo or refuse payment if the cargoundergoes deterioration by insolation due to incorrect or late documents。卖方应承担由于延迟交付文件的文件发送:卖方应在到货前

15、至少 10 天前发送文件正本。损失。若因卖方交付的文件不正确或延迟交付所造成的货物暴晒变质，买方有权返回货物或拒绝付款。12。Chinese back label:The buyer should send the Seller PDF/AI file of Chinese back label.Theseller should print and stick Chinese back labels in France。The seller should print the sampleChinese back label and scan to the buyer for confirmat

16、ion before stick to the bottle。卖中文背标:买方发送卖方 PDF/AI格式的中文背标.卖方应在法国印制并黏贴中文背标。方在黏贴中文背标前应印制中文背标样板并发送买方确认。15。Shipment：The seller shall arrange the good to be shipped out within the shipping time.Transshipment is not allowed。The carrying vessel shall not fly the flag of certain nationunacceptable to the bu

17、yer.装运：卖方应在出货时间内安排好装运运出。转运是不允许的。装运船只不得悬挂买方不接受的某些国家的国旗。16。Shipping advice：the seller shall immediately upon the completion of the loading of thegoods，advise by FAX the buyer of the Contract number，commodity,quantity,invoice value,gross weight,net weight，name of vessel，port of shipment and port of des

18、tination and date ofsailing or date of dispatch etc。装运通知:卖方应在货物装船完成后，立即通过传真告知买方合同号，品名，数量,发票价值,毛重,净重，船名，装运港口和目的港口和发船日期或日期调整等。19。Force majeure：The seller shall not be held responsible for the delay in shipment ornon-delivery of the goods due to Force Majeure,which might occur during the process ofmanu

19、facturing or in the course of loading or transit.The seller shall advise the buyer immediatelyof the occurrence mentioned above and within fourteen days thereafter,the seller shall send byairmail to the buyer for their acceptance a certificate of the accident issued by the CompetentGovernment Author

20、ities or the Chamber of Commerce where the accident occurs as evidencethereof。Under such circumstances the seller,however，are still under the obligation to take allnecessary measures to hasten the delivery of the goods，in case the accident lasts for more than10weeks，the buyer shall have the right to

21、 cancel the Contract。不可抗力：卖方不承担因可能发生在制造过程中或在装载或运输的过程中的不可抗力造成的延迟交货或不交付的责任。卖方应在上述情况发生的十四日内立即通知买方，卖方应通过航空邮件发送由政府主管部门或商会商务部颁发的事故证书作为证据。然而,在这种情况下,卖方仍有义务,采取一切必要措施，以加速交付货物，如果事故持续超过 10 周，买方有权撤销合同。20.Late delivery and penalty:Should the seller fail to make delivery on time as stipulated in theContract with e

22、xception of Force Majeure causes specified in above article of this Contract，thebuyer shall agree to postpone the delivery on condition that the seller agree to pay a penalty whichshall be deducted by the paying bank from the payment under negotiation。The penalty，however,shall not exceed 5 of the to

23、tal value of the goods involved in the late delivery.Therate of penalty is charged at 0。5%of the total value of the goods for every day。In case the sellerfail to make delivery 15 days later than the time of shipment stipulated in the Contract，the buyershall have the right to cancel the Contract and，

24、the seller in spite of the cancellation,shall stillpay the aforesaid penalty to the buyer without delay。如果卖方无法按合同规定的按时交货，除本合同上诉的不可抗力的原延期交货违约金：因规定买方应同意推迟交货的情况下，卖方在协商下应支付罚款,由付款银行在议付货款中扣除。然而，罚款不得超过延期交付的货物总价值的5。罚金率，每天按货物总价值的 0。5收取。卖方未能在合同规定的装运时间后15 天内交货，买方应有权撤销合同，卖方仍然应当向买方支付上述罚款，不得延迟。21.Return:The Buyer

25、 has the right to return the goods if any goods the Buyer imported from theSeller runs afoul of，or is limited by the related law statute and policy or local regulations of theBuyers country/presales country,or invades the legitimate rights and interests of third party,orconflicts with this contract

26、and affects normal sale of the Buyer or causes correlative disputes。The Seller shall fully compensate the Buyer for any direct or indirect loss caused by above,or theBuyer has the right to deduct from the trade accounts payable,and the Buyer has the right ofrecourse to the Seller if the trade accoun

27、ts payable is not enough for the compensation.退回：任何与买方国家/预售国家法律相抵触的,或相关的法律法规和政策限制，或侵犯第三方合法权利和利益的，或与本合同发生冲突，影响买方正常销售的或会导致相关纠纷的货物,买家有权退回.卖方应全额赔偿买方因上诉造成的任何直接或间接损失，买方有权从贸易中扣除应付账款，如果应付账款不够赔偿，买方有权向卖方追索赔偿责任。22.Arbitration:All disputes in connection with the execution of this Contract shall be settledfriend

28、ly through negotiations。In case no settlement can be reached，the case may then besubmitted for arbitration to the Arbitration committee of the China International Economic andTrade Arbitration Commission in Accordance with the Provisional Rules of Procedurespromulgated by the said Arbitration Commit

29、tee.The Arbitration shall take place in Shanghai andthe decision of the Arbitration Committee shall be final and binding upon both parties;neitherparty shall seek recourse to a low court or other authorities to appeal for revision of the decision.Arbitration fee shall be borne by the losing party。仲裁：与执行本合同有关的一切争议，应通过友好方式协商加以解决。若没能达成和解，该案可能被提交中国国际经济贸易仲裁委员会按照暂行规定程序仲裁。仲裁在上海举行，仲裁委员会的仲裁为终局裁决,对双方均有约束力,任何一方不得诉诸于一个低级法院或其他部门提出上诉。仲裁费用由败诉方承担.23。All productions must conform to the CIQs request for imported food provis ions.所有货物必须符合进口食品规定的检验检疫要求For and behalf ofThe BuyerThe Seller
