1、 租 赁 合 同 lease agreement 本租赁合同由下述双方于 年 月 日于中华人民共和国北京市签订:this lease agreement,dated the day of ,2007,signed in beijing,peoples republic of china by the following parties.一、出租人:(以下简称“甲方”)landlord:(hereinafter referred to as party a)二、承租人:(以下简称“乙方”)tenant:(hereinafter referred to as party b)三、承租区域:prem
2、ises:甲方为光华路 soho【】单元(以下简称“房屋”)合法拥有者,建筑面积为 【】平方米,甲方同意将房屋及内部设施在良好状态下租给乙方,只可作为办公用途。party a hereby represents that it is the legal owner of the【】apartment,guang hua lu soho(hereinafter“the premises”),which construction area is【】square meters,and agrees that it will lease the premises and the facilities
3、therein,which are in clean and tenantable condition to party b for use as office(s)only.四、租赁期:lease term:4.1 租赁期为【】年,自 年 月 日 至 年 月 日。upon expiry of this lease,party a has the right to take back the entire premises,and party b shall return the premises on or prior to the date of expiry in the same co
4、ndition as it is delivered or the other condition the parties agree to party b by party a.4.3 租期届满,乙方如要求续租,应在本合同期限届满前两个月提出书面申请,取得甲方同意后,甲、乙双方须另行签署租赁协议。if party b wishes to renew the lease,party b shall submit a written application to party a two months prior to the expiry of this lease,and a lease ag

7、n official tax receipt for the price hereunder.the taxes shall be born by party【】.6.2 电话:telephone service:电话号码由乙方自行申请,电话费按电信局的收费标准,每月按实际通话次数/时间结算,乙方按单缴付。authority.party b shall pay the call charge actually incurred each month.6.3 其它费用:other charges:在租赁期内,乙方承租单元所用的电由大厦的物业管理机构每月按实际耗用量结算,乙方按单缴付。免租期内承租

10、er and electricity on time to the management department according to the bills issued by the management department each month.八、币种和帐户:currency and account:乙方应按甲方指定的帐户支付本合同项下所有的到期款项,所有付款以人民币计算,以人民币支付。party b shall pay the rent and all other amounts due and payable in rmb to the account designated by
11、party a.九、保证金:deposit:9.1 自本合同签订之日起 日内,乙方应向甲方缴付相当于【】个月的租金计人民币【】元作为保证金及首期租金人民币【】元,共计人民币 【】元。within【】days after the execution of this lease agreement,party b shall pay to party a a deposit in the amount of【】-month rent and the first rent rmb【】,totaling rmb【】.9.2 本合同期满,如本合同不续租,甲方应在期满后三十(30)天内返还保证金(不计利息
12、)。如乙方因违约而导致违约金、赔偿金、费用和/或乙方尚未支付任何应付款项,甲方可从保证金中扣除此类违约金、赔偿金、费用和/或未付款项。upon expiration of the lease agreement,if the lease agreement is not to be renewed,party a shall refund the deposit without interest to party b within thirty(30)days after the expiration of this lease 9.3 在本合同期限内,如有任何应由乙方支付的违约金、赔偿金、费
13、用和/或其他应付款项,甲方可直接从保证金中予以扣除,乙方应在接到甲方书面通知后五 (5)天内补足该部分保证金。(5)days after party a so notifies.十、大厦及承租区域的交付状态:the state of the premises when delivery:甲方按现状交楼,具备办公条件。party a will deliver the premises at as-it-is basis,which satisfies the conditions as office.十一、甲方的权利义务:party as rights and responsibilites:1
14、1.1 甲方在本租赁合同规定的期限内将房屋交付乙方。party a shall deliver the premises to party b within the term specified herein.11.2 甲方保证是房屋的合法权利人,有充分的权利出租房屋。party a shall ensure that it is legal owner of the premises and have full right to lease the premises.11.3 甲方的权利保留 party a may reserve the following rights.11.3.1 使用
15、公共设施;to use the public facilities;11.3.2 进入房屋内对公共设施进行检查和维修。甲方行使该项权利时,应提前通知乙方,紧急情况除外。to enter into the premises for check and maintenance provided that party a shall inform party b in advance except under emergency.11.3.3 在发出通知后(紧急情况除外),有权暂停大厦设施进行维修和维护,可能导致水电的中断。甲方无需为此承担责任。to repair and maintain the
16、facilities of the building which may result in the suspension of water and electricity,upon a notice(except under emergency)without any liability thereof.11.4 甲方应协助提供乙方提供办理工商营业执照所需相关证明文件。11.5 甲方在承租期内促使物业管理机构提供水、电、空调、供暖及日常房屋维修。party a shall procure the management department to provide water,electrici
17、ty,air conditioning,heating and daily maintenance during the lease period.11.6 如在租赁期届满前两个月,乙方未提出续租请求,或者虽然提出续租请求,但双方在三十天内未就续租合同条款达成一致,甲方有权在工作时间带领其他租户进入房屋查看。if party b does not submit an application for renewal two months prior to the expiration of this lease agreement,or if party b submits such appli
18、cation but the parties fail to reach agreement on the renewal,party a shall have the right to enter the premises with other tenant at work hours to review.十二、乙方的权利和义务 party bs rights and responsibilites:12.1 自行负责房屋的装修和设施。party b shall be responsible for the decoration and facilities of the premises.
19、除非经消防局及甲方同意,乙方不得对房屋的主要结构及装置(包括烟感器及喷淋头)作任何变动、拆除或调整。如乙方擅自做任何变动,应负责将其恢复原状并承担一切费用和相关责任。party b shall not alter,change,dismantle or adjust the main structure or facilities including the smoke sensor and spray without the consents of party a and fire control authority.if party b makes any alteration,disma
20、ntle or adjustment as aforesaid,it shall be responsible for restoration and bear all expenses and related liabilities.12.2 乙方应根据本合同第六、七、八条的规定按时缴纳租金及各项相关费用。party b shall pay the rent and other fees pursuant to clauses 6,7,and 8 on time.12.3 乙方应按本合同的规定合理使用房屋,并保持房屋的清洁。party b shall reasonably use the p
21、remises as provided hereunder and keep it clean.12.4 未得到甲方及大厦管理机构的事先同意,乙方不得在窗外、外墙、公共走廊墙面、电梯间及其它共用区域悬挂、张贴、附置或以其它方式放置任何广告、标识、招贴或其它资料。party b shall not hang,affix,or display any advertisement,signboard,poster or any other materials on outside window,outside wall,public aisle wall,elevator or other publ
22、ic area without the prior consents of party a and management department.12.5 乙方在承租期内不得将全部或部分房屋转租、分租或借予第三方。during the lease term,party b shall not sub-let or assign the lease to any third party.12.6 乙方在其经营活动中,不得宣称或令顾客误认为其与甲方关系属合作、合营、合伙、联营或关联企业关系。party b shall not represent or otherwise mislead the cu
23、stomers that it has any cooperation,joint operation,partnership or affiliation relation with party a during its operation.12.7 乙方应自行获取依据法律法规和政府有关部门规定应具备的所有许可、批准和证照,保证其营业活动的合法性。party b shall be responsible for obtaining all approvals,consents and licenses required by laws to ensure that its operation
24、 is legal.12.8 乙方应自行承担由于乙方工商注册、税务登记、迁址等行为所产生的税、费。party b shall be responsible for any and all taxes,fees and expenses incurred for its industrial and taxation registrations and moving into the premises.12.9对于第三方因乙方对其造成或在房屋内发生的人身伤害或经济损失而提出的索赔,乙方应自行负责并保证甲方免于此类索赔。如甲方因此类索赔而遭受损失,乙方保证进行赔偿。party b shall be
