2、碎粒最高25%,杂质最高0.25%,水份最高13%,50 公斤/每袋，麻袋包装。white rice,long shaped broken grains(max.)25%admixture(max.)0.25%and moisture(max.)13%.packed in gunny bags of 50 kilos each.原产地:中国Original:China2、数量 quantity:1000 公吨 M/T 卖方有权在3%内多装或少装shipment 3%more or less at seller7 s option3、单价 unit price 每公吨 200 美元 CIF 纽约

3、 USD 200 per M/T CIF New York4、总值：200 000美元 Total Amount:Two hundred thousand US Dollars only5、装运期限：3 月份装运 Time of shipment:shipment during March of this year.6、装运口岸：中国上海港 Port of loading:Shanghai port,China 7、目的口岸：英国伦敦港 Port of destination:London port,Britain 8、保险:Insurance 由卖方按发票金额的 110%投保水渍险，加保短量

4、险，按 1981 年 1 月 1 日中国人民保险公司海洋运输货物保险条款为准。Insurance to be covered by the sellers for 110%of the invoice value against W.P.A including shortage in weight as per andsubject to the Ocean Marin Clauses of the People s Insurance Company of China dated Jan.1,1981.9、付款条件:Term of payment:凭保兑的、不可撤销的即期信用证在中国凭单付款

5、。信用证以卖方为受 益人，并允许分批装运和转船，该信用证必须在装运约15天前开到卖 方，并在装船后在上述装运港继续有效15天。否则卖方无须通知即可 有权取消本合同，并向买方索赔因此而发生的一切损失。By confirmed,irrevocable Letter of Credit in favor of the sellers payable at sight against presentation of shipping documents in China,with partial shipments and transshipment allowed.The covering Lett

6、er of Credit must reach the sellers 15 days before the contracted month of shipment and remain valid in the above loading port until the 15th day after shipment,failing which the sellers reserve the right to cancel the contract without further notice and to clain against the buyers for any loss resu

7、lting there form.10、单据：Documents:卖方应向议付银行提供已装船清洁提单、发票、中国商品检验局出具的 品质证明和数量/重量鉴定书，以及可转让的保险单。The sellers shall present to the negotiating bank,clean and on board bill of loading,invoice,quality certificate and survey report on quantity/weight issued by the China Commodity Inspection Bureau,and transfera

8、ble insurance policy.11、装运条件：Terms of shipment 装运船只由卖方安排，允许分批装运及转船。The carrying vessel shall be provided by the sellers.Partial shipment and transshipment are allowed.卖方于货物装船后，应将合同号码、品名、船名、装船日期以电报通知 买方。After loading is completed,the seller shall notify the buyers by cable of the contracted number,na

9、me of commodity,name of the carrying vessel and date of shipment.12、品质、数量、质量的异议与索赔:Quality/quantity discrepancy and claim:货到目的口岸后，买方如发现货物品质或数量或重量与合同规定不符,除属保险公司或船公司的责任,买方可凭双方同意的检验机构出具的 检验证书向卖方提出异议。品质异议须于货到目的地口岸30日内提出，数量、重量异议须于货到目的地口岸15日内提出。卖方应于收到异议 后30日内答复买方。In case the quality and/or quantity/weight

10、 are found by the buyers to be nbot in conformity with the contract after the arrival of the goods at the port of destination,the buyers may lodge claim with the sellers supported by both parties,with the exception,however,of those claims for which the insurance company and/or the shipping company a

11、re to be held responsible.Claim for quality discrepancy should be filed by the buyers within 30days after the arrival of the goods at the port of destination,while for quantity/weight discrepancy claim should be filed by the buyers within 15 days after the arrival of the goods at the port of destina

12、tion.The sellers shall,within 30days after receipt of the notification of the claim,send reply to the buyers.13、不可抗力 Force Majeure 由于人力不可抗拒之事故，使卖方不能在本合同规定期限内交货或不能 交货，卖方不负责任。但卖方须尽快以电报通知买方，并在事故发生后 15 天内以挂号信向买方提供由中国国际贸易促进委员会或有关机构出 具的事故证明。In case of Force Majeure,the sellers shall not be held responsibl

13、e for late delivery or non-delivery of the goods but shall notify the buyers by cable as soon as possible and give the buyers a certificate by the China Council for the Promotion fo International Trade or other competent authorities by registered mail issued.14、仲裁 Arbitration 在履行合同时合同双方如发生争议，双方应通过相互

14、协商解决。如协商 不成，则仲裁解决。仲裁应在中国上海进行，由中国国际贸易促进会对 外经济贸易仲裁委员根据其仲裁程序进行仲裁。仲裁裁决是终局的，对 双方都有约束力。仲裁费由败诉方承担。Any disputes arising form the execution of or in connection with the contract shall be settled through mutual consultations between the parties thereto.In case no settlement can be reached through consultation

15、s,the disputes in question shall be submitted for arbitration.The arbitration shall take place in shanghai,China,and shall,in accordance with its rules of procedure,be conducted by the Foreign Economic and Trade Arbitration Commission of the China Council for the Promotion of International Trade.The arbitration award shall be final and binding on the parties thereto.The cost of arbitration shall be borne by the losing party.15、文本与份数 Language and copiesThis Contract shall be written in English in four copies.Each party shall keep two copies.本合同以英文书就，一式四份，双方各持两份。卖方（签署）：卖方（签署）：Sellers:Buyers:
