4、siness Scope1、展会 Exhibition2、杂志 Magazine3、社交媒体 Social Media三、甲方责任 Party A responsibility1、向乙方提供公司形象宣传、产品介绍及价格表等相关资料。Provide Party B with company image promotion,product introduction,price list andother related materials.2、配合乙方向客户提供技术咨询，客户需求调查，编制开发合同及项目方案。Provide Party B technical advice to customers

5、,customer needs surveys,and developmentcontracts and project plans.3、负责对乙方的业务人员进行业务范围内的基本知识的培训。Responsible for the training of basic knowledge in the business scope of the businesspersonnel of Party B.4、依据本协议相关条款的约定，向乙方支付市场开发费。According to the terms of the relevant provisions of this agreement,Party

6、 B shall pay themarket development fee.四、乙方责任Party Bs responsibility1、负责市场的前期拓展工作，并承担所需费用。Responsible for the pre-market expansion of the market,and bear the cost.2、详尽了解客户及竞争对手的基本情况，协助做好技术咨询、产品测试、编制方案及签订合同等前期工作。Detailed understanding of the basic situation of customers and competitors,assisting with

7、technical consultation,product testing,preparation of plans and signingcontract etc.4、维护甲方权益，保密甲方的商业机密。Maintaining Party As rights and interests,keeping Party As trade secrets confidential.5、如出现下列情况的任何一种，甲方有权单方面终止协议并追究乙方的责任。If any of the following situations occurs,Party A has the right to terminate

8、 the agreementunilaterally and hold Party B accountable.5.1 乙方从事有损甲方形象及名誉的活动。Party B engages in activities that impair the image and reputation of Party A.5.2乙方主观或客观的失误导致甲方出现大的经济损失。Party Bs subjective or objective errors resulted in large economic losses to Party A.5.3乙方以甲方的名义从事违法活动。Party B engages

9、in illegal activities in the name of Party A.5.4乙方与第三方单位合作形成竞争的。Party B cooperates with third party and competes with Party A.五、合作费用及结算时间。Cooperation fee and settlement time1.合作费美元 xxxx，甲方会在合同签订一个月内支付给乙方。Cooperation Cost US Dollars xxxx，Party A will pay Party B within one month after thecontract is

10、signed.乙方收款账户Party B Bank Accountxxxxxxxxxxxxxxxxxxxx2.结算时间及相关事项 Settlement time and related matters在乙方与用户单位签订项目合同后，30 个工作日内（节假日顺延）甲方按所约定的费用支付给乙方。After Party B signs the project contract with the user unit,Party A pays Party B at theagreed cost within 30 working days(Holiday postponed).3乙方在产品约定范围外所承

11、接的项目，需甲方出面支持配合，费用另行协商。The projects undertaken by Party B outside the scope of product agreement shall requireParty A to support and coordinate the project,and the expenses shall be negotiatedseparately.六、违约责任 Liability for breach of contract合同有效期内，任何一方有违约行为，应赔偿给对方因此所带来的损失，并将追究法律责任。During the period

12、of validity of the contract,any party has a breach of contract,shallcompensate the other party for the losses caused thereby,and will pursue legalresponsibilities.七、本协议未尽事宜双方协商解决。The matters not covered in this agreement are negotiated and resolved by both parties.八、本协议一式两份，甲乙双方各执一份。This agreement i

14、2-1703 办公区第二条：甲方与乙方是合作关系，共同使用该办公区域第三条：合作期限：三年二、双方权义二、双方权义第一条：合作方式：1、第一年：由甲、乙双方出资负责办公区域的装修，由乙方出资负责全年的房屋租赁及水、电、煤气费、宽带费、物业费等费用 2、第二、三年：甲乙双方共同承担房屋的租赁及水、电、煤气费、宽带费、物业费等费用，费用依据以房屋租赁合同为准。第二条：办公室负责人为甲方，负责与产权单位、工商、税务、法律等对外关系的协调，乙方在能力许可的情况下，可以协助。第三条：甲方提供乙方经营场地，并共同维护，如水、电等；第四条：甲方拥有对经营场所固定资产、设施的所有权，相关费用的产生由甲方收取。

15、第五条：办公室内设施、设备的维护、保养,添加,以及卫生、聘用及人工费用均由双方共同承担；第六条：如因产权关系对经营场所产生影响，甲乙双方均不承担责任；第七条：甲、乙双方须合法经营，共同遵守产权有关规章制度、及国家政策、法令；第八条：合租期间，本着和平、友好相处的原则，双方应共同维护办公环境的卫生、安全。不得随意的干扰对方的私有空间。三、违约责任三、违约责任乙方有下列行为的，视为乙方违约，甲方有权终止本合同，乙方及其团队人员不能使用办公室；1、拖欠租金达一个月以上；2、由于不正当经营给办公室造成不必要的名誉损害及物质损失的；四、不可抗力因素四、不可抗力因素由于火灾、地震、战争等不可抗力的事故发生而造成写字楼不能正常使用时，本协议自然终止，甲乙双方均不承担责任。五、其它五、其它第一条：本合同其他未尽事宜，由双方友好协商，协商一致后可订立补充条款；第二条：本合同执行过程中如发生纠纷，甲乙双方应友好协商解决；第三条：本合同一式两份，双方各执一份，经甲、乙双方代表签字后有效。第四条：此合租协议，本合租协议至期满日止自动失效。甲方签字：乙方签字：身份证号：联系电话：签署日期：身份证号：联系电话：签署日期：
