4、mber all the works contracted byhim and subcontract the same to a third party in the name of asubcontract.4.3.2 分包的内容 Content of Subcontracting当事人约定某些非主体、非关键性工作分包给第三人：The parties agreed to subcontract certain non-subject,non-critical work to a third party:4.3.3 分包人的资格能力应与其分包工作的标准和规模相适应。The qualifica

5、tion capacity of subcontractors shall be accordancewith the standards and scale of their subcontracted work.4.3.4 按投标函附录约定分包工程的，承包人应向发包人和监理人提交分包合同副本。If the subcontract work is conducted in accordance with theappencHx t。the bid letter,the contractor shall submit a copy ofthe subcontract to the employ

6、er and supervisor.4.3.5 承包人应与分包人就分包工程向发包人承担连带责任。The contractor and the subcontractor shall be jointly andseverally liable to the employer for the subcontract works.4.3.6 在工程施工过程中，承包人进行专业分包必须遵守以下规定：During the construction of the project,the contractor shouldabide by the following rules when carrying

7、out professionalsubcontracting:(1)专业分包工程不得再次分包。Professional subcontracting projects shall not be subcontractedagain.(2)承包人和专业分包人应当依法签订专业分包合同，并按照合同履行约定的义务。专业分包合同必须明确约定工程款支付条款、结算方式以及保证按期支付的相应措施，确保工程款的支付。The contractor and the professional subcontractor shall sign aprofessional subcontract according to

8、 law,and perform theagreed obligations in accordance with the contract.Professionalsubcontracts should clearly stipulate the payment terms,settlement methods and corresponding measures to ensurepayment on time to ensure the payment of construction funds.(3)承包人对施工现场安全负总责，并对专业分包人的安全生产进行培训和管理。专业分包人应将其专

9、业分包工程的施工组织设计和施工安全方案报承包人备案。专业分包人对分包施工现场安全负责，发现事故隐 患，应及时处理。The contractor is fully responsible for the general safety of theconstruction site,and trains and manages the safety ofprofessional subcontractors.The professional subcontractorshall report the construction organization design andconstruction

10、safety plan of the professional subcontractedproject to the employer for the record.The professionalsubcontractor is responsible for the safety of the subcontractedconstruction site,and should discover the hidden danger of theaccident and should handled in time.(4)所有专业分包计划和专业分包合同须报监理人审批，并报发包人核备。监理人审

11、批专业分包并不解除合同规定的承包人的任何责任和义务。All professional subcontracting plans and professionalsubcontracts should be submitted to the supervisor for approval,and reported to the employer for verification.The approval ofthe professional subcontractor by the supervisor does notrelieve any of the responsibilities an

12、d obligations of thecontractor stipulated in the contract.4.3.7发包人对承包人与专业分包人之间的法律与经济纠纷不承担任何责任和义务。The employer shall not be responsible or liable for legal andeconomic disputes between the contractor and the professionalsubcontractor.4.4 联合体 Consortium4.4.1 联合体各方应共同与发包人签订合同。联合体各方应为履行合同承担连带责任。All part

13、ies to the consortium shall jointly sign a contract with theemployer.The parties to the consortium shall undertake thejointly and severally liabilities for the performance of thecontract.4.4.2 联合体协议经发包人确认后作为合同附件。在履行合同过程中，未经发包人同意，不得修改联合体协议。The consortium agreement shall be taken as an annex to thecon

14、tract with confirmation of the employer.During theperformance of the contract,the consortium agreement shallnot be changed or modified without the consent of theemployer.4.4.3 联合体牵头人负责与发包人和监理人联系，并接受指示，负责组织联合体各成员全面履行合同。The leader of the consortium is responsible for making contactwith the employer an

15、d supervisor and receiving instructions toorganize all members of the consortium to fully perform thecontract.4.4.4未经发包人事先同意，联合体的组成与结构不得变动。The composition and structure of the consortium shall not bechanged without the prior consent of the contractor.4.5 承包人项目经理 Contractors Project Manager4.5.1承包人应按

16、合同协议书的约定指派项目经理，并在约定的期限内到职。承包人更换项目经理应事先征得发包人同意，并应在更换14天前将拟更换的项目经理的姓名和详细资料提交发包人和监理人。承包人项目经理短期离开施工场地，应事先征得监理人同意，并委派代表代行其职责。A project manager which being appointed by the contractorpursuant to the stipulation hereof shall be on duty within thestipulated time limit.The contractor shall obtain the consent

17、 ofthe employer in advance where replacing the project manager,and shall submit the name and details of the project manager tobe replaced to the employer and supervisor 14 days before thereplacement.If the contractors project manager leaves theconstruction site for a short period of time,he shall ob

18、tain theprior consent of the supervisor and appoint a representative toperform his duties.4.5.2 承包人项目经理应按合同约定以及监理人按第3.4款作出的指示，负责组织合同工作的实施。在情况紧急且无法与监理人取得联系时,可采取保证工程和人员生命财产安全的紧急措施，并在采取措施后24小时内向监理人提交书面报告。The project manager of the contractor shall,pursuant to thestipulation hereof and the instructions

19、given by the supervisorunder article 3.4,be responsible for organizing theimplementation of the contract.In case of emergency andunable to get in touch with the supervisor,emergency measurescan be taken to ensure the safety of the project and personnel,and a written report can be submitted to the su

20、pervisor within24 hours after the measures are taken.4.5.3 承包人为履行合同发出的一切函件均应盖有承包人授权的施工场地管理机构章，并由承包人项目经理或其授权代表签字。All correspondence sent by the contractor for the performanceof the contract shall be stamped with the seal of the constructionsite management body authorized by the contractor and signedb

21、y the contractor project manager or his authorizedrepresentative.4.5.4承包人项目经理可以授权其下属人员履行其某项职责，但事先应将这些人员的姓名和授权范围书面通知发包人和监理人。The contractors project manager may authorize its subordinatepersonnel to perform certain duties,however shall notify inadvance the employer and supervisor in writing of the nam

22、esand authorization scope of these personnel.4.6 承包人人员的管理 Management of Contractors Personnel4.6.1承包人应在接到开始工作通知之日起2 8天 内,向监理人提交承包人的项目管理机构以及人员安排的报告，其内容应包括项目管理机构的设置、各主要岗位的技术和管理人员名单及其资格，以及设计人员和各工种技术工人的安排状况。承包人应向监理人提交施工场地人员变动情况的报告。The contractor shall,within 28 days from the date of receivingthe notice

23、of commencement,submit to the supervisor thereport of the contractors project management organization andpersonnel arrangement,which shall include the establishment ofthe project management organization,the list of technical andmanagement personnel with their qualifications for each majorpost,and th

24、e arrangement of the designers and technicalworkers for each type of work.The contractor shall submit to thesupervisor a report on the changes in the personnel of theconstruction site.4.6.2为完成合同约定的各项工作，承包人应向施工场地派遣或雇佣足够数量的下列人员：In order to complete the work stated in the contract,thecontractor shall s

25、end or employ a sufficient number of thefollowing personnel to the construction site:(1)具有相应资格的专业技工和合格的普工；Professional technicians with corresponding qualifications andqualified general workers;(2)具有相应施工经验的技术人员；Technical personnel with corresponding constructionexperience;(3)具有相应岗位资格的各级管理人员。Managers

26、 at all levels with corresponding post qualifications.4.6.3承包人安排在施工场地的主要管理人员和技术骨干应相对稳定。承包人更换主要管理人员和技术骨干时，应取得监理人的同意。The main management personnel and technical backbonearranged by the contractor in the construction site shall berelatively stable.Where the contractor changes the mainmanagement personn

27、el and the technical backbone,he shallobtain the consent of the supervisor.4.6.4 特殊岗位的工作人员均应持有相应的资格证明，监理人有权随时检查。监理人认为有必要时，可进行现场考核。Staff members in special post shall hold correspondingcertificates of qualification,and supervisors shall have the rightto inspect them at any time.If the supervisor deem

28、s it necessary,he may carry out the on-site examination.4.6.5 尽管承包人已派遣了各类人员，但若这些人员仍不能满足合同进度计划和质量要求时，监理人有权要求承包人继续增派或雇佣这类人员,并书面通知承包人和抄送发包人。承包人在接到上述通知后应立即执行监理人的上述指示，不得无故拖延,由此增加的费用和（或）工期延误由承包人承担。Although the contractor has dispatched various personnel,ifthese personnel still cannot meet the contract sch

29、edule andquality requirements,the supervisor has the right to require thecontractor to continue to send or hire such personnel,and notifythe contractor and employer.The contractor shall,upon receipt of above notice,immediatelyimplement the above instructions of the supervisor,and shallnot delay for

30、no reason and the increased costs and/or delaysin the construction period shall be borne by the contractor.4.7撤换承包人项目经理和其他人员Replacement of contractor project manager and other personnel承包人应对其项目经理和其他人员进行有效管理。监理人要求撤换不能胜任本职工作、行为不端或玩忽职守的承包人项目经理和其他人员的，承包人应予以撤换。The contractor shall effectively manage its

31、project manager andother personnel.If the supervisor requests to replace thecontractors project manager and other personnel which are notqualified for their job or duty,misbehavior or neglect of duty,the contractor shall replace them.4.8保障承包人人员的合法权益Safeguard of legitimate rights and interests of con

32、tractorspersonnel4.8.1 承包人应与其雇佣的人员签订劳动合同，并按时发放工资。The contractor shall sign labor contracts with its employees andpay wages on time.4.8.2 承包人应按劳动法的规定安排工作时间，保证其雇佣人员享有休息和休假的权利。因设计、施工的特殊需要占用休假日或延长工作时间的，应不超过法律规定的限度，并按法律规定给予补休或付酬。The contractor shall arrange working hours in accordance withthe provisions

33、of the Labor Law to ensure its employees enjoythe right to rest and vacation.If the special needs of the biddingsection construction take up holidays or extend working hours,shall not exceed the limits prescribed by law,and shall becompensated or paid in accordance with the provisions of thelaw.4.8.

34、3 承包人应为其雇佣人员提供必要的食宿条件，以及符合环境保护和卫生要求的生活环境，在远离城镇的施工场地，还应配备必要的伤病防治和急救的医务人员与医疗设施。The contractor shall provide necessary accommodation for itsemployees and living environment which meet the requirementsof environmental protection and hygiene.In the constructionsite far away from the town,the contractor s

35、hall also beequipped with necessary medical personnel and medicalfacilities for the prevention and treatment of injuries and firstaid.4.8.4 承包人应按国家有关劳动保护的规定，采取有效的防止粉尘、降低噪声、控制有害气体和保障高温、高寒、高空作业安全等劳动保护措施。其雇佣人员在施工中受到伤害的，承包人应立即采取有效措施进行抢救和治疗。The contractor shall take effective labor protection measures to

36、prevent dust,reduce noise,control harmful gases and ensurehigh temperature,cold and high altitude operation safety inaccordance with relevant national labor protection regulations.The contractor shall immediately take effective measures torescue and treat the employees who are injured in theconstruc

37、tion.4.8.5 承包人应按有关法律规定和合同约定，为其雇佣人员办理保险。The contractor shall effect insurance for its employees pursuantto relevant laws,regulations and the contract agreement.4.8.6 承包人应负责处理其雇佣人员因工伤亡事故的善后事宜。The contractor shall be responsible for handling the aftermath ofthe casualty accident of its employees.4.9 工程

38、价款应专款专用 Project price should be earmarked发包人按合同约定支付给承包人的各项价款应专用于合同工作。承包人必须在发包人指定的当地银行设立专用帐户，并接受发包人的监管。The price paid by the employer to the contractor pursuant to thecontract shall be used exclusively for the contract work.The contractor should set up a special account at the local bankdesignated by

39、 the employer and be subject to the supervision ofthe employer.4.10 承包人现场查勘 Contractor site survey4.10.1 发包人应将其持有的现场地质勘探资料、水文气象资料提供给承包人，并对其准确性负责。但承包人应对其阅读上述有关资料后所作出的解释和推断负责。The employer shall provide the on-site geological explorationdata and hydrometeorological data held by him and beresponsible fo

40、r the accuracy thereof.However,the contractorshall be responsible for the interpretation and inference afterreading the above relevant information.4.10.2承包人应对施工场地和周围环境进行查勘，并收集有关地质、水文、气象条件、交通条件、风俗习惯以及其他为完成合同工作有关的当地资料。在全部合同工作中，应视为承包人已充分估计了应承担的责任和风险。The contractor shall survey the construction site and

41、surrounding environment and collect relevant data andinformation of geological,hydrological,meteorologicalconditions,traffic conditions,customs and other related to thecompletion of the contract work.In all contract work,thecontractor shall be deemed to have fully estimated theresponsibilities and r

42、isks to be borne.4.11 不利物质条件 Unfavorable material condition4.11.1不利物质条件，除专用合同条款另有约定外，是指承包人在施工场地遇到的不可预见的自然物质条件、非自然的物质障碍和污染物，包括地下和水文条件，但不包括气候条件。Adverse material conditions,unless otherwise stipulated in theparticular condition hereof,refer to the unforeseen naturalmaterial conditions,unnatural materia

43、l obstacles and pollutantsencountered by the contractor at the construction site,includingunderground and hydrological conditions,however,excludingclimatic conditions.4.11.2承包人遇到不利物质条件时，应采取适应不利物质条件的合理措施继续施工，并及时通知监理人。监理人应当及时发出指示，指示构成变更的，按 第15条约定办理。监理人没有发出指示的，承包人因采取合理措施而增加的费用和（或）工期延误，由发包人承担。Where the

44、contractor encounters adverse material conditions,he shall take reasonable measures to adapt to the unfavorablematerial conditions to continue the construction and notify thesupervisor in a timely manner.The supervisor shall issueinstructions in a timely manner,and if the instructions constitutea am

45、endment,shall be dealt with in accordance with theprovisions of article 15.If the supervisor fails to give instructions,the contractor shall bear the increased costs and/or delays inthe construction period as a result of taking reasonablemeasures.5.材料和工程设备 Materials and engineering equipment5.1承包人提供
