10、提供。 3、甲方应从协议签署之日起，按本协议中所规定的费用和付款方式支付给乙方相应的费用. 4、甲方网站内容应符合中国现行法律，不得要求乙方设计开发违反国家法律的内容，甲方对上述操作所引起的后果以及产生的影响承担全部责任。 5、网站项目完成后，甲方享有委托乙方设计开发的网页(包含文字、图片及其组合）版权。 6、甲方享有网站程序及源码的使用权，不得以任何形式公布程序、文件源码,不得复制、传播、出售程序和源码等.第二条、乙方权力和义务1、乙方负责甲方网站建设，其中包括页面设计、程序开发、调试、功能性测试、安全性测试。2、乙方在技术上保证网站程序顺利完成并稳定运行。3、乙方应严格按照双方确定的频道、

11、栏目及方案完成网站程序设计开发工作,并及时如实向甲方通报开发设计进度。4、在方案实施过程中，甲方对乙方已经完成的网站频道、栏目和内容需要进行修改,经双方协商，再对内容进行修改，其费用另行支付;修改范围超过总页面数量的30，超过费用按页面单价计算。5、乙方对甲方所提供的文字、图片资料、效果图、方案和所知的商业秘密进行保密，不得透露提供给第三方. 6、乙方开发的网站源码只提供给甲方使用，乙方不得提供给第三方.7、乙方不得有损甲方形象、声誉的行为。8、在网站开发完成后，乙方向甲方提供网站全部程序源码、管理帐号等相关信息。9、在甲方验收、乙方交付网站成品后，乙方负责为期2年的售后服务，维护内容如下:网

12、站BUG、 支援、服务器维护.不包含资料更新、页面更新、功能更新,如甲方需要乙方负责后期网站资料更新、页面更新、功能更新，具体费用另计。第三条 开发设计进度和费用结算1、乙方保证甲方网站总计个网站页面的开发设计，费用总计；2、总开发周期天；3、自协议签署之日起，甲方预付乙方网站开发总费用的50即 做为网站开发定金，乙方收到订金后投入开发设计工作，设计完成经甲方验收合格后，七天内付给乙方总费用的50%即 ；4、乙方设计完成后，随即报请甲方验收，甲方在三个工作日内检查完毕，有问题乙方做出程序的相应调整。5、以上费用不包含域名注册、备案、使用、服务器（空间）租用所产生的费用。6、如甲方委托乙方办理第

13、三条第5点事项，费用按实收取。7、在第三条第1点约定的个网站页面之外，甲方额外增加设计页面的,第1、2个页面免费设计，第3个页面开始按元/个收取费用。第四条 违约责任1、在协议有效期内，所依据的客观情况发生重大变化或因不可抗力而造成一方不能履行协议规定的责任和义务,不视为违约, 可以变更本协议相关内容或者终止协议的履行。2、甲方应按照协议规定及时向乙方支付相应的网站开发费用，逾期不支付，应每日向乙方支付过期所涉及费用1的违约金,最高违约金额为所涉及费用的总金额.付款延迟十个工作日以上，乙方有权终止协议，由此造成的损失由甲方承担。3、乙方应保证按照协议规定的条款将频道栏目程序交付甲方使用，若因乙

14、方原因在协议规定时间内没有完成，造成时间延误,应给予甲方所涉及频道费用1/日违约金，最高违约金为所涉及频道费用总金额。4、任何一方违约，另一方均有权解除本协议;任何一方欲解除本协议，应提前通知对方；甲方提前解除协议的，无权要求乙方返还已支付的费用，并付清应给乙方的费用；乙方无故解除协议的，全额退还甲方已支付费用，本协议其他条款对协议的解除另有条款的，从其条款。5、如果本协议任何条款根据现行法律被确定为无效或无法实施，本协议的其他所有条款将继续有效。在此情况下，双方将以有效的条款替换该条款,且该有效条款应尽可能接近原条款和本协议相应的精神和宗旨。6、由于甲方审核时间过长或需要调整、修改的内容过多
