1、“Site”means the proposed stationsituated at(place),(province),(Country)and include,where applicable,the lands and buildings upon or in whichthe work is to be executed.“工地”指拟议中坐落_(国）,(省）,_(市）的基地，包括可在上面施工的土地以及可以利用的建筑物。“Day,”“Week,”“Month,”“Year,meanscalender day,calendar week,calendarmonth and calenda

5、f one of thesefacilities will not have been preparedand completed by P by then to the entiresatisfaction of C，C holds the right toextend the time of delivery stipulatedin Clause(9)and to claim whateverlosses sustained from suchunsatisfactory preparation and/orcompletion of site facilities on thepart

14、f Contract契约的履行Assignment转让C shall not assign nor sublet to anythird parties the contractualliabilities under this contract in wholeor in part without the previous writtenapproval of P.未经买方事先书面许可，承包商不得将本契约中的契约责任 全部或部分地转让给第三方。Changes in Contract契约的更改P shall not make any change in thedrawings and/or d

15、esigns in the contractunless with the previous written consentof C.If the parties agree to make anychange in the drawings and/or designs，the contract amount，and time limit ofshipment and delivery set forth in thecontract shall be subject to adjustmentupon written consent of both parties.Incase such

16、adjustment in the contractamount and time limit of shipment anddelivery be not agreed upon by bothparties，the original drawings anddesigns in the contract shall govern.未经承包商事先书面同意，买方不得更改契约中的图纸和/或设计。如果双方同意对图纸和/或设计进行更改，则契约中规定的 契约金额、运输和交货时间应以双方书面同意后的调整为准。如果双方未能就契约金额、运输和交货时间的调整达成协议，则仍以契 约中原先的图纸和设计为准。Con

17、tract amount契约金额The contract amount consists of thefollowing two items：契约金额有以下两项：Amount covering the cost ofmachines，equipment,tools,materials andparts：totalling Yen,particulars ofwhich are set forth in the SCHEDULE OFPLANT AND PRICES,copy of which isattached hereto.机器、设备、工具、材料和零部件价款，总计日元，其细则已载明于“工厂

18、及价款明细表”中，明细表附于契约之后。Amount covering the cost of works ofassembly,erection，construction andinstallment and any charges and expensesincurred in(Name of Currency)；totaling(Name of Currency),particulars of which are set forth inthe SCHEDULE OF PLANT AND PRICES,copyof which is attached hereto.装配、安装和施工工程成本

24、ces at the“Site”工地的各种情况及环境的变化。Any term of the contract.契约条款的变更Shipment装运Shipping Time装运时间Major machines,equipment,tools,materials and parts shall be shippedfrom Japan port or ports not later than18 months after the effective date ofcontract subject to ships spaceavailable.自契约生效18个月内，根据船舱的空间，主要的机器、设备

25、、工具、材料和零部件应从日本港装运。Partial shipment is to be allowed.允许分批装运。Dates of Bill of Lading shall be takenas the dates of shipment.提单的日期 应被视作装运日期。Safety Margin for Shipment装运的安全系数The shipment time as set forth in 5.1shall be subject to the safety margin of3 months after the date of shipmentspecified in 5.1第1

29、g shall be taken asdate of shipment.提单日期应被视作装运日期。In the event of Prohibition ofExport，Refusal to issue Export License,Acts of God,War,WarlikeHostilities，Blockade,Revolution,Insurrection，Mobilization,Strike,Lockout,Civil commotion，Riots,Plagueor other Epidemics,Fire or any othercauses beyond the cont

30、rol of C，C shallnot be liable for any delayed shipmentwithin the reasonable time.一旦发生承包商无法控制的禁运、拒签出口许可证、人力 不可抗事件、战争、战时敌对状态、封锁、革命、起义、动员、罢工、工 厂关闭、平民暴动、动乱、瘟疫或其他传染病、火灾或其他事件，承包商不为此装运延误负责。Delivery交付Delivery time交付时间C shall upon such completion of the testand inspections notify P in writing thatthe plant i

34、ause(7).因出现第七款所述的承包商无法控制事件使装运延误，导致承包商的机器、设备、材料、工具和零部件等推迟运抵工地。Loss and/or damage of Cs machines,equipment,tools,materials,parts etc.during shipping,including robbery，stealing,nondelivery,fire,breakage,shortage,bending.leaking etc.装运过程中出现的抢劫、偷窃、遗失、火灾、破损、短缺、弯 曲、漏损等，致使承包商的机器、设备、工具、材料和零部件等遭受 损失和/或损坏。Dela

35、y in arrival to the site of Csmachine，equipment，tools,materials,parts etc.caused by either delay innavigation of vessel,change of route ofvessel,accident and/or difficultyduring any kind of transportationsand/or storage between shipping port andthe installment site.因航行迟误、航线变更以及装货港至工地现场间的运输 和仓储发生事故或困

36、难，致使承包商的机器、设备、工具、材料和零 部件等推迟运抵工地。Loss and/or damage caused by accidentsduring assembling,erection,construction,and/or installation worksat the site and loss and/or damagescaused by accidents during operation oftest and inspection.因现场装配、施工和/或安装出现事故而引起的损失和/或损坏以及验收过程中出现事故而引起的损失和/或损坏。Delay of the work ca

37、used from or inrelation to unfavorable climateconditions at the work site,such ascontinued heavy rain,cold wave,heavysnow fall,abnormally hot or lowtemperature,storm,typhoon etc.因持续大雨、寒潮、大雪、酷热或严寒、风暴、飓风等不利 气候因素引起的工程延误。Delay and/or suspension in Governmentprocedures for entry of Cs personnel toPs coun

38、try and/or import of Csmachines,equipment，tools,materials,parts etc.supplied under this contract.政府推迟办理承包商工作人员进人买方所在国的手续 和/或契约规定的承包商的机器、设备、工具、材料和零部件等的进口手续。Strike,Lockouts,Riots,Plague or otherEpidemics,Fire,and any other causesbeyond Cs control during the period oflanding,transportation,storage,asse

39、mbly，construction,erection,installation,test，and/or inspection.在登陆、运输、存储、装配、架设、安装、调试和验收过程 中出现的人力不可抗事件、战争、战时敌对状态、革命、起义、动员、罢工、工厂关闭、黎乱、瘟疫或其他传染病、火灾以及承包商无法控 制的任何其他事件。Delay faults,negligence and/or failurein any of the executions of dutiesand/or liabilities on the part of the P.买方在履行义务和责任方面出现的延误、疏忽或失误。Del
